OIC Text: The Governor in Council on the report and recommendation of the Minister of Finance dated December 5, 2002, and pursuant to Order in Council 81-1099 dated September 1, 1981, and

Chapter 235 of the Revised Statutes of Nova Scotia, 1989, the

Interpretation Act, and to all other power and authority in Her vested, is pleased, effective December 12, 2002, to: (

a) approve the nomination and appointment of Alison Scott of Halifax Regional Municipality as a Director of Nova Scotia Resources Limited; (

b) approve the nomination and appointment of Dan McFadyen of Halifax Regional Municipality as a Director of Nova Scotia Resources Limited; (

c) determine that the Province shall defend, negotiate or settle claims or charges made against Alison Scott and Dan McFadyen as Directors of Nova Scotia Resources Limited and indemnify them from personal liability, provided that the Province is satisfied that the claim arises out of the Directors' activities in relation to their appointments and is not based on fraud or criminal activity and provided that the Province will be in control of the case which it defends, negotiates or settles; (

d) accept the resignation and revoke the appointment of William Hogg as a Director of Nova Scotia Resources Limited; and (

e) accept the resignation and revoke the appointment of Edgar Cramm as a Director of Nova Scotia Resources Limited.
