OIC Text: The Governor in Council on the report and recommendation of the Minister of Economic and Rural Development dated October 29, 2009, and pursuant to Order in Council 81-1422 dated November 17, 1981, which Order approved the establishment of Trade Centre Limited, and pursuant to Order in Council 85-0342 dated April 2, 1985, and pursuant to the Articles of Association of the Corporation, and pursuant to all other authority in her vested, is pleased to: (

a) appoint Peter Justin McDonough as a voting member of the Board of Directors of Trade Centre Limited for a period of four years commencing December 1, 2009 and ending November 30, 2013; (

b) appoint Cheryl Newcombe as a voting member of the Board of Directors of Trade Centre Limited for a period of four years commencing December 1, 2009 and ending November 30, 2013; (

c) authorize the payment of $100.00 per day, plus reasonable expenses to the members of the Board for work involving the Corporation; and (

d) order that the Province shall defend, negotiate or settle claims or charges made against the above appointees of the Board of Directors of the Trade Centre Limited and indemnify them from personal liability in connection with any such claim, provided, however, that the Province is satisfied that the claim arises out of their activities in relation to their appointment, and is not based on fraud or criminal activity, and where the Province so defends them, the Province will be in control of the case.
