Definitions Définitions 1 The following

definitions apply in this Act. 1 Les définitions qui suivent s’appliquent à la présente loi. “Council” means the New Brunswick Health Council established under

section 2. (Conseil) “health care system” includes all individuals, institu- tions and resources involved in the prevention, treatment and management of injury, illness and disability and the preservation of mental and physical well-being through the services offered in the Province by medical and allied health professions. (système de soins de santé) “health service quality” means the general quality of services in the health care system as measured by acces- sibility, equity, appropriateness, safety, efficiency and ef- fectiveness factors. (qualité des services de santé) “Minister” means the Minister of Health. (ministre) “non-identifying health information” means health in- formation of an individual that has had removed from it any information that identifies the individual or any infor- mation for which it is reasonably foreseeable in the cir- cumstances that it could be utilized, either alone or with other information, to identify the individual. (renseigne- ment non identificateur sur la santé) “regional health authority” means a regional health au- thority established under the Regional Health Authorities Act. Establishment of Council Création du Conseil 2 There is established a body corporate to be known as the New Brunswick Health Council consisting of those persons appointed by the Lieutenant-Governor in Council. 2 Il est crée un corps constitué appelé Conseil du Nouveau-Brunswick en matière de santé composé de per- sonnes nommées par le lieutenant-gouverneur en conseil. Objects and purposes of Council Mission du Conseil 3 The objects and purposes of the Council are as follows: 3 Le Conseil a pour mission : (

a) to promote the improvement of health service quality in the Province;

b) to develop and implement mechanisms to engage the citizens of New Brunswick in meaningful dialogue for the purpose of improving health service quality in the Province;

b) de concevoir et de mettre en oeuvre des mécanis- mes propres à inciter les citoyens du Nouveau- Brunswick à engager un dialogue constructif en vue d’améliorer la qualité des services de santé dans la pro- vince; (

c) to measure, monitor and assess population health and health service quality in the Province;

c) d’apprécier, de surveiller et d’évaluer l’état de san- té de la population et la qualité des services de santé dans la province; (

d) to identify effective practices for the improvement of health service quality in the Province;

d) d’établir des pratiques efficaces pour améliorer la qualité des services de santé dans la province; (

e) to evaluate strategies designed to improve health service quality in the Province;

e) d’évaluer les stratégies conçues pour améliorer la qualité des services de santé dans la province; (

f) to assess citizen satisfaction with health services and health service quality in the Province;

f) d’évaluer le taux de satisfaction des citoyens quant aux services de santé et de la qualité de ces services dans la province; (

g) to investigate matters respecting the health care system that are referred to it by the Minister;

h) to provide recommendations to the Minister with respect to any of the activities described in paragraphs (

a) to (g); and

i) to carry out such other activities or duties as may be authorized or required by this Act or as the Lieutenant-Governor in Council may direct.

Powers of Council Attributions du Conseil 4(1) In respect of its objects and purposes, the Council has the capacity and, subject to this Act and the regula- tions, the rights, powers and privileges of a natural person. 4(1) Pour accomplir sa mission, le Conseil a la capacité et, sous réserve de la présente loi et des règlements, les droits, les pouvoirs et les privilèges d’une personne phy- sique. 4(2) For the purposes of

Duty to produce information Obligation de produire des renseignements 5 Within 30 days after a request under subsection 4(2) is received, the Minister, the government agency or the regional health authority, as the case may be, shall produce to the Council the reports, records, documents or other in- formation requested by the Council, unless prohibited by law. 5 Dans les trente jours qui suivent la réception d’une demande en vertu du paragraphe 4(2), le ministre, l’orga- nisme gouvernemental ou la régie régionale de la santé, selon le cas, doit fournir les rapports, dossiers, documents ou autres renseignements demandés par le Conseil, sauf interdiction légale.

d) recommendations related to the improvement of health service quality made by the Council; and

e) any other matter that relates to the Council’s ob- jects and purposes under

section 3.

Remuneration and reimbursement Rémunération et remboursement 8 The Lieutenant-Governor in Council may determine the remuneration to be paid to the chairperson, the vice- chairperson and the other members of the Council and may fix the rate for reimbursement of expenses incurred by them while acting on behalf of the Council. 8 Le lieutenant-gouverneur en conseil peut fixer la ré- munération du président, du vice-président et des autres membres du Conseil, ainsi que le tarif de remboursement des frais qu’ils ont engagés dans l’exercice de leurs fonc- tions au nom du Conseil.

By-laws Règlements administratifs 9(1) The Council may, subject to the approval of the Minister, make by-laws for the control and management of the business and affairs of the Council including, but not limited to, the following: 9(1) Le Conseil peut, sous réserve de l’approbation du ministre, établir des règlements administratifs concernant le contrôle et la gestion de ses activités et de ses affaires internes, y compris, sans que soit limitée la portée géné- rale, de ce qui suit : (

a) providing for the election or designation of a vice-chairperson of the Council;

b) providing for the appointment of officers from the members of the Council, including the functions and duties of the officers;

c) governing the establishment and operation of committees of the Council, including the manner of ap- pointing members of such committees;

d) respecting the expenses to be paid to a member of a committee; and

Meetings Réunions 11 The Council shall meet when called by the chairper- son and shall meet not less than 4 times in each fiscal year. 11 Le Conseil se réunit lorsque son président convoque une réunion et il se réunit au moins quatre fois par année financière. Quorum Quorum 12(1) A majority of the members of the Council, of whom one is either the chairperson or the vice- chairperson, constitutes a quorum. 12(1) Une majorité des membres du Conseil, dont l’un est le président ou le vice-président, constitue ce quorum. 12(2) A vacancy on the Council does not impair the ca- pacity of the remaining members of the Council to act. 12(2) Une vacance au sein du Conseil ne porte pas at- teinte à la capacité d’agir du reste de ses membres.

Minutes Procès-verbaux 13 The Council shall provide a copy of the minutes of all Council meetings to the Minister within 7 days after the meeting at which the minutes were adopted. 13 Le Conseil envoie au ministre une copie du procès- verbal de chaque réunion dans les sept jours qui suivent la réunion à laquelle il a été adopté.

Chief executive officer Directeur général 14(1) The Council shall appoint a chief executive officer and shall establish the duties of the chief executive officer. 14(1) Le Conseil nomme un directeur général et précise ses attributions. 14(2) Notwithstanding subsection (1), the Lieutenant- Governor in Council shall appoint the first chief executive officer of the Council. 14(2)

Malgré le paragraphe (1), le lieutenant- gouverneur en conseil nomme le premier directeur général du Conseil. 14(3) The chief executive officer is, subject to the di- rection of the Council, charged with the general direction, supervision and control of the business of the Council, and may exercise such other powers as may be conferred on the chief executive officer by the by-laws of the Council. 14(3)

Indemnification Indemnisation 15 Every member of the Council, and the heirs, execu- tors, estate and effects of every member of the Council, shall be indemnified and saved harmless out of the funds of the Council with respect to all costs, charges and ex- penses that the member incurs in relation to any action or other proceeding brought or prosecuted against the mem- ber in connection with the duties of the person as a member of the Council and with respect to all other costs, charges and expenses the member incurs in connection with those duties, except costs, charges and expenses that are occa- sioned by the member’s own wilful neglect or wilful default. 15 Chaque membre du Conseil ainsi que ses héritiers, ses exécuteurs testamentaires, sa succession et ses biens personnels sont protégés et indemnisés par les fonds du Conseil à l’égard de l’intégralité tant des coûts, charges et dépenses que le membre engage relativement à une action ou autre procédure intentée ou poursuivie contre lui au

titre de ses fonctions de membre du Conseil que de tous autres coûts, charges et dépenses que le membre engage dans l’exercice de ces fonctions, à l’exception des coûts, charges et dépenses résultant de sa propre négligence ou de sa propre faute délibérée. Insurance Assurance 16(1) The Council shall maintain adequate insurance coverage for the protection of the following: 16(1) Le Conseil maintient une couverture d’assurance suffisante pour protéger à la fois : (

a) all property of the Council;

b) all property entrusted to the Council; and

c) all employees and other persons who are, by in- vitation, at buildings or other premises or places of, or entrusted to, the Council.

Business plan Plan d’affaires 17(1) The Council shall prepare and submit for the Min- ister’s approval a business plan for each fiscal year. 17(1) Le Conseil prépare un plan d’affaires pour chaque année financière et le soumet à l’approbation du ministre. 17(2) The Council shall not make changes to an ap- proved business plan without obtaining the prior written approval of the Minister. 17(2) Le Conseil ne doit pas modifier un plan d’affaires approuvé, sans avoir obtenu au préalable l’autorisation écrite du ministre.

Budget Budget 18(1) Each year, on or before the thirty-first day of Oc- tober, the Council shall submit to the Minister a proposed budget containing the estimate of the amount of money required for the operation of the Council during the next fiscal year. 18(1) Le Conseil doit, au plus tard le 31 octobre de cha- que année, présente au ministre un budget proposé conte- nant les prévisions des crédits nécessaires au fonctionne- ment du Conseil pour la prochaine année financière. 18(2) The Minister shall in each year pay to the Council such amounts of money as are appropriated by the Legis- lature for financing the operation of the Council. 18(2) Chaque année, le ministre verse au Conseil les crédits que la Législature a affectés à son fonctionnement. 18(3) The Council shall not accumulate a deficit. 18(3) Le Conseil ne peut pas accumuler de déficit.

Auditor Vérificateur 20(1) The Council shall appoint an external auditor who shall audit the records, accounts and financial transactions of the Council annually. 20(1) Le Conseil doit nommer un vérificateur externe qui doit, chaque année, vérifier ses dossiers, ses comptes et ses opérations financières. 20(2) The Council shall not appoint for an auditor, and no person shall act as an auditor of the Council, if in the fiscal year in which the appointment is made, or in the preceding fiscal year, the person 20(2) Le Conseil ne peut pas nommer comme vérifica- teur, et nul ne peut remplir les fonctions de vérificateur du Conseil, si au cours de l’année financière pendant laquelle la nomination est effectuée, ou au cours de l’année finan- cière précédente : (

c) is or was employed by the Council in a capacity other than as an auditor.

Financial information Renseignements financiers 21 The Council shall provide the following information to the Minister in a manner and form specified by the Min- ister: 21 Le Conseil fournit au ministre tout renseignement fi- nancier qu’il requiert de la manière et sous la forme qu’il précise : (

a) on or before the thirtieth day of April in each year, a preliminary unaudited financial statement for the pre- ceding fiscal year; and

b) on or before the thirtieth day of June in each year, the audited financial statements and the auditor’s report on financial statements for the preceding fiscal year.

a) a report on the activities of the Council for the preceding fiscal year;

summary of the audited financial statements submitted under

section 21; and

c) such other information as the Minister may re- quire.

22(3) The Minister shall lay the annual report before the Legislative Assembly if it is in session or, if not, at the next ensuing session. 22(3) Le ministre dépose le rapport annuel à l’Assem- blée législative si elle est en session ou, sinon, à la session suivante.

Special reports Rapports spéciaux 23 The Council shall prepare and submit to the Minister such reports, records, documents or other information that the Minister may require from time to time, within the time and in the form specified by the Minister. 23 Le Conseil prépare et remet au ministre les rapports, dossiers, documents ou autres renseignements qu’il peut exiger à l’occasion, dans les délais et en la forme qu’il fixe.

Crown Corporations Committee Comité sur les corporations de la Couronne 24 The Council shall appear before the Standing Com- mittee on Crown Corporations of the Legislative Assem- bly of New Brunswick, if requested to do so by that Committee. 24 Le Conseil doit comparaître devant le Comité per- manent des corporations de la Couronne de l’Assemblée législative du Nouveau-Brunswick, à la demande du Co- mité. Regulations Règlements 25 The Lieutenant-Governor in Council may make reg- ulations 25 Le lieutenant-gouverneur en conseil peut, par règle- ments : (

a) prescribing other objects of the Council;

b) respecting the appointment of members of the Council, including criteria for eligibility; and

c) respecting any other matter or thing that the Lieutenant-Governor in Council considers necessary to carry out the intent of this Act.
