OIC Number: 2008 - 610 Date of Order: Nov 25, 2008 OIC Text: The Governor in Council on the report and recommendation of the Minister of Economic Development dated October 30, 2008, and pursuant to Order in Council 2005-373, and paragraphs 105, 108 and 109 of the Articles of Association of Waterfront Development Corporation Limited, is pleased to: (

a) reappoint the following persons as members of the Board of Directors of Waterfront Development Corporation Limited, for the following terms: (

i) Eric F.G. Thomson of Halifax Regional Municipality, as a Director for a term of one year commencing December 1, 2008; (ii) Eric F.G. Thomson of Halifax Regional Municipality, as the Chair for a term of one year commencing December 1, 2008; (iii) Ken. R. Giffin of Halifax Regional Municipality, as a Director for a term of two years commencing December 1, 2008; (iv) John (Jack) Douglas Leedham of Halifax Regional Municipality, as a Director for a term of one year commencing December 1, 2008; (

v) Brian R.F. Lugar of Halifax Regional Municipality, as a Director for a term of two years commencing December 1, 2008; (

b) authorize the payment of $150.00 per day to the members of the Board for work involving the Waterfront Development Corporation Limited; and (

c) order that the Province shall defend, negotiate or settle claims or charges made against the above reappointees of the Board of Directors of the Waterfront Development Corporation Limited, and indemnify them from personal liability in connection with any such claim, provided, however, that the Province is satisfied that the claim arises out of their activities in relation to their appointments, and is not based on fraud or criminal activity, and where the Province so defends them, the Province will be in control of the case.
