APPENDIX

WHEREAS

section 11(2) and (3) of the Lloydminster Charter provide

11(2) Upon the request of the council of the city, any territory adjacent to the city may be annexed thereto by complementary orders in council.

AND

WHEREAS the council of The City of Lloydminster has requested that the land in The County of Vermilion River No. 24 described in

Schedule 1 be annexed to it;

AND

WHEREAS

section 12(1) of The Lloydminster Charter provides

12(1) The ministers may appoint a special joint committee consisting of not more than three members appointed by each minister to determine and recommend a decision on the matter of an annexation proposal to the ministers.

AND

WHEREAS The City of Lloydminster has requested that the appointment of a special joint committee be waived as it owns the land described in

Schedule 1, other than the road allowances, and as The County of Vermilion River No. 24 has consented to the waiver of the appointment of a special joint committee;

AND

WHEREAS The County of Vermilion River No. 24, by its resolution of August 21, 1995, approved the annexation request;

AND

WHEREAS it is desirable and in the public interest to authorize the annexation of the land described in

Schedule 1 to The City of Lloydminster;

1. In this Order, "annexed land" means the land annexed under

section 2.

2. The land described in

Schedule 1 and shown in

Schedule 2 is separated from The County of Vermilion River No. 24 and annexed to The City of Lloydminster on January 1, 1996.

3. Any taxes owing to The County of Vermilion River No. 24 on January 1, 1996 in respect of the annexed land are transferred to and become payable to The City of Lloydminster together with the amount of any lawful penalties and costs levied in respect of those taxes, and The City of Lloydminster upon collecting those taxes, penalties or costs shall forthwith pay them to The County of Vermilion River No. 24.

4. The City of Lloydminster shall on January 1, 1996 pay to The County of Vermilion River No. 24 a one-time payment of $35,835.

5. The area of The City of Lloydminster, including the annexed land, is described in

Schedule 3.

6. This Order in Council is complementary to an Order in Council of the Lieutenant Governor in Council of Saskatchewan that approves the annexation of the land described in

Schedule 1 from The County of Vermilion River No. 24 to The City of Lloydminster.

THIS AGREEMENT dated as of the day of , 1995

BETWEEN:

HER MAJESTY THE QUEEN IN RIGHT OF THE PROVINCE OF ALBERTA, herein called "Her Majesty", as represented by the Minister of Energy, herein called the "Minister"

- and -

AMOCO CANADA RESOURCES LTD., incorporated under the laws of Canada and having its head office at the City of Calgary in the Province of Alberta (herein called "Amoco", on its own behalf and as AGENT for and on behalf of CHEVRON CANADA RESOURCES LIMITED, herein called "Chevron"

WHEREAS Her Majesty and Amoco, on its own behalf and as agent for and on behalf of Chevron, wish to enter into this Agreement (the "Alberta Wabasca Crown Agreement") to evidence their agreement concerning the royalty to be received by Her Majesty on Leased Substances recovered or obtained from the Project Well Events pursuant to the Leases;

NOW THEREFORE the parties agree as follows:

ARTICLE 1 -

DEFINITIONS

101. In this Agreement

(a) "Affiliate" means any Person, firm, partnership or association directly or indirectly controlling, controlled by or under common control with any party. For the purposes of this definition "control" (including "controlled by" and "under common control with") means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of a Person, firm, partnership or association whether through the ownership of voting securities or by contract or otherwise;

(b) "Board Approval" means Approval No. 6723, as amended, issued by the Energy Resources Conservation Board pursuant to the Oil Sands Conservation Act;

(c) "Leases" means Government of Alberta Oil Sands Leases #7185080277, 7177040170, 7187110331, 7594060067 and 7176010082, together with documents of title issued in substitution for those Oil Sands Leases;

(d) "Leased Substances" means all substances recovered, or obtained from substances recovered, from the Project Well Events pursuant to the Leases;

(e) "Lessee" means Amoco and Chevron, or such other Person or Persons who is or are, from time to time, the registered lessee or lessees of the Leases under the Mines and Minerals Act, as recorded in the records of the Department of Energy of the Province of Alberta;

(f) "Participating Interest" means, when used in relation to a Lessee, the specified undivided interest in the oil sands rights in that part of a Lease's location that is subject to the Board Approval, held by that Lessee and registered under the Mines and Minerals Act as recorded in the records of the Department of Energy of the Province of Alberta;

(g) "Person" means a person who is eligible to become a lessee of an agreement under the Mines and Minerals Act;

(h) "Project" means the scheme for the recovery of crude bitumen approved in the Board Approval;

(i) "Project Well Events" means the well events, as defined in the Regulation, completed pursuant to the Board Approval;

(j) "Regulation" means the Oil Sands Royalty Regulation, 1984 (Alta. Reg. 166/84), as amended;

(k) "Term" means the period commencing September 1,1995 and ending

(

i) the day this Agreement terminates under

section 701, or

(ii) if this Agreement does not terminate under

section 701, the later of

(

A) December 31, 1995, or

(

B) the last day of the last extension approved under

section 301. ARTICLE 2 -

INTERPRETATION

201. The headings of the Articles of this Agreement are inserted for convenience of reference only and do not affect the meaning or construction of this Agreement.

202. Terms defined in the Mines and Minerals Act and the Regulation have the same meaning in this Agreement, unless otherwise required by the context in which they are used.

203. The provisions of this Agreement supplement the provisions of the Leases and shall be deemed to be incorporated in the Leases, but in the event of any conflict between the provisions of this Agreement and of the Leases, the provisions of this Agreement shall prevail to the extent of the conflict.

ARTICLE 3 - TERM EXTENSION

(1) The Minister or the Deputy Minister of the Department of Energy of the Province of Alberta, may approve one or more extensions of the Term beyond December 31, 1995 in accordance with subsection (2).

(2) The Minister or Deputy Minister shall not approve an extension under subsection (1),

(

a) except upon receipt by Her Majesty of a written request for the extension from Amoco at least 30 days before the expiration of the Term, and

(

b) that will extend the Term beyond December 31, 1996.

ARTICLE 4 - ROYALTY PROVISIONS

401. Despite

section 1 of the Regulation, the royalty reserved and payable to Her Majesty in respect of Leased Substances recovered or obtained during each month of the Term shall be 5% of the Leased Substances so recovered or obtained.

(1) In this section, "excess royalty" means the excess of the quantity of royalty paid by Amoco and Chevron in respect of Leased Substances recovered or obtained during the part of the Term preceding the date of this Agreement, over the quantity of royalty reserved and payable to Her Majesty in respect of such Leased Substances under

section 401.

(2) Subject to subsection (3), Her Majesty may repay any amounts received by Her Majesty under

section 2(1)(

a) is made under the Mines and Minerals Act after the date of this Agreement and before January 1, 1997,

(

b) repeals the Regulation, and

(

c) prescribes royalty reserved on oil sands recovered pursuant to an agreement.

(2) The Minister will not recommend for making to the Lieutenant Governor in Council, a generic royalty regulation that would not apply to Leased Substances if this Agreement were terminated.

(3) Amoco may, subject to subsection (4), elect to terminate this Agreement by giving written notice of termination to Her Majesty.

(4) If notice of termination is given under subsection (3)

(

a) after a generic royalty regulation is made, this Agreement terminates

(

i) on the last day of the month in which all conditions, other than the termination of this Agreement, which must be fulfilled in order for the regulation to commence applying to Leased Substances, are determined by the Minister to have been fulfilled, or

(ii) on the last day of the month in which the notice is received by Her Majesty, if there are no conditions of the kind described in paragraph (i), or

(

b) before a generic royalty regulation is made, this Agreement terminates on the last day of the month in which the notice is received by Her Majesty.

ARTICLE 8 - GENERAL

801. This Agreement shall be construed and interpreted in accordance with the laws of the Province of Alberta.

802. This Agreement shall enure to the benefit of and be binding upon each of the parties and their respective successors and assigns.

(

b) makes the order in

Schedule 1, and

(

c) establishes the wards for the specialized municipality as described in

Schedule 2,

Schedule 1

Special Provisions for the Organization and Operation of Strathcona County

Definitions:

1 In this order,

(a) "Rural Service Area" means the territory of Strathcona County excluding the Sherwood Park Urban Service Area,

(b) "Sherwood Park Urban Service Area" means the territory described in

Schedule 3.

Specialized Municipality

2(1) The status of Strathcona County is changed to that of a specialized municipality to provide for the unique needs of a municipality that includes both a large urban centre and a significant rural territory and population.

(2) The provisions of the Municipal Government Act and other enactments are modified to the extent necessary to accomplish the intent of this order.

(3) Except as otherwise provided in this order, the enactments applicable to a city apply in the Sherwood Park Urban Service Area and the enactments applicable to a municipal district apply in the Rural Service Area.

Urban Service Area

3(1) The Sherwood Park Urban Service Area shall be recognized as equivalent to a city by the Government of Alberta for the purposes of program delivery and grant eligibility.

(2) Strathcona County shall provide to the Government of Alberta any information required to administer programs or to determine the amount of grants which the Sherwood Park Urban Service Area would be eligible for if it were a city.

(3) For the purposes of enactments affecting roads, culverts, ditches, drains and highways (excepting highways designated as primary highways under the Public Highways Development Act as of the date of this order) within the Sherwood Park Urban Service Area, the Sherwood Park Urban Service Area is deemed to be a city.

(4) Strathcona County may amend the boundary of the Sherwood Park Urban Service Area.

Rural Service Area

4(1) Notwithstanding subsection (3), the Rural Service Area shall be recognized as equivalent to a municipal district by the Government of Alberta for the purposes of program delivery and grant eligibility, including, without limiting the generality of the foregoing, funding programs and grant eligibility under enactments affecting roads, including secondary roads.

(2) Strathcona County shall provide to the Government of Alberta any information required to administer programs or to determine the amount of grants which the Rural Service Area would be eligible for if it were a municipal district.

(3) For the purposes of enactments affecting roads, culverts, ditches, drains and highways (excepting highways designated as primary highways under the Public Highways Development Act as of the effective date of this order) within the Rural Service Area, the Rural Service Area is deemed to be a city.

Council Structure

5(1) The council of Strathcona County shall consist of 8 councillors one of whom is the chief elected official.

(2) The chief elected official shall be elected under

section 150(1) of the Municipal Government Act.

(3) Strathcona County is divided into 7 wards described in

Schedule 2 with 1 councillor to be elected from each ward.

(4) All councillors are to be nominated from and resident in the ward represented.

(5) Only an elector who is resident in the ward may vote for a councillor in that ward.

Miscellaneous Matters

6(1) Sections 271(1)(

a) and 604(

c) of the Municipal Government Act do not apply to Strathcona County.

(2) Strathcona County shall be treated as a special municipal district for the purposes of the Agricultural Service Board Act.

(3) Any fines or penalties imposed in the Sherwood Park Urban Service area which would enure to a city shall enure to the benefit of Strathcona County and any fines or penalties imposed in the Rural Service Area which would enure to a municipal district shall enure to the benefit of Strathcona County.

(4) Nothing in this order shall affect or deprive Strathcona County of any rights, privileges, benefits or commitments accruing to Strathcona County under any agreement or letter of intent between the Government of Alberta, or any agency or delegate of the Government of Alberta, and Strathcona County before it became a specialized municipality.

The reasons for the proposed designation are as follows:

These three relatively common residential structures are significant owing to their association with John Walter who constructed and resided in them. Walter was a transportation, forestry and communications entrepreneur who's businesses provided much of the economic impetus for the early development of the Edmonton region. Historians of prairie urban development has stressed that the most crucial factor in the growth of prairie urban centres was not geography, but rather the foresight, ambition, and promotional skills of individuals.

It is within this context that John Walter made his most significant contributions to history, as his early enterprises served to stimulate and nurture the beginning of what has developed into the City of Edmonton.

It is therefore considered that preservation and protection of the resource is in the public interest.
