An Act to Incorporate Downtown Moncton Centre-ville Inc.

WHEREAS by

an Act of the Legislature of the Province of New Brunswick being

An Act to Incor- porate Moncton Central Business Development Corporation,

chapter 57 of the Acts of New Brun- swick, 1977, the Moncton Central Business Devel- opment Corporation was duly incorporated; AND

WHEREAS by Supplementary Letters Patent dated May 2, 1991, Moncton Central Busi- ness Development Corporation changed its name to Downtown Moncton Inc.; AND

WHEREAS by Supplementary Letters Patent dated November 29, 2002, Downtown Moncton Inc. changed its name to Downtown Moncton Centreville Inc; AND

WHEREAS it is desirable to amend the name from Downtown Moncton Centreville Inc. to Downtown Moncton Centre-ville Inc.; AND

WHEREAS it is appropriate to revise the legislation by which the Act to incorporate the Moncton Central Business Development Corpora- tion was established; PROJET DE LOI 34 Loi constituant Downtown Moncton Centre-ville Inc. chapitre 57 des Lois du Nouveau-Brunswick de 1977, la Société de développement commercial du centre-ville de Moncton a été dûment constituée en corporation; ATTENDU que la Société de développement commercial du centre-ville de Moncton a modifié la raison sociale de la compagnie à Downtown Monc- ton Inc. par lettres patentes supplémentaires le 2 mai 1991; ET ATTENDU que Downtown Moncton Inc. a modifié la raison sociale de la compagnie à Down- town Moncton Centreville Inc. par lettres patentes supplémentaires le 29 novembre 2002; ET ATTENDU qu’il est souhaitable de rempla- cer le nom de Downtown Moncton Centreville Inc. par Downtown Moncton Centre-ville Inc.; ET ATTENDU qu’il convient de réviser la légis- lation établissant la Loi constituant la Société de développement commercial du centre-ville de Moncton;

WHEREAS Downtown Moncton Centre- ville Inc. prays that it be enacted as hereinafter set forth; THEREFORE, Her Majesty, by and with the ad- vice and consent of the Legislative Assembly of New Brunswick, enacts as follows: 1 This Act may be cited as “ Downtown Moncton Centre-ville Inc. Act”. 2 The Moncton Central Business Development Corporation, a body corporate, established pursuant to

chapter 57 of the Acts of New Brunswick, 1977, is hereby continued as a body corporate under the name Downtown Monc- ton Centre-ville Inc. (hereinafter called the “Corpo- ration”). 3 The head office of the Corporation shall be at the City of Moncton, in the County of Westmorland and Province of New Brunswick. 4 The objects of the Corporation shall be and it shall have the power (

a) to solicit and maintain membership in the Corporation of all those persons or corporations interested in the objects of the Corporation as set out herein; (

b) to assist, promote, encourage, co-ordinate and advance the commercial, residential, recre- ational, cultural and civic development and eco- nomic welfare of the Downtown Moncton Busi- ness Improvement Area as may be defined by the Corporation from time to time by by-law; (

c) to assist, co-operate and act on its own or in conjunction with other authorities, organizations or agencies, public or private, in establishing parking, transportation, cultural, recreational and other civic facilities, and to enter into any ar- rangements with any authorities, municipal, lo- cal or otherwise, that may seem conducive to the ET ATTENDU que Downtown Moncton Centre- ville Inc. demande l’adoption des dispositions qui suivent; À CES CAUSES, Sa Majesté, sur l’avis et du consentement de l’Assemblée législative du Nouveau-Brunswick, décrète : 1 La présente loi peut être citée sous le

(ci-après dénommée la « Société »). 3 La Société a son siège social dans la cité de Moncton, dans le comté de Westmorland au Nouveau-Brunswick. 4 La Société a pour objet et a le pouvoir

a) de solliciter et de maintenir l’adhésion de toutes les personnes ou sociétés intéressées à son objet énoncé au présent article;

b) d’aider, de promouvoir, d’encourager, de coordonner et de favoriser le développement commercial, résidentiel, récréatif, culturel et mu- nicipal ainsi que la prospérité économique du secteur commercial du centre-ville de la cité de Moncton, de la façon qu’elle définira à l’occa- sion par voie de règlement administratif;

c) de participer, de collaborer et d’œuvrer, seule ou conjointement avec d’autres autorités, organisations ou organismes, publics ou privés, à la création de terrains de stationnement, de ser- vices de transports, d’installations culturelles, ré- créatives et d’autres installations municipales, locales ou autres, toute entente semblant favora-

Bill 34 Corporation’s objects or any of them, and obtain from any such authority any rights, privileges and concessions that the Corporation may think desirable to obtain and carry out, exercise and comply with any such rights, privileges, arrange- ments or concessions; (

d) to buy, acquire, exchange, lease, hold, im- prove and enjoy property, both real and personal, and to sell, alienate, assign, exchange, lease, hy- pothecate, mortgage and pledge its movable and immovable property or otherwise dispose of the Corporation in such manner as may be deemed most advantageous for the purpose of carrying out its said objects; (

e) to borrow money and to draw, make, en- dorse and accept bills of exchange, promissory notes and create and issue bonds and debentures as may be necessary for the purposes of the Cor- poration; and (

f) to enjoy all benefits and powers conferred upon it by the Companies Act , being

chapter C-13, Revised Statutes of New Brunswick, 1973, except where inconsistent herewith. 5 For the purposes of receiving benefits, grants, loans or other assistance, the Corporation shall be deemed to be a municipal non-profit Corporation. 6(1) Subject to the provisions of

section 7 hereof, the Corporation shall be governed and managed by as many Directors as permitted by the by-laws of the Corporation from time to time in effect. 6(2) The directors shall hold office for a term of two (2) years and they may be reappointed or re- elected for a maximum of three further two year terms. 6(3) No director shall hold office for more than eight consecutive years. ble à la réalisation de la totalité ou d’une

e) de contracter des emprunts et de tirer, de faire, d’endosser et d’accepter des lettres de change et des billets à ordre et de créer et d’émet- tre les obligations et débentures nécessaires aux fins de son objet; et

f) de jouir de tous les avantages et pouvoirs que lui confère la

Loi sur les compagnies ,

chapitre C-13 des Lois révisées du Nouveau-Brunswick de 1973, sauf lorsqu’ils sont incompatibles avec les dispositions de la présente loi. 5 La Société est réputée être une corporation mu- nicipale à but non lucratif aux fins de recevoir des paiements, subventions, prêts ou autres formes d’aide. 6(1)

Sous réserve des dispositions de l’article 7 de la présente loi, la Société est administrée et dirigée par les administrateurs, dont le nombre est déter- miné par les règlements administratifs de la Société alors en vigueur. 6(2) Le mandat des administrateurs est de deux ans et ils peuvent être nommés ou élus pour un maximum de trois autres mandats de deux ans cha- cun. 6(3) Aucun administrateur peut être en fonction pour plus de huit ans consécutifs.

4 Projet de loi 34 Loi constituant Downtown Moncton Centre-ville Inc. 7 The Corporation, in order to carry out its ob- jects, shall be empowered (

a) to make by-laws not inconsistent with this Act or the Companies Act governing the admin- istration of the Corporation; (

b) to make by-laws, rules and regulations as it may deem necessary respecting the admission and expulsion of members of the Corporation and the respective rights and privileges of such members, and the fees, subscriptions and dues which it may deem advisable to be assessed to its members; (

c) to elect a president, vice-presidents, secre- tary, and treasurer from amongst its directors; (

d) to provide for or set up such committees as the Corporation may deem necessary to most ef- fectively serve the objects of the Corporation; and (

e) to employ such personnel as may be deemed necessary by the Corporation to carry out its objects. 8 The accounts of the Corporation shall be audited annually and subject to an inspection and audit by the auditors for the City of Moncton at any time. 9 On dissolution or winding-up of the Corpora- tion, any and all assets of the Corporation held by the Corporation at the time of such winding-up or dissolution shall become vested in the City of Moncton. 10

An Act to Incorporate Moncton Central Busi- ness Development Corporation,

chapter 57 of the Acts of New Brunswick, 1977, is hereby repealed. 7 Afin de réaliser son objet, la Société a le pouvoir

a) d’établir, dans le respect des dispositions de la présente loi et de la

Loi sur les compagnies , des règlements administratifs régissant son ad- ministration;

b) d’établir les règlements administratifs, rè- gles et règlements qu’elle peut juger nécessaires en ce qui concerne l’admission et l’expulsion de ses membres, leurs droits et privilèges respectifs, et les droits et cotisations qu’elle peut juger sou- haitable d’exiger de ses membres;

c) d’élire un président, des vice-présidents, un secrétaire et un trésorier au sein de ses adminis- trateurs;

d) de prévoir et d’instituer les comités qu’elle peut juger nécessaires à la bonne réalisation de ses objets; et

e) d’employer le personnel qu’elle peut juger nécessaire à la réalisation de ses objets. 8 Les comptes de la Société sont vérifiés chaque année et peuvent être inspectés et vérifiés en tout temps par les vérificateurs de la cité de Moncton. 9 La dissolution ou liquidation de la Société opère dévolution de la totalité de son actif à la cité de Moncton. 10 La Loi intitulée Loi constituant la Société de développement commercial du centre-ville de Moncton,

chapitre 57 des Lois du Nouveau- Brunswick de 1977, est par les présentes abrogée.
