An Act Respecting the JJethbridge Country Club. ( ~~ssented to 1913.) W HEREAS the persons he}inafter named and others are associated together w; club under the name of the· "Lethbridge Country Club" promote the physical welfare of its meinbers and encourage he games of golf, tennis, bowling and other games, hunting, or any form of exercise fior social purposes; and Whereas the said persons h~reinafter named have prayed to be ineorporated by, the name of the Lethbridge Country Clu•b, and it is expedient to grant their pr yer; Therefore His Majesty, by a d with the advice and consent of the Legislative Assembly of t e Province of Alberta, enacts as follows: 1.

Donnan and such other perso s as are now or shall hereafter become members of the corpo ation to be hereby incorporated shall be and are hereby constit. ted a body politic and corporate by and under the name of the ethbridge Country Club, and by that name have perpetual succe ion and a common seal and shall have pow€r from bi me to tiu1 and at all times hereafter, to purohase, acquire, hold, posses , lease and enjoy for them and their successors for the Uf'e an benefit of said corporation all lands,. tenements, hereditament and real and movable property and estate situate whether wit in ·Oor without the limits of t.he City of Lethbridge, and the E'an c to ~ell, <alienate, exchange, lease and ot.herwise dispose of <Jr encu ·ber whensoever the said COI'pOra tion shall deem it proper so to d and by the same name shall and may be em~bled to sue and toLe ued, to plead and to be impleaded, to answer and to be answered u tt.o• in any manner or cause what soever; provided always that th actual value of such real estate so held as aforesaid shall not a any one time exceed the mm of !\\150,000. 2. 'The members of the corp ration shall have the sole power to frame a consLitution rmd to ake by-laws, rules and regulations for the management of the aff irs of the corporation, including the regulating of the allotment and price of stock, making calls thereon, the payment tl1ereof a the transfer of stock, the doolar fJ.tion and payment of dividend , regulating the is~11e .of the club shares of stock and fixing the ualifications of persons who shall be competent to hold the same the manner in which the samP shall be held and formalities r uisite to a valid transfer thereof and the persons to whom they ay ~ transferred.

The constitution, rules, by-la s and regulations of the eorpora ti'Oll shall be formulated at a neral meeting thereof called for that pur<pose and of which at le st ten days' notice shall be c;iven by public advertii'ement or oth rwise to all the members thereof, and the constitution, rules, by-J. ws and re,Q;ulations then adopted shall have full force and effoot i so fur as the same shall, su'bject t.o the n.pT)roval of the AttDrney General not be inconsi~tent with the laws in force in the Provine of Alberta and the provisions of this Acct: Provi·ded always that the sa~· corporation may from time to time aLiter, repeal and change ch ·constitution, rules and regula tions i.n the manner herein prov ded. 3.

The said corporation shall have power to take over and acquire the assets, ri~hts and fran ises of the Lethbridge Country Club at present cxistmg or any ·ot er club hereafter to be incorpor ated having objects altogether or in part similar to those of this corporation, and to issue fully o partly paid-up shares to the members of such other club or s ch assets, rights and franchises and on such terms and conditions as may be agreed upon. 4.

The said corporation shall h ve a capital of $50,000 divided into 1,000 shares of $50 each, an only.those holding at least ()Ue share in the said corporation shall be a member of. the said corpor atron in full standing.

Such shm s shall be and are hereby vested in the several persons in whom t ey shall he allotted, their legal l'epresentatives and assigns, subje t to the provisions of this Act anrl the rules and regulations of t e corporation:· Provided; however, that the sa, d club may by their rules and regul-ations allow others to becom members with restricted priv ileges on such conditions as they t ink fit. i).

The said corporation may f m time to time borrow money and at such rate of interest and o such terms as they m!JY deem proper, and for such purpose m make, execute and issue any mortgages, bonds, debentures or o her instruments under the seal of the said corporation, and any su h bonds, mortgages, debentures, or other instruments, shall be si ed ·by such officers as may be Jesignated by the constitution or y-laws of the club. 6.

Said corporation shall have ower to draw, make, accept and endorse all bills of exchange and p omissory notes neoo~ary for the purposeB of the said corporation nder the hands of sueh offkers as may be desig-nated by the by-1 ws or constitution of the club, and in no case shall it be necess . that the seal of the corporation ~hall be affixed to such bill or no e nor shall such officer signing the same be liable or responsible t 1eref•or: Provided that nothing herein ontained shall be construed to authorize the corporation to issue otes or bills of ex~hange payable to bearer or intended to be circula ed as money or as notes or bills of a bank. 7.

No member of the corporati shall be in any way liable for or chargeable with the payment of any debt or demand due by the snid corporation beyond the amo nt unpaid on any share of the annual subscriptions remaining npa.id by the said member or for nny other indebtedness to the club, and any members of the said club not so indebted to the s d corporation may retire there from and cease to be a member o ceasing to be a holder of such 8hare and on giving notice to th club in such form as may be required by the constitution or by- aws of the said club and thence forth shall be free from any liabi ity for any debt or engagement of the corporation. 8.

The said corporation shall:have full power to erect new buildings or improve their real es ate and do all thing-s necessary for the carrying out of the object of the said corporation. 9. The persons named in sectio of this Act shall be the first board of mnnagement of. the sai corporation with full power to adminif:ter the affairs thereof unt I such time as other officers are elected.

The .affairs of the club all be managed by a board of Eeven direct{)rs who shall be electe by the members at the annual mootin12: of the clu:b and who shal be styled the board of manar.;e ment, the number of directors and their term of office being subject to change by the members. 10. 'I'he club hereby constitut~hall be subject to all provision., for the inspection, oontrol and re lation of clubs in the province which may hereafter be passed by the Legislature. 11. 'I'his Act may be cited M t·he "Lethbridge Country Club Act." 12. 'I'his Act shall go into force! on the day it is assented to.
