An Act to Amend the Kings Landing Corporation Act Her Majesty, by and with the advice and consent of the Legislative Assembly of New Brunswick, enacts as fol- lows: 1

Section 1 of the French version of the Kings Landing Corporation Act,

chapter K-1 of the Revised Statutes, 1973, is amended by repealing the definition « Ministre » and substituting the following: « ministre » désigne le ministre du Tourisme et des Parcs; 2

Section 2 of the Act is amended by striking out “con- sisting of a Board of Directors with a Chairman and not more than six other directors” and substituting “consist- ing of a Board of Directors with a Chair, a Vice-Chair and not more than 10 other directors”. 3

Section 3 of the Act is repealed and the following is substituted: 3(1) The directors shall be appointed by the Lieutenant- Governor in Council on the recommendation of the Min- ister. 3(2) Each director shall be appointed for a term not ex- ceeding 3 years and is eligible for reappointment. chapitre K-1 des Lois révisées de 1973, est modifié par l’abrogation de la définition « Ministre » et son remplacement par ce qui suit : « ministre » désigne le ministre du Tourisme et des Parcs; 2 L’article 2 de la Loi est modifié par la suppression de « formée d’un conseil d’administration composé d’un président et de six administrateurs au plus » et son rem- placement par « formée d’un conseil d’administration composé d’un président, d’un vice-président et de 10 autres administrateurs au plus ». 3 L’article 3 de la Loi est abrogé et remplacé par ce qui suit : 3(1) Les administrateurs sont nommés par le lieutenant- gouverneur en conseil, sur la recommandation du minis- tre. 3(2) Chaque administrateur est nommé pour un mandat d’au plus trois ans et peut être nommé à nouveau.

Loi sur la Société de Kings Landing 3(3) The appointment of a director may be revoked for cause by the Lieutenant-Governor in Council. 3(4) Notwithstanding subsection (2) but subject to sub- section (3), a director shall remain in office until the direc- tor resigns or is reappointed or replaced. 3(5) Where a vacancy occurs on the Board, the Lieutenant-Governor in Council, on the recommendation of the Minister, may appoint a person to fill the vacancy for the balance of the term of the director replaced. 3(6) The Minister may consider for recommendation under subsection (1) or (5) the candidates from a list pro- posed by the nominating committee established under

section 3.1. 3(7) A vacancy on the Board does not affect the power of the Board to act. 3(8) The Lieutenant-Governor in Council, on the rec- ommendation of the Minister, shall appoint from among the directors a Chair and a Vice-Chair each of whom shall hold office for the term fixed by the Lieutenant-Governor in Council. 3(9) A majority of the directors, of whom one is either the Chair or the Vice-Chair, constitutes a quorum. 4 The Act is amended by adding after

section 3 the fol- lowing: 3.1 There shall be a nominating committee consisting of 3 directors that shall establish a list of candidates that the Minister may consider for recommendation under subsec- tion 3(1) or (5). 3.2(1) Subject to subsection (2), the Board may make by-laws not inconsistent with this Act for one or more of the following purposes: (

a) the conduct and management of the affairs of the Corporation; (

b) the establishment of criteria for the selection of candidates for appointment as directors; (

En cas de vacance au sein du conseil, le lieutenant- gouverneur en conseil, sur la recommandation du minis- tre, peut nommer une personne pour occuper le poste va- cant durant le reste du mandat de l’administrateur qu’il remplace. 3(6) Le ministre peut considérer pour la recommanda- tion visée au paragraphe (1) ou (5) les candidats figurant sur une liste que propose le comité des candidatures cons- titué en vertu de l’article 3.1. 3(7) Une vacance au sein du conseil ne porte pas atteinte à son pouvoir d’agir. 3(8) Le lieutenant-gouverneur en conseil, sur la recom- mandation du ministre, nomme parmi les administrateurs un président et un vice-président et chacun d’eux exerce ses fonctions pour un mandat fixé par le lieutenant- gouverneur en conseil. 3(9) Une majorité des administrateurs, y compris le pré- sident ou le vice-président, constitue le quorum. 4 La Loi est modifiée par l’adjonction, après l’arti- cle 3, de ce qui suit : 3.1 Il est constitué un comité des candidatures composé de trois administrateurs qui propose une liste de candidats que le ministre peut considérer en vue des nominations prévues au paragraphe 3(1) ou (5). 3.2(1)

Sous réserve du paragraphe (2), le conseil peut établir des règlements administratifs compatibles avec la présente loi pour l’une ou l’ensemble des objectifs suivants :

a) l’administration et la gestion des affaires de la So- ciété;

b) l’établissement des critères de sélection pour la nomination des candidats à

titre d’administrateurs;

c) la rémunération que les administrateurs qui ne sont pas employés dans les services publics de la province peuvent recevoir;

d) the travelling and living expenses incurred by a director in the performance of his or her duties. 3.2(2) No by-law made under paragraph (1)(

c) or (

d) is of any force or effect until it has been approved by the Lieutenant-Governor in Council. 3.3(1) No action lies for damages or otherwise against the general manager, any director of the Board or any em- ployee of the Corporation in relation to anything done or purported to be done in good faith, or in relation to any- thing omitted to be done in good faith, under this Act by the general manager, any director of the Board or any em- ployee of the Corporation. 3.3(2) Notwithstanding subsections 4(2) and 4(4) of the Proceedings Against the Crown Act , subsection (1) does not relieve the Crown of liability in respect of a tort com- mitted by a person referred to in subsection (1) to which the Crown would otherwise be subject, and the Crown is liable under the Proceedings Against the Crown Act for any such tort as if subsection (1) had not been enacted. 3.4 The head office of the Corporation is at the Kings Landing Historical Settlement. 5

Section 4 of the Act is amended (

a) by repealing subsection (1) and substituting the following: 4(1) The Board shall appoint a general manager who shall be responsible to the Board for the management and administration of the Corporation. (

b) by adding after subsection (1) the following: 4(1.1) The Board shall fix the salary of the general man- ager within the pay plan applicable to a person employed in the portion of the public service of the Province speci- fied in

Schedule under the Public Ser- vice Labour Relations Act. 6

Section 9 of the French version of the Act is amended by striking out “Ministre” and substituting “ministre”.

d) le remboursement des frais de déplacement et de séjour qu’un administrateur a engagés dans l’exercice de ses fonctions. 3.2(2) Un règlement administratif établi en vertu de l’alinéa (1)

Loi sur les procédures contre la Couronne , le paragraphe (1) n’exonère pas la Couronne de sa responsabilité pour tout dommage causé par une personne visée au paragraphe (1) dont la Couronne serait ordinairement responsable et la Couronne est responsable en vertu de la

Loi sur les procé- dures contre la Couronne de tout dommage semblable comme si le paragraphe (1) n’avait pas été promulgué. 3.4 Le siège social de la Société se situe au Village his- torique de Kings Landing. 5 L’article 4 de la Loi est modifié

a) par l’abrogation du paragraphe (1) et son rem- placement par ce qui suit : 4(1) Le conseil nomme un directeur général qui répond devant lui de la gestion et de l’administration de la So- ciété.

b) par l’adjonction, après le paragraphe (1), de ce qui suit : 4(1.1) Le conseil fixe le traitement du directeur général suivant le régime de rémunération applicable à une per- sonne employée dans la subdivision des services publics de la province figurant dans la

partie I de l’annexe I de la Loi relative aux relations de travail dans les services pu- blics. 6 L’article 9 de la version française de la Loi est modi- fié par la suppression de « Ministre » et son remplace- ment par « ministre ».

Loi sur la Société de Kings Landing Transitional provision 7 The members of the board of directors of the Kings Landing Corporation who held office immediately be- fore the commencement of this Act continue in office, subject to the provisions in this Act, until they resign or are reappointed or replaced. Commencement 8 This Act or any provision of it comes into force on a day or days to be fixed by proclamation.

Disposition transitoire 7 Les administrateurs du conseil d’administration de la Société Kings Landing qui étaient en fonction immé- diatement avant l’entrée en vigueur de la présente loi continuent d’être en fonction jusqu’à ce qu’ils démis- sionnent, soient nommés à nouveau ou remplacés. Entrée en vigueur 8 La présente loi ou l’une quelconque de ses disposi- tions entre en vigueur à la date ou aux dates fixées par proclamation.

An Act to Amend the Kings Landing Corporation Act Bill 22 EXPLANATORY NOTES

Section 1 The existing definition is as follows: « Ministre » désigne le ministre du Tourisme et des Parcs;

Section 2 The existing provision is as follows: 2 There is hereby established on behalf of Her Majesty in right of the Province of New Brunswick a body corporate to be known as the Kings Landing Corporation consisting of a Board of Directors with a Chair- man and not more than six other directors.

Section 3 The existing provision is as follows: 3(1) The Chairman of the Board shall be the person appointed by the Lieutenant-Governor in Council as the deputy head of the Department of Tourism and Parks or such other senior official of that Department as may be designated by the Minister. 3(2) The directors shall be appointed by the Lieutenant-Governor in Council and shall hold office for three years, but may be reappointed for one or more further terms. 3(3) The directors of the Board may be paid the reasonable expenses incurred by them in the discharge of their duties. 3(4) The Lieutenant-Governor in Council may authorize the payment of an honorarium to directors of the Board who are not employed in the public service as defined in the Public Service Superannuation Act.

Section 4 New provisions.

Section 5 (

a) The existing provision is as follows: 4(1) The Board shall appoint, at a salary fixed by the Lieutenant- Governor in Council, a general manager who shall be responsible to the Board for the management and administration of the Corporation. (

b) New provision.

Section 6 The existing provision is as follows: 9 Le conseil doit présenter chaque année un rapport sur l'activité de la Société au Ministre qui le soumet à l'Assemblée législative.

Section 7 Transitional provision. NOTES EXPLICATIVES

Article 1

La définition actuelle se lit comme suit : « Ministre » désigne le ministre du Tourisme et des Parcs;

Article 2 La disposition actuelle se lit comme suit : 2 Il est créé par la présente loi au nom de Sa Majesté du chef de la province du Nouveau-Brunswick une corporation appelée la Société de Kings Landing formée d’un conseil d’administration composé d’un président et de six administrateurs au plus.

Article 3 La disposition actuelle se lit comme suit : 3(1) Le président du conseil est la personne nommée administrateur général du ministère du Tourisme et des Parcs par le lieutenant- gouverneur en conseil ou tout autre cadre de ce ministère que le Minis- tre peut désigner. 3(2) Les administrateurs sont nommés par le lieutenant-gouverneur en conseil; leur mandat est de trois ans, mais ils peuvent être renommés pour un ou plusieurs autres mandats. 3(3) Les administrateurs du conseil ont droit au remboursement des dépenses raisonnables qu’ils ont faites dans l’exercice de leurs fonc- tions. 3(4) Le lieutenant-gouverneur en conseil peut autoriser le versement d’honoraires aux administrateurs du conseil qui ne sont pas employés dans les services publics selon la définition qu’en donne la

Loi sur la pension de retraite dans les services publics.

Article 4 Nouvelles dispositions.

Article 5

a) La disposition actuelle se lit comme suit : 4(1) Le conseil nomme un directeur général qui répond devant lui de la gestion et de l’administration de la Société et reçoit le traitement que fixe le lieutenant-gouverneur en conseil.

b) Nouvelle disposition.

Article 6 La disposition actuelle se lit comme suit : 9 Le conseil doit présenter chaque année un rapport sur l’activité de la Société au Ministre que le soumet à l’Assemblée législative.

Article 7 Disposition transitoire.
