ALBERTA COLD LAKE TRANSITION AGREEMENT

THIS AGREEMENT made effective the 1st day of January, 2000.

BETWEEN:

HER MAJESTY THE QUEEN IN RIGHT OF THE

PROVINCE OF ALBERTA, AS REPRESENTED BY THE

MINISTER OF RESOURCE DEVELOPMENT

("Her Majesty")

- and -

IMPERIAL OIL RESOURCES

("Imperial")

(Her Majesty and Imperial sometimes referred to jointly as the "Parties")

WHEREAS:

A. Pursuant to

section 9 of the MMA, Her Majesty and Esso Resources Canada Limited entered into a Crown Agreement dated as of the 25th day of June, 1984 and approved by Order in Council 427/84, as amended (the "Crown Agreement");

B. Imperial is the successor of Esso Resources Canada Limited under the Crown Agreement and the Leases;

C. Pursuant to a Memorandum of Understanding dated June 14, 2000, Her Majesty and Imperial outlined an agreement in principle which had been reached between them concerning the Cold Lake Production Project;

D. The Parties wish to enter into this Agreement (the "Agreement" or the "Alberta Cold Lake Transition Agreement") to evidence their agreement concerning certain aspects of the Cold Lake Production Project including the transition of the Cold Lake Production Project from the provisions of the Crown Agreement to the application of the Generic Regulation and the MMA and the royalty to be received by Her Majesty in respect of the Leases; and

E. The Parties wish to include Phases 11-13, Leming, the expansion of Phases 1-10 and any future amendments or expansions as approved pursuant to Clause 2.5 in this Agreement.

NOW THEREFORE in consideration of the premises and the mutual covenants contained in this Agreement the Parties agree as follows:

ARTICLE 1 -

DEFINITIONS &

INTERPRETATION

1.1 In this Agreement, including the recitals and any schedules:

"AEUB" means the Alberta Energy and Utilities Board;

"Affiliate" has the meaning given to it in

section 2(1) of the OSRR, 1997, but for the purposes of this Agreement,

section 2 shall be read as if it included the following:

(1.1) Where two or more corporations or partnerships are affiliated at the same time with the same corporation or partnership, they will be deemed to be affiliated with each other.";

"Annual Transition Cost" means additional allowed costs as described in Clause 3.12;

"Cogeneration Plant" means a facility that may be part of the Cold Lake Production Project and is approved under the Hydro and Electric Energy Act, R.S.A. 1980, c. H-13, as amended, for the production of electricity concurrently with thermal energy;

"Cold Lake Production Project" means Phases 1-10 and Leming, and includes, as of November 26, 1999, the Expansion, and any further amendment or expansion of the Cold Lake Production Project as of the effective date of the approval of such amendment or expansion pursuant to

Part 2 of the OSRR, 1997;

"Cumulative Balance of Leming" means the excess, if any, of the cumulative cost of Leming over the cumulative revenue of Leming, as of the end of the day preceding the Effective Date;

"Deficiency" has the meaning given in Clause 3.13;

"Effective Date" means 8:00 a.m. Mountain Standard Time on January 1, 2000;

"Excess Project Royalty" has the meaning given in Clause 3.9;

"Expansion" means the expansion of the Cold Lake Production Project described in the Expansion Application, subject to any amendments made by the AEUB in its approval of the Expansion Application, but does not include the portion of the Expansion Application relating to Phases 1-10 nor the portions, if any, of the Cogeneration Plant not allocated or allowed pursuant to

Article 4 as part of the Cold Lake Production Project;

"Expansion Application" refers to application no. 970163 to the AEUB;

"Generic Regulation" means the Oil Sands Royalty Regulation, 1997, AR 185/97, or any regulation that replaces that Regulation, as amended from time to time;

"Imperial" means Imperial Oil Resources and its successors and permitted assigns;

"Initial Royalties" has the meaning given in Clause 3.13;

"Leases" means all Government of Alberta oil sands leases covering or relating from time to time to the lands included in the Cold Lake Production Project together with documents of title issued in substitution for those Leases;

"Lessee" means Imperial and any successor in title to all or part of its interest in the Leases;

"Leming" refers to the Leming and May project as described in Project Approval Order No. OSR022, as amended, prior to the termination of that Approval Order under Clause 2.2;

"Minister" means the Minister determined under

section 16 of the Government Organization Act, S.A. 1994, c. G-8.5, as amended, as the Minister responsible for the MMA;

"Month" means the period from 8:00 a.m. Mountain Standard Time on the first day of a calendar month to 8:00 a.m. Mountain Standard Time on the first day of the next succeeding calendar month;

"MMA" means the Mines and Minerals Act, R.S.A. 1980 c. M-15, as amended, subject to Clause 2.3 of this Agreement;

"New Gas" has the meaning given to 'new gas' in the NGRR, 94, as of the Effective Date;

"NGRR, 94" means the Natural Gas Royalty Regulation, 1994, AR 351/93, as amended;

"OSRR, 1997" means the Oil Sands Royalty Regulation, 1997, AR 185/97, as amended up to and including those amendments contained in AR 52/2000;

"Overpayment" has the meaning given in Clause 3.8;

"Participating Interest" means, when used in relation to a Lessee, the undivided interest in the Leases held by that Lessee and registered under

Part 8 of the MMA;

"Person" means a natural person, firm, trust, partnership, association, corporation, government or governmental agency;

"Phases 1-10" means the "Cold Lake Project", as defined in the Crown Agreement, excluding Leming, and for the sake of certainty, excluding Phases 11-13 and the Cogeneration Plant;

"Phases 11-13" has the meaning given in the Expansion Application, subject to any amendments made by the AEUB to those Phases in its approval of the Expansion Application;

"Producing Lease" means a lease or licence of natural gas rights issued pursuant to the MMA, of which Imperial is, according to the records of the Department, the sole lessee or the holder of a specified undivided interest;

"Proprietary New Gas" means the quantity of Imperial's share of New Gas that is recovered pursuant to a Producing Lease and delivered into any pipeline in Alberta during a Month, less any of that quantity that is reinjected into an underground formation during the Month pursuant to a gas injection scheme within the meaning of the NGRR, 94. For the sake of clarity, the foregoing deduction of any quantity that is reinjected does not disqualify any of the reinjected quantity from comprising the whole or a part of Imperial's share of New Gas subsequently recovered from the underground formation.

Imperial's share of any New Gas recovered pursuant to a Producing Lease is the product of the specified undivided interest held by Imperial in the Producing Lease, which shall be 100% where Imperial is the sole lessee, and the total heating value of the New Gas;

"Royalty Compensation" has the meaning given to 'royalty compensation' in

section 1(jj) of the NGRR, 94;

"Surplus" has the meaning given in Clause 3.13;

"Transition Period" means the period commencing on the Effective Date and terminating on January 1, 2008;

"Transition Waiver" has the meaning given in Clause 3.4;

"Waived Proprietary New Gas" means Proprietary New Gas for which royalty is waived under the Transition Waiver;

"Waiver Letters" refer to correspondence from Imperial to Her Majesty dated January 29, 1985, April 15, 1985 and December 10, 1990 and from Her Majesty to Imperial dated February 25, 1985, May 14, 1985 and March 21, 1991;

"Year" means a calendar year.

1.2 The provisions of this Agreement supplement the provisions of the Leases and shall be deemed to be incorporated in the Leases, but if there is a conflict between the provisions of this Agreement and any of the Leases, the provisions of this Agreement shall prevail to the extent of the conflict.

1.3 The following

Schedule is attached to and forms part of this Agreement:

Schedule "A": Imperial's operational inputs for Phases 1-10, Phases 11-13 and Leming.

1.4 If there is a conflict between the provisions of this Agreement and the

Schedule to this Agreement, the provisions of this Agreement shall prevail to the extent of the conflict.

1.5 The headings of the Articles of this Agreement are inserted for convenience of reference only and do not affect the meaning or construction of this Agreement.

1.6 Whenever the singular, masculine, or neuter is used in this Agreement, the same shall be construed as meaning plural or body politic or corporate and vice versa, where the context so requires.

1.7 Terms defined in the OSRR, 1997 or the MMA have the same meaning in this Agreement, unless otherwise defined in this Agreement.

ARTICLE 2 - APPLICATION OF OSRR, 1997 AND MMA

2.1 This Agreement is made pursuant to

section 9(

a) of the MMA.

2.2 (

a) On the Effective Date the Crown Agreement and Project Approval Order No. OSR022 under the Generic Regulation, with the exception of

section 7 of that Order, shall terminate and cease to have any force or effect during and after the Transition Period, subject to any outstanding liabilities and obligations and any accounting, adjustment or audit in respect of any matter concerning the Crown Agreement or Project Approval Order No. OSR022 which arose prior to the Transition Period.

(

b) Section 7 of Project Approval Order No. OSR022 shall survive the termination of that Order and shall form a part of this Agreement.

2.3 Except where expressly modified by this Agreement and despite the expiry provision contained in

section 40 of the OSRR, 1997, the following will apply to the Cold Lake Production Project during the Transition Period:

(

a) the OSRR, 1997;

(

b) section 125.1 of the MMA, as it stood on the Effective Date; and

(

c) subject to Clause 2.4, the remainder of the MMA, as amended from time to time.

2.4 If:

(

a) any amendments are made to the Generic Regulation or to

section 125.1 of the MMA,

(

b) any amendments are made to any other

section of the MMA that would, in the absence of this provision, have the effect of altering the royalties payable by Imperial in respect of the Cold Lake Production Project during the Transition Period, or

(

c) any new regulations are made under the MMA after the Effective Date that prescribe terms for oil sands royalties,

the amendments and new regulations shall only apply to the Cold Lake Production Project during the Transition Period if both Parties have executed a contract under

section 9(

a) of the MMA providing for the amendments or new regulations to apply.

2.5 Imperial may apply to the Minister, in accordance with

Part 2 of the OSRR, 1997, for approvals of any future amendments or expansions to the Cold Lake Production Project during the Transition Period. Any such future amendments or expansions shall not form part of the Cold Lake Production Project until the Minister approves such amendments or expansions. If the Minister approves such future amendments or expansions, then Clause 2.6 of this Agreement shall be deemed to be amended in accordance with the Minister's approval.

2.6 As of the Effective Date, the Minister is hereby deemed to have:

(

a) approved the Cold Lake Production Project as a Project under and for the purposes of the Generic Regulation and

section 125.1 of the MMA, and

(

b) specified for the respective purposes of sections 16(2)(a)(

I) to (

v) of the Generic Regulation, the following:

(

i) the description of the Cold Lake Production Project is: "The Cold Lake Production Project is that particular project which is described in the Alberta Cold Lake Transition Agreement.";

(ii) the effective date of the Cold Lake Production Project is January 1, 2000;

(iii) the Project payout date for the Cold Lake Production Project is the date referred to in paragraph (ii), and the prior net cumulative balance for the Cold Lake Production Project is nil;

(iv) the Cold Lake Production Project is not a Qualifying Joint Venture Project; and

(

v) the initial operator of the Cold Lake Production Project is Imperial Oil Resources.

2.7 Clause 2.6 of this Agreement shall be considered to be an approval of the Minister under

section 16 of the Generic Regulation and any amendments to such approval or to the Cold Lake Production Project for the purposes of the Generic Regulation and

section 125.1 of the MMA shall be governed by and done under the OSRR, 1997 and not under this Agreement.

ARTICLE 3 - ROYALTY DURING TRANSITION PERIOD

3.1 Royalties payable by Imperial to Her Majesty during the Transition Period will be calculated pursuant to the MMA, as it stood on the Effective Date, and the OSRR, 1997, with the exception that each reference to "1%" and "25%" in

section 125.1(3) of the MMA and in

section 31(4) of the OSRR, 1997 shall be deemed to be "5%" and "30%", respectively.

3.2 (

a) On the Effective Date, the aggregate of:

(

i) the Cumulative Balance of Leming, and

(ii) the amount that would be the prior net cumulative balance of the Expansion if the Project payout date of the Cold Lake Production Project occurred after the effective date of that Project,

will be an allowed cost of the Cold Lake Production Project for the 1st Year of the Transition Period. The amount referred to in paragraph (ii) shall be calculated based on the costs incurred during the 5-Year period preceding the Effective Date.

(

b) Subject to subclause (c), the Cumulative Balance of Leming and the amount referred to in subclause (a)(ii) are determined to be $12,200,000.00 (Canadian) and $24,300,000.00 (Canadian), respectively.

(

c) The amounts referred to in subclause (

b) are subject to verification and, if necessary, adjustment pursuant to an audit performed on behalf of Her Majesty.

3.3 The gas royalty waiver referred to in the Waiver Letters shall terminate as of the Effective Date and cease to have any force or effect during and after the Transition Period.

3.4 For the Transition Period, Imperial shall have a royalty waiver on Proprietary New Gas equivalent to the amount of natural gas and residue gas consumed as fuel in Phases 1-10 to a maximum of 131,800 GJ per day, such amount to be calculated based on the daily average consumption of natural gas and residue gas in each Month (the "Transition Waiver").

3.5 The amount of Royalty Compensation waived under the Transition Waiver for each Month of the Transition Period equals the amount by which the Royalty Compensation that would otherwise have been payable under the NGRR, 94 in respect of the Waived Proprietary New Gas for the Month exceeds the allowable costs, as defined in the NGRR, 94, for which the Crown would have been liable for the Month in respect of that Waived Proprietary New Gas if royalty had been payable on that Waived Proprietary New Gas and not waived under the Transition Waiver.

3.6 (

a) For the purpose of determining the allowed costs of the Cold Lake Production Project, the natural gas and residue gas consumed in the Cold Lake Production Project for a Month will be deemed to comprise the Waived Proprietary New Gas for the Month and other natural gas and residue gas.

(

b) The Royalty Compensation waived on Waived Proprietary New Gas as a result of the Transition Waiver will be deducted in determining the allowed cost of the Waived Proprietary New Gas.

3.7 For each Month of the first 5 Years of the Transition Period, Waived Proprietary New Gas may be drawn by Imperial from any source or sources of Proprietary New Gas Imperial obtains during that Month. For each Month of the last 3 Years of the Transition Period, the quantity of Waived Proprietary New Gas that Imperial is deemed to draw from each source of Proprietary New Gas will be equal to the quantity of Proprietary New Gas obtained from the source during the Month multiplied by the ratio of the total quantity of Waived Proprietary New Gas for the Month over the total quantity of Proprietary New Gas obtained during the Month.

3.8 If, in a Year of the Transition Period, the amount of Royalty Compensation waived under the Transition Waiver exceeds the proceeds of royalty paid in respect of the Cold Lake Production Project, Imperial shall pay Her Majesty, by the last day of the 4th Month after the end of each such Year, additional proceeds of royalty in respect of the Cold Lake Production Project for that Year in an amount equal to the excess (an "Overpayment").

3.9 If, in a Year of the Transition Period, the proceeds of royalty paid by Imperial in respect of the Cold Lake Production Project for that Year exceed the amount of Royalty Compensation waived under the Transition Waiver for that Year (the "Excess Project Royalty"), Her Majesty shall:

(

a) repay to Imperial, the Overpayments for any previous Years, to the extent that the amount so repaid does not exceed the Excess Project Royalty for the Year and was not previously repaid, and

(

b) pay to Imperial, interest accrued on the portion of the Overpayments that is repaid under subclause (a).

Such repayments or payments by Her Majesty shall be made to Imperial by the last day of the 4th Month after the end of each such Year. Interest shall accrue, at the rate specified in the OSRR, 1997, on any portion of an Overpayment that has not been repaid by Her Majesty to Imperial, from the first day of the Month after it was paid by Imperial until it has been repaid by Her Majesty. Except as required under Clause 3.13, the amounts referred to in Clauses 3.8 and 3.9 shall not be subject to accounting, adjustment or audit.

3.10 The amount of any Overpayments that have not been repaid and accrued interest that has not been paid by Her Majesty to Imperial by the last day of the 4th Month after the Transition Period shall be credited to Imperial's royalty client account under the NGRR, 94 for the following Month. Upon being so credited, any obligation of Her Majesty to repay Overpayments and pay interest shall be deemed to have been satisfied.

3.11 Despite subclause 2.3(a):

(

a) any cost that

(

i) arose prior to the Effective Date,

(ii) is paid on or after the Effective Date and more than 60 days after the cost arose, and

(iii) would be an allowed cost if it had been incurred on or after the Effective Date,

shall be deemed to be an allowed cost of the Cold Lake Production Project for the Year of the Transition Period in which it is paid;

(

b) any receipt or proceeds referred to in sections 101(k)(I), (ii) or (iii) of the Crown Agreement that are received or arise on or after the Effective Date where the sale, lease, license or other disposition, or the loss, respectively, in relation to which such receipt or proceeds are received or arise, occurs before the Effective Date, shall be deemed to be other net proceeds of the Cold Lake Production Project for the Year of the Transition Period in which the receipt or proceeds are received or arise; and

(

c) fair market value shall be used in determining the amount of any cost, receipt or proceeds described in subclause (

a) or (

b) if it is incurred or paid, respectively, by Imperial or an Affiliate.

3.12 (

a) Additional allowed costs (the "Annual Transition Cost") will be applied as follows:

(

i) an amount equal to $79,800,000.00, if Option 1 under Clause 4.2 is elected by Imperial, will be allowed in each Year of the Transition Period as a deduction in calculating the net revenue of the Cold Lake Production Project for each such Year, or

(ii) an amount equal to $85,600,000.00, if Option 2 under Clause 4.2 is elected by Imperial, will be allowed in each Year of the Transition Period as a deduction in calculating the net revenue of the Cold Lake Production Project for each such Year, or

(iii) an amount equal to $85,900,000.00, if Option 3 under Clause 4.2 is elected by Imperial, will be allowed in each Year of the Transition Period as a deduction in calculating the net revenue of the Cold Lake Production Project for each such Year.

(

b) The first Annual Transition Cost will be applied on January 1, 2000, with an Annual Transition Cost being applied each subsequent January 1. The last Annual Transition Cost will be applied on January 1, 2007.

(

c) The Parties acknowledge that they have jointly developed the calculation of the Annual Transition Cost.

3.13 (

a) If Option 2 or 3 is elected under Clause 4.2, the resultant change or changes to the Annual Transition Cost from that being utilized pursuant to Clause 4.4, and to the costs, revenues or deductions from unit price that were incurred, received or made by Imperial, shall be adjusted, in accordance with the Option so elected, by recalculating the royalties payable by Imperial to Her Majesty in respect of the Cold Lake Production Project for the previous Years of the Transition Period and by correspondingly updating the good faith estimate for the Year of the Transition Period in which the election is made.

(

b) If, as a result of the recalculation referred to in subclause (a), the royalties paid by Imperial in respect of the Cold Lake Production Project for the previous Years of the Transition Period, preceding the Year in which the election under Clause 4.2 is made (the "Initial Royalties"), are either greater than or less than the royalties that should have been payable by Imperial for such Years (such amounts are referred to in this Clause as a "Surplus" or "Deficiency", respectively), any Surplus shall be immediately paid by Her Majesty to Imperial and any Deficiency shall be immediately paid by Imperial to Her Majesty.

(

c) Interest will be payable by either Her Majesty or Imperial, on the Surplus or Deficiency, respectively, in accordance with the provisions of the OSRR, 1997.

ARTICLE 4 - COGENERATION

4.1 In this Article:

(a) "Election Date" means the earliest of:

(

i) the first day of the Month following the Month in which steam produced in the Cogeneration Plant is first injected at the Cold Lake Production Project,

(ii) the date upon which Imperial takes custody and control of the Cogeneration Plant as specified in the turnover notice issued by Imperial under the contract entered into by Imperial with a contractor for construction of the Cogeneration Plant,

(iii) January 1, 2003, or

(iv) the date Imperial elects one of the options under Clause 4.2;

(b) "Electrical Facilities" means those parts of the Cogeneration Plant associated with the production of electricity;

(d) "Thermal Facilities" means those parts of the Cogeneration Plant associated with the production of thermal energy.

4.2 Imperial shall, on behalf of all the Project Owners, elect one of the following options:

(

a) Option 1: To include in the Cold Lake Production Project, the proportion of the Cogeneration Plant owned by the Project Owners on the Election Date;

(

b) Option 2: To

(

i) include in the Cold Lake Production Project, the proportion of the Thermal Facilities owned by the Project Owners on the Election Date, and to exclude from the Cold Lake Production Project the proportion of the Electrical Facilities owned by the Project Owners on the Election Date, and

(ii) have the amount of the cost of electricity provided to the Cold Lake Production Project from the Electrical Facilities that is an allowed cost of the Cold Lake Production Project determined on the basis of the fair market value of the electricity in accordance with the OSRR, 1997 and the business rules for cogeneration plants made by the Minister for the purposes of the OSRR, 1997; or

(

c) Option 3: To

(

i) include in the Cold Lake Production Project, the proportion of the Thermal Facilities owned by the Project Owners on the Election Date, and to exclude from the Cold Lake Production Project, the proportion of the Electrical Facilities owned by the Project Owners on the Election Date, and

(ii) have the amount of the cost of electricity provided to the Cold Lake Production Project from the Electrical Facilities that is an allowed cost of the Cold Lake Production Project determined on the basis of the actual cost incurred by the Project Owners to generate the electricity,

section 7.2(3)(

b) of the OSRR, 1997 and the business rules for cogeneration plants made by the Minister for the purposes of the OSRR, 1997.

4.3 Despite Clause 4.2, if Imperial is not an owner of the Cold Lake Production Project on the Election Date, the Project Owners may collectively elect one of the Options provided for in that Clause.

4.4 Until an Option is elected pursuant to Clause 4.2, Option 1 will be used in determining the royalty payable in respect of the Cold Lake Production Project pursuant to this Agreement, subject to adjustment in accordance with Clause 3.13 if an Option other than Option 1 is subsequently elected.

4.5 If Imperial or the Project Owners, as the case may be, have not given Her Majesty written notice of their election of Option within 30 days after the Election Date, Option 1 shall be deemed to have been elected.

4.6 If Option 2 is elected but the Minister is satisfied that a fair market value cannot be reasonably determined for electricity provided to the Cold Lake Production Project by the Electrical Facilities, Option 3 (including the Annual Transition Cost for Option 3) shall apply until the Minister is satisfied that a fair market value can be determined for such electricity at which time Option 2 (including the Annual Transition Cost for Option 2) shall apply.

4.7 The proportion of the Cogeneration Plant, or of the Thermal Facilities, as the case may be, owned by the Project Owners as of the Election Date, shall be included in the Cold Lake Production Project commencing as of the Effective Date, in accordance with the Option elected or deemed to be elected under this Article. Such proportion shall continue to be included in the Cold Lake Production Project during the Transition Period but only to the extent it continues to be owned from time to time during the Transition Period by a Project Owner.

4.8 The amount of the cost of electricity provided to the Cold Lake Production Project by the Electrical Facilities that is an allowed cost shall be determined during the Transition Period in accordance with the Option chosen, but the Option will be of no force and effect after the Transition Period.

4.9 Any business rules made by the Minister for the Generic Regulation regarding the treatment of cogeneration plant costs or the calculation of the cost of service for cogeneration plants that are published after the Election Date, shall only apply to the Cold Lake Production Project during the Transition Period if both Parties have executed a contract under

section 9(

a) of the MMA providing for the business rules to apply.

ARTICLE 5 - ASSIGNMENTS

5.1 (

a) If Imperial is not in default of any of its duties and obligations under this Agreement, it may, upon a sale, transfer or assignment of all or part of its right, title, estate or interest in the Cold Lake Production Project to any Person, assign a percentage of its Participating Interest, not exceeding the percentage of its right, title or interest in the Cold Lake Production Project that has been assigned, together with its rights and obligations under this Agreement, to that Person.

(

b) If Imperial assigns all or part of its Participating Interest pursuant to subclause (

a) it will remain liable for the performance of its duties and obligations in respect of that Participating Interest, under this Agreement and the Leases, until Her Majesty approves the assignment in writing, with or without conditions, which conditions shall not be unreasonably made and which approval shall not be unreasonably withheld and in any event until an assumption in writing by the assignee, in a form satisfactory to Her Majesty, of the duties and obligations hereunder in respect of the assigned interest, has been obtained by Her Majesty.

(

c) Upon the approval of Her Majesty becoming effective under subclause (

b) and upon providing Her Majesty with the assumption referred to in that subclause, Imperial shall be released of its duties and obligations under this Agreement and the Leases, with respect to the portion of its Participating Interest that has been assigned. Imperial shall remain liable for the performance of any unfulfilled duties and obligations relating to the assigned portion of its Participating Interest which arose under this Agreement prior to the assignment.

5.2 (

a) Notwithstanding Clause 5.1, if Imperial assigns an interest in the Cold Lake Production Project to an Affiliate, each of the assignor and the assignee shall be jointly and severally liable for all obligations relating to the assigned interest.

(

b) Her Majesty may, in relation to a particular assignment, agree in writing to release an assignor from its liability under subclause 5.2(a).

ARTICLE 6 - APPLICATION OF GENERIC REGULATION

6.1 (

a) Subject to subclause 6.1(b), this Agreement shall terminate at 8:00 a.m. Mountain Standard Time on January 1, 2008 and cease to have any force or effect, subject to any outstanding liabilities and obligations and any accounting, adjustment or audit in respect of any matter under this Agreement which arose during the Transition Period.

(

b) The definition of the Cold Lake Production Project set out in Clause 1.1 of this Agreement and Clauses 2.2(b), 2.6, 2.7, 3.10 and

Article 6 of this Agreement shall survive the termination of this Agreement.

(

c) After the Transition Period the Generic Regulation and the MMA will apply to the Cold Lake Production Project.

ARTICLE 7 - RECORDS, SYSTEMS, ACCESS AND INFORMATION TO CROWN

7.1 Except where otherwise provided in this Agreement or as otherwise agreed to by the Parties, Canadian generally accepted accounting principles shall be applied in the calculation or determination of any amount under this Agreement. The accounting principles adopted shall be applied on a consistent basis from Year to Year unless otherwise mutually agreed between Her Majesty and Imperial.

7.2 Imperial acknowledges that the Freedom of Information and Protection of Privacy Act, S.A. 1994 c. F-18.5, as amended, applies to all information and records provided by Imperial to Her Majesty and to any information and records which are in the custody or under the control of Her Majesty.

7.3 With the exception of the Annual Transition Cost, where Her Majesty considers it appropriate to do so, Her Majesty may recalculate or make additional calculations of any cost or revenue item in accordance with the provisions of

section 39 of the MMA.

7.4 The Deputy Minister, Resource Development, or such person or persons as he may designate, shall be Her Majesty's representative for the purposes of this Agreement. The Deputy Minister, Resource Development, shall have the right from time to time to appoint additional representatives and to change those representatives by notice in writing to Imperial.

ARTICLE 8 - DISPUTE RESOLUTION

8.1 All disputes arising out of or relating to the application of the OSRR, 1997, and the MMA to the Cold Lake Production Project shall be addressed in accordance with

section 35 of the OSRR, 1997.

8.2 In the case of any disputes arising out of or relating to the

interpretation of the terms and provisions of this Agreement, with the exception those terms or provisions relating to the calculation of costs, project revenues or other net proceeds received, or deductions from unit price, such disputes shall be addressed in accordance with the following subclauses:

(

a) The disputing Party will give the other Party written notice of the dispute. Within 20 days after receipt of the notice, the receiving Party will submit to the other a written response. The notice and response will include (

I) a statement of each Party's position and a

summary of the evidence and arguments supporting its position, and (ii) the name and title of the executive who will represent that Party. The executives will meet at a mutually acceptable time and place within 30 days of the date of the disputing Party's notice and thereafter as often as they reasonably deem necessary to exchange relative information and to attempt to resolve the dispute.

(

b) If the dispute has not been resolved within 60 days of the disputing Party's notice, or if the Party receiving the notice will not meet within 30 days, either Party may initiate mediation of the dispute.

(

c) If the dispute has not been resolved pursuant to the mediation procedure within 60 days of the initiation of that procedure, or either Party will not participate in a mediation, the dispute will be settled by binding arbitration before three arbitrators in accordance with the rules of the Alberta Arbitration and Mediation Society. The arbitration will take place in Calgary, Alberta and will be subject to the Arbitration Act, S.A. 1991 c. A-43.1, as amended.

9.1 (

a) All notices and other communications given in connection with this Agreement shall be in writing and may be given by delivering them or mailing them by registered mail or sending them by telegram, telex, telecommunication device or other similar form of communication to the Parties at the following addresses:

b) Any notice, direction or instrument shall:

(

i) if delivered, be deemed to have been given or made at the time of delivery;

(ii) if mailed by registered mail and properly addressed, be deemed to have been given or made on the 7th day following the day on which it was mailed. If, at the time of mailing or between the time of mailing and the actual receipt of the notice, a mail strike, slowdown or other labour dispute occurs that may affect the delivery of the notice by mail, then the notice is effective only if actually delivered or if given in accordance with paragraph (iii); and

(iii) if sent by telegraph, telecommunication device or other similar form of communication, be deemed to have been given or made on the day following the day on which it was sent.

(

c) Any Party may give written notice of change of address in the same manner described in this Clause, in which event subsequent notices and other communications shall be given to that Party at the changed address.

9.2 This Agreement enures to the benefit of and is binding upon the Parties and their respective successors and permitted assigns.

9.3 This Agreement will be governed by and construed in accordance with the laws in force in the Province of Alberta, and each of the Parties submits to the jurisdiction of the courts of the Province of Alberta for the

interpretation and enforcement of this Agreement.

9.4 A waiver by either Party is not effective unless in writing, and a waiver affects only the matter and its occurrence specifically identified in the writing granting the waiver and does not extend to any other matter or occurrence.

9.5 Imperial shall obtain and maintain all regulatory approvals required for the Cold Lake Production Project.

9.6 Each of the Parties shall from time to time and at all times do all further acts and execute and deliver all further documents as are reasonably required to fully perform this Agreement.

9.7 The terms of this Agreement and the

Schedule express and constitute the entire Agreement among the Parties and no implied covenant or liability of any kind on any Party's

part is created or shall arise.

9.8 Imperial acknowledges that Her Majesty relies on the accuracy of Imperial's operational inputs and forecasts as described in

Schedule "A" to this Agreement. Imperial represents and warrants that, to the extent the information in

Schedule "A" represents operational inputs or forecasts, Imperial has exercised its best efforts and due diligence in preparing such information and that, to the best of Imperial's knowledge, all such information fairly and accurately reflects, in all material respects, Imperial's future operational inputs and forecasts for the Cold Lake Production Project as of December 31, 1999.

9.9 This Agreement is subject to the satisfaction of the condition precedent, which shall be a condition precedent solely for the benefit of the Her Majesty, that the Lieutenant Governor in Council, pursuant to

section 9 of the MMA, authorizes the Minister to execute this Agreement.
