METIS SETTLEMENTS GENERAL COUNCIL

BUSINESS ACTIVITIES POLICY

(Metis Settlements Act)

PART 1 CONTEXT

1.1 Background

The Metis Settlements Act gives each settlement corporation the

rights, powers and privileges of a natural person. However, the settlement

council cannot carry out commercial, financial and investment activities

unless it is authorized by a General Council Policy and permitted by a

settlement by-law or the activity is approved under a regulation.1

1.2 Purpose

The purpose of this Policy is to provide authority to carry out

activities under

section 3 of the Act and to provide a model by-law which

enables the settlements to carry out these activities in all of the

settlement areas.

1.3

Definitions

In this Policy Act means the Metis Settlements Act and terms defined

in the Act, or regulations made under it, have the same meaning when used

in this Policy, unless the context makes such an

interpretation

unreasonable

1.4 Authorization

Every settlement council may carry out any or all of the following

activities:

(

a) engage in commercial activities,

(

b) make investments other than those described in

Schedule 2

of the Act,

(

c) lend money,

(

d) borrow money,

(

e) guarantee the repayment of a loan by a lender to someone

other than the settlement, or

(

f) guarantee the payment of interest on a loan by a lender

to someone other than the settlement.

PART 2 - GENERAL

2.1 Replacement of Previous Policy

This Policy rescinds and replaces General Council Policy GC 90005i

and General Council Policy GC-P9702.

2.2 Application of Model By-law

The model by-law included with this Policy as

Schedule A applies to

each settlement area until amended or repealed by settlement council.

BUSINESS ACTIVITIES BYLAW

(Business Activities Policy Model Bylaw)

PART 1 - CONTEXT

1.1 Background

The Metis Settlements General Council Business Activities Policy

authorizes the settlement to carry out commercial, financial and investment

activities. Under the Metis Settlements Act the settlement can make by-laws

to implement the Policy and a General Council Policy can contain a model

by-law that applies to settlement areas as if it were made by the

settlement council.1

1.2 Purpose and Application

The purpose of this model by-law is to enable the settlement to carry

out the commercial, financial and investment activities authorized by the

Business Activities Policy.

1.3

Definitions

In this By-law

(

a) Act means the Metis Settlements Act;

(

b) business project means any corporate or other structure or any

agreement, arrangement or other method entered into or used to engage in

commercial, financial or investment activity for the purpose of making a

profit;

(

c) commercial activity means the buying, selling or dealing with

goods or services, but does not include non-commercial activities;

(

d) financial activity means lending money, borrowing money, or

guaranteeing the repayment of a loan or interest on a loan to someone other

than the settlement;

(

e) investment activity means an expenditure to acquire property

or other assets for the purpose of making a profit;

(

f) non-commercial activity means an activity listed in the

attached

Schedule of Non-Commercial Activities which

(

i) provides goods or services within the geographical

boundaries of the settlement or other settlements, and

(ii) is for the purpose of generating revenue but not profit;

(

g) security means a share or a debt obligation of a corporation or

a certificate evidencing such a share or debt obligation, a bond,

debenture, trust certificate, guaranteed investment certificate or receipt,

certificate of deposit, deposit receipt, bill, note and mortgage of real

estate or leasehold, unit or share of a mutual or pooled fund or real

estate investment trust and includes a right or interest in respect of a

security;

and terms defined in the Act, or regulations made under it, have the

same meaning when used in this By-law, unless the context makes such an

interpretation unreasonable.

PART 2 - BUSINESS ACTIVITIES

2.1 Permission To Carry Out Activities

(1) Subject to this by-law, the settlement council may carry out

any or all of the following activities:

(

a) engage in commercial activities,

(

b) make investments other than those described in

Schedule 2

of the Act,

(

c) lend money,

(

d) borrow money,

(

e) guarantee the repayment of a loan by a lender to someone

other than the settlement, or

(

f) guarantee the payment of interest on a loan by a lender

to someone other than the settlement.

(2) The settlement council may engage in financial activities in

support of non-commercial activities if it does so in accordance with this

by-law.

2.2 Business Investments2

(1) A settlement council can participate in a business project only

if the council has

(

a) decided that the project represents a reasonable balance

of risk and potential return,

(

b) considered whether the project is consistent with the

settlement business plan, if any is in effect,

(

c) considered or applied any other criteria for evaluating

business projects established by the council or by settlement by-law, and

(

d) provided public notice of the project to settlement

members specifying:

(

i) the purpose of the project,

(ii) the amount of settlement funds to be committed

initially and that may be required to be committed in the future,

(iii) other estimated potential costs of the project to

the settlement in the future, and

(iv) how funds will be obtained and used to meet the

present and future obligations of the settlement relating to the project.

(2) A settlement council is said to participate in a business

project if it causes the settlement to participate in the ownership,

control or operation of the project by

(

a) being a partner in the project,

(

b) directly or indirectly owning shares in the project,

(

c) lending the project money,

(

d) guaranteeing payment of a loan or interest on a loan made

by a lender to the project, or

(

e) entering into any other agreement or arrangement under

which financial responsibility is accepted in whole or in part with respect

to the project.

(3) At the annual meeting of residents called under

section 5 of

the Act, the council must report on the financial and business condition of

all of the business projects in which the settlement is then participating.

Council must advise of the condition of each project as it stood at the end

of the immediately preceding financial year.

settlement fund for participation in a business project, s. 159 of the Act

requires any expenditure from the fund to be in accordance with a

settlement budget by-law or an amendment to that by-law.

PART 3 - FINANCIAL ACTIVITIES3

3.1 Requirements For Loans and Guarantees

(1) The settlement council may only lend money or guarantee the

repayment of a loan if

(

a) the council considers that the money loaned or money

obtained under the loan that is guaranteed will be used for a purpose that

will benefit the settlement, and

(

b) the council applies the criteria, if any, established by

the council or by settlement by-law for making decisions on loans or

guarantees.

(2) In the case of loans, the council must provide public notice to

settlement members that sets out

(

a) the amount of money to be loaned,

(

b) the purpose(

s) for which the money that is loaned is to

be used,

(

c) the minimum rate of interest, the term and the terms of

repayment of the loan, and

(

d) the source(

s) of the money to be loaned.

(3) In the case of guarantees, the council must provide public

notice to settlement members that sets out

(

a) the amount of money to be borrowed under the loan to be

guaranteed,

(

b) the purpose(

s) for which the money is borrowed,

(

c) the rate of interest under the loan or how the rate is

calculated, the term and the terms of repayment of the loan, and

(

d) the source(

s) of money to be used to pay the principal

and interest owing under the loan if the settlement is required to make

such payments under the guarantee.

3.2 Requirements For Borrowing

(1) The settlement council may only make a borrowing if the council

provides public notice to settlement members that sets out

(

a) the amount of money to be borrowed,

(

b) the purpose(

s) for which the money is borrowed,

(

c) the maximum rate of interest, the term and the terms of

repayment of the borrowing, and

(

d) the source(

s) of the money to be used to pay the

principal and interest owing under the borrowing.

(2) Council must ensure that the money obtained by a settlement

under a borrowing is used for the purpose(

s) for which it is borrowed.

(3) The term of a borrowing made for the purpose of financing a

capital property may not exceed the probable lifetime of the capital

property.

3.3 Requirement for Securities and Investments

The settlement council may invest in securities or investments other

than those invested in under

section 2.2 of this bylaw or those described

in

Schedule 2 of the Act if the security or investment has been recommended

by a qualified professional financial advisor of the settlement as a low

risk investment.

guarantee, to be in accordance with a settlement budget by-law or amendment

to that by-law.

PART 4 - GENERAL

4.1 Transitional Provisions

(1) On coming into force this by-law repeals and supercedes all

previous by-laws made by the settlement to the extent those by-laws apply

to any of the activities to which this by-law applies.

(2) On the coming into force of this by-law, all activities to

which this by-law applies which are being carried out under previous

by-laws of the settlement are continued with the same effect as if they

were made under this by-law and are deemed to have fully met the

requirements of this by-law except for any reporting required under

subsection 2.2(3) after this by-law comes into force.

SCHEDULE OF NON-COMMERCIAL ACTIVITIES

The settlement will not be considered as engaging in a commercial activity

just because it participates in the ownership, operation or provision of:

(

a) educational, cultural or recreational facilities;

(

b) agricultural services such as clearing and breaking

agricultural land, fencing and fencing materials, cleaning seed, and

similar activities;

(

c) a public utility;

(

d) a public housing project or a housing corporation established

to improve housing for settlement members; or

(

e) a hospital;

(

f) normal local government services.

SYSTEM FOR SHORTER HOLD PERIOD FOR ISSUERS FILING AN AIF

PART 1

DEFINITIONS

1.1

Definitions - in this rule

"AIF" means an annual information form prepared in accordance with

the provisions of Appendix A to NPS 47 or the form required under any

successor instrument or any alternate form permitted under

section 3.4 of

this rule;

"Canadian securities regulatory authorities" shall be defined in

accordance with National Instrument 14-101;

"current AIF" means

(

a) during the period of 140 days following an issuer's most

recently completed financial year

(

i) if an issuer's AIF for its most recently completed

financial year has been filed in accordance with

section 3.1 or accepted

for filing under NPS 47, the AIF of the issuer for that financial year, or

(ii) if an issuer's AIF for its most recently completed financial

year has not been filed in accordance with

section 3.1 or under NPS 47, the

AIF of the issuer for its immediately preceding financial year provided

that AIF has previously been filed in accordance with

section 3.1 or under

NPS 47, and

(b (

b) at any other time, the AIF of the issuer for its most

recently completed financial year provided it has been filed in accordance

with

section 3.1 or under NPS 47;

"JCP information circular" means an information circular filed and

accepted by the Alberta Stock Exchange in connection with a "major

transaction" under the JCP rule;

"JCP rule" means Alberta Securities Commission Rule 46-501 - Junior

Capital Pool Offerings;

"NPS 2A means National Policy Statement No. 2A or any successor

instrument;

"NPS 2B means National Policy Statement No. 2B or any successor

instrument;

"NPS 47" means National Policy Statement No. 47 or any successor

instrument;

"POP issuer" means an issuer that meets the eligibility criteria

required to participate in the POP System and that has a Current AIF as

defined in NP 47;

"qualifying issuer" means an issuer that

(

a) is a reporting issuer under the Act;

(

b) has equity securities listed or quoted on a recognized market;

(

c) the issuer's consolidated audited financial statements

for the most recent year report

(

i) revenues of at least $100,000, or

(ii) expenditures of more than

(A) $100,000 on exploration and development, in the

case of a resource issuer, or

(B) $200,000 directly related to the development of the

business disclosed in the AIF, in the case of a non-resource issuer; or

(

d) if an issuer's consolidated financial statements for an interim

period subsequent to its most recent year end that are subject to a review

engagement or which are included in a prospectus or JCP or VCP information

circular report

(

i) revenues of at least $100,000 or

(ii) expenditures of more than

(A) $100,000 on exploration and development, in the

case of a resource issuer, or

(B) $200,000 directly related to the development of the

business disclosed in the AIF, in the case of a non-resource issuer;

"recognized market" means the Alberta Stock Exchange, the Vancouver

Stock Exchange, The Toronto Stock Exchange, the Montreal Exchange, the New

York Stock Exchange, the American Stock Exchange, the London Stock

Exchange, the NASDAQ National Market and the NASDAQ Small Cap Market;

"regulator" shall be defined in accordance with National Instrument

14-101;

"reserves" means ore, proven reserves or proved reserves as defined

in NPS 2A or NPS 2B;

"supporting documents" means

(

a) for a non-POP issuer

(

i) signed consent letter from any professional person or

company named in the current AIF in a form prescribed by

section 85 of the

rules

(ii) where a natural resource issuer is filing a current AIF

disclosing reserves and the reserves are represented as being based on

estimates prepared or reviewed by an independent engineer or other

qualified person, a signed copy of the technical or engineering report of

that engineer or other qualified person on each of the properties that are

material to the issuer and for which reserves are disclosed in accordance

with NPS 2A or NPS 2B and

section 90 of the rules, as the case may be; and

(iii) a certificate in the form prescribed by

section 90 of the

rules.

(

b) for a POP issuer those supporting documents required to be

filed under NPS 47;

"SEC" means the Securities and Exchange Commission of the United

States of America; and

"VCP information circular" means an information circular filed and

accepted by the Vancouver Stock Exchange in connection with a "qualifying

transaction" under the VCP policy;

"VCP policy" means the Vancouver Stock Exchange's Policy 30 -

"Venture Capital Pool Companies";

"1934 Act" means the Securities Exchange Act of 1934 of the United

States of America.

PART 2 SYSTEM FOR SHORTER RESALE TIME RESTRICTIONS WITH AN ANNUAL

INFORMATION FORM

2.1 Exemption for a first trade in a security acquired in connection with

a distribution of securities by a qualifying issuer where a current AIF has

been filed

Notwithstanding

section 3.2 of Rule 72-501 and sections 109 and 190.1

of the Act, the first trade in securities previously acquired from an

issuer under the statutory exemptions referred to in sections 107(1) (a),

(b), (c), (d), (f)(iii), (l), (m), (p), (q), (t), (t.1), (u), or (z),

sections 122(

b) or (

d) of the rules and

section 3.1 of this rule will be a

distribution unless

(

a) at the date of the initial exempt trade the issuer signs a

certificate certifying that

(

i) the distribution is made by the issuer in a security of

its own issue,

(ii) the issuer is a qualifying issuer,

(iii) the issuer has filed a current AIF together with

all supporting documents,

(iv) the issuer has filed all documents that it is required to

file under the continuous disclosure provisions of the Act and the rules,

including annual and interim financial information and annual reports,

press releases disclosing material changes and material change reports,

(

v) if the issuer has made a substantial transaction since

the date of its current AIF, a material change report has been filed in

accordance with

section 3.6 of the rule, and

(vi) the Executive Director has not advised the issuer in

writing that it is not eligible to rely on this exemption;

(

b) no unusual effort is made to prepare the market or to create a

demand for the securities making up the distribution;

(

c) no extraordinary commission or consideration is paid to a

person or company other than the vendor of the securities in respect of the

trade;

(

d) the first trade is not from the holdings of a control person;

and

(

e) a period of at least four months has elapsed from the date of

the initial exempt trade.

2.2 Filing report of the trade

The issuer shall file a report of trade prepared and executed in

accordance with Form 20 of the rules within 10 days from the beginning of

the distribution under

section 2.1 of the rule.

2.3 Issuer's Certificate

The Issuer shall retain the certificate required under

section 2.1 of

the rule for a period of at least six years after the distribution.

PART 3 FILING REQUIREMENTS

3.1 Confirmation of Filing of AIF - The Executive Director will forward

to the issuer a written confirmation of filing of its current AIF within 10

business days of the date the AIF is filed with the Commission.

3.2 POP issuers - The filing requirements and review procedures for

current AIFs set out in this rule and companion policy 45-501 do not apply

to POP issuers and POP issuers shall comply with, and be governed by, the

filing requirements and review procedures of NPS 47.

3.3 Discretionary Powers - Notwithstanding that an issuer may satisfy the

applicable eligibility criteria contained in

section 2.1 of the rule, the

Executive Director may, after the issuer has filed its current AIF,

advise the issuer that it will not accept the current AIF for filing

pursuant

section 2.1 of the rule.

3.4 Alternative Forms of AIF

(

a) Prospectus - An issuer that has filed a prospectus, other than

a prospectus filed under the JCP rule or the VCP policy, and received a

receipt from the Executive Director or a Canadian securities regulatory

authority or regulator in another jurisdiction, may elect to use that

prospectus as an alternative form of AIF for the financial year of the most

recent year end financial statements included in the prospectus by filing a

notice with the Commission through SEDAR not later than the date of the

distribution of the issuer's securities under

section 2.1 of the rule.

(

b) OSC Policy Statement No. 5.10 - An issuer that has filed an AIF

under Ontario Securities Commission Policy Statement No. 5.10 may elect to

use that AIF as an alternative form of AIF by filing a notice with the

Commission through SEDAR not later than the date of the distribution of the

issuer's securities under

section 2.1 of the rule.

(

c) JCP or VCP Information Circular - An issuer may elect to use a

JCP or VCP information circular as an alternative form of AIF for the

financial year of the most recent year end financial statements included in

the JCP or VCP information circular by filing a notice with the Commission

through SEDAR not later than the date of the distribution of the issuer's

securities under

section 2.1 of the rule.

(

d) US Registrant - An issuer that has securities registered with

the SEC may satisfy the requirement for filing a Current AIF by filing with

the Commission a current annual report on Form 10-K or on Form 20-F filed

with the SEC pursuant to the 1934 Act by filing a notice with the

Commission through SEDAR not later than the date of the distribution of the

issuer's securities under

section 2.1 of the rule.

3.5 Fees - An issuer filing a current AIF or a notice under

section 3.5,

other than a notice relating to a prospectus for which the Executive

Director has issued a receipt, shall pay the filing fee required by

section

9(1)(

a) of the Fee Schedule. The issuer must pay the filing fee through

SEDAR by an electronic payment authorized at the same time as the issuer

files its AIF or notice.

3.6 Substantial Transaction - As set out in

section 2.1(a)(

v) of Rule

45-501 if the issuer has made a substantial transaction since the date of

its most recent AIF and still wants to be eligible to issue securities

subject to the exemption contained in

section 2.1 of the rule, the issuer

must file a material change report disclosing the substantial transaction.

In addition to the information required to be included in a material change

report, the issuer must disclose the effect of the substantial transaction

on the business of the issuer.

3.7 Currency of Information in AIF - An Issuer must include in its

Current AIF information as at the end of its most recently completed

financial year. However, where material events or conditions arise after

the end of the issuer's most recently completed financial year and before

the date of the AIF, an issuer must update the information in its AIF to

reflect these events or conditions.

PART 4 EXERCISE OF DISCRETION AND EXEMPTION

4.1 Decision of Executive Director Regarding Use of

Section 2.1 - The

Executive Director may, at any time prior to a distribution of securities

pursuant to this rule, advise an issuer that it is no longer entitled to

rely on the exemption in

section 2.1. of Rule 45-501. The Executive

Director will provide reasons for the decision and an opportunity for the

issuer to be heard.

4.2 Exemption - The Executive Director or the Commission may grant an

exemption to this rule, in whole or in part, subject to such conditions or

restrictions as may be imposed in the exemption.

PART 5 EFFECTIVE DATE

5.1 Effective Date - This rule comes into force on October 1, 1998.

RULE 72 - 501

DISTRIBUTIONS TO PURCHASERS OUTSIDE ALBERTA

PART 1

DEFINITIONS

1.1

Definitions - in this rule

"Alberta issuer" means an issuer

(

a) whose mind and management is primarily located in Alberta as

evidenced by the issuer's head office or the residences of its senior

officers and directors being located in Alberta; or

(

b) whose business is primarily administered from, and whose

operations are primarily conducted in, Alberta;

"genuine market" means the Eurobond market, as regulated by the

International Securities Market Association; and

"recognized market" means the Alberta Stock Exchange, the Vancouver

Stock Exchange, The Toronto Stock Exchange, the Montreal Exchange, the New

York Stock Exchange, the American Stock Exchange, the London Stock

Exchange, the NASDAQ National Market and the NASDAQ Small Cap Market.

PART 2 EXEMPTIONS FROM THE REGISTRATION AND PROSPECTUS REQUIREMENTS OF

THE ACT FOR EUROBOND OFFERINGS

2.1 Exemption for a distribution by an Alberta issuer in a

non-convertible debt security to a purchaser outside Alberta where a

genuine market exists

Sections 54 and 81 of the Act do not apply to the distribution of a

non-convertible debt security by an Alberta issuer if

(

a) the distribution is not made to a purchaser in Canada;

(

b) the debt has been accepted for listing or quotation on a

genuine market outside of Canada; and

(

c) the securities to be distributed are initially issued in

temporary form exchangeable for definitive securities at least 40 days

after completion of the distribution upon certification by the holder that

the definitive securities are not beneficially owned by an Alberta

resident.

2.2 Exemption for a first trade in non-convertible debt securities

previously acquired in connection with the distribution of securities

outside Alberta where a genuine market exists

The first trade in Alberta in a non-convertible debt security

acquired by the seller under

section 2.1 of the Rule will be a distribution

unless at least a 40 day period has elapsed from the date of the issue of

the non-convertible debt security.

2.3 Filing report of trade

The Alberta issuer shall file a report of trade prepared and

executed in accordance with Form 20 of the rules within 10 days from the

date of the distribution made under

section 2.1 of the rule.

PART 3 EXEMPTIONS FROM THE REGISTRATION AND PROSPECTUS REQUIREMENTS OF

THE ACT FOR DISTRIBUTIONS TO PURCHASERS OUTSIDE ALBERTA

3.1 Exemption for a distribution by an Alberta issuer in a security to a

purchaser resident outside Alberta

Sections 54 and 81 of the Act do not apply to the distribution of a

security by an Alberta issuer provided that

(

a) the distribution is not made to a purchaser in Alberta;

(

b) the purchaser certifies in the subscription agreement that the

purchaser is not a resident of Alberta and the issuer does not believe, and

has no reasonable grounds to believe, that the certification is false;

(

c) the purchaser acknowledges in the subscription agreement that

(

i) no securities commission or similar regulatory authority

has reviewed or passed on the merits of the securities,

(ii) there is no government or other insurance covering the

securities,

(iii) there are risks associated with the purchase of the

securities,

(iv) there are restrictions on the purchaser's ability to

resell the securities and it is the responsibility of the purchaser to find

out what those restrictions are and to comply with them before selling the

securities, and

(

v) the issuer has advised the purchaser that the issuer is

relying on an exemption from the requirements to provide the purchaser with

a prospectus and to sell securities through a person or company registered

to sell securities under the Act and, as a consequence of acquiring

securities pursuant to this exemption, certain protections, rights and

remedies provided by the Act, including statutory rights of rescission or

damages, will not be available to the purchaser;

(

d) the security is listed or quoted on a recognized market; and

(

e) the Alberta issuer distributing the security endorses any

certificate representing the security with a legend stating that the

security is subject to the resale restrictions set out in

section 3.2 of

the rule.

3.2 Exemption for a first trade in a security previously acquired in

connection with a distribution of securities to a purchaser outside Alberta

Subject to

section 2.1 of Rule 45-502, the first trade in Alberta in

a security issued pursuant to the exemption in

section 3.1 of the rule will

be a distribution unless

(

a) in the case of an Alberta issuer that was not a reporting

issuer at the date of the initial exempt trade, a period of at least 12

months has elapsed from the date the Alberta issuer became a reporting

issuer;

(

b) in the case of a reporting issuer, a period of at least 12

months has elapsed from the date of the initial exempt trade;

(

c) no unusual effort is made to prepare the market or to create a

demand for the securities making up the distribution;

(

d) no extraordinary commission or consideration is paid to a

person or company other than the vendor of the securities in respect of the

trade; and

(

e) the first trade is not from the holdings of a control person.

3.3 Filing Report of the Trade

The Alberta issuer shall file a report of trade prepared and

executed in accordance with Form 20 of the rules within 10 days from the

date of the distribution made under

section 3.1 of the rule.

PART 4 EXEMPTION

4.1 Exemption - The Executive Director or the Commission may grant an

exemption to this Rule, in whole or in part, subject to such conditions or
