An Act to Amend the Higher Education Foundation Act Her Majesty, by and with the advice and consent of the Legislative Assembly of New Brunswick, enacts as fol- lows: 1

Section 7 of the Higher Education Foundation Act,

chapter H-4.1 of the Acts of New Brunswick, 1992, is amended (

a) by repealing subsection (1) and substituting the following: 7(1) A foundation consists of a board of five trustees constituted as follows: (

a) three trustees appointed by the Lieutenant- Governor in Council, whose names have been recom- mended by the institution; and (

b) two trustees appointed by the Lieutenant- Governor in Council. (

b) by repealing subsection (2); (

c) by repealing subsection (3) and substituting the following: 7(3) One of the trustees appointed under paragraph (1)(

b) shall be designated as Chairperson by the Lieutenant-Governor in Council. PROJET DE LOI 52 Loi modifiant la

a) par l’abrogation du paragraphe (1) et son rem- placement par ce qui suit : 7(1) Une fondation est constituée d’un conseil de cinq fiduciaires répartis selon ce qui suit :

a) trois fiduciaires, dont les noms ont été recomman- dés par l’établissement, sont nommés par le lieutenant- gouverneur en conseil;

b) deux fiduciaires sont nommés par le lieutenant- gouverneur en conseil.

c) par l’abrogation du paragraphe (3) et son rem- placement par ce qui suit : 7(3) Un des fiduciaires nommés aux termes de l’ali- néa

(1) b) doit être désigné président par le lieutenant- gouverneur en conseil.

d) by repealing subsection (4) and substituting the following: 7(4) A trustee shall be appointed for a term not exceed- ing five years. 2

Section 12 of the Act is amended by adding after sub- section (4) the following: 12(5) A foundation is not required to have an audit con- ducted if the foundation, for the fiscal year in question, did not hold any real or personal property, including money. 3

Section 14 of the Act is amended by adding after sub- section (1) the following: 14(1.1) Where a foundation did not hold any real or per- sonal property in a given fiscal year, its annual report shall consist of a letter to the Minister confirming that it did not hold any real or personal property, and describing what, if any, activities it undertook during the year in question. 4

Schedule B of the Act is amended by striking out “New Brunswick Community College” and substituting “New Brunswick Community College/Collège commu- nautaire du Nouveau-Brunswick”. 5

Schedule C of the Act is amended by striking out the following: Saint John School of Nursing The Miss A. J. MacMaster School of Nursing École de Formation Infirmière d’Edmundston L’École d’Infirmière de Bathurst School of Nursing École d’Enseignement Infirmier Providence

d) par l’abrogation du paragraphe (4) et son rem- placement par ce qui suit : 7(4) Le mandat d’un fiduciaire est de cinq ans au plus. 2 L’article 12 de la Loi est modifié par l’adjonction après le paragraphe (4) de ce qui suit : 12(5) Une fondation n’est pas tenue de faire l’objet d’une vérification comptable si, pour l’exercice financier en question, elle ne détenait aucun bien personnel ou réel, y compris de l’argent. 3 L’article 14 de la Loi est modifié par l’adjonction après le paragraphe (1) de ce qui suit : 14(1.1) Si la fondation ne détenait ni bien réel ni bien personnel pendant un exercice financier donné, une lettre adressée au Ministre lui confirmant ce fait et décrivant quelles ont été ses activités pendant cet exercice, le cas échéant, fait office de rapport annuel. 4 L’Annexe B de la Loi est modifiée par la suppression de « Collège communautaire du Nouveau-Brunswick » et son remplacement par « Collège communautaire du Nouveau-Brunswick/New Brunswick Community Col- lege ». 5 L’Annexe C de la Loi est modifiée par la suppression de ce qui suit : Saint John School of Nursing The Miss A.J.

An Act to Amend the Higher Education Foundation Act Bill 52 EXPLANATORY NOTES

Section 1 (

a) The existing provision is as follows: 7(1) A foundation consists of a board of five trustees appointed by the Lieutenant-Governor in Council. (

b) The existing provision is as follows: 7(2) Three of the trustees for each board shall be appointed by the Lieutenant-Governor in Council from a list of nominees submitted by the institution. (

c) The existing provision is as follows: 7(3) One of the other two appointees shall be designated as Chairper- son by the Lieutenant-Governor in Council. (

d) The existing provision is as follows: 7(4) A trustee shall be appointed for a term not exceeding three years and may be re-appointed for one additional term not exceeding three years.

Section 4 The French version of the name for the New Brunswick Commu- nity College is added to the Schedule.

Section 5 The names of various institutions are deleted from

Schedule C. NOTES EXPLICATIVES

Article 1

a) Texte de la disposition actuelle : 7(1) Un conseil de fiduciaires composé de cinq fiduciaires nommés par le lieutenant-gouverneur en conseil constitue une fondation.
