Made as a rule by the Alberta Securities Commission on March 10, 2021 pursuant to

sections 223 and 224 of the Securities Act.

AMENDMENTS TO ALBERTA SECURITIES COMMISSION RULE 72-501

DISTRIBUTIONS TO PURCHASERS OUTSIDE ALBERTA

1. Alberta Securities Commission Rule 72-501 Distributions to Purchasers

Outside Alberta is amended by this Instrument.

Section 1 is amended by

(

a) adding the following definition:

"foreign underwriter" means a person qualified under the laws of a

jurisdiction outside of Canada to act as an underwriter;,

(

b) deleting the following definition:

"SEDAR" has the same meaning as in National Instrument 13-101 System

for Electronic Document Analysis and Retrieval (SEDAR);,

(

c) in the definition of "specified foreign jurisdiction" deleting "and",

(

d) in the definition of "underlying security" replacing "." with "; and", and

(

e) adding the following definition:

"underwriter certificate requirement" means the requirement to include a

certificate of an underwriter in a prospectus, as set out in each of the

following, as applicable:

(

a) subsection 5.9(1) of National Instrument 41-101 General Prospectus

Requirements;

(

b) item 21.1 of Form 44-101 F1 Short Form Prospectus;

(

c) item 8 of

section 5.5 of National Instrument 44-102 Shelf

Distributions;

(

d) item 7 of subsection 3.2(1) of National Instrument 44-103 Post

3. The Rule is amended by adding the following section:

Underwriter certificate requirement for foreign public offering under

prospectus

8.1 The underwriter certificate requirement does not apply to a foreign

underwriter of a distribution of securities by prospectus if all of the

following apply:

(

a) the securities are distributed to purchasers resident outside of

Canada;

(

b) either

(

i) each purchaser of the securities represents in writing to the

issuer or the foreign underwriter that the purchaser is not

resident in Canada, or

(ii) the foreign underwriter has agreed with the issuer in writing

that it will not, to the best of the foreign underwriter's

knowledge, after reasonable inquiry, distribute securities to a

purchaser resident in Canada;

(

c) no advertisement or solicitation in furtherance of the distribution is

undertaken by the foreign underwriter in Canada;

(

d) the foreign underwriter has agreed with the issuer in writing that it

will distribute the securities in compliance with the securities law of

the jurisdiction outside Canada applicable to the foreign underwriter

and each purchaser of the securities distributed by it..

4. Subsection 16(3) is amended by

(

a) adding "and (2)" after "subsection (1)", and

(

b) replacing paragraph 16(3)(

b) with the following:

*judges/stewards board to be ineligible to race for 90 days after the date of

identification of the horse with the positive test, and will be placed on the

*judges/stewards list:

(

a) Class I;

(

b) Class II;

(

c) Class III.

(2) If a horse tests positive in a jurisdiction outside Alberta for any of the following

classes of drugs, the horse shall be declared by the judges/steward board to be

ineligible to race in Alberta for 90 days after the date of identification of the

horse with the positive test:

(

(

(

c) Class III.

The following Rule 267 g is AMENDED to read:

Rule 267 g Positive test results in disqualification

(3) Notwithstanding a request pursuant to Rule 268 and Directive 091-2019 the

*trainer of a horse from which a test of the following classes of drugs,

*medication or foreign substance in the horse's system in *violation of these

rules is suspended from racing any horses that are entered or transfer any

horses pending a hearing with the board of judges/stewards. Any horses

entered will be scratched.

(

a) Class I;

(

b) Class II;

(

c) Class III

Rule 267 g Positive test results in disqualification previously stated

(1) If a test detects a *drug, *medication, or *foreign substance in the *horse's

system in *violation of these rules, the horse is disqualified and the order of

finish in the *race must be revised by the *judges/stewards board.

(2) An *owner of a horse disqualified as a result of the detection of a drug,

medication, or foreign substance must pay the *jockey or driver of the horse on

the basis of the original, not revised, order of finish unless the driver is the trainer

of the disqualified horse.

Policy Directive Quarter Horse, A Circuit Only Effective May 18, 2015

The following Rule 164 t is AMENDED to read:

Rule 164 t Limitation on entries

A *horse may only be entered in a major and minor racing meeting if:

(

d) in the case of a horse that has not started for 30 days or more but has had a

race of five and one half furlongs or more during the current calendar year,

the horse must have, in the presence of an official clocker, one qualifying

workout of at least 4 furlongs within 30 days of the day of the race for which

it is entered and the results have been filed with the racing secretary.

(

e) In the case of a Quarter Horse race of less than 4 furlongs, one qualifying

workout within 45 days of the race for which it is entered is required.

Rule 164 t Limitation on entries previously stated

A *horse may only be entered in a major racing meeting if:

(

d) in the case of a horse that has not started for 30 days or more but has had a

race of five and one half furlongs or more during the current calendar year,

the horse must have, in the presence of an official clocker, one qualifying

workout of at least 4 furlongs within 30 days of the day of the race for which

it is entered and the results have been filed with the racing secretary.

i. a thoroughbred or quarter horse entered for a *race at any

racetrack in Alberta must arrive at the *race track no later than

7:00 a.m. on the *day of the race for a Veterinarian check,

regardless of post-time;

Rule 218 g Race horses shipped in previously stated

b) horses must arrive as follows:

i. a thoroughbred entered for a *race must arrive at the *race track no

later than 7:00 a.m. on the *day of the race, regardless of post-

time;

The Rules Governing Horse Racing in Alberta are AMENDED as follows:

Chapter 3: General Horse Racing Rules,

Nominations

The following Rule 163 t is AMENDED to read:

Rule 163 t Prohibitions on entries

1) Subject to subrule (2), if a *horse is aged 13 years or more:

a) the horse is ineligible for; and

b) a person must not enter or start the horse in, any *race

2) The *stewards board may give their express permission for a *horse aged 13

years to start in a *race/s during its 13-year-old racing season, if:

a) the trainer provides to the *stewards board a veterinary report in

respect of the horse's condition and suitability to race, and any

other information, examination or report as required by the

*stewards board; and

b) the *stewards board are satisfied that the horse is suitable to race.

3) Any permission granted by the *stewards board under subrule (2) expires at

the conclusion of the *horse's 13-year-old racing season, or earlier as

provided by the *stewards board.

4) Upon a *horse turning 14 years of age, it is immediately retired and de-

registered under these Alberta Rules and is ineligible to race, trial or be

trained.

5) If a *horse aged 13 years participates in any *race without the permission of

the *stewards board in accordance with this rule, or if a *horse over 13

years participates in a *race, the *horse may be disqualified from the

relevant *race.

Rule 163 t Prohibitions on entries previously stated:

(1) Seven year old and older *horses who are *maidens may not be entered in major

thoroughbred *horse races.
