Section 1 of the Securities Act,

chapter S- 5.5 of the Acts of New Brunswick, 2004, is amended 1 L’article 1 de la

a) a director or officer of an issuer, (

b) a director or officer of a person who is itself an insider or subsidiary of an issuer, (

c) a person who has (

i) beneficial ownership of, or control or direction over, directly or indirectly, securities of an issuer « fonds d’investissement à capital fixe » S’entend d’un émetteur dans l’un ou l’autre des cas suivants :

carrying more than 10% of the voting rights attached to all the issuer’s outstanding voting securities, ex- cluding, for the purpose of the calculation of the percentage held, any securities held by the person as underwriter in the course of a distribution, or (ii) a combination of beneficial ownership of, and control or direction over, directly or indirectly, se- curities of an issuer carrying more than 10% of the voting rights attached to all the issuer’s outstanding voting securities, excluding, for the purpose of the calculation of the percentage held, any securities held by the person as underwriter in the course of a distribution, (

d) an issuer that has purchased, redeemed or other- wise acquired a security of its own issue, for so long as it continues to hold that security, (

e) a person designated to be an insider in an order made under subsection 1.1(2), or (

f) a person that is in a class of persons designated by the regulations, but does not include any person, or a class of persons, that is designated not to be an insider by an order made under subsection 1.1(1) or by a regulation. (initié) “member of the Commission” means (

a) the Chair, or (

b) a member of the Commission appointed under subsection 7(1). (membre de la Commission) “non-redeemable investment fund” means (

a) an issuer (

i) whose primary purpose is to invest money pro- vided by its security holders, (ii) that does not invest (

A) for the purpose of exercising or seeking to exercise control of an issuer, other than an issuer that is a mutual fund or a non-redeemable invest- ment fund, or (

B) for the purpose of being actively involved in the management of any issuer in which it in- (ii) fait

i) directement ou indirectement, a la propriété bé- néficiaire ou le contrôle de valeurs mobilières d’un émetteur représentant plus de 10 % des voix ratta- chées à l’ensemble des valeurs mobilières avec droit de vote de l’émetteur qui sont en circulation, à l’ex- clusion, pour le calcul du pourcentage détenu, des valeurs mobilières que cette personne détient en qua- lité de preneur ferme dans le cadre d’un placement, (ii) directement ou indirectement, a en

partie la propriété bénéficiaire et en

partie le contrôle de va- leurs mobilières d’un émetteur représentant plus de 10 % des voix rattachées à l’ensemble des valeurs mobilières avec droit de vote de l’émetteur qui sont en circulation, à l’exclusion, pour le calcul du pour- centage détenu, des valeurs mobilières que cette personne détient en qualité de preneur ferme dans le cadre d’un placement;

vests, other than an issuer that is a mutual fund or a non-redeemable investment fund, and (iii) that is not a mutual fund, or (

b) an issuer that is (

i) designated to be a non-redeemable investment fund in an order made under subsection 1.1(2), or (ii) in a class of persons designated by the regula- tions, but does not include an issuer, or a class of issuers, that is designated not to be a non-redeemable investment fund by an order made under subsection 1.1(1) or by a regulation. a) an instrument, an agreement or a security the value, market price or payment obligations of which are derived from, referenced to or based on the value, mar- ket price or payment obligations of a security, or (

b) any other instrument or agreement or any under- standing that affects, directly or indirectly, a person’s economic interest in a security. ( instrument financier lié) “securities regulatory authority”, except in

Part 1 5.1, means a person empowered by the laws of a jurisdiction to regulate trading in securities or to administer or enforce laws respecting trading in securities. (organisme de régle- mentation des valeurs mobilières) “supplementary member of the Commission” means a supplementary member of the Commission appointed un- der subsection 7.1(1). b) de tout autre instrument ou de toute autre conven- tion ou de toute entente qui a un effet, direct ou indirect, sur l’intérêt financier d’une personne dans une valeur mobilière. (related financial instrument) « intérêt financier » S’entend, selon le cas :

a) du droit de recevoir une rémunération, un avantage ou un rendement relativement à une valeur mobilière ou de la possibilité de participer à cette rémunération, cet avantage ou ce rendement;

b) de l’exposition à un risque de perte financière re- lativement à une valeur mobilière. (economic interest) « membre de la Commission » S’entend des personnes suivantes :

e) a person who learns of a material fact or material change with respect to the issuer from any other person described in this subsection, including a person de- scribed in this paragraph, and knows or ought reasona- bly to have known that the other person is a person in such a relationship.
