MINES AND MINERALS ACT

The Lieutenant Governor in Council authorizes the Minister of Energy, on behalf of the Crown in right of Alberta, to enter into an agreement to amend the Medicine Hat Gas Agreement in the form set out in the attached Appendix.

AMENDING AGREEMENT

(Medicine Hat Gas Agreement)

THIS AGREEMENT made effective as of January 1, 1994.

BETWEEN:

HER MAJESTY THE QUEEN in right of Alberta, hereinafter called "Her Majesty" represented herein by the Minister of Energy of the Province of Alberta (hereinafter called the "Minister")

AND

CITY OF MEDICINE HAT, a Municipal Corporation (hereinafter called the "Corporation")

WHEREAS:

(2) The Medicine Hat Gas Agreement was amended by the Amendment Agreement made effective as of January 1, 1994 to provide a new basis for calculating the Royalty Compensation payable to Her Majesty in respect of the Crown's royalty share of Natural Gas produced from the Provincial Lands;

(3) Her Majesty has agreed to:

(

a) the Corporation assigning, transferring and subletting interests in the Provincial Lands to affiliated entities, and

(

b) the Corporation and those entities affiliated with the Corporation involving both public and private companies in such exploration and development activities on the Provincial Lands,

subject to the terms of this Amending Agreement; and

(4) The Parties wish to amend the Medicine Hat Gas Agreement to ensure that:

(

a) the Royalty Compensation payable to Her Majesty in respect of production from Provincial Lands which is attributable to the interests of the Corporation and City Affiliates is subject to the royalty regime in effect under the Medicine Hat Gas Agreement; and

(

b) the Royalty Compensation payable to Her Majesty in respect of production attributable to companies, other than the Corporation and City Affiliates, which may undertake or participate in exploration and development activities on the Provincial Lands, is subject to the royalty regime which is generally in effect in the Province of Alberta from time to time.

THEREFORE the Parties agree to amend the Medicine Hat Gas Agreement as follows:

1. Subsection 2(1) of the Medicine Hat Gas Agreement is amended to add the following

definitions:

(e) "City Affiliate" means, in respect of the Corporation, any Person that, directly or indirectly, is controlled by the Corporation, and for the purposes of this definition "control" means the possession, directly or indirectly, by the Corporation of the power to direct or cause the direction of the management and policies of that Person, whether through the ownership of voting securities, management powers, or otherwise.

(f) "Gas Products" means condensate, ethane, pentanes, pentanes plus, sulphur, propane, butane and any other product, except methane, obtained and removed from Natural Gas by processing and which is not reinjected into the Residue Gas.

(g) "Person" means any legal person, including a corporation, trust, general or limited partnership, limited liability company or other entity, but does not include an individual.

(h) "Residue Gas" has the meaning ascribed to that term by and in the Natural Gas Royalty Regulation, 1994.

(i) "Royalty Compensation" has the meaning ascribed to that term by and in the Natural Gas Royalty Regulation, 1994.

(j) "Third Party" means any Person that participates (whether through farmin, joint venture, participation or other arrangements) with or through the Corporation or a City Affiliate to acquire one or more Working Interests in any of the Provincial Lands.

(k) "Working Interest" means a profit … prendre or similar interest entitling the holder thereof, or giving the holder an interest in the rights, to drill for and produce Natural Gas from one or more formations within and under the Provincial Lands.

Section 2(1)(

c) of the Medicine Hat Gas Agreement is struck out and the following is substituted therefor:

(c) "Natural Gas" means any production other than crude oil recovered from any well on the Provincial Lands that, in the opinion of the Minister, initially produces only gas or gas with oil at a gas-oil ratio of 1800 to 1 or higher;

Section 3 of the Medicine Hat Gas Agreement is struck out and the following is substituted therefor:

3(1) In this

section a reference to the Natural Gas Royalty Regulation, 1994 shall be construed as a reference to that regulation, as amended from time to time, or to any replacement of all or part of that regulation as amended from time to time.

(2) There is hereby reserved to Her Majesty from and in respect of the rights granted to the Corporation under this Agreement:

(

a) in respect of each year during which this Agreement remains in effect, a clear yearly rental computed at the rate prescribed by the Mines and Minerals Act for a petroleum and natural gas lease issued under that Act, and payable in accordance with that Act, and

(

b) the royalty on Natural Gas recovered from the Provincial Lands and on Residue Gas and Gas Products obtained from that Natural Gas that is prescribed by, provided for or set forth in subsections (3), (4), (5), (6) and (7) of this section.

(3) The quantity or amount of Her Majesty's royalty share of Natural Gas recovered from the Provincial Lands and of Residue Gas obtained from that Natural Gas, that is

(

a) attributable to the Working Interests of the Corporation and of each City Affiliate, and

(

b) disposed of or sold for consumption or use within the area outlined in

Schedule "A" attached to this Agreement or within the corporate boundaries of the City of Medicine Hat

shall be determined under and in accordance with the Natural Gas Royalty Regulation, 1994 except that, notwithstanding any other provision of this Agreement or of the Natural Gas Royalty Regulation, 1994, no exemptions or reductions provided for by that regulation or by any other regulation under the Mines and Minerals Act, other than reduced royalty rates on Residue Gas under

Schedule 1 of the Natural Gas Royalty Regulation, 1994, shall be allowed in making that determination.

(4) Notwithstanding the Natural Gas Royalty Regulation, 1994 and any provision of this Agreement other than subsection (7) of this section, but subject to subsection (5) of this section, the Royalty Compensation payable in respect of Her Majesty's royalty share of Natural Gas recovered from the Provincial Lands and of Residue Gas obtained from that Natural Gas that is

(

a) attributable either to the Working Interests of the Corporation or of a City Affiliate, and

(

b) disposed of or sold for consumption or use within the area outlined in

Schedule "A" attached to this Agreement or within the corporate boundaries of the City of Medicine Hat

shall, during a period of 15 years commencing January 1, 1994, be 12 percent of an amount equal to and calculated as the Royalty Compensation that would otherwise be payable on that royalty share under the Natural Gas Royalty Regulation, 1994 ("base Royalty Compensation") before any deductions are made from or adjustments made to that base Royalty Compensation including, but not limited to, cost allowances, credits, exemptions, deductions and reductions that, pursuant to the regulations under the Mines and Minerals Act, may reduce or be used to reduce or adjust Royalty Compensation.

(5) Insofar as they are attributable to the Working Interests of the Corporation or of a City Affiliate

(

a) the quantity or amount of Her Majesty's royalty share of Gas Products obtained from Natural Gas recovered from the Provincial Lands, and

(

b) the Royalty Compensation payable in respect of those royalty shares,

shall be calculated and determined, and be payable in accordance with, the Natural Gas Royalty Regulation, 1994.

(6) Insofar as they are attributable to the Working Interests of each Third Party

(

a) the quantity or amount of Her Majesty's royalty share of Natural Gas recovered from the Provincial Lands and of Residue Gas and Gas Products obtained from that Natural Gas, and

(

b) the Royalty Compensation payable in respect of those royalty shares,

shall be calculated and determined, and be payable in accordance with, the Natural Gas Royalty Regulation, 1994.

(7) For purposes of certainty and to avoid the calculation and payment of royalty twice in respect of the same Natural Gas, for any Natural Gas that is processed, the royalty payable hereunder shall only be calculated and paid in respect of the Residue Gas and Gas Products attributable to that Natural Gas and no royalty shall be calculated on or be payable in respect of such Natural Gas before processing.

Section 4 of the Medicine Hat Gas Agreement is amended to add the following subsection:

(3)(

a) The Corporation is authorized to enter into arrangements with City Affiliates from time to time (including, without limitation, farmout, joint venture and participation arrangements) granting such City Affiliates the right to drill for, win, work and recover Natural Gas within the Provincial Lands and the right to sell or dispose of that Natural Gas to the Corporation, but the Corporation shall ensure that the conditions set forth in

Section 7 are complied with.

(

b) The Corporation, or any City Affiliate that has entered into an arrangement with the Corporation under

section 4(3)(a), is authorized to grant from time to time to one or more Third Parties (whether pursuant to a farmin, joint venture, participation or other arrangement) the right to drill for, win, work and recover Natural Gas within the Provincial Lands and the right to sell or dispose of that Natural Gas to a City Affiliate or the Corporation but:

(

i) the Corporation shall ensure that the condition set forth in

Section 7 is complied with; and

(ii) the Minister is only required to deal with the Corporation and neither any City Affiliate nor any Third Party shall be a party to this Agreement at any time without the Minister's specific consent to the Corporation's assignment of all or part of its interest in this Agreement to that City Affiliate or Third Party.

Section 5 of the Medicine Hat Gas Agreement is struck out and deleted and replaced with the following:

The Corporation shall:

(

a) pay to Her Majesty the rental reserved under this Agreement on or before the 1st day of January of each and every year during which this agreement remains in effect;

(

b) pay to Her Majesty the royalty reserved under

section 3 of this Agreement in accordance with the Mines and Minerals Act; and

(

c) submit to the Minister the reports on production, dispositions and sales of Natural Gas recovered from the Provincial Lands and of Residue Gas and Gas Products obtained from that Natural Gas required to be submitted by the Mines and Minerals Act, at the times that they are required to be submitted by the Mines and Minerals Act and, where such reports pertain in whole or in part to production during any period of time, specify

(

i) the total production of Natural Gas, Residue Gas and Gas Products (as applicable) during that period of time that is attributable to the Working Interests of the Corporation or of any City Affiliate, and

(ii) the total production of Natural Gas, Residue Gas and Gas Products (as applicable) during that period of time that is attributable to the Working Interests of Third Parties.

Section 7 of the Medicine Hat Gas Agreement is amended by:

(

a) striking out "natural gas produced or obtained from the Provincial Lands" and by substituting therefor "Natural Gas recovered from the Provincial Lands and the Residue Gas obtained from that Natural Gas"; and

(

b) adding the following sentence to the end of the

Section 7:

"For certainty and clarification purposes, this express condition

does not apply to Gas Products."

Section 9 of the Medicine Hat Gas Agreement is struck out and replaced by the following:

The Corporation shall, at a place in Alberta, keep accurate records of all matters or things relating to or pertaining to the determination of the royalties reserved to Her Majesty pursuant to this Agreement, including but not limited to records of the quantity or amount of Natural Gas recovered from the Provincial Lands and Residue Gas and Gas Products obtained from that Natural Gas that is attributable respectively to the Working Interests of the Corporation and of each City Affiliate and to the Working Interests of each Third Party, and shall

(

a) permit the Minister to have access, at all reasonable times, to those records and to examine, inspect, reproduce and audit those records and to take them away for further examination or copying, and

(

b) submit to the Minister written returns containing or based upon those records at the times, in the manner, in respect of the periods, and containing the information, requested by the Minister.

8. Sections 12 and 13 of the Medicine Hat Gas Agreement are amended by striking out "by any other person" wherever it appears and by substituting therefor "by any other Person".

Section 15 of the Medicine Hat Gas Agreement is amended to add the following subsection:

(3) Subsections (1) and (2) of this

section shall not apply to or otherwise restrict the Corporation or any City Affiliate from entering into any arrangement described in

section 4(3) of this Agreement, which are entered into from time to time whether by the Corporation or a City Affiliate and which, from time to time, result in Working Interests in the Provincial Lands being acquired by any City Affiliate or any Third Party.

10. This Amending Agreement and the amendments to the Medicine Hat Gas Agreement provided for by this Amending Agreement:

(

a) supersede and replace the amendments to the Medicine Hat Gas Agreement made by an Agreement between the Minister and the Corporation having an Effective Date of January 1, 1994, and

(

b) have an effective date of January 1, 1994.

11. The Minister and the Corporation do hereby ratify and confirm the Medicine Hat Gas Agreement in all respects as it is amended by this Amending Agreement.

Section 171 has been amended by:

1. adding the following before "except" as the lead into subsection (2):

2. adding the following after subsection (2):

(2.1) For the purposes of subsection (1)(b), subsection (2) does not apply to an offeror if

(

a) the going private transaction is completed no later than 120 days after the expiry of the take-over bid;

(

b) the intent to effect the going private transaction was disclosed in the take-over bid circular;

(

c) the consideration per security paid by the person or company or the affiliated entity of that person or company in the going private transaction

(

i) is at least equal in value to the consideration per security that was paid by the person or company in the formal bid, and

(ii) is in the same form as the consideration per security that was paid by the person or company in the formal bid, and if the consideration paid consisted of securities of the person or company, consists of the same securities.

PART 2 Effective Date

This amendment comes into effect on June 12, 2002.
