Objects and purposes Mission 6 As a post-secondary institution, each corporation is responsible for enhancing the economic and social well- being of the Province by addressing the occupational train- ing requirements of the population and of the labour mar- ket of the Province and, without restricting the generality of the foregoing, the objects of each corporation are 6 À

Powers Attributions 7 Subject to this Act, in respect of its objects and pur- poses, each corporation has the capacity and the rights, powers and privileges of a natural person. 7

BOARD OF GOVERNORS AND PRESIDENT AND CHIEF EXECUTIVE OFFICER LE CONSEIL DES GOUVERNEURS ET LE PRÉSIDENT-DIRECTEUR GÉNÉRAL Board of governors Conseil des gouverneurs 9(1) The business and affairs of each corporation shall be directed and controlled by a board of governors in ac- cordance with this Act. 9(1) Les activités et les affaires internes de chaque so- ciété sont dirigées et gérées conformément à la présente loi par un conseil des gouverneurs. 9(2) Each board shall consist of 9 to 15 members ap- pointed under this section. 9(2) Chaque conseil se compose de neuf à quinze mem- bres nommés conformément au présent article. 9(3) The Lieutenant-Governor in Council shall appoint the following persons to each board: 9(3) Le lieutenant-gouverneur en conseil nomme à cha- que conseil les personnes suivantes : (

section until No- vember 1, 2010, inclusive, the failure to appoint a person to a board under paragraph (2)(b), (

Term of office and vacancies Mandat et vacances 11(1) Subject to subsection (2), a member of a board shall be appointed for a term of up to 3 years. 11(1)

Remuneration and expenses Rémunération et dépenses 14(1) The members of a board shall be entitled to the remuneration and reimbursement of expenses that are fixed by the by-laws of the respective corporation. 14(1) Les membres du conseil ont droit à la rémunéra- tion et au remboursement des dépenses que fixent les rè- glements administratifs de la société concernée. 14(2) Despite subsection (1), a by-law fixing the remu- neration or rate of reimbursement for expenses of the members of a board is ineffective unless it has been ap- proved by the Lieutenant-Governor in Council. 14(2)

President and chief executive officer Président-directeur général 15(1) Each board shall establish a process for appointing a president and chief executive officer in the by-laws and shall appoint a president and chief executive officer in ac- cordance with that process. 15(1) Chaque conseil arrête dans les règlements admi- nistratifs la procédure de nomination du président- directeur général et y est tenu. 15(2) The remuneration and benefits for each president and chief executive officer shall be established by the by- laws of the respective corporation. 15(2) La rémunération et les avantages sociaux de cha- que président-directeur général sont ceux que fixent les règlements administratifs de la société concernée. 15(3) Despite subsection (2), a by-law establishing the remuneration and benefits of a president and chief execu- tive officer is ineffective until it has been approved by the Lieutenant-Governor in Council. 15(3)
