EXPLANATORY NOTE The Bill regulates franchises as follows: 1. A duty of fair dealing is imposed on each party to a franchise agreement. 2. Franchisees are given the right to associate with other franchisees and to form or join an organization of fran- chisees. Any attempt by a franchisor to interfere with, prohibit or restrict this right is void. Franchisors are pro- hibited from imposing penalties on franchisees for exer- cising this right. Franchisees are given a right of action for damages against franchisors and their associates who contravene this prohibition. 3.

Franchisors are required to provide franchisees with one disclosure document not less than 14 days before a pros- pective franchisee signs an agreement or pays any money in respect of the franchise. The disclosure document must contain all material facts, financial statements, copies of agreements to be signed by the prospective franchisee and other information and documents as prescribed by reg- ulation. Franchisors are also required to provide fran- chisees with a statement of material change, if there has been a material change, before any agreement is signed or money paid by the franchisee.

A franchisor may be exempted by regulation from the requirement to include financial statements in the disclosure document. 4. A franchisee is entitled to rescind the franchise agreement within 60 days if the franchisor provided the disclosure document or statement of material change late or if the disclosure document did not meet the requirements of the Act. A franchisee is entitled to rescind the franchise agreement within two years if the franchisor never pro- vided the required disclosure document. 5.

A franchisee is entitled to damages for loss if the disclo- sure document or statement of material change contained a misrepresentation or if the franchisor failed to comply in any way with the requirements respecting the disclosure document or statement of material change. 6. The Act generally applies to franchise agreements entered into on or after the Act comes into force. The obligation to deal fairly and the right to associate also apply to fran- chise agreements entered into before the Act comes into force. Le franchiseur doit remettre au franchisé un document d’infor- mation au moins 14 jours avant que le franchisé éventuel ne signe une entente ou ne verse une somme à l’égard de la fran- chise. Le document d’information doit comprendre tous les faits importants, les états financiers, les copies d’ententes à signer par le franchiseur éventuel et les autres renseignements et documents prescrits par règlement. Le franchiseur doit également remettre au franchisé une déclaration qui fait état de tout changement important éventuel avant que celui-ci ne signe une entente ou ne verse une somme.

Le franchiseur peut être dispensé par règlement de l’exigence relative à l’inclusion d’états financiers dans le document d’information. 4. Le franchisé a le droit de résoudre le contrat de franchisage dans les 60 jours si le franchiseur lui a remis le document d’information ou la déclaration qui fait état d’un changement important après le délai prévu ou si le document d’information ne satisfait pas aux exigences de la Loi. Le franchisé a le droit de résoudre le contrat de franchisage dans les deux ans si le franchiseur ne lui a jamais remis le document d’information exigé. 5.

Le franchisé a droit à des dommages-intérêts pour perte si le document d’information ou la déclaration qui fait état d’un changement important contient une présentation inexacte des faits ou si le franchiseur ne s’est pas conformé de quelque façon que ce soit aux exigences relatives à ce document ou à cette déclaration. 6. En général, la Loi s’applique aux contrats de franchisage con- clus le jour de son entrée en vigueur ou après ce jour. L’obliga- tion d’agir équitablement et le droit d’association s’appliquent également aux contrats de franchisage conclus avant l’entrée en vigueur de la Loi.

An Act to require fair dealing between parties to franchise agreements, to ensure that franchisees have the right to associate and to impose disclosure obligations on franchisors Her Majesty, by and with the advice and consent of the Legislative Assembly of the Province of Ontario, enacts as follows: 1.

(1) In this Act, “disclosure document” means the disclosure document required by

section 5; (“docu- ment d’information”) “franchise” means a right to engage in a busi- ness for which the franchisee is required to make a payment or continuing payments, or a commitment to make such payment or payments, to the franchisor, or the franchi- sor’s associate, as a condition of acquiring the franchise or commencing operations and, (

a) in which, (

i) the franchisor grants the franchisee the right to sell, offer for sale or dis- tribute goods or services that are substantially associated with the franchisor’s, or the franchisor’s as- sociate’s, trademark, service mark, trade name, logo or advertising or other commercial symbol, and (ii) the franchisor or the franchisor’s associate exercises significant con- trol over, or offers significant assis- tance in, the franchisee’s method of operation, including building design and furnishings, locations, business organization, marketing techniques or training, or (

b) in which, (

2 FRANCHISE DISCLOSURE sale or distribute goods or services supplied by the franchisor or a sup- plier designated by the franchisor, and (ii) the franchisor, or the franchisor’s associate, or a third person desig- nated by the franchisor, provides location assistance, including secur- ing retail outlets or accounts for the goods or services to be sold, offered for sale or distributed or securing locations or sites for vending ma- chines, display racks or other product sales displays used by the franchisee; (“franchise”) “franchise agreement” means any agreement that relates to a franchise between, (

a) a franchisor or franchisor’s associate, and (

b) a franchisee; (“contrat de franchisage”) “franchisee” means a person to whom a fran- chise is granted and includes, (

a) a subfranchisor with regard to that subfranchisor’s relationship with a fran- chisor, and (

b) a subfranchisee with regard to that subfranchisee’s relationship with a sub- franchisor; (“franchisé”) “franchise system” includes, (

a) the marketing, marketing plan or busi- ness plan of the franchise, (

b) the use of or association with a trade- mark, service mark, trade name, logo or advertising or other commercial symbol, (

c) the obligations of the franchisor and franchisee with regard to the operation of the business operated by the franchi- see under the franchise agreement, and (

d) the goodwill associated with the fran- chise; (“système de franchise”) “franchisor” means one or more persons who grant or offer to grant a franchise and includes a subfranchisor with regard to that subfranchisor’s relationship with a subfran- chisee; (“franchiseur”) “franchisor’s associate” means a person, (

a) who, directly or indirectly, (

i) controls or is controlled by the fran- chisor, or (ii) is controlled by another person who also controls, directly or indirectly, the franchisor, and (

b) who, l’exploitation, le capital ou le contrôle du franchiseur ou de la personne qui a un lien avec lui ou sur le système de franchise, dont il est raisonnable de s’attendre qu’il aura un effet significatif sur la valeur ou le prix de la franchise à concéder ou sur la décision de l’acquérir. b) soit : (

i) d’une part, le franchiseur ou la per- sonne qui a un lien avec lui concède au franchisé des droits de représenta- tion ou de distribution, que cela fasse ou non intervenir une marque de commerce, une marque de service, une appellation commerciale, un logo ou un symbole publicitaire ou autre symbole commercial, en vue de vendre, de fournir, de mettre en vente, d’offrir ou de distribuer les biens ou les services fournis par le franchiseur ou un fournisseur qu’il désigne, (ii) d’autre part, le franchiseur, la per- sonne qui a un lien avec lui ou un tiers qu’il désigne apporte son aide relativement à l’emplacement, no- tamment pour obtenir des points de vente ou des clients de détail pour les biens ou les services à vendre, à Sec./art. 1 (1)Bill 93

3DIVULGATION RELATIVE AUX FRANCHISES (

i) is directly involved in the grant of the franchise, or (ii) exercises significant operational con- trol over the franchisee and to whom the franchisee has a continuing finan- cial obligation in respect of the fran- chise; (“personne qui a un lien”) “grant”, in respect of a franchise, includes the sale or disposition of the franchise or of an interest in the franchise, and for such pur- poses, an interest in the franchise includes the ownership of shares in the corporation that owns the franchise; (“concession”) “master franchise” means a franchise which is a right granted by a franchisor to a subfran- chisor to grant or offer to grant franchises for the subfranchisor’s own account; (“fran- chise maîtresse”) “material change” means a change in the busi- ness, operations, capital or control of the franchisor or franchisor’s associate, a change in the franchise system or a pre- scribed change, that would reasonably be expected to have a significant adverse effect on the value or price of the franchise to be granted or on the decision to acquire the franchise and includes a decision to imple- ment such a change made by the board of directors of the franchisor or franchisor’s associate or by senior management of the franchisor or franchisor’s associate who believe that confirmation of the decision by the board of directors is probable; (“change- ment important”) “material fact” includes any information about the business, operations, capital or control of the franchisor or franchisor’s associate, or about the franchise system, that would reasonably be expected to have a significant effect on the value or price of the franchise to be granted or the decision to acquire the franchise; (“fait important”) “minister” means the minister responsible for the administration of this Act; (“ministre”) “misrepresentation” includes, (

a) an untrue statement of a material fact, or (

b) an omission to state a material fact that is required to be stated or that is neces- sary to make a statement not misleading in the light of the circumstances in which it was made; (“présentation inexacte des faits”) “prescribed” means prescribed by regulations made under this Act; (“prescrit”) fournir, à mettre en vente, à offrir ou à distribuer, ou pour obtenir des em- placements ou des lieux pour instal- ler les distributeurs automatiques, îlots de vente ou autres présentoirs de vente des produits qu’utilise le franchisé. («prospective franchisee») «franchiseur» Une ou plusieurs personnes qui concèdent ou offrent de concéder une fran- chise.

a) d’une part, directement ou indirecte- ment : (

i) soit le contrôle ou est sous son con- trôle, (ii) soit est sous le contrôle d’une autre personne qui le contrôle également, directement ou indirectement;

b) d’autre part : (

i) soit participe directement à la con- cession de la franchise, (ii) soit exerce un contrôle important sur l’exploitation du franchisé et envers laquelle ce dernier à une obligation financière continue à l’égard de la franchise. («franchisor’s associate») Projet 93Sec./art. 1

(1) 4 FRANCHISE DISCLOSURE Master- franchise, subfranchise Deemed control “prospective franchisee” means a person who has indicated, directly or indirectly, to a franchisor or franchisor’s associate an in- terest in entering into a franchise agree- ment, and a person whom a franchisor or franchisor’s associate, directly or indirectly, invites to enter into a franchise agreement; (“franchisé éventuel”) “subfranchise” means a franchise granted by a subfranchisor to a subfranchisee. (“sous- franchise”)

(2) A franchise includes a master franchise and a subfranchise.

(3) A franchisee, franchisor or franchisor’s associate which is a corporation shall be deemed to be controlled by another person or persons if, (

a) voting securities of the franchisee or franchisor or franchisor’s associate carrying more than 50 per cent of the votes for the election of directors are held, otherwise than by way of security only, by or for the benefit of the other person or persons; and (

b) the votes carried by such securities are entitled, if exercised, to elect a majority of the board of directors of the franchi- see or franchisor or franchisor’s associ- ate. «prescrit» Prescrit par les règlements pris en application de la présente loi. c) les obligations du franchiseur et du fran- chisé en ce qui a trait à l’exploitation de l’activité commerciale que ce dernier exploite aux termes du contrat de fran- chisage;

d) l’achalandage lié à la franchise. («fran- chise system»)

(2) La franchise comprend la franchise maîtresse et la sous-franchise.

(3) S’il est une personne morale, le fran- chisé, le franchiseur ou la personne qui a un lien avec lui est réputé être sous le contrôle d’une ou de plusieurs autres personnes si les conditions suivantes sont réunies :

a) des valeurs mobilières avec droit de vote du franchisé, du franchiseur ou de la personne qui a un lien avec lui repré- sentant plus de 50 pour cent des voix nécessaires à l’élection des administra- teurs sont détenues, autrement qu’à

titre de garantie seulement, par cette autre personne ou ces autres personnes, ou à leur profit;

b) le nombre de voix rattachées à ces va- leurs mobilières est suffisant pour élire la majorité des membres du conseil d’administration du franchisé, du fran- chiseur ou de la personne qui a un lien avec lui. Franchise maîtresse, sous- franchise Présomption Sec./art. 1 (1)Bill 93

5DIVULGATION RELATIVE AUX FRANCHISES Application Same Non- application 2.

(1) This Act applies with respect to a franchise agreement entered into on or after the coming into force of this section, with respect to a renewal or extension of such a franchise agreement and with respect to a business operated under such an agreement, renewal or extension if the business operated by the franchisee under the franchise agree- ment or its renewal or extension is to be oper- ated partly or wholly in Ontario.

(2) Sections 3 and 4, clause 5 (6) (

d) and sections 8, 10 and 11 apply with respect to a franchise agreement entered into before the coming into force of this section, and with respect to a business operated under such agreement, if the business operated by the franchisee under the franchise agreement is operated or is to be operated partly or wholly in Ontario.

(3) This Act does not apply to the follow- ing continuing commercial relationships or arrangements: 1. Employer-employee relationship. 2. Partnership. 3. Membership in a co-operative associa- tion, as prescribed. 4. An arrangement arising from an agree- ment to use a trademark, service mark, trade name, logo or advertising or other commercial symbol designating a per- son who offers on a general basis, for consideration, a service for the evalua- tion, testing or certification of goods, commodities or services. 5.

An arrangement arising from an agree- ment between a licensor and a single licensee to license a specific trademark, service mark, trade name, logo or advertising or other commercial symbol where such licence is the only one of its general nature and type to be granted by the licensor with respect to that trade- mark, service mark, trade name, logo or advertising or other commercial sym- bol. 6.

An arrangement arising out of a lease, licence or similar agreement whereby the franchisee leases space in the prem- ises of another retailer and is not required or advised to buy the goods or services it sells from the retailer or an affiliate of the retailer. 2.

(2) Les articles 3 et 4, l’alinéa 5

(6) d) et les articles 8, 10 et 11 s’appliquent à l’égard du contrat de franchisage conclu avant l’entrée en vigueur du présent

article et à l’égard de l’activité commerciale exploitée aux termes de ce contrat, si tout ou

partie de l’activité commerciale qu’exploite le franchisé aux termes du contrat est ou doit être exploitée en Ontario.

(3) La présente loi ne s’applique pas aux rapports ou arrangements commerciaux conti- nus suivants : 1. Les rapports employeur-employé.

La société en nom collectif ou en com- mandite. 3. L’adhésion à une association coopéra- tive selon ce qui est prescrit. 4. Un arrangement découlant d’une en- tente prévoyant l’utilisation d’une mar- que de commerce, d’une marque de ser- vice, d’une appellation commerciale, d’un logo ou d’un symbole publicitaire ou autre symbole commercial désignant une personne qui offre de façon géné- rale, moyennant contrepartie, un service pour l’évaluation, l’essai ou l’homolo- gation de biens, de marchandises ou de services. 5.

Un arrangement découlant d’une en- tente conclue entre un concédant et un licencié unique pour accorder une licence d’utilisation d’une marque de commerce, d’une marque de service, d’une appellation commerciale, d’un logo ou d’un symbole publicitaire ou autre symbole commercial particulier dans les cas où cette licence est la seule de cette nature et de ce type qu’accorde le concédant à leur égard. 6.

Un arrangement découlant d’un bail, d’une licence ou d’une entente similaire aux termes duquel le franchisé prend à bail un espace dans les locaux d’un autre détaillant et n’est ni tenu ni avisé d’acheter, auprès du détaillant ou d’une personne du même groupe, les biens qu’il vend ou de se procurer auprès de lui les services qu’il fournit. A relationship or arrangement arising out of an oral agreement where there is no writing which evidences any mate- rial term or aspect of the relationship or arrangement. 8. A service contract or franchise-like arrangement with the Crown or an agent of the Crown. 3. Every franchise agreement imposes on each party a duty of fair dealing in its perfor- mance and enforcement. 4.

(1) A franchisee may associate with other franchisees and may form or join an organization of franchisees.

(2) A franchisor and a franchisor’s associ- ate shall not interfere with, prohibit or restrict, by contract or otherwise, a franchisee from forming or joining an organization of fran- chisees or from associating with other franchisees.

(3) A franchisor and franchisor’s associate shall not directly or indirectly penalize, attempt to penalize or threaten to penalize a franchisee for exercising any right under this section.

(4) Any provision in a franchise agreement or other agreement relating to a franchise which purports to interfere with, prohibit or restrict a franchisee from exercising any right under this

section is void.

(5) If a franchisor or franchisor’s associate contravenes this section, the franchisee has a right of action for damages against the fran- chisor or franchisor’s associate, as the case may be. 5.

(1) A franchisor shall provide a prospec- tive franchisee with a disclosure document and the prospective franchisee shall receive the disclosure document not less than 14 days before the earlier of, (

a) the signing by the prospective franchi- see of the franchise agreement or any other agreement relating to the fran- chise; and (

b) the payment of any consideration by or on behalf of the prospective franchisee to the franchisor or franchisor’s associ- ate relating to the franchise.

(2) A disclosure document must be one document, delivered as required under subsec- tion (1) as one document at one time.

(3) The disclosure document shall contain, 7. (3) Le franchiseur et la personne qui a un lien avec lui ne doivent pas, directement ou indirectement, pénaliser, tenter de pénaliser ni menacer de pénaliser le franchisé parce qu’il exerce un droit prévu au présent article.

(4) Sont nulles les dispositions du contrat de franchisage ou d’une autre entente relative à la franchise qui visent à empêcher le fran- chisé d’exercer un droit prévu au présent arti- cle, à le lui interdire ou à lui imposer des restrictions à cet égard.

(5) Le franchisé a le droit d’intenter une action en dommages-intérêts contre le franchi- seur ou la personne qui a un lien avec lui, selon le cas, si l’un ou l’autre contrevient au présent article. 5.

(1) Le franchiseur fournit au franchisé éventuel un document d’information, que ce dernier doit recevoir au moins 14 jours avant le premier en date des faits suivants :

a) le franchisé éventuel signe le contrat de franchisage ou toute autre entente rela- tive à la franchise;

b) le franchisé éventuel verse une contre-

partie relative à la franchise au franchi- seur ou à la personne qui a un lien avec lui ou une telle contrepartie est versée pour son compte.

(2) Le document d’information est consti- tué d’un seul document et est remis comme l’exige le paragraphe (1) sous forme de docu- ment unique en une seule fois.

b) financial statements as prescribed; (

c) copies of all proposed franchise agree- ments and other agreements relating to the franchise to be signed by the prospective franchisee; and (

d) other information and copies of docu- ments as prescribed.

(4) The franchisor shall provide the pros- pective franchisee with a written statement of any material change, and the franchisee must receive such statement, as soon as practicable after the change has occurred and before the earlier of, (

a) the signing by the prospective franchi- see of the franchise agreement or any other agreement relating to the fran- chise; and (

b) the payment of any consideration by or on behalf of the prospective franchisee to the franchisor or franchisor’s associ- ate relating to the franchise.

(5) All information in a disclosure docu- ment and a statement of a material change shall be accurately, clearly and concisely set out.

(6) This

section does not apply to, (

a) the grant of a franchise by a franchisee if, (

i) the franchisee is not the franchisor, an associate of the franchisor or a director, officer or employee of the franchisor or of the franchisor’s associate, (ii) the grant of the franchise is for the franchisee’s own account, (iii) in the case of a master franchise, the entire franchise is granted, and (iv) the grant of the franchise is not effected by or through the franchi- sor; (

b) the grant of a franchise to a person who has been an officer or director of the franchisor or of the franchisor’s associ- ate for at least six months, for that per- son’s own account;

a) tous les faits importants, y compris les faits importants prescrits;

(6) Le présent

article ne s’applique pas à ce qui suit :

a) la concession d’une franchise qu’effec- tue un franchisé si les conditions sui- vantes sont réunies : (

i) le franchisé n’est pas le franchi- seur, une personne qui a un lien avec lui, un de ses administrateurs, dirigeants ou employés ni un de ceux de la personne qui a un lien avec lui, (ii) la concession de la franchise est effectuée pour le propre compte du franchisé, (iii) dans le cas d’une franchise maî- tresse, la totalité de la franchise est concédée, (iv) la concession de la franchise n’est pas effectuée par le franchiseur ni par son intermédiaire;

c) the grant of an additional franchise to an existing franchisee if that additional franchise is substantially the same as the existing franchise that the franchi- see is operating; (

d) the grant of a franchise by an executor, administrator, sheriff, receiver, trustee, trustee in bankruptcy or guardian on behalf of a person other than the fran- chisor or the estate of the franchisor; (

e) the grant of a franchise to a person to sell goods or services within a business in which that person has an interest if the sales arising from those goods or services, as anticipated by the parties or that should be anticipated by the parties at the time the franchise agreement is entered into do not exceed, in relation to the total sales of the business, a pre- scribed percentage; (

f) the renewal or extension of a franchise agreement where there has been no interruption in the operation of the business operated by the franchisee under the franchise agreement and there has been no material change since the franchise agreement or latest renewal or extension of the franchise agreement was entered into; (

g) the grant of a franchise if, (

i) the prospective franchisee is required to make a total annual investment to acquire and operate the franchise in an amount that does not exceed a prescribed amount, (ii) the franchise agreement is not valid for longer than one year and does not involve the payment of a non-refundable franchise fee, or (iii) the franchise agreement is gov- erned by

section 55 of the Competition Act (Canada); (

h) the grant of a franchise where the pros- pective franchisee is investing in the acquisition and operation of the fran- chise, over a prescribed period, an amount greater than a prescribed amount.

(7) For the purpose of subclause (6) (a) (iv), a grant is not effected by or through a franchisor merely because,

f) le renouvellement ou la prorogation d’un contrat de franchisage si l’exploi- tation de l’activité commerciale par le franchisé aux termes du contrat de fran- chisage n’a pas connu d’interruption et qu’il n’y a pas eu de changement im- portant depuis la conclusion du contrat de franchisage, son dernier renouvelle- ment ou sa dernière prorogation;

g) la concession d’une franchise si, selon le cas : (

i) le franchisé éventuel est tenu de faire un investissement total an- nuel qui ne dépasse pas la somme prescrite pour acquérir et exploiter la franchise, (ii) le contrat de franchisage n’est pas valide plus d’un an ni ne prévoit le paiement de redevances de fran- chisage non remboursables, (iii) le contrat de franchisage est régi par l’article 55 de la

Loi sur la concurrence (Canada);

h) la concession d’une franchise si le fran- chisé éventuel investit une somme su- périeure à la somme prescrite dans l’ac- quisition et l’exploitation de la fran- chise au cours de la période prescrite.

(7) Pour l’application du sous-alinéa (6) a) (iv), la concession n’est pas effectuée par le franchiseur ni par son intermédiaire pour le seul motif que : Idem Sec./art. 5 (6)Bill 93

a) the franchisor has a right, exercisable on reasonable grounds, to approve or disapprove the grant; or (

b) a transfer fee must be paid to the fran- chisor in an amount set out in the fran- chise agreement or in an amount that does not exceed the reasonable actual costs incurred by the franchisor to pro- cess the grant. 6.

(1) A franchisee may rescind the fran- chise agreement, without penalty or obliga- tion, no later than 60 days after receiving the disclosure document, if the franchisor failed to provide the disclosure document or a state- ment of material change within the time required by

section 5 or if the contents of the disclosure document did not meet the require- ments of

section 5.

(2) A franchisee may rescind the franchise agreement, without penalty or obligation, no later than two years after entering into the franchise agreement if the franchisor never provided the disclosure document.

(3) Notice of rescission shall be in writing and shall be delivered to the franchisor, per- sonally, by registered mail or by fax, at the franchisor’s address for service or to any other person designated for that purpose in the fran- chise agreement.

(4) The notice of rescission is effective, (

a) on the day it is delivered personally; (

b) on the fifth day after it was mailed; (

c) on the day it is sent by fax, if sent before 5 p.m.; (

d) on the day after it was sent by fax, if sent at or after 5 p.m.

(5) If the day described in clause (4) (b), (

c) or (

d) is a holiday, the notice of rescission is effective on the next day that is not a holiday.

(6) The franchisor, or franchisor’s associ- ate, as the case may be, shall, within 60 days of the effective date of the rescission, (

a) refund to the franchisee any money received from or on behalf of the fran- chisee, other than money for inventory, supplies or equipment; (

b) purchase from the franchisee any inven- tory that the franchisee had purchased pursuant to the franchise agreement and remaining at the effective date of rescission, at a price equal to the pur- chase price paid by the franchisee;

(2) Le franchisé peut résoudre le contrat de franchisage, sans pénalité ni obligation, au plus tard deux ans après l’avoir conclu si le franchiseur ne lui a jamais remis le document d’information.

(3) L’avis de résolution est donné par écrit et est remis au franchiseur, à personne, par courrier recommandé ou par télécopie, au domicile élu du franchiseur ou à toute autre personne désignée à cette fin dans le contrat de franchisage.

(4) L’avis de résolution prend effet, selon le cas :

a) le jour où il est remis à personne;

b) le cinquième jour qui suit sa mise à la poste;

c) le jour où il est envoyé par télécopie, s’il est envoyé avant 17 h;

d) le lendemain du jour où il a été envoyé par télécopie, s’il a été envoyé à 17 h ou plus tard.

(5) Si le jour visé à l’alinéa (4) b),

c) ou

d) est un jour férié, l’avis de résolution prend effet le premier jour non férié qui suit.

(6) Le franchiseur ou la personne qui a un lien avec lui, selon le cas, fait ce qui suit dans les 60 jours de la date de prise d’effet de la résolution :

a) il rembourse au franchisé toute somme reçue de lui ou pour son compte, autre qu’une somme versée à l’égard des stocks, des fournitures ou du matériel;

b) il achète au franchisé les stocks qu’il a achetés conformément au contrat de franchisage et qui ne sont pas écoulés à la date de prise d’effet de la résolution, au prix d’achat qu’il a payé; Résolution pour cause de divulga- tion tardive Résolution pour cause de non- divulgation

c) purchase from the franchisee any sup- plies and equipment that the franchisee had purchased pursuant to the franchise agreement, at a price equal to the pur- chase price paid by the franchisee; and (

d) compensate the franchisee for any losses that the franchisee incurred in acquiring, setting up and operating the franchise, less the amounts set out in clauses (

a) to (c). 7.

(1) If a franchisee suffers a loss because of a misrepresentation contained in the dis- closure document or in a statement of a material change or as a result of the franchi- sor’s failure to comply in any way with sec- tion 5, the franchisee has a right of action for damages against, (

a) the franchisor; (

b) the franchisor’s associate; and (

c) every person who signed the disclosure document or statement of material change.

(2) If a disclosure document or statement of material change contains a misrepresentation, a franchisee who acquired a franchise to which the disclosure document or statement of material change relates shall be deemed to have relied on the misrepresentation.

(3) If a franchisor failed to comply with

section 5 with respect to a statement of mater- ial change, a franchisee who acquired a fran- chise to which the material change relates shall be deemed to have relied on the informa- tion set out in the disclosure document.

(4) A person is not liable in an action under this

section for misrepresentation if the person proves that the franchisee acquired the fran- chise with knowledge of the misrepresentation or of the material change, as the case may be.

(5) A person, other than a franchisor, is not liable in an action under this

section for mis- representation if the person proves, (

a) that the disclosure document or state- ment of material change was given to the franchisee without the person’s knowledge or consent and that, on becoming aware of its having been given, the person promptly gave written notice to the franchisee that it was

a) le franchiseur;

b) la personne qui a un lien avec le fran- chiseur;

c) toute personne qui a signé le document d’information ou la déclaration qui fait état d’un changement important.

(2) En cas de présentation inexacte des faits dans un document d’information ou une décla- ration qui fait état d’un changement important, le franchisé qui a fait l’acquisition de la fran- chise à laquelle se rapporte le document ou la déclaration est réputé s’être fié à la présenta- tion inexacte des faits.

(3) Si le franchiseur ne s’est pas conformé à l’article 5 à l’égard d’une déclaration qui fait état d’un changement important, le franchisé qui a fait l’acquisition de la franchise à laquelle se rapporte le changement important est réputé s’être fié aux renseignements énon- cés dans le document d’information.

(4) N’est pas tenue responsable dans une action intentée en vertu du présent

article pour cause de présentation inexacte des faits la per- sonne qui prouve que le franchisé avait con- naissance de la présentation inexacte des faits ou du changement important, selon le cas, lorsqu’il a fait l’acquisition de la franchise.

(5) N’est pas tenue responsable dans une action intentée en vertu du présent

article pour cause de présentation inexacte des faits la per- sonne, autre que le franchiseur, qui prouve l’un ou l’autre des faits suivants :

b) that, after the disclosure document or statement of material change was given to the franchisee and before the fran- chise was acquired by the franchisee, on becoming aware of any misrepresen- tation in the disclosure document or statement of material change, the per- son withdrew consent to it and gave written notice to the franchisee of the withdrawal and the reasons for it; or (

c) that, with respect to any part of the dis- closure document or statement of material change purporting to be made on the authority of an expert or purport- ing to be a copy of or an extract from a report, opinion or statement of an expert, the person had no reasonable grounds to believe and did not believe that, (

i) there had been a misrepresenta- tion, (ii) the part of the disclosure docu- ment or statement of material change did not fairly represent the report, opinion or statement of the expert, or (iii) the part of the disclosure docu- ment or statement of material change was not a fair copy of or extract from the report, opinion or statement of the expert.

(6) All or any one or more of the persons specified in subsection (1) who are found to be liable in an action under this

section or who accept liability with respect to an action brought under this

section are jointly and severally liable. 8. The rights conferred by this Act are in addition to and do not derogate from any other right or remedy a franchisee or franchisor may have at law. 9. Any provision in a franchise agreement purporting to restrict the application of the law of Ontario or to restrict jurisdiction or venue to a forum outside Ontario is void with respect to a claim otherwise enforceable under this Act in Ontario. 10. Any purported waiver or release by a franchisee of a right given under this Act or of an obligation or requirement imposed on a franchisor or franchisor’s associate by or under this Act is void.

partie du document d’information ou de la déclaration qui fait état d’un changement important présentée comme étant préparée par un expert ou comme une copie ou un ex- trait d’un rapport, d’une opinion ou d’une déclaration d’un expert, elle n’avait pas de motifs raisonnables de croire et ne croyait pas que, selon le cas : (

i) il y avait eu une présentation inexacte des faits, (ii) cette

partie du document ou de la déclaration ne reflétait pas fidèle- ment le rapport, l’opinion ou la déclaration de l’expert, (iii) cette

partie du document ou de la déclaration ne constituait pas une copie ou un extrait fidèle du rap- port, de l’opinion ou de la déclara- tion de l’expert.

(6) Les personnes visées au paragraphe (1), ou l’une ou plusieurs d’entre elles, qui sont tenues responsables dans une action intentée en vertu du présent

article ou qui acceptent la responsabilité à l’égard d’une action intentée en vertu du présent

article sont solidairement responsables. 8. Les droits que confère la présente loi ne portent pas atteinte aux autres droits ou re- cours qu’ont en droit les franchiseurs ou les franchisés, mais s’y ajoutent. 9. Les dispositions d’un contrat de franchi- sage qui visent à limiter l’application du droit ontarien ou à restreindre la compétence ou le lieu de l’audience à un ressort autre que l’On- tario sont nulles à l’égard d’une demande qui est par ailleurs exécutoire en Ontario aux termes de la présente loi. 10.

In any proceeding under this Act, the burden of proving an exemption or an exclu- sion from a requirement or provision is on the person claiming it. 12.

(1) Upon application by a franchisor and if the franchisor meets the criteria pre- scribed for the purpose of this subsection, the minister may, by regulation, exempt the fran- chisor from the requirement to include spec- ified financial information in a disclosure document, subject to the terms and conditions set out in the exempting regulation.

(2) If a franchisor meets the criteria pre- scribed for the purpose of this subsection, the Lieutenant Governor in Council may, by reg- ulation, exempt the franchisor from the requirement to include specified financial information in a disclosure document, subject to the terms and conditions set out in the exempting regulation.

(3) A regulation made under this

section may be general or specific in its application.

(4) A regulation made under this

section may be revoked if the franchisor no longer meets the prescribed criteria or if the franchi- sor asks that the exemption be revoked.

(5) The Statutory Powers Procedure Act does not apply to a decision under this

section to grant or to refuse to grant an exemption, to impose terms and conditions on an exemption or to revoke an exemption.

(6) Any regulation made under subsection (1) is revoked on the fifth anniversary of the day this

section comes into force, if not expressly revoked earlier. (7) Subsection (1) is repealed on the fifth anniversary of the day it comes into force. 13.

(1) The Lieutenant Governor in Coun- cil may make regulations, (

a) defining co-operative association for the purpose of paragraph 3 of subsec- tion 2 (3); (

b) prescribing types of changes that consti- tute a material change; (

c) prescribing material facts for the pur- pose of clause 5 (3) (a); (

d) prescribing the financial statements to be included in the disclosure document; avec lui par la présente loi ou en vertu de celle-ci. 11. (2) Si le franchiseur satisfait aux critères prescrits pour l’application du présent paragra- phe, le lieutenant-gouverneur en conseil peut, par règlement, le dispenser de l’exigence rela- tive à l’inclusion des renseignements finan- ciers précisés dans un document d’informa- tion, sous réserve des conditions énoncées dans le règlement de dispense.

(3) Les règlements pris en application du présent

article peuvent avoir une portée géné- rale ou particulière.

(4) Le règlement pris en application du pré- sent

article peut être abrogé si le franchiseur ne satisfait plus aux critères prescrits ou s’il demande la révocation de la dispense.

(5) La

Loi sur l’exercice des compétences légales ne s’applique pas à la décision, prise en vertu du présent article, d’accorder ou de refuser une dispense, de l’assortir de condi- tions ou de la révoquer.

(6) Les règlements pris en application du paragraphe (1) sont abrogés à la cinquième date anniversaire du jour de l’entrée en vi- gueur du présent article, s’ils n’ont pas été expressément abrogés avant cette date.

(7) Le paragraphe (1) est abrogé à la cin- quième date anniversaire du jour de son entrée en vigueur. 13.

(1) Le lieutenant-gouverneur en con- seil peut, par règlement :

a) définir l’expression «association coopé- rative» pour l’application de la disposi- tion 3 du paragraphe 2 (3);

b) prescrire les types de changements qui constituent des changements impor- tants;

c) prescrire les faits importants pour l’ap- plication de l’alinéa 5 (3) a);

(2) A regulation made under subsection (1) may be general or specific in its application. 14. This Act comes into force on a day to be named by proclamation of the Lieutenant Governor. 15. The

short title of this Act is the Franchise Disclosure Act, 1998.

j) traiter de toute question qu’il juge utile ou nécessaire pour réaliser efficacement l’objet de la présente loi.

(2) Les règlements pris en application du paragraphe (1) peuvent avoir une portée géné- rale ou particulière. 14. La présente loi entre en vigueur le jour que le lieutenant-gouverneur fixe par procla- mation. 15. Le

titre abrégé de la présente loi est Loi de 1998 sur la divulgation relative aux fran- chises. Portée Entrée en vigueur
