Section 1 of the New Brunswick Liquor Corpora- tion Act,

chapter 105 of the Revised Statutes, 2016, is amended 1 L’article 1 de la

a) by repealing the definition “sale” and “sell” and substituting the following:

section 4 and sub- stituting the following: 3 La Loi est modifiée par l’abrogation de l’article 4 et son remplacement par ce qui suit : 4(1) Subject to subsection (2), the Corporation has the power to do anything that the Corporation considers nec- essary or convenient for, or incidental or conducive to, the carrying out of its purposes and also to do such other things as a company is empowered to do under subsec- tion 14(1) of the Companies Act. 4(1)

h) to take any other measures compatible with its purposes as the Lieutenant-Governor in Council re- quires.

section 4 the following: 4 La Loi est modifiée par l’adjonction de ce qui suit après l’article 4 : Subsidiaries of the Corporation Filiales de la Société 4.1(1) A subsidiary of the Corporation is an agent of the Crown in right of the Province for the purposes for which the subsidiary is established as a body corporate. 4.1(1) La filiale que constitue la Société est, aux fins de sa mission à

titre de personne morale, mandataire de la Couronne du chef de la province. 4.1(2) A subsidiary is a separate employer within the meaning of the Public Service Labour Relations Act in the same manner as the Corporation. 4.1(2) La filiale est, au même

a) from the sale of liquor in liquor stores,

Section 20 of the Act is repealed and the following is substituted: 6 L’article 20 de la Loi est abrogé et remplacé par ce qui suit : 20(1) The Corporation or a subsidiary of the Corpora- tion shall maintain in its own name one or more accounts in any chartered bank designated by the Minister of Fi- nance. 20(1) Tant la Société que chacune de ses filiales ouvre à son nom un ou plusieurs comptes dans une banque à charte que désigne le ministre des Finances. 20(2) Despite the Financial Administration Act , all money received by the Corporation or one of its subsid- iaries through the conduct of its business or otherwise is to be deposited to the credit of the accounts established under subsection (1) and shall be administered by the Corporation or the subsidiary, as the case may be, exclu- sively in the exercise and performance of its powers, du- ties and functions. 20(2) Par dérogation à la

Section 22 of the Act is amended 7 L’article 22 de la Loi est modifié (

a) by repealing subsection (1) and substituting the following:

a) par l’abrogation du paragraphe (1) et son rem- placement par ce qui suit : 22(1) The Corporation or one of its subsidiaries may, with the approval of the Minister of Finance, borrow money from any chartered bank and make arrangements with any chartered bank for loans or money overdrafts with such times of repayment as the Corporation or its subsidiary considers advisable and necessary, and the Corporation or its subsidiary, as the case may be, may mortgage its own lands and other assets to secure the loans. 22(1) La Société ou l’une quelconque de ses filiales peut, avec l’approbation du ministre des Finances, con- tracter des emprunts auprès d’une banque à charte ou prendre des arrangements avec une telle banque en vue d’obtenir des prêts ou des facilités de découvert assortis des délais de remboursement qu’elle estime souhaitables et nécessaires, et la Société ou sa filiale peut, selon le cas, hypothéquer ses propres biens-fonds et autres élé- ments d’actif en garantie de ces emprunts. c) par l’abrogation du paragraphe (3) et son rem- placement par ce qui suit : 22(3) The Minister of Finance may advance out of the Consolidated Fund such sums as may be necessary for the purpose of discharging, in whole or in part, all or any liabilities of the Corporation or one of its subsidiaries that have been guaranteed under subsection (2). 22(3) Le ministre des Finances peut consentir les avances prélevées sur le Fonds consolidé qui sont néces- saires pour acquitter tout ou

section 23 and substituting the following: 8 La Loi est modifiée par l’abrogation de l’arti- cle 23 et son remplacement par ce qui suit : 23(1) A subsidiary of the Corporation shall present the financial statements referred to in subsection 4.1(8) to the Corporation at the time determined by the Corpora- tion. 23(1) La filiale fournit à la Société les états financiers visés au paragraphe 4.1(8) au moment que fixe cette der- nière. 23(2) The Corporation shall prepare audited financial statements, which shall include the financial statements of its subsidiaries, and submit them to the Minister of Fi- nance in each year at the time determined by the Minis- ter. 23(2) La Société dresse des états financiers audités qui renferment les états financiers de ses filiales et les pré- sente au ministre des Finances chaque année au moment qu’il fixe. 23(3) The Corporation shall release to the public a

summary of its unaudited financial results and those of its subsidiaries within 30 days after the end of each quar- ter of the fiscal year. 23(3) La Société communique au public le

23(6) The Lieutenant-Governor in Council may re- quest the Auditor General or any other person to audit the accounts of the Corporation or any of its subsidiaries. 23(6) Le lieutenant-gouverneur en conseil peut deman- der au vérificateur général ou à toute autre personne d’auditer les comptes de la Société ou de l’une quel- conque de ses filiales. 23(7) A report of the audit containing the particulars that the Lieutenant-Governor in Council requires shall be made to the Lieutenant-Governor in Council on or be- fore August 1 following the end of the fiscal year for which the report is made. 23(7) Le rapport d’audit contenant les renseignements qu’exige le lieutenant-gouverneur en conseil doit lui être présenté au plus tard le 1 er août qui suit la fin de l’exer- cice financier pour lequel ce rapport est dressé. 9

Section 25 of the Act is repealed and the following is substituted: 9 L’article 25 de la Loi est abrogé et remplacé par ce qui suit : 25 The Corporation shall, within five months after the end of its fiscal year, submit to the Minister of Finance an audited report, in the form that the Minister directs, on its business and that of its subsidiaries for that fiscal year, and the Minister shall lay the report before the Leg- islative Assembly if it is in session or, if not, at the next ensuing session. 25 Dans les cinq mois qui suivent la fin de son exer- cice financier, la Société présente au ministre des Fi- nances, en la forme qu’il prescrit, un rapport audité de ses activités commerciales et de celles de ses filiales du- rant cet exercice financier, document que dépose le mi- nistre devant l’Assemblée législative si elle siège à ce moment-là, sinon, à la session suivante. 10 The Act is amended by adding after
