WHEREAS Plazacorp Property Holdings Inc. (“Plaza”) acquired certain lands described below (the “Lands” ) from The City of Saint John (the “City”) by deed dated the 27th day of July, 2016 and registered in the New Brunswick Land Titles Office on the 28th day of July, 2016 as Number 166749; que Plazacorp Property Holdings Inc. (« Plaza » ) a ac- quis certains biens-fonds décrits ci-après (les « Biens- fonds » ) de la cité appelée The City of Saint John (la « Ville ») par acte de transfert passé le 27 juillet 2016 et enregistré au Bureau d’enregistrement foncier du Nouveau-Brunswick le 28 juillet 2016 sous le numé- ro 166749; AND

WHEREAS a portion of the Lands (the “Restricted Lands”) are subject to certain covenants and restrictions imposed when the City acquired the Lands; qu’une portion des Biens-fonds (les « Biens-fonds vi- sés ») font l’objet de certains covenants et certaines res- trictions imposés lorsque la Ville a acquis les Biens- fonds; AND

WHEREAS Plaza and the City agreed that a por- tion of the proceeds of the sale of the Lands (the “Hold- back”) would be held in trust pending the successful pe- tition of Plaza to have such covenants and restrictions removed from title; que Plaza et la Ville ont convenu qu’une portion des pro- duits de la vente des Biens-fonds (la « Retenue » ) serait détenue en fidéicommis jusqu’à ce que la demande de Plaza de retirer ces covenants et restrictions soit accep- tée; AND

WHEREAS the Common Council of the City adopted a resolution on December 2, 2019 that the pro- ceeds of the sale constituting the Holdback shall be used by the City for future priority capital requirements of the City for its parks and green spaces in the Millidgeville and Saint John North areas; que le Conseil municipal de la Ville a adopté une résolu- tion le 2 décembre 2019 à l’effet que les produits de la vente formant la Retenue seront utilisés par la Ville pour des besoins en capital futurs prioritaires de la Ville à l’égard de ses parcs et espaces verts dans les zones de Millidgeville et Saint John Nord; AND

WHEREAS Plaza has, by its petition, prayed that certain covenants and restrictions upon the title to the Restricted Lands be removed; que Plaza a demandé que soient éteints ces covenants et restrictions rattachés aux Biens-fonds visés; 1

WHEREAS it is deemed expedient to grant the prayer in the said petition; qu’il est souhaitable d’accéder à cette demande; THEREFORE, Her Majesty, by and with the advice and consent of the Legislative Assembly of New Bruns- wick, enacts as follows: Sa Majesté, sur l’avis et avec le consentement de l’Assemblée législative du Nouveau-Brunswick, édicte : 1 All covenants and restrictions of every nature and kind whatsoever imposed by The Eastern Trust Com- pany, Liquidator of Turnbull Real Estate Company, af- fecting lands situate in The City of Saint John which were conveyed by The Eastern Trust Company to The City of Saint John by deed dated the 25th day of July, 1956 and registered in the Saint John County Registry Office in Book 335 at Pages 310-313 on the 6th day of August, 1956 as Number 166749 described as follows: 1 Tous les covenants et toutes les restrictions de quel- que nature que ce soit imposés par The Eastern Trust Company, à

Said lot is to contain 1.5 acres more or less, and is more particularly described as follows: Beginning at a point on the eastern boundary of Milli- dge Ave. 128 feet, plus or minus, distant from the in- tersection of the center line of Black St. and the east- ern edge of Millidge Ave. Said point being designated as 0 + 00. This point is also the northwest corner of aforesaid lot. Thence in a straight line bearing by the magnet 1955 A.D. S 11° 00’ W a distance of 60.6 feet to Station 0 + 60.6. Thence in a straight line bearing by the magnet S 3° 10’ W a distance of 50 feet to Sta- tion 1 +10.6.

Thence in a straight line bearing by the Magnet S 2° 30’ W a distance of 124.2 feet to Station 2 + 34.8. Thence in a straight line bearing by the Magnet S 2° 20’ W a distance of 93.5 feet to Station 3 + 28.3. This point constitutes the south west corner of the lot. Thence in a straight line bearing by the Magnet S 87° 40’ E a distance of 200 feet to Station 5 + 28.3. This point designating the south east corner of said lot. Thence in a straight line bearing by the Magnet N 2° 20’ E a distance of 326.75 feet to Station 8 + 55.05. This point constituting the northeast corner of said lot.

Thence in a straight line bearing by the Magnet N 87° 40’ W a distance of 189.1 feet to Sta- tion 10 + 44.15, said station being also the point of beginning or Station 0 + 00. The whole as shown on the plan, hereto attached, colored in red.” TOUT le lot, le morceau, la

partie ou la parcelle de bien-fonds constituant le site d’un projet de caserne de pompiers situé sur le côté est de Millidge Avenue entre Black Street et Woodward Avenue, à Stanley Ward, Ville de Saint John, N.-B. Ce lot compte 1,5 acres, plus ou moins, et est plus particuliè- rement décrit comme suit : Commençant à un point sur la limite est de Millidge Avenue étant à 128 pieds, plus ou moins, de distance de l’intersection du centre de Black Street et de la limite est de Millidge Avenue, ce point étant désigné comme 0 + 00. Ce point est aussi le coin nord-ouest dudit bien-fonds.

Ensuite, en ligne droite en direction du relèvement par ai- mant 1955 A.D. S 11° 00’ O, une distance de 60,6 pieds à la Station 0 + 60,6. Ensuite, en ligne droite en direction du relèvement par ai- mant S 3° 10’ O, une distance de 50 pieds à la Sta- tion 1 + 10,6. Ensuite, en ligne droite en direction du re- lèvement par aimant S 87° 40’ E, une distance de 200 pieds à la Station 5 + 28,3. Ce point désigne le coin sud-est dudit bien-fonds. Ensuite, en ligne droite en direction du relèvement par aimant N 2° 20’ E, une distance de 326,75 pieds à la Station 8 + 55,05. Ce point désigne le coin nord-est dudit bien-fonds.
