OIC Text: The Governor in Council on the report and recommendation of the Minister of Economic and Rural Development and Tourism dated March 7, 2012, and pursuant to

Section 9 of the Nova Scotia Business Incorporated Financial Assistance Regulations, N.S. Reg 133/2001, made pursuant to

Chapter 30 of the Acts of 2000, the Nova Scotia Business Incorporated Act, is pleased to: (

a) consent to Nova Scotia Business Incorporated Board of Directors' decision of December 22, 2011 to approve financial assistance by way of a loan not to exceed $6,000,000.00 and the conversion of $5,500,000.00 in Convertible Debentures plus interest, into Class A Preferred Shares of Tech Link International Entertainment Limited, on terms and conditions generally as outlined in

Schedule "A" attached to and forming part of the Report and Recommendation of the Minister of Economic and Rural Development and Tourism dated March 7, 2012; and (

b) authorize the Minister of Economic and Rural Development and Tourism to execute such agreements, documents and instruments as may be required to give effect to this order.
