OIC Text: The Governor in Council on the report and recommendation of the Minister of Natural Resources dated November 16, 2004, pursuant to

Section 4 of

Chapter 415 of the Revised Statutes of Nova Scotia, 1989, the Scott Maritimes Limited Agreement

(1965) Act, and pursuant to the 1965 Agreement attached as a

Schedule to the aforesaid Act, is pleased: (

a) to authorize the Minister of Natural Resources to consent to a transfer of the 1965 Agreement from Kimberly-Clark Inc. to Neenah Paper Company of Canada ULC substantially in the form set out in

Schedule "A" attached to and forming part of the report and recommendation; (

b) to authorize the Minister of Natural Resources to consent to a charge and mortgage of the 1965 Agreement from Kimberly-Clark Inc. to Neenah Paper Company of Canada ULC and JP Morgan Chase Bank substantially in the form set out in

Schedule "A" attached to and forming part of the report and recommendation; and (

c) for purposes of the aforesaid transfer and for purposes of the acquisition, management and operation of the 1965 Agreement by Neenah Paper Company of Canada ULC to waive the breach of paragraph III 3 of the 1965 Agreement requiring Kimberly-Clark Inc. to maintain its head office in the Province of Nova Scotia.
