Vesting of assets Dévolution des éléments d’actif 2 On the dissolution of the Authority under

Assumption of liabilities Prise en charge des éléments de passif 3(1) Subject to subsection (2), on the dissolution of the Authority under

section 10, Her Majesty in right of the Province shall be liable for all claims, demands, rights, securities, causes of action, complaints, debts, obligations, works, contracts, agreements and duties for which the Au- thority was liable on or before the dissolution of the Au- thority. 3(1)

section 10 does not terminate the employment of an employee of the Authority and, on dissolution, Her Majesty in right of the Province shall assume all valid and subsisting contracts of employment to which the Authority was a party at disso- lution. 4(1) La dissolution de l’Authority à laquelle il est pro- cédé en vertu de l’article 10 n’a pas pour effet de mettre fin à l’emploi d’un employé de l’Authority et, dès qu’il est procédé à la dissolution, Sa Majesté du chef de la province prend en charge tous les contrats d’emploi valides et en vigueur auxquels était

4(3) An employee of the Authority shall be deemed not to have been constructively dismissed by the dissolution of the Authority nor by the assumption of his or her con- tract of employment under this section. 4(3) Un employé de l’Authority est réputé ne pas avoir fait l’objet d’un congédiement implicite par le fait de la dissolution de l’Authority ou en raison de la prise en charge de son contrat d’emploi en vertu du présent article. 4(4) Nothing in this Act prevents Her Majesty in right of the Province from 4(4) La présente loi n’a pas pour effet d’empêcher Sa Majesté du chef de la province : (

Indemnification of members and employees Immunité des membres et des employés 6(1) Subject to subsection (3), Her Majesty in right of the Province shall indemnify and save harmless a member of the Authority with respect to any claim, action or de- mand resulting from his or her appointment as a member if the member was acting in good faith and within the scope of the member’s appointment when the claim, action or demand arose. 6(1)

Registration of documents Enregistrement des documents 7(1) Despite any other Act, in a document registered in a registry office under the Registry Act or a land titles of- fice under the Land Titles Act, a statement that real prop- erty described in the document was transferred to Her Majesty in right of the Province by this Act, and any other statement in the document relating to the transfer, shall be deemed to be conclusive evidence of the facts stated in the document. 7(1)

Loi sur l’enregistrement ou dans un bureau d’enregistrement foncier tel que le prévoit la

Loi sur l’en- registrement foncier, selon laquelle le bien réel qui y est décrit a été transféré à Sa Majesté du chef de la province par la présente loi, et tout autre déclaration qui y est faite afférente au transfert sont réputées faire foi de façon con- cluante des faits qui y sont énoncés. 7(2) Despite any other Act, for the purpose of a docu- ment required to be registered under the Personal Property Security Act , it shall be sufficient in order to show the transmission of title in respect of any personal property or interest in personal property vested in or intended to be vested in Her Majesty in right of the Province under this Act if the instrument affecting the property or interest re- cites this Act. 7(2)

Malgré toute autre loi, aux fins d’enregistrement d’un document dont l’enregistrement est exigé en vertu de la

Deemed trust Présomption de fiducie 8(1) Until the dissolution of the Authority under

Termination of certain provisions of agreement Résiliation de certaines dispositions de l’entente 9 On the dissolution of the Authority under

section 10, the following provisions of the memorandum of agree- ment made on July 7, 1966, between Her Majesty the Queen in right of Canada, Her Majesty the Queen in right of the Province of New Brunswick, The City of Saint John and the Authority, known as the “Saint John Harbour Bridge Authority Agreement”, are void and of no force or effect: 9 Dès qu’il est procédé à la dissolution de l’Authority en vertu de l’article 10, sont nulles et non avenues les dispo- sitions suivantes du protocole d’entente connu du

titre « Saint John Harbour Bridge Authority Agreement », con- clu le 7 juillet 1966 entre Sa Majesté la Reine du chef du Canada, Sa Majesté la Reine du chef de la province du Nouveau-Brunswick, The City of Saint John et l’Autho- rity : (

a) article 3; and

a) l’article 3; (

b) that portion of

article 25 which imposes an obli- gation on the Authority to obtain and maintain public liability insurance in an amount satisfactory to Her Maj- esty the Queen in right of Canada.

Dissolution of Authority Dissolution de l’Authority 10 At 7 p.m. on March 31, 2011, the Authority is dis- solved. 10 L’Authority est dissous le 31 mars 2011, à 19 h. No action lies Exemption de responsabilité 11 Except as provided in sections 3 and 6, no action, application or other proceeding lies or shall be instituted against Her Majesty in right of the Province as a result of the enactment of this Act. 11 Sauf dans les cas prévus aux articles 3 et 6, sont ir- recevables les actions, requêtes ou autres instances intro- duites contre Sa Majesté du chef de la province par suite de l’édiction de la présente loi. An Act Respecting the Saint John Harbour Bridge Authority,

chapter 39 of the Acts of New Brunswick, 2010, is repealed. 12(2) Dès qu’il est procédé à la dissolution de l’Au- thority en vertu de l’article 10, est abrogée la Loi con- cernant le Saint John Harbour Bridge Authority, chapi- tre 39 des Lois du Nouveau-Brunswick de 2010.
