OIC Number: 2010 - 452 Date of Order: Dec 20, 2010 OIC Text: The Governor in Council on the report and recommendation of the Minister of Economic and Rural Development dated November 4, 2010, and pursuant to Order in Council 2005-373, and paragraphs 105, 108 and 109 of the Articles of Association of Waterfront Development Corporation Limited is pleased to: (

a) appoint the following persons as voting members of the Board of Directors of Waterfront Development Corporation Limited, for the following terms: (

i) William H. Gates of Halifax, Halifax Regional Municipality, as a Director for a term of four years commencing December 20, 2010; and (ii) Wadih M. Fares of Halifax, Halifax Regional Municipality, as a Director for a term of four years commencing December 20, 2010; (

b) authorize the payment of $150.00 per day to the members of the Board of Directors of Waterfront Development Corporation Limited for work involving the Waterfront Development Corporation Limited; and (

c) order that the Province shall defend, negotiate or settle claims or charges made against members of the Board of Directors of Waterfront Development Corporation Limited, and indemnify them from personal liability in connection with any such claim, provided, however, that the Province is satisfied that the claim arises out of their activities in relation to their appointments, and is not based on fraud or criminal activity, and where the Province so defends them, the Province will be in control of the case.
