2.11(6) Subject to the rights, privileges, restrictions and conditions attaching to a class of shares and subject to subsection 2.7(5), the Holding Corporation may pur- chase or otherwise acquire shares issued by it. 2.11(6)

Board of directors Conseil d’administration 2.12(1) The board of directors of the Holding Corpora- tion shall administer the business and affairs of the Holding Corporation on a commercial basis, taking into consideration government policy. 2.12(1) Le conseil d’administration de la Société de portefeuille gère commercialement les activités et les af- faires internes de celle-ci en tenant compte de la politi- que gouvernementale. 2.12(2) The board of directors of the Holding Corpora- tion shall be composed of 2.12(2) Le conseil d’administration de la Société de portefeuille se compose : (

a) the skills and qualifications required of the board of directors as a whole in order for the board to carry out its functions, and

b) the skills and qualification requirements for nominees for the board of directors position or posi- tions to be filled.

2.12(7) In making nominations under this section, the board of directors of the Holding Corporation shall 2.12(7) Lorsqu’il propose des candidats en application du présent article, le conseil d’administration de la So- ciété de portefeuille : (

c) provide to the Lieutenant-Governor in Council a description of the recruitment, assessment and selec- tion processes used and the results of those processes, and

d) comply with any regulations made under para- graph 142(1)(b).

b) may be reappointed for a second or subsequent term of office not exceeding five years, but subsection (5) does not ap- ply to a director who is reappointed before or immedi- ately after the expiry of their previous term. 2.12(8) Le mandat de l’administrateur mentionné à l’alinéa

Chair and Vice-Chair Président et vice-président 2.2(1) The Lieutenant-Governor in Council shall ap- point a Chair of the board of directors of the Holding Corporation and a Vice-Chair of its board of directors from among the directors referred to in paragraph 2.12(2)(b). 2.2(1) Le lieutenant-gouverneur en conseil nomme le président et le vice-président du conseil d’administration de la Société de portefeuille parmi les administrateurs mentionnés à l’alinéa 2.12(2)b). 2.2(2) A Chair or Vice-Chair shall hold office as such for a term fixed by the Lieutenant-Governor in Council and may be reappointed for a second or subsequent term of office. 2.2(2) Le président et le vice-président exercent leurs fonctions pour un mandat renouvelable d’une durée que fixe le lieutenant-gouverneur en conseil.

2.2(3) Subject to subsection (4), the Chair, or in the Chair’s absence, the Vice-Chair, shall preside at meet- ings of the board of directors of the Holding Corpora- tion. 2.2(3)

b) a substitute for the Chair or Vice-Chair for the period of the temporary absence or inability to act. 2.2(5) En cas d’absence ou d’empêchement temporaire du président ou du vice-président, le lieutenant- gouverneur en conseil peut nommer son remplaçant par- mi les administrateurs mentionnés à l’alinéa 2.12(2)

First board of directors Premier conseil d’administration 2.21(1) Despite

section 2.12, the members of the board of directors of the Corporation are appointed to the first board of directors of the Holding Corporation. 2.21(1) Par dérogation à l’article 2.12, les membres du conseil d’administration de la Société sont nommés au premier conseil d’administration de la Société de porte- feuille. 2.21(2) Despite

section 2.2, the Chair and Vice-Chair of the Corporation are appointed to be the first Chair and Vice-Chair of the board of directors of the Holding Cor- poration. 2.21(2) Par dérogation à l’article 2.2, les président et vice-président de la Société sont nommés comme pre- miers président et vice-président du conseil d’adminis- tration de la Société de portefeuille. 2.21(3) The members of the first board of directors of the Holding Corporation and the first Chair and Vice- Chair shall hold office at the pleasure of the Lieutenant- Governor in Council. 2.21(3) Le lieutenant-gouverneur en conseil nomme à

Quorum Quorum 2.22 A majority of the directors of the Holding Corpo- ration constitutes a quorum. 2.22 La majorité des administrateurs de la Société de portefeuille constitue le quorum.

Meetings of the board of directors Réunions du conseil d’administration 2.3(1) The meetings of the board of directors of the Holding Corporation shall be held in the Province on the notice that is required by its by-laws. 2.3(1) Une fois donné l’avis qu’impartissent les règle- ments administratifs de la Société de portefeuille, les ré- unions du conseil d’administration de celle-ci se tiennent dans la province. 2.3(2) A director may in any manner waive notice of a meeting of the board of directors and attendance of a di- rector at a meeting of the board of directors is a waiver of notice of the meeting, except if a director attends a meeting for the express purpose of objecting to the trans- action of any business on the grounds that the meeting was not lawfully called. 2.3(2) Tout administrateur peut, de quelque façon que ce soit, renoncer à l’avis de convocation de la réunion du conseil d’administration, sa présence à la réunion équi- valant à une telle renonciation, sauf s’il y assiste expres- sément afin de s’opposer aux délibérations au motif que la réunion n’a pas été régulièrement convoquée. 2.3(3) A director may participate in a meeting of the board of directors or of a committee of the board of di- rectors by means of telephone or other communication facilities that permit all persons participating in the meeting to hear each other, and a director participating in such a meeting by those means shall be deemed for the purposes of this Act to be present at that meeting. 2.3(3) Tout administrateur peut participer à une ré- union du conseil d’administration ou de l’un de ses co- mités par téléphone ou autre moyen technique permettant à tous les participants de s’entendre, l’admi- nistrateur participant ainsi à une telle réunion étant répu- té, aux fins d’application de la présente loi, y avoir assisté.

Resolution instead of meeting Résolution tenant lieu de réunion 2.31(1) A resolution in writing signed by all directors of the Holding Corporation entitled to vote on that reso- lution at a meeting of its board of directors or a commit- tee of its board of directors is as valid as if it had been passed at a meeting of the board or committee duly called, constituted and held. 2.31(1) Toute résolution écrite revêtue de la signature de tous les administrateurs de la Société de portefeuille habiles à voter en l’occurrence à une réunion de son con- seil d’administration ou de l’un des comités de celui-ci est aussi valide que si elle avait été adoptée à une ré- union régulièrement convoquée, constituée et tenue. 2.31(2) If counterparts of a resolution in writing have been signed by all the directors entitled to vote on that resolution at a meeting of the board of directors or com- mittee of the board of directors, the resolution is as valid as if it had been passed at a meeting of the board or com- mittee duly called, constituted and held. 2.31(2) Si des exemplaires d’une résolution écrite ont été revêtus de la signature de tous les administrateurs ha- biles à voter en l’occurrence à une réunion du conseil d’administration ou de l’un de ses comités, la résolution est aussi valide que si elle avait été adoptée à une ré- union régulièrement convoquée, constituée et tenue. 2.31(3) Every signed resolution or counterpart referred to in this

section shall be kept with the minutes of the proceedings of the board of directors or committee of the board of directors. 2.31(3) Les résolutions ou leurs exemplaires signés que vise le présent

c) the director sends the director’s dissent by reg- istered mail or delivers it to the head office of the Holding Corporation immediately after the meeting is adjourned.

Remuneration Rémunération 2.4 The Chair and the Vice-Chair and the other direc- tors of the Holding Corporation shall be paid the remu- neration that the Lieutenant-Governor in Council deter- mines, and the payment shall be made out of the funds of the Holding Corporation. 2.4 Le président, le vice-président ainsi que les autres membres du conseil d’administration de la Société de portefeuille reçoivent sur les fonds de celle-ci la rémuné- ration que fixe le lieutenant-gouverneur en conseil.

By-laws Règlements administratifs 2.41(1) In addition to any other by-laws authorized or required to be made under this Act and subject to this Act, the Holding Corporation may, with the approval of the Lieutenant-Governor in Council, make by-laws for the control and management of the Holding Corpora- tion’s affairs, including, but not limited to, by-laws 2.41(1) Outre tous autres règlements administratifs qu’exige ou qu’autorise la présente loi et sous réserve de celle-ci, la Société de portefeuille peut, avec l’approba- tion du lieutenant-gouverneur en conseil, prendre des rè- glements administratifs concernant la direction et la gestion de ses affaires internes, y compris, notamment : (

a) respecting the appointment of officers of the Holding Corporation and prescribing the powers and duties of the President and Chief Executive Officer, any other officers of the Holding Corporation or the Chair or Vice-Chair,
