a) dissolves the Village of Entwistle,

(

b) directs that the land in the Village of Entwistle becomes part of Parkland

County, and

(

c) makes the order in the Appendix.

APPENDIX

ORDER

1 In this Appendix,

(

a) Entwistle means the Village of Entwistle;

(

b) former area of Entwistle means the land in Entwistle before its dissolution;

(

b) receiving municipality means Parkland County.

2 The former area of Entwistle is part of electoral division 7 of the receiving

municipality until the receiving municipality passes a bylaw pursuant to

section 148

of the Municipal Government Act that provides otherwise.

3 All liabilities of Entwistle, whether arising under a debenture or otherwise, and all

assets, rights, duties, functions and obligations of Entwistle are vested in the

receiving municipality and may be dealt with in the name of the receiving

municipality.

4 If the liabilities of Entwistle exceed the assets of Entwistle, the receiving

municipality may impose an additional tax under

Part 10 of the Municipal

Government Act on property, including linear property as defined in

section

284(1)(

k) of the Municipal Government Act, located in the former area of Entwistle

to pay for those excess liabilities.

5 Bylaws and resolutions of Entwistle continue to apply in the former area of

Entwistle until the bylaws or resolutions are repealed, amended or replaced by the

council of the receiving municipality.

6 A reference to Entwistle in any order, regulation, bylaw, certificate of title,

agreement or any other instrument is deemed to be a reference to the receiving

municipality.

7 Revenues from the operation of the J. D. Read Building may only be used to pay or

reduce a cost or liability associated with the J. D. Read Building.

8(1) The receiving municipality must deposit in a reserve fund established by the

receiving municipality

(

a) money received from Entwistle on its dissolution, and

(

b) money received from the sale of any of the assets of Entwistle vested in the

receiving municipality under

section 3 that the receiving municipality sells on

or before December 31, 2003.

(2) Money in the reserve fund may only be used

(

a) to pay or reduce a liability vested in the receiving municipality on the

dissolution of Entwistle, or

(

b) for projects in the former area of Entwistle.

(3) Money from the sale of the J.D. Read Building, whether before or after December

31, 2003, may only be used

(

a) to pay or reduce a liability vested in the receiving municipality on the

dissolution of Entwistle, or

(

b) for projects in the former area of Entwistle.

9(1) The employment of the employees of Entwistle is terminated on the effective date

of the dissolution of Entwistle.

(2) Nothing in subsection (1) affects the receiving municipality s responsibility with

regard to any liability that may arise from the termination of employment of

employees of Entwistle.

10 The Minister may decide any other matter relating to the rights, assets and liabilities

of Entwistle resulting from the dissolution of Entwistle.

SCHEDULE 1

ORDER

Special Provisions for the Organization and Operation of

The Municipal District of Mackenzie No. 23

Definitions

1 In this Order,

(

a) new municipality means the specialized municipality named The Municipal

District of Mackenzie No. 23";

(

b) old municipality means the municipal district named The Municipal District

of Mackenzie No. 23" formed by Order in Council numbered O.C. 757/94.

Change of status to specialized municipality

(1) The status of the old municipality is changed to a specialized municipality to

address concerns about municipal government and management in a

municipality that serves a number of unique communities within a very large

territory.

(2) The provisions of the Municipal Government Act and other enactments are

modified to the extent necessary to accomplish the intent of this order.

Council of new municipality

(1) The council of the new municipality is to be comprised of 10 councillors.

(2) One councillor must be elected from each ward.

(3) The first chief elected official of the new municipality is to be appointed by the

council of the new municipality from among the councillors.

Wards

4 The wards of the new municipality are those described in

Schedule 2.

Requirement for valid bylaw or resolution

5 Despite

section 181 of the Municipal Government Act, bylaws and resolutions

relating to the following matters are not valid unless passed at a council meeting at

which 2/3 of the councillors present at the meeting vote in favour of the bylaw or

resolution:

(

a) procedures of the council of the new municipality;

(

b) remuneration of the councillors;

(

c) property tax;

(

d) changing the number of councillors, the boundaries of wards or the

method of selecting any chief elected official subsequent to the first chief

elected official;

(

e) appointing and terminating the chief administrative officer;

(

f) adopting a budget;

(

g) any other matter designated by the council pursuant to the procedure

established under clause (a).

Termination or amendment of agreements

(1) In this section, agreement means a revenue sharing or cost sharing agreement

between

(

a) The Municipal District of Mackenzie No. 23, and

(

b) the Town of Rainbow Lake or the Town of High Level

made before or after the coming into force of Order in Council numbered O.C.

264/99.

(2) An agreement must not be terminated or amended without the written consent

of the parties to the agreement.

Horse Racing (Officials and Participants) Licensing

Amendment Rule

1 The Horse Racing (Officials and Participants) Licensing Rules are amended by

this Rule.

Section 56 is amended

(

a) in subsection (2)(a), by striking out the Canadian Trotting Association,

and substituting Standardbred Canada

(

b) in subsection (3), by striking out the Canadian Trotting Association,

and substituting Standardbred Canada.

RACING CORPORATION ACT

Alberta Horse Racing Amendment Rule

1 The Alberta Horse Racing Rules are amended by this Rule.

Section 24 is repealed and the following substituted:

24 Coggins Test

(1) Any person who is responsible for a thoroughbred horse stabled on the grounds

of a racetrack must ensure that a negative Coggins Test has been issued with

respect to that horse on or after 1 October of the preceding year and before

April 1 of the current year.

(2) Any person responsible for a standardbred horse stabled on the grounds of a

racetrack must ensure that a negative Coggins Test dated in the previous 12

months has been issued with respect to that horse.

(3) No person may bring a horse onto the grounds of a racetrack or permit the

entry of a horse onto the grounds of a race track after March 31, unless a

negative Coggins Test certificate has been issued with respect to that horse in

accordance with subsection (1) or (2).

(4) A *race horse the subject of a positive Coggins Test must be immediately

reported, by its *trainer or other person in charge of it, to the *official

veterinarian.

(5) On receipt of the report, the official veterinarian must arrange for the affected

*horse to be isolated.

Section 30 is amended by repealing clause (

a) and substituting:

(a) 48 hours after the 1st occurrence of bleeding, and then only after being removed

from the veterinarian s list;

Section 31 is repealed and the following substituted:

31 EIPH eligibility requirements

(1) The *official veterinarian must certify a *horse as eligible for the EIPH

Program if

(

a) a *licensed veterinarian verifies, on a *prescribed form, that the

licensed veterinarian has

(

i) performed a fibreoptic bronchoscopic examination within 2

hours of the *horse performing in a *race or an official workout,

(ii) observed during the examination that the *horse had bled into its

respiratory system, and

(iii) recommended the use of furosemide (lasix) to control or reduce

the amount of hemorrhage in the horse,

(

b) the official veterinarian certifies, on a *prescribed form, that

(

i) the horse performed in an official workout or *race on the *day

of the examination, and

(ii) the *licensed veterinarian is currently licensed, and

(

c) the official veterinarian certifies, on a *prescribed form, that the

horse is a *bleeder.

(2) The official veterinarian must also certify a horse as eligible for the *EIPH

Program if the *stewards board or the official veterinarian certifies, on a

*prescribed form, that

(

a) they have received documentation that the horse is qualified for the EIPH

Program in another jurisdiction,

(

b) the certification is made by a veterinarian in the other jurisdiction who

performs the duties ordinarily performed by an official veterinarian in

Alberta, and

(

c) the other jurisdiction is recognized by the *Corporation for the purpose of

this section.

Section 81 is repealed and the following substituted:

81 Scheduled sweepstakes

(1) All scheduled sweepstakes must be run regardless of the number of horses

entered.

(2) When less than 5 horses are entered, the normal purse payout applies to

those horses finishing the race and all purse monies not paid out accrues to

the horsemens purse account.

(3) All nomination, entry and starters fees not paid out due to the number of

participants must be paid to the winner of the race.

Section 121(1) is amended

(

a) by repealing clause (

b) and substituting

(

b) horses must arrive as follows:

(

i) a thoroughbred horse entered for a race must arrive at the race track

no later than 7:00 a.m. on the day of the race, regardless of post-time;

(ii) a standardbred horse entered for a race must arrive at the race track

no later than 2½ hours before the first scheduled race of the day;

(

b) by adding after clause (f)

(

g) a person entering a ship-in horse must indicate on the entry that the horse

is a ship-in ;

(

h) a trainer racing a horse under the ship-in rule that tests positive for a

prohibited substance loses their ship-in privileges for at least one year, or

such longer period as a judges/stewards board specifies, following

completion of their suspension.

Section 131(2) is amended by striking out

section 144 substituting

section 134

Section 133 is amended by repealing subsection (2) and substituting:

(2) 5 pounds is the limit of overweight any *horse is allowed to carry, however

(

a) if a *trainer has arranged to waive allowances previously *claimed, an

allowance may be waived with the permission of the *stewards board, or

(

b) an *owner or their representative, in the absence of sufficient allowance,

may request an overweight in excess of 5 pounds in all *sweepstakes and

the stewards board may grant the request if they believe it is in the best

interests of *horse racing.

Section 180 is repealed and the following substituted:

180 Redistribution of purses

If within 72 hours after a *race, not counting the hours in a day on which

there is no racing, a *horse is found to have been ineligible to enter a race,

the *judges/stewards board must declare it to be disqualified and any

purse money won must be redistributed.

Section 191(1) is amended by striking out the words

No person may, after 7:00 a.m. on the day of a horse race, administer to a horse

entered to race any of the following:

and substituting:

No person may, after 2½ hours before the first scheduled race of the day,

administer to a horse entered to race that day any of the following:

Section 226 is repealed and the following substituted:

226 Limitations on sale and racing of claimed horses

A *claimed *horse must not

(

a) be sold or transferred to anyone, in whole or in part, except in a

*claiming race, for at least 60 *days after the date of the *claim,

unless the judges/stewards board permits a transfer to another trainer;

(

b) return to the same stable or to control or management of its former

*licensed owner or trainer for at least 60 days after the date of the

claim, unless the horse is reclaimed;

(

c) be raced outside Alberta for the balance of the Alberta racing season

for the breed involved, without the permission of the judges/stewards

board.

Section 233 is amended by repealing subsection (3).

Section 241 is amended by adding after subsection (4):

(5) When a stakes race is limited to Alberta - owners, the following rules apply:

(

a) an individual is to be considered an Alberta - owner if the individual

(

i) has resided in Alberta for more than 6 months,

(ii) is liable to pay Alberta income tax,

(iii) is entitled to medical coverage under the Alberta Health Care

Insurance Act, and

(iv) has registered title to a horse, or in the case of a horse leased by that

individual, the lease is satisfactory to the judges/stewards board;

(

b) a stable, syndicate or corporation is to be considered an Alberta - owner if

(

i) it is incorporated or established in Alberta, and

(ii) more than 50% of the equity of the horse is owned by partners or

shareholders who are Alberta - owners under clause (a), or in the case

of a horse leased by the stable, syndicate or corporation, the lease is

satisfactory to the judges/stewards board.

Section 278 is amended

(

a) in clause (b), by striking out the Canadian Standardbred Horse Society and

substituting Standardbred Canada ;

(

b) in clause (d)(

i) by striking out the Canadian Trotting Association and

substituting Standardbred Canada ;

(

c) in clause (f), by striking out the Canadian Standardbred Horse Society and

substituting Standardbred Canada .

Section 349 is amended

(

a) by repealing clause (

o) and substituting

(

o) uses a whip exceeding 3 feet 9 inches in length plus a snapper that is

longer than 6 inches in length, or is of a colour not clearly visible and

acceptable to the board of judges;

(

b) by repealing clause (

r) and substituting

(

r) uses a whip

(

i) below the level of the shafts or the seat of the sulky,

(ii) between the legs of the horse, or

(iii) in an unconventional manner;

(

c) by adding after clause (s):

(

t) fails to keep a line in each hand from the time the horses are called for the

race by the starter until their horse reaches the 7/8 mile pole.

1.1

Definitions - In this Instrument

"automatic securities purchase plan" means a dividend or interest reinvestment

plan, a stock dividend plan or any other plan of a reporting issuer or of a

subsidiary of a reporting issuer to facilitate the acquisition of securities of the

reporting issuer if the timing of acquisitions of securities, the number of securities

which may be acquired under the plan by a director or senior officer of the

from the issuer, or from an administrator of the issuer, securities of the issuer's own

issue, in addition to the securities

(

a) purchased using the amount of the dividend or interest payable to or for the

account of the participant; or

(

b) acquired as a stock dividend or other distribution out of earnings or surplus;

"dividend or interest reinvestment plan" means an arrangement under which a

holder of securities of an issuer is permitted to direct that the dividends or interest

paid on the securities be applied to the purchase, from the issuer or an

administrator of the issuer, of securities of the issuer's own issue;

"issuer event" means a stock dividend, stock split, consolidation, amalgamation,

reorganization, merger or other similar event that affects all holdings of a class of

securities of an issuer in the same manner, on a per share basis;

"lump-sum provision" means a provision of an automatic securities purchase plan

which allows a director or senior officer to acquire securities in consideration of an

additional lump-sum payment, including, in the case of a dividend or interest

reinvestment plan which is an automatic securities purchase plan, a cash payment

option;

"major subsidiary" means a subsidiary of a reporting issuer if

(

a) the assets of the subsidiary, on a consolidated basis with its subsidiaries, as

included in the most recent annual audited balance sheet of the reporting

issuer that the reporting issuer has filed, are 10 percent or more of the

consolidated assets of the reporting issuer reported on that balance sheet, or

(

b) the revenues of the subsidiary, on a consolidated basis with its subsidiaries, as

included in the most recent annual audited income statement of the reporting

issuer that the reporting issuer has filed, are 10 percent or more of the

consolidated revenues of the reporting issuer reported on that statement;

"normal course issuer bid" means

(

a) an issuer bid which is made in reliance on the exemption contained in

securities legislation from certain requirements relating to issuer bids which is

available if the number of securities acquired by the issuer within a period of

twelve months does not exceed 5 percent of the securities of that class issued

and outstanding at the commencement of the period, or

(

b) a normal course issuer bid as defined in the policies of The Montreal

Exchange, The Canadian Venture Exchange or The Toronto Stock Exchange,

conducted in accordance with the policies of that exchange; and

"stock dividend plan" means an arrangement under which securities of an issuer

are issued by the issuer to holders of securities of the issuer as a stock dividend or

other distribution out of earnings or surplus.

PART 2 EXEMPTION FROM INSIDER REPORTING FOR DIRECTORS AND

SENIOR OFFICERS OF CERTAIN SUBSIDIARIES

2.1 Reporting Exemption - Subject to

section 2.2, the insider reporting requirement

does not apply to a director or senior officer of a subsidiary of a reporting issuer in

respect of securities of the reporting issuer.

2.2 Limitation - The exemption in

section 2.1 is not available if the director or senior

officer

(

a) in the ordinary course receives or has access to information as to material

facts or material changes concerning the reporting issuer before the material

facts or material changes are generally disclosed;

(

b) is a director or senior officer of a major subsidiary; or

(

c) is an insider of the reporting issuer in a capacity other than as a director or

senior officer of the subsidiary.

PART 3 EXEMPTION FROM INSIDER REPORTING FOR DIRECTORS AND

SENIOR OFFICERS OF AFFILIATES OF INSIDERS OF A

REPORTING ISSUER

3.1 Québec - This Part does not apply in Québec.

3.2 Reporting Exemption - Subject to

section 3.3, the insider reporting requirement

does not apply to a director or senior officer of an affiliate of an insider of a

reporting issuer in respect of securities of the reporting issuer.

3.3 Limitation - The exemption in

section 3.2 is not available if the director or senior

officer

(

a) in the ordinary course receives or has access to information as to material

facts or material changes concerning the reporting issuer before the material

facts or material changes are generally disclosed;

(

b) is an insider of the reporting issuer in a capacity other than as a director or

senior officer of an affiliate of an insider of the reporting issuer; or

(

c) is a director or senior officer of a company that supplies goods or services to

the reporting issuer or to a subsidiary of the reporting issuer or has contractual

arrangements with the reporting issuer or a subsidiary of the reporting issuer,

and the nature and scale of the supply or the contractual arrangements could

reasonably be expected to have a significant effect on the market price or

value of the securities of the reporting issuer.

PART 4 LISTS OF EXEMPTED INSIDERS

4.1 Lists of Exempted Insiders - A reporting issuer shall maintain a list of all insiders

of the reporting issuer exempted from the insider reporting requirement by

section

2.1 and shall maintain a list of all insiders of the reporting issuer exempted from

the insider reporting requirement by

section 3.2.

PART 5 REPORTING OF ACQUISITIONS UNDER AUTOMATIC

SECURITIES PURCHASE PLANS

5.1 Reporting Exemption - Subject to

section 5.2, the insider reporting requirement

does not apply to a director or senior officer of a reporting issuer or of a subsidiary

of the reporting issuer for the acquisition of securities of the reporting issuer

pursuant to an automatic securities purchase plan, other than the acquisition of

securities pursuant to a lump-sum provision of the plan.

5.2 Limitation

(1) The exemption in

section 5.1 is not available to an insider that beneficially

owns, directly or indirectly, voting securities of the reporting issuer, or

exercises control or direction over voting securities of the reporting issuer, or

a combination of both, carrying more than 10 percent of the voting rights

attached to all outstanding voting securities of the reporting issuer.

(2) In Québec, subsection (1) does not apply.

(3) In Québec, the exemption in

section 5.1 is not available to a person who

exercises control over more than 10 percent of a class of shares of a reporting

issuer to which are attached voting rights or an unlimited right to a share of

the profits of the reporting issuer and in its assets in case of winding-up.

5.3 Reporting Requirement - An insider who relies on the exemption from the

insider reporting requirement contained in

section 5.1 shall file a report, in the

form prescribed for insider trading reports under securities legislation, disclosing

each acquisition of securities under the automatic securities purchase plan that has

not previously been disclosed by or on behalf of the insider

(

a) for any securities acquired under the automatic securities purchase plan which

have been disposed of or transferred, within the time required by securities

legislation for filing a report disclosing the disposition or transfer; and

(

b) for any securities acquired under the automatic securities purchase plan

during a calendar year which have not been disposed of or transferred, within

90 days of the end of the calendar year.

PART 6 REPORTING FOR NORMAL COURSE ISSUER BIDS

6.1 Reporting Exemption - The insider reporting requirement does not apply to an

issuer for acquisitions of securities of its own issue by the issuer under a normal

course issuer bid.

6.2 Reporting Requirement - An issuer who relies on the exemption from the insider

reporting requirement contained in

section 6.1 shall file a report, in the form

prescribed for insider trading reports under securities legislation, disclosing each

acquisition of securities by it under a normal course issuer bid within 10 days of

the end of the month in which the acquisition occurred.

PART 7 REPORTING FOR CERTAIN ISSUER EVENTS

7.1 Reporting Exemption - The insider reporting requirement does not apply to an

insider of a reporting issuer whose direct or indirect beneficial ownership of, or

control or direction over, securities of the reporting issuer changes as a result of an

issuer event of the issuer.

7.2 Reporting Requirement - An insider who relies on the exemption from the

insider reporting requirement contained in

section 7.1 shall file a report, in the

form prescribed for insider trading reports under securities legislation, disclosing

all changes in direct or indirect beneficial ownership of, or control or direction

over securities by, the insider for securities of the reporting issuer pursuant to an

issuer event that have not previously been reported by or on behalf of the insider,

within the time required by securities legislation for the insider to report any other

subsequent change in direct or indirect beneficial ownership of, or control or

direction over, securities of the reporting issuer.

PART 8 EFFECTIVE DATE

8.1 Effective Date - This National Instrument comes into force on May 15, 2001.

REPEAL OF

ALBERTA SECURITIES COMMISSION

RULE

Section 184 of the Alberta Securities Commission Rules is repealed, with effect on May

15, 2001.

Amendments to the Alberta Securities Commission Rules

Relating to the Conduct of Take-Over Bids and Issuer Bids

(Effective March 31, 2001)

1. The Rules are amended by adding the following after

section 181.92

Time Periods

181.93 For the purpose of

(

a) both of sections 135(

c) and (

d) of the Act, the period of time referred

to in those provisions shall be 35 days;

(

b) section 135(e)(ii) of the Act, the period of time referred to in that

provision from the date of a notice of change or variation under

section 137 or 137.1 of the Act shall be 10 days;

(

c) section 135(e)(iii) of the Act, the period of time referred to in that

provision shall be 3 business days after being taken up;

(

d) section 135(

k) of the Act, the period of time referred to in that

provision after the expiry of the bid shall be 10 days;

(

e) section 135(

l) of the Act, the period of time referred to in that

provision after the taking up of the securities deposited under the bid

shall be 3 business days;

(

f) section 135(

m) of the Act, the period of time referred to in that

provision after the deposit of the securities under the bid shall be 10

days;

(g)

section 138(1) of the Act, the period of time referred to in that

provision shall be 15 days after the date of the bid;

(h)

section 138(4) of the Act, the period of time referred to in that

provision shall be 7 days before the scheduled expiration of the

period during which securities may be deposited under the bid; and

(i)

section 140(7)(

c) of the Act, the period of time referred to in that

provision shall be 2 business days after the offeror s receipt of the list

of holders of securities referred to in

section 135.
