S) APPENDIX C

1 In this Appendix, "annexed land" means the land described in Appendix

A and shown on the sketch in Appendix B.

2 Any taxes owing to The County of Lethbridge No. 26 on December 31,

1997 in respect of the annexed land are transferred to and become payable

to The Town of Coaldale together with any lawful penalties and costs levied

in respect of those taxes, and The Town of Coaldale upon collecting those

taxes, penalties or costs must pay them to The County of Lethbridge No. 26.

3 The assessor for The Town of Coaldale must assess in 1997, for the

purpose of taxation in 1998, the annexed land and the assessable

improvements to it.

4 For taxation purposes in 1998 and subsequent years, the annexed land

and the assessable improvements to it must be assessed and taxed by The

Town of Coaldale on the same basis and as if they had remained within The

County of Lethbridge No. 26.

Section 4 ceases to apply to a parcel of the annexed land and the

assessable improvements to it in the first complete taxation year

immediately following the taxation year in which the event or circumstance

referred to in subsection 2(

a) or (

b) occurs.

(2) Subsection (1) applies to a parcel of the annexed land and the

assessable improvements to it if either or both of the following occur

after December 31, 1997 at the request of, or on behalf of, the landowner:

(

a) the parcel of land is the subject of a subdivision or

separation of title, whether by registered plan of subdivision, by

instrument or any other method whereby a new parcel of land, including the

residual parcel, is created;

(

b) the parcel of land is redesignated, pursuant to The Town of

Coaldale Land Use Bylaw, to a use other than that existing on December 31,

Re: Exploratory Wells Proposed to Be Drilled Below The Top of

The Precambrian in the Specified Area, Herein Called

"Precambrian Test Wells"

Her Majesty the Queen in right of Alberta, as represented by

the Minister of Energy, hereinafter referred to as "the Minister", proposes

the following agreement with Rathborne Energy Inc., a body corporate

incorporated under the laws of Louisiana, and registered to carry on

business in the Province of Alberta, hereinafter referred to as "the

Company", with respect to the above subject matter:

1(1) In this Agreement,

(a) "Licence" means a petroleum and natural gas licence

issued pursuant to this Agreement under the Mines and Minerals Act, R.S.A.

c. M-15 and one of either the Petroleum and Natural Gas Agreements

Regulation or the Petroleum and Natural Gas Tenure Regulation;

(b) "Mines and Minerals Act" means the Mines and Minerals

Act, R.S.A. c. M-15, as amended or replaced by the Legislature of Alberta

in whole or in part from time to time;

(c) "Petroleum and Natural Gas Agreements Regulation" means

Alberta Regulation 188/85 as amended or replaced in whole or in part from

time to time and includes any successor regulation to the Petroleum and

Natural Gas Agreements Regulation;

(d) "Precambrian" means the Precambrian zone described in

Zone Designation No. 3835 which is attached to this Agreement as

Schedule

"B";

(e) "Precambrian Test Well" means a well drilled within the

Specified Area that reaches total depth below the top of the Precambrian in

the Specified Area;

(f) "Specified Area" means the areas outlined and identified

as Blocks "A" and "B" on the plat attached hereto as

Schedule "A".

(2) Schedules "A" and "B"are by this reference incorporated into

and made a part of this Agreement as fully and effectively as if they were

set forth in the body of this Agreement.

(3) In this Agreement, words importing the singular include the

plural and vice versa; words importing male persons include female persons

and vice versa; and words importing persons include partnerships, bodies

corporate and bodies politic, all as the context requires.

2. Subject to

section 3, the Effective Date of this Agreement is , (herein called the "Effective Date"). Subject to the

earlier termination of this Agreement under

section 8, the term of this

Agreement is 7 years from the Effective Date.

3. The application for this Agreement shall be accompanied by a fee of

$450. This Agreement shall not be considered to be issued until that fee

is paid.

4. The Company shall, in respect of each year of this Agreement, submit

to the Minister an exploration work report setting forth in detail all

expenditures made on petroleum and natural gas exploration within the

Specified Area during that year. The Minister shall determine the

allowable amount of those expenditures for the purpose of

section 5 and

that allowable amount shall be the "Approved Rental Credit for that year of

this Agreement" for the purpose of the annual rental calculation under

section 5.

5. No annual rental is payable by the Company in respect of the first

two years of this Agreement. The annual rental payable by the Company in

respect of each of the remaining five years of this Agreement shall be

calculated as follows:

rental per hectare ($3.50) - Approved Rental Credit for that Year of this

Agreement

6. The Minister will withdraw from disposition all petroleum and natural

gas below the top of the Precambrian in the Specified Area until the

earliest of the following dates:

(

a) the date on which the term of this Agreement expires;

(

b) the date on which the Company advises that it has

completed the drilling of Precambrian Test Wells and the process of

selecting Licenses pursuant to

section 7(1) of this Agreement;

(

c) the date of termination of this Agreement pursuant to

section 8.

7(1) In respect of each Precambrian Test Well drilled under a license

under the Oil and Gas Conservation Act that, in the opinion of the

Minister, evaluates petroleum or natural gas below the top of the

Precambrian in the Specified Area,

(

a) the Company may select 32 conterminous sections, and

(

b) upon being notified of a selection conforming to

subsection (1)(

a) and subject to subsection (2), the Minister shall issue

to the Company a License in respect of the sections selected.

(2) Each License issued under this

section shall

(

a) be issued for a fee of $450 payable by the Company on the

issuance of the License,

(

b) have a term of 4 years and a term commencement date no

later than , ,

(

c) convey rights in respect of petroleum and natural gas

below the top of the Precambrian within the conterminous sections selected

for and comprising the Licence, and

(

d) have a location, boundaries and configuration that are

acceptable to, and have been approved by, the Minister.

(3) Each License issued to the Company under this

section and the

issuing or granting of petroleum and natural gas leases out of each such

License will in all respects be subject to, and governed by, the provisions

of the Mines and Minerals Act, the Petroleum and Natural Gas Agreements

Regulation, and all other regulations under the Mines and Minerals Act that

relate to or affect Licences or the petroleum or natural gas produced

pursuant to Licences.

(4) The processing for issuing each petroleum and natural gas lease

out of, and each petroleum and natural gas lease issued out of, a License

granted to the Company under subsection (1) of this

section will in all

respects be subject to, and governed by, the provisions of the Mines and

Minerals Act, the Petroleum and Natural Gas Agreements Regulation and all

other regulations under the Mines and Minerals Act that relate or affect

Crown petroleum and natural gas leases or the petroleum or natural gas

produced pursuant to such leases.

8(1) If the Company has breached, or been in default of, any term,

condition or provision of this Agreement, the Minister may

(

a) send a notice by mail to the Company stating the nature

of the default or breach and that the Minister will terminate this

agreement if the default or breach is not remedied before the end of the

60-day period following the date on the notice, and

(

b) terminate this Agreement if the default or breach is not

remedied within the 60-day period referred to in clause (a).

(2) Notwithstanding subsection (1) and (2) of this section, any

obligation, duty or liability of the Company incurred under this Agreement

before this Agreement terminates and subsisting or not fully carried out at

the time when this Agreement terminates, survives the termination of this

Agreement.

If the foregoing is in accordance with your understanding of

our agreement with respect to the above matters, and you concur with and

signing both copies of this Agreement in the space indicated below for your

Company and return both signed copies of this Agreement to me at the

address indicated above.

APPENDIX

1 In this Order

(a) "Crown" means the Crown in right of Alberta;

(b) "Minister" means the Minister of Energy.

2 The Lieutenant Governor in Council authorizes the Minister on behalf

of the Crown to enter into the contracts listed in the

Schedule respecting

the royalty reserved to the Crown on the minerals recovered and any other

matter that the Minister considers to be necessarily incidental to, in

relation to or in connection with royalty reserved to the Crown.

3 Notwithstanding

section 2, the Minister is not authorized to enter

into a contract listed in the

Schedule unless the contract

(

a) prescribes the royalty to the Crown as 1% of substances

recovered, or obtained from substances recovered, from well events pursuant

to agreements granting oil sands rights within an area included in the

scheme for recovery of crude bitumen approved in an approval granted by the

Alberta Energy and Utilities Board, and

(

b) has a term commencing on the first day of the calendar

month immediately following the date of the approval granted by the Alberta

Energy and Utilities Board and ending not later than July 31, 1998.

4 The Lieutenant Governor in Council authorizes the Minister on behalf

of the Crown with respect to the agreements referred to in Order in Council

numbered O.C. 179/96 and clause (

a) of Order in Council numbered O.C.

574/96 to enter into agreements to extend the term of those agreements to

no later than July 31, 1998.
