APPENDIX

ASSIGNMENT AND NOVATION AGREEMENT

THIS AGREEMENT made the 1st day of October, 1999.

AMONG:

AMOCO CANADA RESOURCES COMPANY, a body corporate, incorporated under the

laws of the Province of Nova Scotia, having an office in the City of

Calgary, in the Province of Alberta, (hereinafter called "Amoco")

- and -

CANADIAN NATURAL RESOURCES LIMITED, a body corporate, incorporated under

the laws of the Province of Alberta, having an office in the City of

Calgary, in the Province of Alberta, (hereinafter called "CNRL")

- and -

HER MAJESTY THE QUEEN IN RIGHT OF THE PROVINCE OF ALBERTA, as represented

by the Minister of Resource Development, (hereinafter called the "Crown")

WHEREAS:

A. BP Resources Canada Limited, Petro-Canada Inc. and the Crown were the

original parties to the agreement entitled the "Alberta Wolf Lake Crown

Agreement", which was authorized by Order in Council 966/84, and the

"Alberta Wolf Lake Crown Amendment Agreement", which was authorized by

Order in Council 239/88, (hereinafter collectively referred to as the

"Crown Agreement").

B. Amoco Canada Resources Ltd. became a party to the Crown Agreement by

virtue of assignments by BP Resources Canada Limited and Petro-Canada Inc.

to Amoco Canada Resources Ltd. of their respective Participating Interests

(as that term is defined in the Crown Agreement) under the Crown Agreement,

pursuant to an Assignment and Novation Agreement, which was authorized by

Order in Council 633/92.

C. Amoco Canada Resources Ltd., by a certificate of Amalgamation dated

July 1, 1999, amalgamated with 3029542 Nova Scotia Company to form Amoco

Canada Resources Company.

D. Amoco pursuant to a Sale Agreement dated August 5th, 1999 (the "Sale

Agreement") has agreed to sell all of its rights to the Wolf Lake Project,

as defined in the Crown Agreement, to CNRL effective October 1, 1999 (the

"Effective Assignment Date").

E. CNRL has agreed to assume all of the obligations and liabilities of

Amoco under the Crown Agreement as and from the Effective Assignment Date

and Amoco has agreed to assign to CNRL all benefits and rights under the

Crown Agreement as and from the Effective Assignment Date.

F. The Crown is willing to recognize and accept CNRL as a party to the

Crown Agreement in the place and stead of Amoco.

G. The Crown is willing to consent to the within assignment.

THEREFORE in consideration of the premises and mutual covenants and

agreements contained herein, the parties hereto mutually covenant and agree

as follows:

1. Amoco hereby assigns its entire Participating Interest and all of its

rights, title and interest in and under the Crown Agreement and all

benefits and advantages derived or to be derived therefrom to CNRL,

effective as of the Effective Assignment Date, to be held from and after

the Effective Assignment Date by CNRL, for its sole use and benefit

Agreement.

2. CNRL hereby accepts the within assignment and covenants and agrees

that on and after the Effective Assignment Date it shall be bound by and

observe and perform the covenants and agreements of Amoco contained in the

Crown Agreement and shall assume all the obligations and liabilities of

Amoco arising or accruing under the Crown Agreement from and after the

Effective Assignment Date, as if it had been named as a party thereto in

the place and stead of Amoco.

3. The Crown, from and after the Effective Assignment Date, hereby

approves of the within assignment by Amoco to CNRL of Amoco's entire

Participating Interest and all of its rights, title and interest in and

under the Crown Agreement and all benefits and advantages derived or to be

derived therefrom and consents to the within assignment and novation and

accepts CNRL as a party to the Crown Agreement, and does hereby covenant

and agree that CNRL shall be entitled to hold and enforce all the rights,

privileges and benefits of Amoco under the Crown Agreement. The Crown

Agreement shall continue in full force and effect with CNRL substituted as

a party thereto in the place and stead of Amoco as of the Effective

Assignment Date.

4. The Crown, from and after the Effective Assignment Date, does hereby

release and discharge Amoco of its duties and obligations under the Crown

Agreement with respect to its Participating Interest that have been

assigned to CNRL, but Amoco shall remain liable for the performance of any

unfulfilled duties and obligations in respect of the Participating Interest

which have arisen in respect of the Crown Agreement prior to the Effective

Assignment Date.

5. CNRL expressly acknowledges that in all matters relating to the Crown

Agreement subsequent to the Effective Assignment Date and prior to the

execution of this Agreement by the Crown, including but not limited to all

accounting, conduct of operations and disposition of production thereunder,

Amoco has been acting as a trustee for and duly authorized agent of CNRL,

and CNRL does hereby expressly ratify, adopt and confirm all acts or

omissions of Amoco in its capacity as trustee and agent, to the end that

all acts or omissions shall for the purposes hereunder be deemed as having

been made or done by CNRL.

6. Amoco and the Crown hereby give their consent to the appointment of

CNRL as the new Operator under the Crown Agreement and, notwithstanding the

terms of the Crown Agreement, confirm that CNRL shall be vested as and from

the Effective Assignment Date with all rights and obligations of the

Operator under the Crown Agreement.

7. The address of CNRL for notices and other communications under the

Crown Agreement shall be:

8. This clause has been intentionally deleted.

9. Each of Amoco and CNRL shall, from time to time and at all times

hereafter, without further consideration, do and perform all such further

acts, and execute and deliver all such further assignments, notices,

releases and other documents and instruments, as may reasonably be required

to more fully effect or assure the assignment and novation as provided

herein.

10. This Agreement shall enure to the benefit of and be binding upon the

parties hereto and their respective successors and permitted assigns.

11. This Agreement may be executed in any number of counterparts and all

counterparts together shall constitute one agreement.

section 16, subsection (9) of that Act,

no person shall destroy, disturb, alter, restore, or repair any Provincial

Historic Resource or remove any historic object from a Provincial Historic

Resource without the written approval of the Minister.

3. further give notice that the following provisions of that Act now

apply in cases of sale or inheritance of the above mentioned resource:

(11) the owner of an historic resource that is subject to an order

under subsection (1) shall at least 30 days prior to the sale or any other

disposition of the historic resource, serve notice of the proposed or other

disposition upon the Minister.

(12) when a person inherits an historic resource that is subject to

an order under subsection (1), that person shall notify the Minister of the

inheritance within 15 days of the historic resource being transferred to

him.

City of Calgary makes no representation and gives no warranty whatsoever as
