WHEREAS the Diocesan Council of the Synod of Fredericton and The Rothesay Collegiate School pray that it be enacted as hereinafter set forth; THEREFORE, Her Majesty, by and with the advice and consent of the Legislative Assembly of New Bruns- wick, enacts as follows:

Definitions 1 The following

definitions apply in this Act, unless the context otherwise requires. “annual meeting” means the annual meeting of Gover- nors. (assemblée annuelle) “Bishop” means the person holding the office of The Bishop of Fredericton as defined in the Anglican Church Act, 2003. (évêque) “Board” and “Board of Directors” means the Board of Directors of the Corporation constituted under

section 3. (conseil) “Body Corporate” means the body corporate created under the name of The Rothesay Collegiate School by

section 2. (corporation) “Governors” means the members of the Corporation as constituted under

section 10. (gouverneurs) “School” means the Rothesay Netherwood School op- erated by the Corporation. (école) Body Corporate Continued 2 The Body Corporate incorporated by

chapter 63 of the Acts of New Brunswick, 1930, and amended by

chapter 96 of the Acts of New Brunswick, 1963, is hereby contin- ued as a body corporate and politic without share capital under the name “Rothesay Netherwood School” with, subject to this Act, all of the capacity, rights, powers and privileges of a natural person.

Board of Directors of the Corporation 3 There shall be constituted a Board of Directors, con- sisting of a minimum of 11 and a maximum of 15 directors as determined in accordance with the by-laws, for the pur- pose of governing, administering and managing or super- vising the government, administration and management of the Corporation. 4 The directors of the Corporation shall be elected by the Governors from among their number at the annual meeting in accordance with the by-laws. 5 Directors may hold office for a term expiring not later than the close of the third annual meeting following their election and, subject to the by-laws, retiring directors may be re-elected. 6 The Board of Directors may by resolution make, re- peal or amend by-laws to regulate the conduct of the busi- ness and affairs of the Corporation provided that no action shall be taken in respect of any by-law made, repealed or amended until ratified by the Governors in accordance with the by-laws. 7 The Board may, from time to time, in such amounts and on such terms as it considers expedient: (

chapitre 96 des Lois du Nouveau-Brunswick de 1963, est prorogée en personne morale sans capital social nommée « Rothesay Netherwood School » et jouissant, sous ré- serve des autres dispositions de la présente loi, de la capa- cité, des droits, des pouvoirs et des privilèges d’une per- sonne physique.

Conseil de la corporation 3 Composé de 11 à 15 administrateurs selon les pres- criptions des règlements administratifs, le conseil d’admi- nistration a pour mandat de diriger, d’administrer et de gé- rer la corporation, ou d’en surveiller la direction, l’administration et la gestion. 4 Les administrateurs de la corporation sont élus par les gouverneurs et parmi eux, à l’assemblée annuelle, confor- mément aux règlements administratifs. 5 Les mandats des administrateurs expirent au plus tard à la clôture de la troisième assemblée annuelle suivant leur élection; sous réserve des règlements administratifs, ils sont rééligibles. 6 Le conseil peut par résolution prendre, abroger ou mo- difier des règlements administratifs aptes à réglementer la conduite de l’activité et des affaires de la corporation, étant entendu qu’aucune mesure ne peut être prise relati- vement à un règlement administratif pris, abrogé ou mo- difié tant qu’il n’a pas été ratifié par les gouverneurs en conformité avec les règlements administratifs. 7 Le conseil, libre de juger des sommes nécessaires et des conditions applicables, peut au besoin :

a) emprunter de l’argent sur le crédit de la corpora- tion;

b) issue, reissue, sell or pledge debt obligations of the Corporation; (

c) charge, mortgage, hypothecate, pledge or other- wise create a security interest in all or any currently owned or subsequently acquired, moveable or immov- able property of the Corporation, to secure any debt ob- ligation or any money borrowed or other debt or liabil- ity of the Corporation; or (

d) give a guarantee on behalf of the Corporation to secure performance of an obligation of another person. 8 Every director and officer of the Corporation in exer- cising their powers and discharging their duties shall: (

a) act honestly and in good faith with a view to the best interests of the Corporation; and (

b) exercise the care, diligence and skill that a reason- ably prudent person would exercise in comparable cir- cumstances. 9 The first directors of the Corporation shall be those members of the executive committee of the board of gov- ernors of the Body Corporate as constituted on the day this Act comes into force for a term of office equal to their re- spective unexpired terms in such capacity.

Governors of the Corporation 10 The members of the Corporation shall consist of up to 40 Governors elected or appointed in accordance with this Act, for such time and as otherwise provided in the by-laws. 11 A maximum of six Governors, at any time, shall be appointed by the Bishop. 12 A maximum of 34 Governors, at any time, shall be elected by the Governors at the annual meeting. 13 In the event of a vacancy caused by the death, resig- nation or inability to act of any Governor, such vacancy may be filled in the manner specified in

section 11 if such Governor was appointed thereunder, or

section 12 if such Governor was elected thereunder, as the case may be. 14 The Governors shall not, as such, be liable or other- wise responsible for any act, default, liability, or obliga- tion of the Corporation or for any engagement, claim, pay-

b) émettre, réémettre, vendre ou engager des obliga- tions de la corporation;

d) se porter garant des obligations d’une autre per- sonne au nom de la corporation. 8 Il incombe à chacun des administrateurs et des diri- geants de la corporation, dans l’exercice de ses pouvoirs et l’accomplissement de ses fonctions :

a) d’agir avec intégrité et de bonne foi au mieux des intérêts de la corporation;

b) d’exercer le même soin, la même diligence et la même habileté dont une personne raisonnablement pru- dente ferait preuve dans des circonstances compa- rables. 9 Les premiers administrateurs de la corporation sont les membres du comité de direction du conseil des gou- verneurs de la personne morale qui est en fonction au mo- ment de l’entrée en vigueur de la présente loi; leur mandat se poursuit jusqu’à l’expiration prévue de leur charge.

Les gouverneurs 10 Les membres de la corporation sont les gouver- neurs – 40 au plus – élus ou nommés en conformité avec la présente loi pour la durée et de la manière fixées par rè- glement administratif. 11 L’évêque nomme six au plus des gouverneurs en fonction. 12 Les gouverneurs élisent 34 au plus des gouverneurs en fonction, à une assemblée annuelle. 13 Toute vacance pour cause de décès, de démission ou d’empêchement d’un gouverneur peut être comblée conformément aux articles 11 ou 12, selon que le gouver- neur a été nommé ou élu. 14 Les gouverneurs n’ont pas à répondre, en cette qua- lité, des actes, omissions, dettes ou obligations de la cor- poration, ni des engagements, réclamations, paiements,

Loi sur la Rothesay Netherwood School ment, loss, injury, transaction, matter or thing relating to or connected with the Corporation. 15 The first Governors shall be those members of the board of governors of the Body Corporate as constituted on the day this Act comes into force for a term equal to their respective unexpired terms of such office. Visitor 16 The Bishop shall be the visitor to the School in rela- tion to the religious and liturgical activities of the School.

Meetings 17 Meetings of Governors may be called and held as stipulated in the by-laws provided that there shall be an annual meeting in each calendar year to receive and con- sider the financial statements of the Corporation and the auditor’s report thereon, elect directors, appoint an auditor and conduct such other business as may be properly brought before the annual meeting. 18 Each of the following matters shall require the prior adoption of a by-law approved by the votes of Governors representing at least two-thirds of the votes cast at a meet- ing of Governors duly called for considering the same: (

a) the sale, lease or exchange of all or substantially all of the property of the Corporation; (

b) the amalgamation of the Corporation or the School with any other Corporation or entity; or (

c) a petition or application on behalf of the Corpora- tion to amend this Act. Transitional 19 On the date on which the Body Corporate was con- tinued under this Act: (

a) this Act is deemed to be the Act pursuant to which the Corporation was incorporated; (

b) the Corporation possesses all the property, rights, privileges and franchises and is subject to all the liabil- ities, including civil, criminal and administrative, and all contracts, disabilities and debts of the Body Corpo- rate; pertes, dommages, opérations, dossiers ou autres choses liées à la corporation. 15 Les premiers gouverneurs sont les membres du conseil des gouverneurs de la personne morale qui est en fonction au moment de l’entrée en vigueur de la présente loi; leur mandat se poursuit jusqu’à l’expiration prévue de leur charge.

Visite de l’école 16 Il appartient à l’évêque d’effectuer la visite de l’école du point de vue des activités religieuses et liturgiques de celle-ci.

Assemblées 17 Des assemblées des gouverneurs peuvent être convo- quées et tenues conformément aux règlements administra- tifs, étant entendu qu’une assemblée annuelle a lieu dans chaque année civile dans le but de recevoir et d’étudier les états financiers de la corporation ainsi que le rapport d’au- dit s’y rapportant, d’élire les administrateurs, de nommer un auditeur et de délibérer sur toute question qui ressortit à l’assemblée annuelle. 18 Les décisions suivantes doivent se prendre par règle- ment administratif adopté aux deux tiers des voix expri- mées à une assemblée des gouverneurs convoquée à cette fin :

a) la vente, la location ou l’échange de la totalité, du moins en substance, des biens de la corporation;

b) le regroupement de la corporation ou de l’école avec toute autre corporation ou entité;

c) la présentation d’une demande de modification de la présente loi au nom de la corporation. Dispositions transitoires 19 À la date de prorogation de la personne morale sous le régime de la présente loi :

a) la présente loi est réputée être la loi constitutive de la corporation;

b) la corporation jouit de tous les biens, droits, privi- lèges et concessions de la personne morale, et est assu- jettie à l’ensemble de ses responsabilités – notamment civiles, criminelles et administratives –, de ses contrats, de ses incapacités et de ses dettes;

c) a conviction against, or a ruling, order or judg- ment in favour of or against, the Body Corporate may be enforced by or against the Corporation; (

d) the Corporation shall be deemed to be a party plaintiff or party defendant, as the case may be, in any civil action commenced by or against the Body Corpo- rate; and (

e) all the rights, powers, authority and privileges of the Body Corporate under any will, codicil or other tes- tamentary document or under any trust, trust deed, deed, mortgage, lease, contract, agreement, enactment, judgment, law, decree, order or other document are vested in and exercisable by the Corporation. Repeal 20

c) toute condamnation prononcée contre la personne morale ou toute décision, ordonnance ou jugement pro- noncé en faveur ou contre elle pourra faire l’objet de mesures d’exécution à l’initiative de la corporation ou contre elle;

d) la corporation sera réputée être une

partie deman- deresse ou défenderesse, selon le cas, dans toute pour- suite civile engagée par ou contre la personne morale;

e) sont dévolus à la corporation et peuvent être exer- cés par elle tous les droits, pouvoirs et privilèges de la personne morale découlant d’un testament, d’un codi- cille ou de quelque autre acte testamentaire, ou encore d’une fiducie, d’un acte de fiducie, d’un acte forma- liste, d’un acte hypothécaire, d’un bail, d’un contrat, d’une convention, d’un texte législatif ou réglemen- taire, d’un jugement, d’une règle de droit, d’un décret, d’une ordonnance ou de quelque autre document. Abrogation 20 La loi intitulée
