The Lieutenant Governor in Council authorizes the Minister of Energy, on

behalf of the Crown in right of Alberta, to enter into the following

agreements in the forms attached:

(

a) the Alberta CNRL Beartrap Transition Crown Agreement,

(

b) the Alberta Leming and May Crown Agreement, and

(

c) the Alberta Reita Lake (Phases I to IV) Transition Crown Agreement.

ALBERTA CNRL BEARTRAP TRANSITION CROWN AGREEMENT

THIS AGREEMENT dated as of the day of

1999,

BETWEEN:

HER MAJESTY THE QUEEN IN RIGHT OF THE PROVINCE OF ALBERTA (herein "Her

Majesty") as represented by the Minister of Energy

- and -

CANADIAN NATURAL RESOURCES LIMITED (herein "CNRL")

WHEREAS Her Majesty and CNRL wish to enter into this Agreement (the

"Alberta CNRL Beartrap Transition Crown Agreement") to evidence their

agreement for a transitional period concerning the royalty to be received

by Her Majesty on Leased Substances recovered or obtained pursuant to the

Leases during the Term.

NOW THEREFORE the parties agree as follows:

ARTICLE 1 -

DEFINITIONS

101(1) In this Agreement:

(a) "Board Approval" means Approval No. 8162, as amended,

issued by the Alberta Energy and Utilities Board pursuant to the Oil Sands

Conservation Act;

(b) "Generic Royalty Regulation" means the Oil Sands Royalty

Regulation, 1997 (Alta. Reg. 185/97), as amended;

(c) "Leases" means all Government of Alberta oil sands

permits and leases issued pursuant to the Mines and Minerals Act covering,

from time to time, the lands included in the Board Approval, together with

any extensions or renewals, and any documents of title issued in

substitution for those oil sands permits and leases;

(d) "Leased Substances" means all substances recovered, or

obtained from substances recovered, pursuant to the Leases;

(e) "Lessee" means CNRL, or such other Person or Persons who

is or are, from time to time, the registered lessee or lessees of the

Leases under the Mines and Minerals Act, as recorded in the records of the

Department of Energy of the Province of Alberta;

(f) "Regulation" means the Oil Sands Royalty Regulation, 1984

(Alta. Reg. 166/84), as amended;

(g) "Term" means the period commencing January 1, 1997 and

ending June 30, 1997.

101(2) In the event Approval No. 8162 has been amended during

the Term this Agreement shall only apply to Leased Substances recovered or

obtained on and after the date of the amendment from the Leases covered by

the amendment.

ARTICLE 2 -

INTERPRETATION

201. The headings of the Articles of this Agreement are inserted for

convenience of reference only and do not affect the meaning or construction

of this Agreement.

202. Terms defined in the Mines and Minerals Act, the Generic

Royalty Regulation and the Regulation have the same meaning in this

Agreement, unless otherwise required by the context in which they are used.

203. The provisions of this Agreement supplement the provisions of

the Leases and shall be deemed to be incorporated in the Leases, but in the

event of any conflict between the provisions of this Agreement and of the

Leases, the provisions of this Agreement shall prevail to the extent of the

conflict.

ARTICLE 3 - ROYALTY DURING THE TERM

301. Despite

section 1 of the Regulation, the royalty reserved and

payable to Her Majesty in respect of Leased Substances recovered or

obtained during each month of the Term shall be the royalty payable under

the Generic Royalty Regulation as if:

(

a) the Generic Royalty Regulation was in force on and after

January 1, 1997, and

(

b) the Leases were included in an approved "Project" under

the Generic Royalty Regulation.

302. For the purposes of

section 301 herein:

(

a) the Term shall be a "post-payout Period";

(

b) the description of the "Project" for the purposes of

section 16(2)(a)(

I) of the Generic Royalty Regulation is: The CNRL Beartrap

Project is a primary recovery scheme for the recovery of crude bitumen from

the Cold Lake Grand Rapids Oil Sands Deposits in the Cold Lake Sector

approved in Approval 8162 granted by the Alberta Energy and Utilities Board

pursuant to the Oil Sands Conservation Act and includes the surface areas

and facilities included in that Approval;

(

c) the effective date of the "Project" for the purposes of

section 16(2)(a)(ii) of the Generic Royalty Regulation is January 1, 1997;

(

d) the prior net cumulative balance of the "Project" for the

purposes of

section 16(2)(a)(iii) of the Generic Royalty Regulation is nil

dollars ($ 0) on January 1, 1997, and for greater certainty no costs in

respect of the Project incurred prior to January 1, 1997 shall be

recognized for the purposes of calculating royalty;

(

e) the "Project" is not a Qualifying Joint Venture;

(

f) the initial operator of the Project is CNRL.

(1) In this section, "excess royalty" means the excess

of the quantity of royalty paid by the Lessee in respect of Leased

Substances recovered or obtained during the part of the Term preceding the

date of this Agreement, over the quantity of royalty reserved and payable

to Her Majesty in respect of such Leased Substances under

section 301.

(2) Subject to subsection (3), Her Majesty may repay any

amounts received by Her Majesty under

section 2(1)(

c) of the Regulation in

respect of the excess royalty, but is not liable to pay any interest in

respect of such amounts or in respect of the excess royalty.

(3) Despite

section 301 of this Agreement and

section 1 of

the Regulation, the Lessee may:

(

a) set-off against the royalty first reserved and

payable to Her Majesty in respect of Leased Substances recovered or

obtained from and after the date of this Agreement, a quantity of oil sands

equal to the excess royalty, or

(

b) request a repayment by Her Majesty of the excess

royalty.

ARTICLE 4 - GENERIC ROYALTY REGULATION

401. On July 1, 1997 the Generic Royalty Regulation shall apply to

the "Project" described in subsection 302(

b) of this Agreement as if:

(

a) that "Project" was a Project approved by the

Minister under

section 16 of the Generic Royalty Regulation;

(

b) the effective date of the "Project" for the purposes of

section

16(2)(a)(ii) of the Generic Royalty Regulation is July 1, 1997 identified

as approval number OSR027, and

(

c) the matters described in subsections 302(a), (b),

(d), (

e) and (

f) of this Agreement were contained in an approval by the

Minister under

section 16 of the Generic Royalty Regulation.

402. Subsections 302(a), (b), (d), (

e) and (

f) and

section 401 of

this Agreement shall for the purposes of the Generic Royalty Regulation be

considered to be an approval given by the Minister under

section 16 of the

Generic Royalty Regulation; provided however, that all amendments to such

approval or any other matter (except royalty during the Term) shall be

governed by and done under the Generic Royalty Regulation and not under

this Agreement.

ARTICLE 5 - ASSIGNMENTS

(1) A Lessee that is not in default of any of its

duties and obligations under this Agreement may, upon a sale, transfer or

assignment of all or part of its right, title, estate or interest in the

Project into any Person, assign a percentage of its Participating Interest,

not exceeding the percentage of its right, title or interest in the Project

that has been assigned, together with its rights and obligations under this

Agreement, to that Person.

(2) A Lessee who assigns all or part of its Participating

Interest pursuant to subsection (1) remains liable for the performance of

its duties and obligations in respect of that Participating Interest, under

this Agreement and the Lease relating to that Participating Interest, until

Her Majesty approves the assignment in writing, with or without conditions,

which approval shall not be unreasonably withheld and in any event until an

assumption in writing by the assignee, in a form satisfactory to Her

Majesty acting reasonably, of the duties and obligations hereunder in

respect of the assigned interest, has been obtained by Her Majesty.

(3) Upon receiving the approval of Her Majesty under

subsection (2) and providing Her Majesty with the assumption referred to in

that subsection, the Lessee shall be released of its duties and obligations

under this Agreement and the Lease with respect to the portion of its

Participating Interest that has been assigned, but shall remain liable for

the performance of any unfulfilled duties and obligations in respect of the

portion of its Participating Interest that has been assigned which have

arisen in respect of the Project prior to the assignment.

(1) Notwithstanding

section 501, but subject to

subsection (2), if a Lessee assigns an interest in the Project to an

Affiliate, each of the assignor and the assignee shall be jointly and

severally liable for all obligations relating to the assigned interest.

(2) Her Majesty may, in relation to a particular assignment,

agree in writing to release an assignor from its liability under subsection

(1).

503. In this

Article 5

(a) "Affiliate" means any Person, firm, partnership or

association directly or indirectly controlling, controlled by or under

common control with any party. For the purposes of this definition

"control" (including "controlled by" and "under common control with") means

the possession, directly or indirectly, of the power to direct or cause the

direction of the management and policies of a Person, firm, partnership or

association whether through the ownership of voting securities or by

contract or otherwise;

(b) "Participating Interest" means, when used in relation to

a Lessee, the specified undivided interest in the oil sands rights in that

part of a Lease's location that is subject to the Board Approval, held by

that Lessee and registered under the Mines and Minerals Act as recorded in

the records of the Department of Energy of the Province of Alberta;

(c) "Person" means a person who is eligible to become a

lessee of an agreement under the Mines and Minerals Act.

ARTICLE 6 - GENERAL

601. This Agreement shall be construed and interpreted in accordance

with the laws of the Province of Alberta.

602. This Agreement shall enure to the benefit of and be binding

upon each of the parties and their respective successors and assigns.

ALBERTA LEMING and MAY CROWN AGREEMENT

THIS AGREEMENT dated as of the day of

BETWEEN:

HER MAJESTY THE QUEEN IN RIGHT OF THE PROVINCE OF ALBERTA (herein "Her

Majesty") as represented by the Minister of Energy

- and -

IMPERIAL OIL RESOURCES LIMITED (herein "Imperial")

WHEREAS Her Majesty and Imperial wish to enter into this Agreement (the

"Alberta Leming and May Crown Agreement") to evidence their agreement

concerning the royalty to be received by Her Majesty on Leased Substances

recovered or obtained from the Project Well Events pursuant to the Leases;

NOW THEREFORE the parties agree as follows:

ARTICLE 1 -

DEFINITIONS

101. In this Agreement:

(a) "Board Approval" means the former Approval Nos. 5561 (Leming)

and 3369 (May) issued by the Alberta Energy and Utilities Board (formerly

the Energy Resources Conservation Board) pursuant to the Oil Sands

Conservation Act;

(b) "Generic Royalty Regulation" means the Oil Sands Royalty

Regulation, 1997 (Alta. Reg. 185/97), as amended;

(c) "Leases" means all Government of Alberta oil sands permits and

leases issued pursuant to the Mines and Minerals Act covering, from time to

time, the lands included in the Board Approval, together with any

extensions or renewals, and any documents of title issued in substitution

for those oil sands permits and leases;

(d) "Leased Substances" means all substances recovered, or obtained

from substances recovered, from the Project Well Events pursuant to the

Leases;

(e) "Lessee" means Imperial, or such other Person or Persons who is

or are, from time to time, the registered lessee or Lessee of the Leases

under the Mines and Minerals Act, as recorded in the records of the

Department of Energy of the Province of Alberta;

(f) "Project" means the scheme for the recovery of crude bitumen

approved in the Board Approval;

(g) "Project Well Events" means the well events, as defined in the

Regulation, completed pursuant to the Board Approval within the area of the

Project;

(h) "Regulation" means the Oil Sands Royalty Regulation, 1984

(Alta. Reg. 166/84), as amended;

(i) "Term" means the period commencing July 1, 1997 and ending

September 30, 1997.

ARTICLE 2 -

INTERPRETATION

201. The headings of the Articles of this Agreement are inserted for

convenience of reference only and do not affect the meaning or construction

of this Agreement.

202. Terms defined in the Mines and Minerals Act, the Generic Royalty

Regulation and the Regulation have the same meaning in this Agreement,

unless otherwise required by the context in which they are used.

203. The provisions of this Agreement supplement the provisions of the

Leases and shall be deemed to be incorporated in the Leases, but in the

event of any conflict between the provisions of this Agreement and of the

Leases, the provisions of this Agreement shall prevail to the extent of the

conflict.

ARTICLE 3 - ROYALTY PROVISIONS

301. Despite

section 1 of the Regulation, the royalty reserved and payable

to Her Majesty in respect of Leased Substances recovered or obtained during

each month of the Term shall be 1% of the Leased Substances so recovered or

obtained.

(1) In this section, "excess royalty" means the excess of the

quantity of royalty paid by the Lessee in respect of Leased Substances

recovered or obtained during the Term, over the quantity of royalty

reserved and payable to Her Majesty in respect of such Leased Substances

under

section 301.

(2) Subject to subsection (3), Her Majesty may repay any amounts

received by Her Majesty under

section 2(1)(

c) of the Regulation in respect

of the excess royalty, but is not liable to pay any interest in respect of

such amounts or in respect of the excess royalty.

(3) Despite

section 301 of this Agreement and

section 1 of the

Regulation, the Lessee may:

(

a) set-off against the royalty first reserved and payable to

Her Majesty in respect of Leased Substances recovered or obtained from and

after the date of this Agreement, a quantity of oil sands equal to the

excess royalty, or

(

b) request a repayment by Her Majesty of the excess royalty.

ARTICLE 4 - ASSIGNMENTS

(1) A Lessee that is not in default of any of its duties and

obligations under this Agreement may, upon a sale, transfer or assignment

of all or part of its right, title, estate or interest in the Project into

any Person, assign a percentage of its Participating Interest, not

exceeding the percentage of its right, title or interest in the Project

that has been assigned, together with its rights and obligations under this

Agreement, to that Person.

(2) A Lessee who assigns all or part of its Participating Interest

pursuant to subsection (1) remains liable for the performance of its duties

and obligations in respect of that Participating Interest, under this

Agreement and the Lease relating to that Participating Interest, until Her

Majesty approves the assignment in writing, with or without conditions,

which approval shall not be unreasonably withheld and in any event until an

assumption in writing by the assignee, in a form satisfactory to Her

Majesty acting reasonably, of the duties and obligations hereunder in

respect of the assigned interest, has been obtained by Her Majesty.

(3) Upon receiving the approval of Her Majesty under subsection

(2) and providing Her Majesty with the assumption referred to in that

subsection, the Lessee shall be released of its duties and obligations

under this Agreement and the Lease with respect to the portion of its

Participating Interest that has been assigned, but shall remain liable for

the performance of any unfulfilled duties and obligations in respect of the

portion of its Participating Interest that has been assigned which have

arisen in respect of the Project prior to the assignment.

(1) Notwithstanding

section 401, but subject to subsection (2), if

a Lessee assigns an interest in the Project to an Affiliate, each of the

assignor and the assignee shall be jointly and severally liable for all

obligations relating to the assigned interest.

(2) Her Majesty may, in relation to a particular assignment, agree

in writing to release an assignor from its liability under subsection (1).

403. In this

Article 4

(a) "Affiliate" means any Person, firm, partnership or association

directly or indirectly controlling, controlled by or under common control

with any party. For the purposes of this definition "control" (including

directly or indirectly, of the power to direct or cause the direction of

an agreement under the Mines and Minerals Act.

ARTICLE 5 - GENERAL

ALBERTA REITA LAKE (PHASES I to IV)

TRANSITION CROWN AGREEMENT

THIS AGREEMENT IS DATED as of the day of

1999,

BETWEEN:

HER MAJESTY THE QUEEN IN RIGHT OF THE PROVINCE OF ALBERTA as represented by

the Minister of Energy (herein called "Her Majesty")

- and -

KOCH EXPLORATION CANADA, LTD., a body corporate, having an office in the

City of Calgary, in the Province of Alberta (herein called "Koch").

WHEREAS:

A. Her Majesty and Amoco Canada Petroleum Company Ltd. (herein

called "Amoco") entered the "Alberta Soars Lake Crown Agreement", dated

October 24, 1991 and authorized by Order in Council O.C. 782/91.

B. Pursuant to an Assignment and Novation Agreement among Amoco,

Koch and Her Majesty dated March 2, 1992, Her Majesty consented to the

assignment by Amoco of all of its rights under the Alberta Soars Lake Crown

Agreement to Koch and Her Majesty agreed to accept Koch as a party to the

Alberta Soars Lake Crown Agreement in the place of and stead of Amoco

effective December 31,1991.

C. Her Majesty and Koch have also entered into the following

"Crown Agreements":

1. "Alberta Soars Lake Crown Agreement: Amendment Agreement

No. 1", dated September 27, 1993 and authorized by Order in Council 35/95;

2. "Alberta Reita Lake (Phase II) Crown Agreement", dated

February 17, 1995 and authorized by Order in Council O.C. 34/95;

3. "Alberta Reita Lake (Phase I/Soars Lake and Phase II)

Supplementary Crown Agreement" authorized by Order in Council O.C. 179/96;

4. "Alberta Reita Lake (Phase I/Soars Lake and Phase II)

Supplementary Crown Agreement Amendment" authorized by Order in Council

O.C. 574/96;

5. "Alberta Reita Lake (Phases III and IV) Crown Agreement",

authorized by Order in Council O.C. 179/96; and

6. "Alberta Reita Lake (Phases III and IV) Crown Agreement

Amendment" authorized by Order in Council 574/96.

(the agreements described in paragraphs A and C of this Transitional

Agreement called collectively "the Crown Agreements").

D. Pursuant to a Memorandum of Understanding dated July 18, 1997 (herein

called the "Memorandum of Understanding") Her Majesty and Koch set out the

salient principles to be reflected in a contract authorized under

section 9

of the Mines and Minerals Act that would provide for the transition from

the Crown Agreements to the Generic Royalty Regulation.

E. Her Majesty and Koch wish for their mutual benefit to enter into this

agreement (the "Transition Agreement") to evidence their agreement

concerning the matters set out in the Memorandum of Understanding and the

other matters set out in this Transition Agreement. This Transition

Agreement is intended to implement and supersede the Memorandum of

Understanding.

NOW THEREFORE the parties hereto agree as follows:

ARTICLE 1 -

DEFINITIONS

101 In this Transition Agreement :

(a) "CNRL Lands" means the lands described in

Schedule "A"

attached hereto;

(b) "Edward Lake Pooled Lands" means sections 6, 7, 18 and 19

of 63 - 4 - W4M, and sections 1, 11, 12, 13, 14 and 24 of 63 - 5 - W4M;

(c) "Generic Royalty Regulation" means the Oil Sands Royalty

Regulation, 1997 (Alta. Reg. 185/97), as amended;

(d) "Phase I Project" means the "Oil Sands Project" defined

in the Alberta Soars Lake Crown Agreement (as amended by the Alberta Soars

Lake Crown Agreement: Amendment No. 1), but in respect of a Period

occurring after December 31, 1996 does not include any of the CNRL Lands or

any scheme or operation on the CNRL Lands;

(e) "Phase II Project" means the "Oil Sands Project" defined

in the Alberta Reita Lake Phase (Phase II) Crown Agreement, but in respect

of Period occurring after December 31, 1996 does not include any of the

CNRL Lands or any scheme or operation on the CNRL Lands;

(f) "Phases I and II Crown Agreements" means, collectively,

the:

1. Alberta Soars Lake Crown Agreement,

2. Alberta Soars Lake Crown Agreement: Amendment No.

3. Alberta Reita Lake (Phase II) Crown Agreement,

4. Alberta Reita Lake (Phase I/Soars Lake and Phase

II) Supplementary Crown Agreement, and

5. Alberta Reita Lake (Phase I/Soars Lake and Phase

II) Supplementary Crown Agreement Amendment;

(g) "Phases III and IV Crown Agreements" means,

collectively, the:

1. Alberta Reita Lake (Phases III and IV) Crown

Agreement, and

2. Alberta Reita Lake (Phases III and IV) Crown

Agreement Amendment;

(h) "Phases III and IV Project" means the "Project" as

defined in the Alberta Reita Lake (Phases III and IV) Crown Agreement, but

does not include any of the Edward Lake Pooled Lands any scheme or

operation on the Edward Lake Pooled Lands;

(i) "Reita Lake Project" means:

1. from January 1, 1996 to and including December 31,

1996: collectively, the Phase I Project and the Phase II Project;

2. from January 1, 1997 to the end of the Term;

collectively, the Phase I Project, the Phase II Project and the Phases III

and IV Project,

but shall not include any part of any of the Phase I Project,

Phase II Project or Phases III and IV Project that is included in a Project

approved under the Generic Royalty Regulation, from the effective date that

part is included in an approved "Project" under that Regulation;

(j) "Term" means the period commencing January 1, 1996 and

ending the last day of the Month immediately preceding the Month containing

the Date of Project Payout.

ARTICLE 2 -

INTERPRETATION

201. The headings of the Articles of this Transition Agreement

are inserted for convenience of reference only and do not affect the

meaning or construction of this Agreement.

202. Terms defined in the Crown Agreements have the same

meaning in this Transition Agreement, unless defined herein or otherwise

required by the context in which they are used.

203. The provisions of this Transition Agreement supplement

the Leases and shall be deemed to be incorporated in the Leases, but in the

event of any conflict between the provisions of this Transition Agreement

and of the Leases, the provisions of this Transition Agreement shall

prevail to the extent of the conflict.

ARTICLE 3 - OPENING BALANCES for 1996 and 1997

301. For the purposes of this Transition Agreement, the

Allowed Cumulative Project Cost of the Reita Lake Project on January 1,

1996 shall be the aggregate of:

(

a) the Allowed Cumulative Project Cost under the Alberta

Soars Lake Crown Agreement;

(

b) the Allowed Cumulative Project Cost under the Alberta Reita

Lake (Phase II) Crown Agreement, and

subject to

section 602(1) of this Transition Agreement, the

unrecovered capital costs for wells incurred prior to October 1, 1993 in

the Phase II Project on December 31, 1995 as set out in the audited report

required by

section 602(1) herein.

302. For the purposes of this Transition Agreement, the Allowed Cumulative

Project Cost of the Reita Lake Project shall be adjusted effective January

1, 1997 to include the costs incurred in respect of the Phases III and IV

Project:

(

a) from March 1, 1992 to December 31, 1996;

(

b) to the extent those costs would otherwise be Allowed

Cumulative Project Costs under the Alberta Reita Lake (Phase II) Crown

Agreement, and

(

c) to the extent those costs are audited in accordance with

section 309 of the Alberta Reita Lake (Phase II) Crown Agreement.

ARTICLE 4 - ROYALTY PROVISIONS

401(1) Subject to sections 311 and 312 of the Alberta

Reita Lake (Phase II) Crown Agreement incorporated into this Transition

Agreement by

section 502 herein, the royalty reserved to Her Majesty under

the Leases in respect of Leased Substances recovered or obtained from the

Reita Lake Project and which is payable to Her Majesty shall be as follows:

(

a) the royalty payable for each Month commencing January 1,

1996 to and including the Month immediately preceding the Month containing

the Date of Project Payout shall be:

(i) 5% of such Leased Substances where 46,520 cubic meters or

less of such Leased Substances are delivered or deemed to be delivered at

the Location Boundary during a Month in 1996; plus 1% of such Leased

Substances in excess of the first 46,520 cubic meters, where more than

46,520 cubic meters are delivered or deemed to be delivered at the Location

Boundary during a Month in 1996; and

(ii) 5% of such Leased Substances where 22,717 cubic

meters or less of such Leased Substances are delivered or deemed to be

delivered at the Location Boundary during a Month after December 31, 1996;

plus 1% of such Leased Substances in excess of the first 22,717 cubic

meters, where more than 22,717 cubic meters are delivered or deemed to be

delivered at the Location Boundary during a Month after December 31, 1996.

401(2) For the purposes of

section 401(1) of this Transition

Agreement, "deemed" in

section 401(1) means deemed pursuant to

section

301(2) of the Alberta Reita Lake (Phase II) Crown Agreement incorporated by

reference into this Transition Agreement by

section 502 herein.

ARTICLE 5 - CROWN AGREEMENTS

501(1) The Phases I and II Crown Agreements shall apply to

the Phase I Project and to the Phase II Project, as the case may be, in

respect of a Period that precedes January 1, 1996. The Phases I and II

Crown Agreements shall terminate and cease to have any force or effect

during the Term, subject to any outstanding liabilities and obligations and

any accounting, adjustment or audit in respect of any matter concerning the

Phases I and II Crown Agreements which arose prior to January 1, 1996 and

which is done in accordance with the terms thereof.

(2) The Phases III and IV Crown Agreements shall apply to the

Phases III and IV Project in respect of a Period that precedes January 1,

1997. The Phases III and IV Crown Agreements shall terminate and cease to

have any force or effect after December 31, 1996 and during the remainder

of the Term, subject to any outstanding liabilities and obligations and any

accounting, adjustment of audit in respect of any matter concerning the

Phases III and IV Crown Agreements which arose prior to January 1, 1996 and

which is done in accordance with the terms thereof.

502. Despite

section 501 of this Transition Agreement, the provisions of

the Alberta Reita Lake (Phase II) Crown Agreement, including for greater

certainty

Schedule "A: "Allowed Costs", shall be incorporated into this

Transition Agreement, mutatis mutandis

ARTICLE 6 - SPECIFIC AUDITED REPORTS

601. Koch shall, on or before August 31, 1997, provide the Minister the

statements required by

section 309 of each of the Alberta Soars Lake Crown

Agreement and the Alberta Reita Lake (Phase II) Crown Agreement for the

Period ending December 31, 1996 for each of those agreements.

602(1) The Minister shall satisfy himself, through auditing of Koch's

records or otherwise, whether or not $4,309,718 is the correct amount of

Allowed Capital Costs that have not previously been included as Allowed

Capital Costs in respect of the Phase II Project.

602(2) Koch shall cooperate in good faith to enable and assist the

Minister to make the determination in

section 602(1) of this Transition

Agreement.

ARTICLE 7 - GENERIC ROYALTY REGULATION

701. This Transition Agreement shall terminate and cease to have any force

or effect after the last day of the Term for the purposes of royalty to be

received by Her Majesty on Leased Substances recovered or obtained from the

Reita Lake Project; subject to any outstanding liabilities and obligations

and any accounting, adjustment or audit in respect of any matter under this

Transition Agreement which arose prior to the end of the Term and which is

done in accordance with the terms of this Transition Agreement.

702. For the purposes of sections 703 and 704 of this Transition Agreement

and for the purposes of the Generic Royalty Regulation:

(

a) the description of the Project for the

purposes of

section 16(2)(a)(

i) of the Generic Royalty Regulation is: The

Reita Lake Project is described as follows: The Reita Lake Project is a

primary recovery scheme pursuant to which oil sands may be recovered from

the portions of the Cold Lake Grand Rapids Oil Sands that are identified in

Approval No. 7306E granted by the Alberta Energy and Utilities Board on

October 20, 1997 pursuant to the Oil Sands Conservation Act. The Reita Lake

Project includes the oil sands rights, surface areas and facilities

included in that Approval, but excludes the oil sands rights, surface areas

and facilities in the Edward Lake Pooled Lands.

(

b) the effective date of the Project for the

purposes of

section 16(2)(a)(ii) of the Generic Royalty Regulation is the

day immediately following the last day of the Term;

(

c) on the effective date of the Project, a post-payout Period

shall commence;

(

d) the Project is not a Qualifying Joint Venture;

(

e) the initial operator of the Project is Koch.

703. On the day immediately following the last day of the Term the Generic

Royalty Regulation shall apply to the Project described in subsection

702(

a) of this Agreement as if:

(

a) that Project described in subsection 702(

a) was a Project approved by the Minister under

section 16 of the Generic

Royalty Regulation, and

(

b) the matters described in subsections 702(a),

(b), (c), (

d) and (

e) of this Transition Agreement were contained in an

approval by the Minister under

section 16 of the Generic Royalty

Regulation.

704. Subsections 702(a), (b), (c), (

d) and (

e) and

section 703 of this

Transition Agreement shall for the purposes of the Generic Royalty

Regulation be considered to be an approval given by the Minister under

section 16 of the Generic Royalty Regulation; provided however, that all

amendments to such approval or any other matter (except royalty during the

Term) shall be governed by and done under the Generic Royalty Regulation

and not under this Transition Agreement.

705 Despite

section 703 of this Transition Agreement,

section 27 of the

Generic Royalty Regulation will apply to Koch during the Term; provided

however that the first deadline for providing a report required by

section

27 shall be December 15, 1998.

ARTICLE 8 - GENERAL

801(1) Koch shall indemnify and save harmless Her Majesty from any and

all actions, suits, proceedings, claims, costs, and demands which may be

brought against or suffered by Her Majesty, or which Her Majesty may

sustain, pay or incur, by reason of

(

a) any matter or thing arising out of or in any way

attributable to the Reita Lake Project, or

(

b) the operations conducted by Koch or its servants, agents,

employees or contractors with respect to the Reita Lake Project,

but nothing in this

section shall require Koch to indemnify Her

Majesty in respect of any and all actions as enumerated as aforesaid that

are occasioned by, or result from, any act or omission of Her Majesty, or

any agent, employee, servant or contractor of Her Majesty, other than Koch.

(2) The foregoing indemnification shall survive termination of this

Transition Agreement.

802. Koch shall obtain and maintain all regulatory approvals

required for the Reita Lake Project.

803. Each of the parties shall from time to time and at all

times do all further acts and execute and deliver all further documents as

are reasonably required to fully perform this Transition Agreement.

804. Subject to

section 502, the terms of this Transition

Agreement and the

Schedule express and constitute the entire agreement

among the parties and no implied covenant or liability of any kind on any

party's

part is created or shall arise.

805. The amount of any taxes paid, payable or collected under

Part IX of the Excise Tax Act (Canada) in respect of the costs and revenues

of the Reita Lake Project shall for the purposes of this Transition

Agreement be excluded from the determination of Allowed Cumulative Project

Costs, Allowed Operating Costs, Allowed Capital Costs, Deemed Gross

Revenue, Net Revenue, and Unit Price.

806. This Transition Agreement shall be construed and

interpreted in accordance with the law in force in the Province of Alberta.

807. This Transition Agreement shall enure to the benefit of

and be binding upon each of the parties and their respective successors and

assigns.

808. This Transition Agreement is subject to the satisfaction

of the condition precedent, which shall be a condition precedent solely for

the benefit of Her Majesty, that the Lieutenant Governor in Council,

pursuant to

section 9 of the Mines and Minerals Act (Alberta), authorizes

the Minister to execute this Transition Agreement.

Canadian Forces Base Calgary, Currie Barracks, originated as a Depression

aside $1.2 million for the barracks and aerodrome project; a supplementary

program provided a further $400,000. The Base is significant owing to its

association with Alberta's military traditions, the establishment of

permanent forces in the Province, and its role in militia training,

permanent force recruitment and Canadian Forces involvement in World War

II, the Korean War, and a series of United Nations assignments.

It is therefore considered that preservation and protection of the resource

is in the public interest

FINANCIAL INTEREST POLICY

PART 1 - CONTEXT

1.1 Background

The Metis Settlements Act deals with situations where a matter before

council may have a financial effect on a councillor. For example, it

requires a settlement councillor with a financial interest in a matter

before council to tell the council about the interest. It also says an

agreement with a settlement may not be binding if a councillor has a

financial interest in the agreement. To make clearer guidelines possible, a

General Council Policy can define financial interest.1

1.2 Purpose

The purpose of this Policy is to define when a settlement councillor

has a financial interest in a matter before council or in an agreement with

a settlement.

1.3

Definitions

In this Policy,

Act means the Metis Settlements Act;

councillor means a member of a settlement council;

distributing corporation means a corporation with more than 15

shareholders that has distributed shares, or securities that could become

shares, to the public;

family member, when used in connection with a councillor, means

a spouse, father, mother, brother, sister, or child of the councillor;

non-profit organization means

(

i) a society, credit union or cooperative established under

a law of Canada or Alberta,

(ii) a corporation that is prohibited from paying dividends to

its members and distributing the assets to its members on a winding-up, or

(iii) any other entity established under a law of Canada or

Alberta for a purpose other than to make a profit;

related person of a councillor means

(

i) a family member,

(ii) a corporation, other than a distributing corporation, of

which the councillor or a family member is a shareholder, director or

officer,

(iii) a distributing corporation in which the councillor or a

family member beneficially owns voting shares carrying at least 10% of the

voting rights attached to the voting shares of the corporation or of which

the councillor or a family member is a director or officer,

(iv) a partnership or firm of which the councillor or a family

member is a member, or

(

v) an employer of the councillor or a family member.

spouse of a person means an individual who is married to the

person, or lives with the person as husband or wife outside marriage, and

is not living apart from the person under a written separation agreement or

court order;

and all other terms defined in the Act, or in regulations under it,

have the same meaning when used in this Policy, unless the context makes

such an

interpretation unreasonable.

Footnotes are part of the Policy included to help with

interpretation.

PART 2 - FINANCIAL INTEREST

2.1 Basic rule

(1) A councillor has a financial interest in a matter before

council if he or she can reasonably be expected to know that a decision on

the matter could have a financial effect on the councillor or a related

person of the councillor.

(2) A councillor has a financial interest in an agreement with a

settlement if he or she can reasonably be expected to know that the

agreement could have a financial effect on the councillor or a related

person of the councillor.

(3) Something has a financial effect on a person if it causes2 the

person to gain or lose money.

2.2 Exemptions from the basic rule

(1) A councillor does not have a financial interest by reason only

of any interest

(

a) that is held as a settlement member, utility customer or

payer of taxes, levies or user fees charged by the settlement;

(

b) that exists only because the council has appointed the

councillor as

(

i) a director or officer of a company incorporated for

the purpose of carrying on business for the benefit of the settlement, or

(ii) a representative of the council on another body;

(

c) that is related to an allowance, honorarium,

remuneration, or other compensation or benefit that the councillor may be

entitled to as a councillor or because of being appointed by council to a

position described in clause (b)3;

(

d) that is due to the councillor being employed by the

Crown corporation or agency, or the General Council, except with respect to

a matter before council or an agreement with a settlement directly

affecting the department, corporation or agency of which the councillor is

an employee;

(

e) that is due to the councillor being a member, director or

officer of a non-profit organization or service club;

(

f) that is due to the councillor being a member of an

organization or committee from which the settlement council seeks advice on

the construction or allocation of houses in the settlement area;

(

g) that is due to the councillor being a member, director or

officer of, or being remunerated as such by, a volunteer fire department or

other voluntary organization or service existing for community betterment;

(

h) that is held in common with the majority of settlement

members, or if the matter only affects part of the settlement area, with

the majority of the members who live in that part;

(

i) that is so remote or insignificant that it is unlikely to

influence the councillor; or

(

j) that is in a business that may be affected by a bylaw on

businesses or business activities, and the matter is one of discussing or

voting on the bylaw, unless the only business affected by the bylaw is the

business of the councillor .

(2) The exemptions in clauses (e),(f), and (

g) in subsection (1) do

not apply if the councillor is an employee of the organization, club,

commitee or service referred to in those clauses.

(3) The exemptions for a councillor in subsection (1), and the

exceptions to those exemptions in clauses (

d) and (j), also apply to a

related person of the councillor.

PART 3 - GENERAL

3.1 Appeals on Financial Interest

(1) If a question arises as to whether or not a councillor has a

financial interest in a matter before council or in an agreement with a

settlement, any affected person may, with the permission of the Metis

Settlements Appeal Tribunal, refer the issue to the Tribunal for

determination.

(2) A referral on a question of financial interest in a matter

before council must be made within 60 days of the council meeting in which

the matter is first raised, or in which a decision is made on the matter,

whichever is later.

(3) A referral on a question of financial interest in an agreement

with a settlement must be made within 180 days of the signing of the

agreement or the subsequent council approval of the signing, if any,

whichever is later.

3.2 Replacement of Previous Policy

This Policy rescinds and replaces General Council Policy GCP 920002.

2 The cause could be indirect as well as direct. For example, if someone

owed a councillor money and the matter before council was whether that

person should be given a job, the councillor could lose money if the person

did not get the job and as a result could not pay back the councillor. That

could mean the councillor has a financial interest in the decision. Note,

however, the exemption provision in

section 2.2(1)(

i) that excludes

situations where the interest is so remote or insignificant that it is

unlikely to influence the councillor. This might be the case if, for

example, the councillor was only owed a dollar. These examples are for

illustration only and do not exhaust all of the situations to which the

provisions of the Policy may apply.

that Act provides that the directors of the corporation may fix the

remuneration of its directors and officers and must disclose the

remuneration as specified in regulations under that Act; the regulations

currently require disclosure of remuneration to shareholders at every

annual meeting or in the corporation's financial statements required under

that Act.

Amendments to the Alberta Securities Commission Rules

following amendments to the Alberta Securities Commission Rules pursuant to

Section 14 of the Alberta Securities Commission Rules (the "Rules")

is amended as follows:

(h.1) "Derivatives Fundamentals Course" means a course prepared

and offered by the Canadian Securities Institute and so designated by that

Institute;

(j.1) "Futures Licensing Course" means a course prepared and

offered by the Canadian Securities Institute and so designated by that

Institute;

e. by adding the following after clause (n):

Institute;

f. by repealing clause (

p) and substituting the following:

(p) "Registered Representative Examination" means an

examination based on the Conduct and Practices Handbook Course that has
