EXPLANATORY NOTE NOTE EXPLICATIVE This Bill amends The Jewish Foundation of Manitoba Act , a private Act, to require the board of the Foundati on to establish a distribution policy and to give the Fou ndation sufficient authority to carry out that policy. Le présent projet de loi vise à modifier la

Loi sur la Fondation dénommée « The Jewish Foundation of Manitoba » , loi d'intérêt privé, afin de permettre au conseil de la Fondation d'adopter des lignes directrices en matière de distribution et de lui conférer suffisamment de pouvoirs pour mettre en œuvre ces lignes directrices. Under the current Act, the ability of the Foundatio n to depart from an individual donor's wishes is limited to circumstances where the donor has died and the boar d considers the departure necessary to further the do nor's true intent.

This Bill allows the departure if the donor has died or is not available and conditions have made i t impossible, impractical or unwise for the donor's e xpress wishes to be carried out. En vertu de la loi actuelle, la Fondation est en me sure de déroger aux volontés du donateur seulement s'il est décédé et si le conseil est d'avis que la dérogation s'imp ose afin que soit véritablement atteint l'objectif du donate ur.

Le présent projet de loi permettrait la dérogation si le donateur est décédé ou s'il est impossible de le jo indre et qu'il n'est plus possible, pratique ni sage de resp ecter à la lettre ses volontés. Under the current Act, subject to the donor's trust s and conditions and the disbursement requirements under the Income Tax Act (Canada) for registered charities, donations are to be held in perpetuity for the purp ose of earning income to be used for the Foundation's purp oses.

Subject to the donor's trusts and conditions, this Bill allows the Foundation to encroach on capital as needed to carry out the board's distribution policy. En vertu de la loi actuelle, sous réserve des fiduc ies et des conditions du donateur ainsi que des exigences en m atière de contingent des versements imposées aux organismes de bienfaisance enregistrés en vertu de la Loi de l'impôt sur le revenu (Canada), la Fondation détient à perpétuité les donations qu'elle reçoit afin qu'elles procurent un revenu destiné à servir en vue de la réalisation de son ob jet.

WHEREAS The Jewish Foundation of Manitoba has presented a petition requesting the following amendments to The Jewish Foundation of Manitoba Act , and it is appropriate to grant the petition; Attendu : que la Fondation dénommée « The Jewish Foundation of Manitoba » a été constituée en corporation par la loi intitulée

Section 8 is renumbered as subsection 8(1) and the following is added as subsection 8(2): 2

a) the Foundation's needs, including its need to maintain a reasonable balance between the capital value of its funds and the amounts to be distributed; (

b) the estimated total return on investments; (

c) the Foundation's disbursement quota requirements under any applicable taxation legislation; and (

Section 17 is amended by striking out " any distribution required to maintain its status as a registered charity " and substituting " the board's distribution policy ". 4
