Amend

Section 4.2 - Eligibility to Hold Elective Office by: .1 deleting "and" between 4.2.4 and 4.2.5, adding a comma after 4.2.5 and adding "4.2.6 and 4.2.7" after 4.2.5. .2 deleting subsection 4.2.6 in its entirety and replacing it with: "4.2.6 No member shall be eligible for election as an officer, and no officer shall continue to hold office, unless that member or officer maintains membership in good standing in the Association, as defined in

Section 4.2.7 below." .3 inserting a new subsection 4.2.7 to follow 4.2.6: "4.2.7 A member is in good standing when a member is: 4.2.7.1 not subject to any current disciplinary requirements imposed by the professional conduct committee or the board of directors, pursuant to the Nurses (Registered) Act or

Part 7 of the Nurses (Registered) Act Rules: 4.2.7.2 not subject to any ongoing discipline related agreement between the member and the Association, including but not limited to such agreement as contemplated in

Section 7.4 of the Nurses (Registered) Act Rules." 2. Amend

Section 4.4 - Nominations for Elective Office by: .1 renumbering subsection 4.4.2.3 as "4.4.2.4." .2 renumbering subsection 4.4.2.4 as "4.4.2.5." .3 inserting a new subsection "4.4.2.3" between subsections 4.4.2.2 and 4.4.2,4: "4.4.2.3 to determine whether all nominations submitted for all elected offices comply with the eligibility criteria set out in

Section 4.2 and to ensure that all candidates for elected office meet such criteria." - 1 - Safe and appropriate practice regulated by nurses in the public interest.

Section 7.1.3 - Electoral District Directors by: .1 inserting the number "7.1.3.1.1" before "Any registered nurse" under subsection 7.1.3.1. .2 in new subsection 7.1.3.1.1, striking out the words after "below" to the end of the paragraph and inserting "Sections 7.1.3.1.2 and" before "7.1.3.2 below." .3 inserting after 7.1.3.1.1: "7.1.3.1.2 No member shall be eligible for election as an electoral district director, and no electoral district director shall continue to hold office, unless that member or director maintains membership in good standing in the Association, as defined in

Section 4.2.7 of the Bylaws." 4. Amend

Section 9.1 - Standing Committees by: .1 inserting a new subsection "9.1.6" after 9.1.5: "9.1.6 Good Standing No registered nurse or licensed graduate nurse member shall be eligible for appointment to a standing committee or shall continue to sit as a member of a standing committee, unless that registered nurse or licensed graduate nurse maintains membership in good standing in the Association, as defined in

Section 4.2.7 of the Bylaws." Appendix 1 Full Text of the RNABC Bylaw Amendments The proposed changes are shown below. Underlining shows additions and strike-through shows deletions.

Section 4.2 - Eligibility to Hold Elective Office 4.2.1 Registered Nurse members shall be eligible for election as officers, except as precluded in 4.2.2, 4.2.3, 4.2.4, and 4.2.5, 4,2.6 and 4.2.7. 4.2.2 No member may hold the office of President for more than one term (two years). No member may hold the office of President-Elect for more than one year. No member may hold the office of Vice-President for more than two consecutive terms (four years).

No member may hold the office of Director-at-Large for more than two consecutive terms (four years). 4.2.3 A member who has served the maximum number of terms will be eligible to hold the same office after a lapse of at least two years. A member will be eligible for election to a different elective office without such a lapse of time. 4.2.4 No member may hold more than one office at a time. 4.2.5 No member who is an employee of the Association may hold elective office. 4.2.6 • .

Section 4.4 - Nominations for Elective Office 4.4.1 There shall be a Nominations Committee consisting of three members, one of whom shall be named chair by the Committee. The Association shall elect at each annual meeting one member of the Committee. The person receiving the largest number of votes shall be elected to the Committee. 'Ties shall be resolved by drawing lots.

Vacancies on the Committee shall be filled by the Board of Directors, with the persons receiving the next largest number of votes during the immediately preceding annual meeting being given priority in filling such vacancies. the term of office of each member of the Committee shall be three years. 4.4.2 The duties of the Nominations Committee shall be: 4.4.2,1 to implement the procedure for obtaining nominations for the elected offices consisting of elected officers and electoral district directors; 4.4.2.2 to receive nominations submitted for all elected offices;

9.1.4 Professional Conduct Committee The membership and terms of reference shall be as provided for in the Nurses (Registered) Act and the Rules made by the Board of Directors pursuant to such Act. 9.1.5 Registration Committee The membership and terms of reference shall be as provided for in the Rules made by the Board of Directors pursuant to the Nurses (Registered) Act. 9. 1 .6 Good Standing No registered nurse or licensed graduate nurse member shall be eligible for appointment to a standing committee or shall continue to sit as a member of a standing committee, unless that registered nurse or licensed graduate nurse maintains membership in good standing in the Association, as defined in
