CROWN AGREEMENT:

AMENDMENT AGREEMENT No. 1

THIS AGREEMENT IS DATED as of the _____ day of _______________, 1995.

BETWEEN:

HER MAJESTY THE QUEEN IN RIGHT OF THE PROVINCE OF ALBERTA as represented by the Minister of Energy (herein called "Her Majesty")

- and -

SUNCOR INC., a body corporate, incorporated under the laws of Canada and having its head office at the City of North York in the Province of Ontario (herein called "Suncor").

WHEREAS:

A. Her Majesty and Suncor entered into an agreement called the "Alberta Suncor (O.S.G.) Crown Agreement", authorized by Order in Council O.C. 155/88 (herein called the "Alberta Crown Agreement").

B. Pursuant to a Memorandum of Understanding dated March 5, 1993 (herein called the "Memorandum of Understanding") Her Majesty and Suncor detailed the salient principles to be incorporated by way of amendment into the Alberta Crown Agreement relating to sulphur dioxide emission reduction and odour abatement projects.

C. Her Majesty and Suncor wish for their mutual benefit to enter into this amendment agreement (the "Amendment Agreement") to evidence their agreement concerning the matters detailed in the Memorandum of Understanding and the other matters set out in this Amendment Agreement.

NOW THEREFORE THIS AGREEMENT WITNESSETH that the parties hereto agree as follows:

AMENDED PROVISIONS RELATED TO ROYALTY

Section 101 of the Alberta Crown Agreement is amended

(

a) by deleting clause (f)(

i) and substituting:

"(

i) Leased and Outside Substances Revenue"

(

b) by adding the following after clause (i):

"(i.1) 'Leased and Outside Substances Revenue' means the amount obtained when the volumes of all the Leased Substances and Outside Substances, (including Her Majesty's Royalty Share of Leased Substances) which are delivered at the Location Boundary, are multiplied by the applicable Unit Price,

(i.2) 'Leased S.C.O.' means Synthetic Crude Oil that is a Leased Substance;"

Section 301 of the Alberta Crown Agreement is amended in subsection (1)(b)(ii) by deleting "Deemed Gross Revenue" and substituting "Leased and Outside Substances Revenue".

ROYALTY CREDIT PROVISIONS

3. Notwithstanding 301(1)(

b) of the Alberta Crown Agreement, there shall, after the end of each Minimum Royalty Period, be deducted from the Leased S.C.O. payable as royalty under 301(1)(b)(

i) in respect of that Period , the lesser of:

(

a) the quotient derived by dividing the Balance of the Royalty Credit Pool, as that balance stood on the last day of the Period, by the Average S.C.O. Unit Price for that Period,

(

b) the excess of the Leased S.C.O. payable as royalty under 301(1)(b)(

i) in respect of the Period, over the Leased S.C.O. that would be payable as royalty in respect of the Period if royalty on Leased S.C.O. were payable under subsection 301(1)(b)(ii) in respect of the Minimum Royalty Period, and

(c) 4/5 of the Leased S.C.O. payable as royalty under 301(1)(b)(

i) in respect of the that Period.

Section 302(2) of the Alberta Crown Agreement does not apply in respect of any Minimum Royalty Period in respect of which a deduction referred to in

section 3 of this Amendment Agreement is made.

5. If the royalty that is payable under 301(1)(b)(

i) of the Alberta Crown Agreement in respect of any Minimum Royalty Period exceeds, after that royalty is reduced under

section 3 of this Amendment Agreement, the royalty as calculated in accordance with 301(1)(b)(ii) of the Alberta Crown Agreement in respect of that Period, the royalty so payable shall be delivered in that Period but the amount of that excess shall be carried forward to the next Period, or if necessary the next Periods, in which royalty is payable pursuant to 301(1)(b)(ii), and deducted from the royalty so payable to the extent the royalty so payable in each such Period or Periods is greater than the royalty as calculated for that Period or those Periods in accordance with 301(1)(b)(i).

CONSEQUENTIAL AMENDMENTS

Article 1 of the Alberta Crown Agreement is amended by adding the following as 102:

"102 In this Agreement "Allowed Environmental Costs" shall have the same meaning as that in

Schedule "A" of the Alberta Suncor (O.S.G.) Crown Agreement: Amendment Agreement No. 1"

Section 309(2)(

a) of the Alberta Crown Agreement is amended by deleting "Allowed Capital Costs and Allowed Operating Costs" and substituting:

"Allowed Capital Costs, Allowed Environmental Costs and Allowed Operating Costs"

Section 314 of the Alberta Crown Agreement is amended:

(

a) in (1)(

a) by deleting "an Allowed Operating Cost or an Allowed Capital Cost" and substituting:

"an Allowed Capital Cost, an Allowed Environmental Cost or an Allowed Operating Cost"

(

b) by adding the following after subsection (1)(a):

"(a.1) the calculation of Average S.C.O. Unit Price and balance of the Royalty Credit Pool".

Section 401(3) of the Alberta Crown Agreement is by deleting "Allowed Operating Costs and Allowed Capital Costs" and substituting:

"Allowed Capital Costs, Allowed Environmental Costs, Allowed Operating Costs, and Leased and Outside Substances Revenue".

GENERAL

10. Except as otherwise expressly provided herein, the Definition and

Interpretation Articles of the Alberta Crown Agreement shall apply to this Amendment Agreement.

Schedule "A" attached hereto and forms part of this Amendment Agreement.

12. This Amendment Agreement is subject to the satisfaction of the condition precedent, which shall be a condition precedent solely for the benefit of Her Majesty, that the Lieutenant Governor in Council, pursuant to

section 9 of the Mines and Minerals Act (Alberta), authorizes the Minister to execute this Amendment Agreement.

13. The Lessees shall obtain and maintain all regulatory approvals required for the Odour and Emission Reduction Program.

14. In the event that the whole or any portion of this Amendment Agreement or the application thereof to any circumstances shall be held invalid or unenforceable to any extent, the remainder of the

section in question, or its application to any circumstance other than that to which it has been held invalid or unenforceable, and the remainder of this Amendment Agreement shall not be affected therebyand shall be valid and enforceable to the fullest extent permitted by law.

15. This Amendment Agreement shall enure to the benefit of and be binding upon each party and its successors and permitted assigns.

16. Each of the parties shall from time to time and at all times do all further acts and execute and deliver all further documents as are reasonably required to fully perform this Amendment Agreement.

17. This Amendment Agreement shall be construed and interpreted in accordance with the laws in force in the Province of Alberta.

18. This Amendment Agreement may be executed in separate counterparts and all the executed counterparts together shall constitute one agreement.

Definitions Related to the Royalty Credit Provisions

In this Amendment Agreement:

1. "Allowed Environmental Costs" means:

(

a) a cost that:

(

i) falls within a category of Allowed Capital Costs identified in

section 3 of

Schedule "A" of the Alberta Crown Agreement,

(ii) is directly attributable to the Oil Sands Project,

(iii) is reasonable in relation to the circumstances under which it is incurred,

(iv) is incurred by or on behalf of the Lessees in respect of the Oil Sands Project on or after January 1, 1992 and before January 1, 1998, and

(

v) is incurred to implement the Odour and Emission Reduction Program, or

(

b) a cost that:

(

i) is directly attributable to the Three Rose Project,

(ii) is reasonable in relation to the circumstances under which it was incurred, and

(iii) was incurred by or on behalf of Suncor in respect of the Three Rose Project before the date of this Amendment Agreement;

2. "Average S.C.O. Unit Price" means in respect of any Minimum Royalty Period, the quotient derived by dividing the portion of the amount described in 101(f)(i.1) of the Alberta Crown Agreement (as amended by this Amendment Agreement) in respect of the Period that is attributable to Synthetic Crude Oil, by the volume of Synthetic Crude Oil delivered at the Location Boundary during the Period;

3. "Balance of the Royalty Credit Pool" at any time means the number that is zero or the positive number that is the difference obtained by subtracting from the lesser of

(a) $85,600,000.00, or

(

b) fifty percent (50%) of the Allowed Environmental Costs incurred up to that time,

the aggregate of the products derived by multiplying each amount deducted up to that time under

section 3 of this Amendment Agreement by the Average S.C.O. Unit Price for the Minimum Royalty Period in respect of which that amount was deducted;

4. "Minimum Royalty Period" means the portion of the Period occurring after March 31, 1992 and before January 1, 1993, and thereafter a Period occurring before January 1, 1998 in respect of which royalty is payable under 301(1)(b)(

i) of the Alberta Crown Agreement;

5. "Odour and Emission Reduction Program" means:

(

a) the odour abatement projects that are listed in Appendix D of Clean Air Licence No. 92-AL-359 to the extent each project is approved by the Director of Standards and Approvals of Alberta Environmental Protection or by the Energy Resources Conservation Board,

(

b) the sulphur dioxide emission reduction plan that is referred to in

section 5.1 of Clean Air Licence No. 92-AL-359 to the extent that plan is approved by the Director of Standards and Approvals of Alberta Environmental Protection or by the Energy Resources Conservation Board, and

(

c) any other odour abatement projects or sulphur dioxide emission reduction plan approved by the Director of Standards and Approvals of Alberta Environmental Protection or by the Energy Resources Conservation Board, and by the Minister,

and includes:

(

d) any amendments to the projects and plans referred to in subsections (a), (

b) and (

c) that are approved by the Director of Standards and Approvals of Alberta Environmental Protection or by the Energy Resources Conservation Board, and by the Minister.

6. "Three Rose Project" means the feasibility and research study for the constructing of a new utilities plant for the Oil Sands Project that would operate on fluidized bed combustion.
