annexed land and the assessable improvements to it must be assessed and

taxed by the Municipal District of Taber as though the land and

improvements remained in the Municipal District,

(

c) despite clause (a), the taxes for the 1999 and previous taxation

years in respect of the annexed land together with any lawful penalties and

cost levied in respect of those taxes are payable to the Municipal District

of Taber, and the Municipal District of Taber is, during 1999, responsible

for collecting those taxes, penalties and costs,

(

d) any taxes owing to the Municipal District of Taber at the end of

December 31, 1999, in respect of the annexed land, together with any lawful

penalties and costs levied in respect of those taxes, are on January 1,

2000 transferred to and become payable to the Village of Barnwell, and the

ORDER

1. In this Order "annexed land" means the land described in Appendix A

and shown on the sketch in Appendix B.

2. For taxation purposes in 2000 and later years up to and including

2014, the annexed land and the assessable improvements to it must

(

a) be assessed by the Town of Lacombe on the same basis as if they

had remained in Lacombe County, and

(

b) be taxed by the Town of Lacombe in respect of each assessment

class that applies to the annexed land and the assessable improvement to it

using the tax rate established by Lacombe County.

Section 2 ceases to apply to a portion of the annexed land and the

assessable improvement to it in the taxation year immediately following the

taxation year in which

(

a) the portion becomes a parcel of land created as a result of

subdivision or separation of title by registered plan of subdivision or by

instrument or any other method that occurs at te request of, or on behalf

of, the landowner,

(

b) the portion becomes a residual portion after a new parcel

referred to in clause (

a) has been created and the residual portion is 3

acres or less, or

(

c) the portion is, at the request of, or on behalf of, the

landowner, redesignated by an amendment to the Town of Lacombe Land Use

Bylaw

4. After

section 2 ceases to apply to a portion of the annexed land in a

taxation year, the portion of the annexed land and the assessable

improvements to it must be assessed and taxed for the purposes of property

taxes in that year on the same basis as the assessment and taxation of

property of the same assessment class in the Town of Lacombe.

ALBERTA SECURITIES COMMISSION

Notice of Amendments to the Alberta Securities Commission Rules

Effective June 1, 1999, the Alberta Securities Commission approved certain

consequential amendments to the Alberta Securities Commission Rules (the

"Rules") relating to lapse dates and contractual rights of action for

misrepresentations in offering memorandums pursuant to

section 3(

d) of the

Securities Regulation in order to ensure continuity with amendments

contained in the Securities Amendment Act, 1999 that came into force on

June 1, 1999.

Because amendments enacted under

section 3(

d) are subject to a 275 day

sunset period unless the Commission publishes them for comment in

accordance with

section 2 of the Securities Regulation prior to the expiry

of the 275 day sunset period, the amendments were concurrently published

for comment in the ASC Weekly

Summary for the week ending June 11, 1999.

The public comment period expired on July 15, 1999 and the Commission

received no written submissions on the consequential amendments.

The Commission has now adopted the following consequential amendments to

the Rules pursuant to

section 2 of the Securities Regulation effective

October 1, 1999, which means that the amendments are no longer subject to a

275 day sunset period:

Section 1(1)(

d) of the Rules is revoked.

Part 8 of the Rules is amended to add the following after

section 91:

91.1 For the purposes of

section 97(2.1) of the Act, the lapse date

for a prospectus will be the first anniversary of the date of the

prospectus, unless otherwise specified.

Section 192 of the Rules is revoked.

4. Form 43 of the Rules is amended by revoking items 20 and 21,

substituting the following as item 20 and renumbering item 22 as item 21:

ITEM 20 - Statutory Rights of Action:

Every offering memorandum shall contain a statement of the rights

provided by

section 168.1 of the Act and a statement of the limits on the

time within which an action to enforce a right under

section 168.1 of the

Act must be commenced. Where the sale of the securities is in Alberta,

every offering memorandum shall contain the following statement:

Securities legislation in Alberta provides that every purchaser

of securities pursuant to this offering memorandum shall have,

in addition to any other rights they may have at law, a right

action for damages or rescission, or both, against the issuer

selling security holder on whose behalf the distribution is

made

if the offering memorandum or any amendment thereto contains

a misrepresentation. However such rights must be exercised

within prescribed time limits. Purchasers should refer to the applicable

provisions of the Alberta securities legislation for

particulars of

those rights or consult with a lawyer.

TRADE WITH RRSP, RRIF OR RESP

PART 1

DEFINITIONS

1.1 In this Rule:

(a) "Beneficiary" means an individual who is:

(

i) for the purpose of

section 2.1, the beneficiary of an

RRSP, RRIF or RESP to which a security is traded pursuant to that section;

(ii) for the purpose of

section 2.2, the beneficiary of an

RRSP, RRIF or RESP which trades in a security pursuant to that section;

(b) "prospectus exemption" means an exemption from the requirements

section 81 of the Act;

(c) "RESP" means a registered education savings plan within the

meaning of the term under the Income Tax Act (Canada);

(d) "RRIF" means a registered retirement income fund within the

meaning of the term under the Income Tax Act (Canada);

(e) "RRSP" means a registered retirement savings plan within the

meaning of the term under the Income Tax Act (Canada).

PART 2 EXEMPTIONS FROM REGISTRATION AND PROSPECTUS REQUIREMENTS

2.1 Exemption for Trade to RRSP, RRIF or RESP by Beneficiary

Sections 54 and 81 of the Act do not apply to a trade in a security

that was previously acquired under a prospectus exemption and that is

subject to resale restrictions under the Act or the regulations if the

trade:

(

a) is made to an RRSP, RRIF or RESP by:

(

i) the Beneficiary;

(ii) a company that is, directly or indirectly, beneficially

owned and controlled solely by the Beneficiary; or

(iii) another RRSP, RRIF or RESP of which the Beneficiary is

the beneficiary; and

(

b) does not otherwise result in a change in the beneficial

ownership of the security.

2.2 Exemption for Trade by RRSP, RRIF or RESP to Beneficiary

Sections 54 and 81 of the Act do not apply to a trade in a security

that was previously acquired under a prospectus exemption and that is

subject to resale restrictions under the Act or the regulations if the

trade:

(

a) is made by an RRSP, RRIF or RESP to:

(

i) the Beneficiary; or

(ii) a company that is, directly or indirectly, beneficially

owned and controlled solely by the Beneficiary; and

(

b) does not otherwise result in a change in the beneficial

ownership of the security.

2.3 Further Trade a Distribution

A further trade in a security that was previously acquired by an

RRSP, RRIF or RESP in a trade made in reliance on the exemptions provided

section 2.1, or previously disposed of by an RRSP, RRIF or RESP in a

trade made in reliance on the exemptions provided in

section 2.2, shall be

a distribution unless made in compliance with the Act and regulations as if

the person or company making the further trade had acquired the security on

the date and in reliance on the prospectus exemption pursuant to which the

security had been acquired by the person or company from whom the RRSP,

RRIF or RESP, as applicable, acquired the security.

PART 3 EFFECTIVE DATE

3.1 Effective Date

This Rule comes into force on September 30, 1999.
