In these regulations, "agreement" means an agreement referred to in

section 57.1 of the Act; (accord) "closing time" means a time specified in a transaction as being a time in the future at which the market price of an underlying petroleum product will be ascertained to determine the settlement obligations of the parties to the transaction; (heure de clôture) "Committee" means the Petroleum Product Derivatives Risk Management Committee established by

section 6; (comité) "counterparty" means a bank or subsidiary referred to in

section 4 that enters into an agreement with the Government; (contrepartie) "derivative contract" means a forward agreement, commodity swap or other financial agreement consisting of a master agreement and one or more transactions; (contrat dérivé) "master agreement" means an agreement that (

a) is entered into in writing between the Government and a counterparty, and (

b) provides for, and sets out certain terms and conditions applicable to, transactions that may be entered into by the parties from time to time; (accord cadre) "settlement" means payment of money in performance of a party’s obligations under a transaction; (règlement) "transaction" means an agreement (

a) that is made under a master agreement, and (

b) in which one party agrees to pay a specified amount and the other party agrees to pay an amount to be determined at closing time; (opération) "underlying petroleum product" means a petroleum product specified in a transaction as being the commodity whose market price at one or more closing times will determine the settlement obligations of the 1. Agreements and transactions may only be entered into by or on behalf of the Government of the Northwest Territories by the Deputy Minister of Finance or his or her delegate. 3. (1) An agreement or transaction may only be entered into with a counterparty that is (

a) a bank that is listed in

Schedule I of the Bank Act (Canada); or (

b) a subsidiary of such a bank that is unconditionally and irrevocably guaranteed by the bank. 4.

a) the audited total assets of the bank or subsidiary for the most recent fiscal year exceed $25 billion; (

b) the bank or subsidiary indicates an audited after-tax profit before any special provisions for loan losses in each of the two most recent fiscal years; (

c) the bank or subsidiary possesses a credit rating of "Aa3" or better from Moody’s Investor Services, Inc. or "R-1 Low" or better from the Dominion Bond Rating Service Limited.
