b) of the Act and may only be amended by the Management Board. TITLE 2. This Directive may be referred to as the “Directive To Authorize Yukon Development Corporation To Borrow Money - 2024”.

DEFINITIONS 3. In this Directive: a) "Act” means the Financial Administration Act, SY 2002, c. 87, as amended from time to time; b) “Chartered Bank” means a bank listed in either of

Schedule I or

Schedule II to the Bank Act, SC 1991, c. 46, as at March 30, 2024; c) “Maximum Amortization Period” means 25 years; d) “Maximum Interest Rate” means 5.86% per year; e) ”Maximum Loan Amount” means the sum of $27,254,000.00; f) “Minister” means the Minster of Finance or a delegate in the Department of Finance; g) “Payment Frequency” means quarterly; h) “YDC” means the Yukon Development Corporation; i) “YEC” means the Yukon Energy Corporation; AUTHORIZATION TO BORROW 4. The YDC is authorized, one time, to borrow up to the Maximum Loan Amount from a Chartered Bank. 5.

The proceeds of the said loan must be received by YDC no later than December 15, 2024. BEST TERMS TO BE NEGOTIATED 6. The Minister is authorized to negotiate the best terms possible for the loan and, to that end, is authorized to negotiate with a Chartered Bank for:

a) a principal amount of up to the Maximum Loan Amount;

b) bearing fixed interest for the amortization period at a rate not exceeding the Maximum Interest Rate;

c) amortized for a negotiable period not exceeding the Maximum Amortization Period;

d) payable quarterly in blended principal and interest payments commencing three months after the loan funding date; and

e) any other provisions deemed appropriate by the Minister. PURPOSE OF LOAN 7. The loan must be used by YDC for the purpose of relending that money to YEC and for no other purpose. 8. The loan from YDC to YEC must be funded no later than December 31, 2024. 9. The loan to YEC must mirror the loan to YDC authorized under this Directive, except that the payments of principal and interest from YEC to YDC must be made no later than the dates on which YDC must make payments to the Chartered Bank. CONDITION PRECEDENT TO THIS DIRECTIVE TAKING EFFECT 10. This Directive is only effective once the Commissioner in Executive Council has passed related OIC’s:

a) exempting YDC under s. 81 of the Act from the requirement under s. 49.01(

a) of the Act; and

b) giving directions to YDC in respect of the loan to YEC under s. 6 of the Yukon Development Corporation Act.
