RECITALS The Council oft he Cit y of San Diego (Council) adopt s t his Resolut ion based on t he following: A.

The Propert y and Business Improvement Dist rict Law of 1994, California St reet s and Highways Code sect ions (St reet s and Highways Code) 36600-36671 (PBID Law), aut horizes cit ies and count ies t o est ablish and renew propert y and business improvement dist rict s for t he purpose of promot ing economic revit alizat ion and physical maint enance of improvement s. B. On January 27,2025, t he Council adopt ed Resolut ion No.

R-315996 (Resolut ion of Format ion), renewing t he Downt own Propert y and Business Improvement Dist rict (Downt own PBID) for a t erm of t en years in accordance wit h St reet s and Highways Code sect ions 36622(

h) and 36660(c). C. The Resolut ion of Format ion approved t he Management Dist rict Plan, which includes an engineer's report , a management plan, and t he assessment s described t herein, for t he period of July 1, 2025 t hrough June 30,2035 (Fiscal Years 2026 t hrough 2035), a copy of which is on file wit h t he Cit y Clerk as Document No. RR-315996 and incorporat ed herein by reference. D.

Under St reet s and Highways Code sect ion 36651, t he Management Dist rict Plan st at ed t hat t he Downt own San Diego Part nership, a nonprofit corporat ion (Part nership), will manage t he Downt own PBID and provide t he improvement s, maint enance, and act ivit ies described in t he Management Dist rict Plan under an operat ing agreement bet ween t he Cit y of San Diego (Cit

(R-2026-519) E. Under St reet s and Highways Code sect ion 36625(b), t he adopt ion oft he Resolut ion of Format ion const it ut ed t he levy of t he assessment s in Fiscal Years 2026 t hrough 2035. F. Under St reet s and Highways Code sect ion 36650, a writ t en report for Fiscal Year 2027 (Annual Report ) has been prepared for t he Downt own PBID. G. The Annual Report conforms t o t he above-referenced aut horit y and has been duly considered by t he Council. H. The Office of t he Cit y At t orney has prepared t his Resolut ion based on t he informat ion provided by Cit y st aff (including informat ion provided by consult ant s and t hird

part ies and verified by Cit y st aff) wit h t he underst anding t hat t his informat ion is complet e and accurat e. ACTION ITEMS

Be it resolved by t he Council of t he Cit y of San Diego: 1. The Annual Report submit t ed for t he Downt own PBID, on file and available for review in t he Office oft he Cit y Clerk as Document No. RR - 316824 is approved as filed. 2.

The Chief Financial Officer or designee is aut horized t o appropriat e and expend funds in an amount not t o exceed $15,383,466 from Downt own PBID Operat ing Funds, Fund 200108, for t he operat ion and administ rat ion cost s in t he Annual Report , including $261,843 for Cit y administ rat ion cost s, cont ingent upon t he adopt ion of t he Fiscal Year 2027 Appropriat ion Ordinance and cont ingent upon t he Chief Financial Officer furnishing a cert ificat e cert ifying t hat funds necessary for expendit ure are, or will be, on deposit wit h t he Cit y Treasurer. 3.

The Chief Financial Officer or designee is aut horized t o appropriat e and expend any monies deposit ed in t he Downt own PBID Operat ing Fund, Fund 200108, in excess of est imat ed revenue and any carryover monies from t he previous fiscal year, cont ingent upon t he -PAGE 2 OF 4-

(R-2026-519) adopt ion of t he Fiscal Year 2027 Appropriat ion Ordinance and cont ingent upon t he Chief Financial Officer furnishing a cert ificat e cert ifying t hat funds necessary for expendit ure are, or will be, on deposit wit h t he Cit y Treasurer. 4.

The Chief Financial Officer or designee is aut horized t o expend funds in an amount not t o exceed $961,257 from t he General Fund for t he purpose of paying t he assessment s levied upon Cit y-owned parcels wit hin t he Downt own PBID for FY 2027, cont ingent upon t he adopt ion of t he Fiscal Year 2027 Appropriat ion Ordinance and cont ingent upon t he Chief Financial Officer furnishing a cert ificat e cert ifying t hat funds necessary for expendit ure are, or will be, on deposit wit h t he Cit y Treasurer. 5.

The Chief Financial Officer or designee is aut horized t o expend funds in an amount not t o exceed $30,810 from t he Gas Tax Fund, Fund 200118, for t he purpose of cost s associat ed wit h median maint enance wit hin t he Downt own PBID for Fiscal Year 2027, cont ingent upon t he adopt ion of t he Fiscal Year 2027 Appropriat ion Ordinance and cont ingent upon t he Chief Financial Officer furnishing a cert ificat e cert ifying t hat funds necessary for expendit ure are, or will be, on deposit wit h t he Cit y Treasurer. 6.

Aut horizing t he Cit y's Chief Financial Officer or designee t o expend funds in an amount not t o exceed $117,300 from t he General Fund for t he pur pose of meet ing Cit y's fiscal obligat ions for t he Children's Park wat er feat ure, cont ingent upon t he adopt ion of t he Fiscal Year 2027 Appropriat ion Ordinance and cont ingent upon t he Chief Financial Officer furnishing a cert ificat e cert ifying t hat funds necessary for expendit ure are, or will be, on deposit wit h t he Cit y Treasurer. -PAGE 3 OF 4-
