CONSEIL D'ARBITRAGE DES COMPTES DES AVOCATS DU BARREAU DU QUÉBEC Défenderesse et Me ISABELLE GRÉGOIRE (TUTINO EDWARDS JOSEPH) Mise en cause/Demanderesse reconventionnelle ______________________________________________________________________ JUGEMENT ______________________________________________________________________ [ 1 ] La Cour est saisie d'une requête amendée visant à annuler une sentence arbitrale rendue le 29 juillet 2013 par le Conseil d'arbitrage des comptes des avocats du Barreau du Québec, déboutant de leur recours Mme Leah Lipkowitz et 6513191 Canada Inc., représentée par cette dernière, et ce, faute de preuve, Mme Lipkowitz brillant par son absence à l'audition. [ 2 ] De son côté, la mise en cause, Me Isabelle Grégoire (Tutino Edwards Joseph), par sa défense et demande reconventionnelle vise à faire homologuer par la Cour la sentence arbitrale ainsi rendue. [ 3 ] Les demanderesses fondent leur recours sur le libellé in fine de l'article 946.4, 3 e paragraphe du Code de procédure civile et je cite : Art.964.4 Le tribunal ne peut refuser l'homologation que s'il est établi : […] […] 3) que la
partie contre laquelle la sentence est invoquée n'a pas été dûment informée de la désignation d'un arbitre ou de la procédure arbitrale, ou qu'il lui a été impossible pour une autre raison de faire valoir ses moyens; [ 4 ] Me Grégoire allègue que la sentence arbitrale doit être maintenue puisque le droit des demanderesses d'être entendues par le Conseil d'arbitrage a été pleinement respecté, vu la réception en bonne et due forme de l'avis d'audition. [ 5 ] La sentence arbitrale se lit comme suit : « I. PRELIMINARY REMARKS [1] On July 9th, 2012, Ms. Leah Lipkowitz and 6513191 Canada Inc, represented by Ms.
Leah Lipkowitz, sole shareholder, (the "Plaintiffs") applied to the Office of the Syndic of the Barreau du Québec to request the conciliation of Me Isabelle Grégoire's (the "Advocate") accounts for fees and disbursements dated May 31st and June 29th, 2012, totalising $10 190,63. [2] On May 6th, 2013, the parties are duly notified by way of a notice of hearing signed by Me Nathalie Nicole Poirier, in the absence of Me Nancy J.
Trudel, assistant to the Executive Director, that they are to attend the hearing set for June 27th, 2013, in room of the 209 of the Maison du Barreau in Montreal, as it appears from the notice of hearing and the delivery confirmation filed as appendix
"A". [3] The Plaintiff did not contact the Arbitration Registry at any time between May 6th, 2013, and June 27th, 2013. [4] The Plaintiff did not attend the hearing on June 27th, 2013. The Council called the Plaintiff's office in order to reach her.
An employee of said office informed the Council that the Plaintiff was out of the province and that she did not leave any instructions regarding the Application for Arbitration, scheduled for June 27th, 2013. [5] Based on these information, the Council declares that the Plaintiff has failed to appear and is therefore in default. [6] The Advocate files a verbal motion for dismissal of the Plaintiff application for arbitration. II.
CONCLUSIONS In light of the above, the Council: [7] DISMISSES the Application for Arbitration for lack of evidence and in light of the Plaintiff's default to attend the hearing; [8] DECLARES the foregoing matter closed; [9] THE WHOLE without costs; [10] The present arbitration award is final, is binding on the parties and is executory in accordance with Articles 946 to 946.6 of the Quebec Code of Civil Procedure. »
Le tout dûment signé à Montréal, le 29 juillet 2013, par Me Marc Cantin, Chairman, Me Julie Bourque, Secretary et Me Robert Tessier, Third member (pièce P-1). [ 6 ] Ledit avis d'audition dont le numéro de repérage du courrier certifié de Postes Canada est le LP 336 883 059 CA contient les informations suivantes : « Take notice that the hearing of this case will be held on Thursday June 27 2013 at 9:30 AM at Maison du Barreau, located on 445, boul. St-Laurent Montréal (Québec), in room 209.
Please note that upon a hearing having been set, only the Council of arbitration has the authority to authorize the postponement or the adjournment of a hearing. Any request to that effect must be made in writing and justified to Me Marc Cantin, Chairman duly appointed by the bâtonnier. A copy of the request must be sent to the other party, as well as to the Arbitration Registry, care of Mrs. Martine Aubry, by telecopier at (514) 954-3457.
As indicated in the Declaration of the parties for the management of an arbitration hearing sent to you upon opening of this arbitration file, the Council will hear witnesse whose testimony is relevant to this matter. If you wish to ensure the presence of your witnesses, we can assign them by subpoena, provided that you supply us via the attached Application for summons their names, address and phone number, at least fifteen (15) days prior to the date of the hearing.
Finally, in order to file the documents mentioned in your Declaration for the management of an arbitration hearing as evidence, you must bring four (4) copies of said documents, in order to leave three (3) with the Council and one (1) copy to the other party. » (pièce D- 1) [ 7 ] Rattaché à cette pièce, on peut constater à l'historique du suivi du numéro de repérage LP 336 883 059 CA que l'avis d'audition du 7 mai 2013 a bel et bien été reçu au 1, Place Ville Marie, suite 2001, soit l'adresse fournie par les demanderesses elles-mêmes au Conseil d'arbitrage, étant celles qui ont initié la procédure devant lui. [ 8 ] Étant donné l'absence de Mme Lipkowitz le 27 juin 2013 à 9 h 30, un appel de courtoisie de la part du Conseil d'arbitrage fut logé au bureau des demanderesses au numéro de téléphone fourni au Conseil d'arbitrage par ces dernières. [ 9 ] Suite à cet appel de courtoisie, Mme Lipkowitz a eu vent de la situation prévalant et s'est par la suite adressée par courriel, le 28 juin, au greffe d'arbitrage en termes suivants : « Bonjour Suite à ma conversation ce matin avec Martine Aubrey ou j'ai expliquer 1.
J'ai pas reçu le document avec la date d'audience. Il a était perdu dans notre bureau à St-Ambroise qui l'a reçu de Pvm. 2. J'étais à Vancouver et preuve de billet de retour ci-dessous le jour de l'audience. 3. Si j'aurais su une date d'audience j'aurais faite une demande de remise. Puis que c'était pour apparence media que je suis partis. 4. Je demande svp de m'excuser et remettre une nouvelle date d'audience pour la cause. Sincèrement et svp Elizabeth Leah Lipkowitz

Me Trudel prendra connaissance de votre courriel et vous donnera des nouvelles mardi le 2 juillet prochain puisqu'elle est en réunion pour la journée. Bonne journée »
Le 3 juillet, c'est plutôt Me Nathalie Nicole Poirier qui s'adresse à Mme Lipkowitz en termes suivants : « Good morning Mrs. Lipkowitz, Following your June 28th, 2013 e-mail, please find attached a letter and the Minutes of the June 27th, 2013 hearing that took place. Regards, » [ 10 ] La lettre jointe au dernier courriel se lit comme suit : « Ms.
Lipkowitz, Following your June 28th, 2013 e-mail regarding the above-mentioned file and the explanation sustaining your absence at the June 27th, 2013 hearing, we verified with the members of the Council of arbitration for details pertaining to the hearing that took place in the present matter. We were informed that the Council of arbitration ruled a decision at the hearing, which is to be followed by a written Arbitration award on the motives that lead to the decision. You will find attached the Minutes of the June 27th, 2013 hearing.
Upon receipt of the written Arbitration award, if you wish to dispute the Council of arbitration's decision, we suggest that you consult with a lawyer to find out about your rights. If you need help in finding a lawyer, you can contact the Montreal Referral Service by telephone at 514-866-2490 or by e-mail at reference@barreaudemontreal.qc.ca . I trust the foregoing is satisfactory and I remain, Yours truly, » (pièce P-3 en liasse) [ 11 ] Quant au procès-verbal d'audience mentionné au dernier courriel, celui-ci n'a pas été joint à la pièce P-3, il a été toutefois produit sous réserve de la pertinence sous D-10.
La Cour retient ici la production du document faisant
partie intégrante de la chaîne de courriels produite par les demanderesses sous P-3. [ 12 ] Le procès-verbal est libellé comme suit : « SONT PRÉSENTS: Me Marc Cantin, Président Me Julie Bourque, secrétaire à l'audience Me Robert Tessier, troisième membre Me Isabelle Grégoire, avocate Me Michel Moisan, greffier en formation ________________________________________________________________ LES MEMBRES DU CONSEIL ONT DÉJÀ PRÊTÉ LE SERMENT DE DISCRÉTION: LE CONSEIL: Constate le défaut de la Demanderesse, après vérifications auprès du greffe de l'envoi de l'avis d'audition et l'obtention d'une preuve de réception de Postes Canada de même qu'une conversation téléphonique avec une employée présente à la place d'affaires de la Demanderesse.
DÉBUT DE L'AUDIENCE: 9h55
LE PRÉSIDENT: Demande à l'avocate si elle consent à reporter à une autre date pour que la Demanderesse soit de nouveau convoquée par le greffe. L'AVOCATE: Demande le rejet faute de preuve de la demande d'arbitrage et le paiement intégral de son compte d'honoraires. FIN DE LA PREUVE DE L'AVOCATE: 10h05 PRÉSIDENT: Vu l'absence de la Demanderesse et l'absence de preuve. Rejette la demande d'arbitrage. SECRÉTAIRE: Indique qu'une sentence écrite sera transmise aux parties.
SÉANCE LEVÉE: 10H15 Montréal, le 27 juin 2013 Me Julie Bourque Secrétaire du Conseil » (pièce D10). [ 13 ] À l'audition, Mme Lipkowitz témoigne du fait qu'elle n'a jamais reçu l'avis ni pour elle ni au nom de sa compagnie.
Elle y va d'un témoignage souvent inconsistant quant au suivi de son courrier du lieu virtuel au lieu physique de l'entreprise sise rue St-Ambroise, soit par fax soit par courrier externe, selon le cas. [ 14 ] En revanche, l'employée de l'entreprise, Décision 1, Complexe de Bureaux et Services d'affaires Inc., située au 1, Place Ville- Marie, prétend avoir dûment acheminé l'avis d'audition à l'endroit désigné par Mme Lipkowitz, et ce, avec preuve documentaire à l'appui (envoi par messagerie aux dates concomitantes aux événements) (pièces D-8-B et D-9). [ 15 ] En présence de versions contradictoires, la Cour ne saurait privilégier la version de la demanderesse laquelle se veut peu crédible, eu égard aux circonstances, d'autant qu'elle reconnaît en son courriel P-3 que le document a bel et bien été reçu : « Il a était perdu dans notre bureau à St-Ambroise qui l'a reçu de Pvm. » (Soulignement de la Cour) . [ 16 ] À la lumière de ce qui précède, la Cour considère que l'avis de convocation a bel et bien été acheminé, tel qu'il se devait, à l'endroit indiqué par les demanderesses, qu'il n'y a pas eu, en l'espèce, violation de la règle audi alteram partem . [ 17 ] La Cour considère également que la preuve présentée par les demanderesses ne l'a point convaincue par quelque raison qui soit qu'il leur a été impossible de faire valoir leurs moyens. [ 18 ] Aux yeux de cette Cour, il y va plutôt, en l'espèce, de lacunes d'un système de gestion organisationnelle des demanderesses. [ 19 ] En l'espèce, de simples excuses ou supplications ne sauraient être génératrices de droit.
POUR TOUS CES MOTIFS, LA COUR : REJETTE la requête introductive d'instance en annulation de sentence arbitrale amendée, ACCUEILLE la défense et demande reconventionnelle, HOMOLOGUE la sentence arbitrale rendue le 29 juillet 2013 par le Conseil d'arbitrage des comptes des avocats du Barreau du Québec, LE TOUT, avec les entiers dépens. __________________________________ BRIGITTE CHARRON, J.C.Q.
