[ 2 ] Le 21 juillet 2023, la juge en chef de la Cour du Québec rend une ordonnance en vertu de l’
article 326 du Code de procédure civile ( C.p.c ) [2] par laquelle elle « ORDONNE que l’instruction de la présente affaire soit continuée et terminée par le juge Henri Richard », puisque la juge Zaor « est empêchée d’agir plus avant dans ce dossier ». [ 3 ] Conséquemment, le soussigné informe les avocats des parties qu’il procède à la réécoute complète du procès, à l’analyse de la preuve produite et des arguments soumis . [ 4 ] Me Armenia Teixeira et son cabinet, Arruda Teixeira inc., réclament à M. M... F... 23 695,30 $ à
titre d’honoraires professionnels pour les services rendus dans le cadre du dossier de la garde de son enfant mineur devant la Cour supérieure du district de Terrebonne numéro 700-04-031002-196. [ 5 ] M.
F... conteste cette réclamation et allègue que les honoraires facturés sont en contravention avec l’entente écrite intervenue entre les parties, de même qu’avec les obligations déontologiques de Me Teixeira, en plus d’ajouter que « The Plaintiff has been negligent in the provision of its services ». [ 6 ] Selon la preuve et les arguments présentés, le Tribunal conclut au bien-fondé de la demande, en partie, jusqu’à concurrence de 16 997,37 $. [ 7 ] Le Tribunal considère que la seule question en litige est la suivante : Une entente intervient-elle entre les parties relativement aux honoraires et aux déboursés à payer pour la tenue du procès devant la Cour supérieure à compter du 11 janvier 2021?
CONTEXTE ET ANALYSE [ 8 ] En juillet 2012, M. F... entreprend des procédures contre la mère de son enfant mineur afin d’obtenir sa garde. [ 9 ] Plusieurs avocats se succèdent afin de représenter M. F... devant la Cour supérieure. [ 10 ] Le 21 juillet 2020, M.
F... mandate Me Armenia Teixeira afin de le représenter, tel qu’il appert de la convention intitulée « Retainer agreement and professional mandate » (P-1) qui circonscrit le mandat de la manière suivante : Counsel and representation in relation to his custody file at the Superior Court of Quebec file: 700-04-031002-192, with a hearing scheduled for January 11, 12, 13 and 14, 2021 . [ 11 ] Me Teixeira reçoit sept boîtes de documents de l’ancien avocat de M. F... en lien avec le dossier de la garde de l’enfant mineur. [ 12 ] Avant la tenue du procès, Me Teixeira transmet à M.
F... quatre factures totalisant 28 011,56 $ qui sont entièrement payées. [ 13 ] La dernière de ces quatre factures porte la date du 31 décembre 2020 au montant de 18 813,22 $ que M. F... paie par versements entre les 4 et 27 janvier 2021. [ 14 ] Le 3 janvier 2021, Me Teixeira transmet à M. F... un projet de facture pour la tenue du procès prévu pour quatre jours devant la Cour supérieure, au montant total de 23 643,32 $ (D-2, p. 5 et 6).
[ 15 ] À la suite de la transmission de ce projet de facture, les parties s’échangent les courriels suivants, débutant par celui de M. F... à Me Teixeira du 4 janvier 2021 (D-2, p. 8 et 9) : Hi Me Teixeira, As discussed during our Zoom meeting this morning, taking into consideration my budget, please plan for only 3 days of Trial Preparation (8 hours/day) for this month (January) instead of 5 days as per your invoice estimate that you have sent me yesterday dated January 14, 2021.
However, in the event that the Courts (after appealed, if any) grant me full custody of X, then we could discuss about the possibility of an incentive / bonus that I would grant you for the achievement. Thanks, M... F... [ 16 ] Par courriel du 5 janvier 2021 (D-2, p. 8), Me Teixeira répond à M. F... de la manière suivante : Mr. F..., Would you kindly give me a heads up as to what you foresee as a possible “bonus”? [ 17 ] M.
F... répond le même jour à Me Teixeira (D-2, p. 7 et 8) : Hi Me Teixeira, In your January 2021 draft invoice estimate, you have estimated 5 days for trial preparation, but you told me yesterday on the Zoom call that it will most likely be less. I have informed you that for January 2021 my budget can cover up to 3 days of trial preparation, since a lot of the work was done by Me Artinian and by your team during the month of December 2020.
In the event that I’m granted custody after appeals, I could offer you $15,000 in bonus, which would cover an additional 6 days of work more than what I have budgeted for, and at least 4 more days than what you have estimated following our conversation yesterday. I could pay such amount in 60 days after a final decision is made by the Courts. Your thoughts? Regards, M... F... [ 18 ] Toujours le même jour, Me Teixeira répond ainsi à M. F... (D-2, p. 7) : Mr. F..., I will agree to just charge 3 days trial prep for this week as you asked.
I will also agree to the “bonus” as described. [ 19 ] Ainsi, au 5 janvier 2021, les parties conviennent des honoraires et des déboursés pour la suite du dossier, notamment sa préparation et les journées de procès initialement prévues pour quatre jours, du 11 au 14 janvier 2021. [ 20 ] Aussi, le Tribunal tient pour avéré qu’au cours des discussions des parties au début du mois de janvier 2021, elles s’entendent pour le paiement de la dernière facture du 31 décembre 2020 au montant de 18 813,22 $ par versements échelonnés entre le 4 janvier et le 27 janvier 2021, tel qu’il appert de l’état de compte P-3. [ 21 ] Contrairement à ce que prétend Me Teixeira lors de son témoignage, le projet de facture du 14 janvier 2021 qu’elle transmet à M.
F... le 3 janvier 2021 ne constitue pas un simple document afin de justifier la réclamation en dommages pour abus de procédure devant la Cour supérieure.
Tel qu’il appert de l’échange de courriels déjà évoqué par le Tribunal, une entente intervient entre les parties relativement au montant des honoraires et des déboursés pour la tenue du procès, en tenant compte d’une réduction à trois jours pour la préparation. [ 22 ] Le procès devant la Cour supérieure se tient, comme prévu, du 11 au 14 janvier 2021, mais se poursuit le 28 janvier 2021 pour les plaidoiries. [ 23 ] La cinquième facture (P-2) au montant de 26 882,08 $ que le cabinet Arruda Teixeira inc. transmet à M. F... porte la date du 31 janvier 2021.
Cette facture constitue le fondement du recours de Me Teixeira et de son cabinet en la présente instance, à laquelle 3 186,78 $ sont déduits à
titre de solde du montant détenu en fidéicommis comme avance payée par M. F..., d’où la réclamation de 23 695,30 $. [ 24 ] À la suite de la réception de cette dernière facture P-2, M. F... révoque le mandat de Me Teixeira et de son cabinet à compter du 5 février 2021, qu’il qualifie de « Termination Date » à son courriel du 11 février 2021 (P-4, p. 2). [ 25 ] Le 25 août 2021, la Cour supérieure rend jugement [3] et maintient notamment la garde de l’enfant mineur avec la mère. [ 26 ] Au procès, M. F... formule une série de reproches contre Me Teixeira qu’il qualifie de négligence, justifiant ainsi le rejet de sa
réclamation d’honoraires. [ 27 ] Or, le Tribunal conclut que M. F... échoue dans sa tentative d’imputer à Me Teixeira et à son cabinet quelque faute que ce soit dans l’exécution du mandat en cause, puisque la plupart des reproches à son égard sont antérieurs au 5 janvier 2021, date de l’entente pour la suite des honoraires à payer pour la tenue du procès devant la Cour supérieure. De plus, M. F... ne présente aucune preuve en vue de démontrer comment un avocat prudent et diligent, placé dans les mêmes circonstances que Me Teixeira, aurait agi. Finalement, le Tribunal souligne que M.
F... ne présente aucune demande reconventionnelle, malgré ses intentions clairement exprimées au protocole de l’instance signé le 28 septembre 2021 en la présente instance. [ 28 ] En résumé, vu l’entente intervenue entre les parties le 5 janvier 2021 à l’égard des honoraires et des déboursés à payer pour la tenue du procès devant la Cour supérieure, le Tribunal procède au calcul suivant à partir du projet de facture du 14 janvier 2021 : Honoraires 22 400,00 $ - Deux journées de préparation (4 800,00 $) + Vacation à la Cour pour les plaidoiries 1 050,00 $ + Déboursés 1 243,32$ + Frais de déplacement 90,83 $ + Temps du voyage au palais de justice 200,00 $ _____________ Sous-total 20 184,15 $ - Somme détenue en fidéicommis (3 186,78 $) ____________ TOTAL 16 997,37 $ [ 29 ] L’
article 99 du Code de déontologie des avocats [4] prévoit : 99. L’avocat s’assure, avant de convenir avec le client de fournir des services professionnels, que le client a toute l’information utile sur ses modalités financières et obtient son accord à ce sujet, sauf s’il a des raisons de croire que ce client en est déjà informé. En cours de mandat, l’avocat tient le client informé des circonstances qui pourraient entraîner des modifications significatives au coût prévu de ses services professionnels. [ 30 ] Selon la preuve présentée, il appert que M.
F... est informé que la Cour supérieure prolonge le procès au 28 janvier 2021 afin d’entendre les plaidoiries. Il doit donc assumer tous les frais qui s’y rapportent. [ 31 ] Finalement, le Tribunal tient compte du montant de 3 186,78 $ détenu en fidéicommis par Arruda Teixeira inc., à
titre d’avance déjà payée par M. F.... POUR CES MOTIFS, LE TRIBUNAL : ACCUEILLE en
partie la demande introductive d’instance de Armenia Teixeira et Arruda Teixeira inc.; CONDAMNE M... F... à payer à Armenia Teixeira et à Arruda Teixeira inc. 16 997,37 $, avec intérêts au taux de 12% l’an à compter du 2 mars 2021; LE TOUT, avec les frais de justice. Henri Richard, J.C.Q. [5] ______________________________________________________________________ [1] On March 17, 2023, Judge Jo Ann Zaor presides over the trial in this case. [2] On July 21, 2023, the Chief Judge of the Court of Québec issues an order pursuant to
article 326 of the Code of Civil Procedure ( CCP ) [6] in which she « ORDONNE que l’instruction de la présente affaire soit continuée et terminée par le juge Henri Richard », since Judge Zaor « est empêchée d’agir plus avant dans ce dossier ». [3] Consequently, the undersigned informs the parties’ lawyers that he is proceeding with a complete replay of the trial, analyzing the evidence produced and the arguments submitted. [4] Me Armenia Teixeira and her firm, Arruda Teixeira Inc., claim $23,695.30 in professional fees from Mr. M...
F... for services rendered in the custody case of his minor child before the Superior Court of the District of Terrebonne, number 700-04-031002-196. [5] Mr.
F... contests this claim and alleges that the fees billed are in contravention of the written agreement between the parties, as well as Me Teixeira's ethical obligations, adding that "The Plaintiff has been negligent in the provision of its services". [6] Based on the evidence and arguments presented, the Court concludes that the claim is justified, in part, up to a maximum of $16,997.37. [7] The Court considers that the only issue is the following: Is there an agreement between the parties regarding the fees and disbursements to be paid for the holding of the trial before the Superior Court as of January 11, 2021?
CONTEXT AND ANALYSIS [8] In July 2012, Mr. F... initiates proceedings against the mother of his minor child to obtain his custody. [9] A succession of lawyers represent Mr. F... before the Superior Court. [10] On July 21, 2020, Mr.
F... mandates Me Armenia Teixeira to represent him, as appears from the agreement entitled "Retainer agreement and professional mandate" (P-1), which defines the mandate as follows: Counsel and representation in relation to his custody file at the Superior Court of Quebec file: 700-04-031002-192, with a hearing scheduled for January 11, 12, 13 and 14, 2021. [11] Me Teixeira receives seven boxes of documents from Mr. F...'s former lawyer relating to the custody of the minor child. [12] Before the trial, Me Teixeira sent Mr.
F... four invoices totalling $28,011.56, which are paid in full. [13] The last of these four invoices is dated December 31, 2020, in the amount of $18,813.22, which Mr. F... pays by instalments between January 4 and 27, 2021. [14] On January 3, 2021, Me Teixeira sent Mr. F... a draft invoice for the four-day trial before the Superior Court, in the total amount of $23,643.32 (D-2, pp. 5 and 6). [15] Following the transmission of this draft invoice, the parties exchange the following e-mails, beginning with one from Mr.
F... to Me Teixeira dated January 4, 2021 (D-2, pp. 8 and 9): Hi Me Teixeira, As discussed during our Zoom meeting this morning, taking into consideration my budget, please plan for only 3 days of Trial Preparation (8 hours/day) for this month (January) instead of 5 days as per your invoice estimate that you have sent me yesterday dated January 14, 2021. However, in the event that the Courts (after appealed, if any) grant me full custody of X, then we could discuss about the possibility of an incentive / bonus that I would grant you for the achievement. F... [16] In an e-mail dated January 5, 2021 (D-2, p. 8), Me Teixeira replies to Mr. F... as follows: Mr. F..., Would you kindly give me a heads up as to what you foresee as a possible “bonus”? [17] On the same day, Mr. F... replies to Me Teixeira (D-2, pp. 7 and 8): Hi Me Teixeira,
In your January 2021 draft invoice estimate, you have estimated 5 days for trial preparation, but you told me yesterday on the Zoom call that it will most likely be less. I have informed you that for January 2021 my budget can cover up to 3 days of trial preparation, since a lot of the work was done by Me Artinian and by your team during the month of December 2020.

I could pay such amount in 60 days after a final decision is made by the Courts. Your thoughts? Regards, M... F... [18] Still on the same day, Me Teixeira replies to Mr. F... (D-2, p. 7): Mr. F..., I will agree to just charge 3 days trial prep for this week as you asked.
I will also agree to the “bonus” as described. [19] Thus, as of January 5, 2021, the parties agree on the fees and disbursements for the continuation of the case, in particular its preparation and the trial days initially scheduled for four days, from January 11 to 14, 2021. [20] Further, the Court takes for granted that during the parties’ discussions at the beginning of January 2021, they agreed that the last invoice of $18,813.22 dated December 31, 2020, has to be paid by instalments between January 4 and January 27, 2021, according to statement of account P-3. [21] Contrary to what Me Teixeira claims in her testimony, the draft invoice dated January 14, 2021, which she sends to Mr.
F... on January 3, 2021, is not simply a document to justify the claim for damages for abuse of procedure before the Superior Court.
As appears from the exchange of e-mails already referred to by the Court, an agreement was reached between the parties regarding the amount of fees and disbursements for the holding of the trial, taking into account a reduction to three days for preparation. [22] The trial before the Superior Court is held, as scheduled, from January 11 to 14, 2021, but continues on January 28, 2021, for closing arguments. [23] The fifth invoice (P-2) in the amount of $26,882.08 sent by Arruda Teixeira Inc. to Mr. F... is dated January 31, 2021.
This invoice forms the basis of Me Teixeira and her firm's claim in this proceeding, from which $3,186.78 is deducted as the balance of the amount held in trust as an advance paid by Mr. F..., resulting in a claim of $23,695.30. [24] Following receipt of this final invoice P-2, Mr. F... revokes the mandate of Me Teixeira and her firm effective February 5, 2021, which he referred to as the "Termination Date" in his e-mail of February 11, 2021 (P-4, p. 2). [25] On August 25, 2021, the Superior Court rendered judgment [7] , maintaining custody of the minor child with the mother. [26] At trial, Mr.
F... makes a series of reproaches against Me Teixeira, which he characterizes as negligence, thus justifying the dismissal of her claim for fees. [27] The Court concludes that Mr. F... fails in his attempt to impute to Me Teixeira and her firm any fault whatsoever in the execution of the mandate in question, since that most of the reproaches against her predate January 5, 2021, the date of the agreement on the fees to be paid for the trial before the Superior Court. Furthermore, Mr.
F... presents no evidence to demonstrate how a prudent and diligent lawyer, placed in the same circumstances as Me Teixeira, would have acted. Finally, the Court notes that Mr. F... is not presenting any cross-application, despite his intentions clearly expressed in the case protocol signed on September 28, 2021, in the present proceedings. [28] In
summary, in view of the agreement reached between the parties on January 5, 2021, with respect to the fees and disbursements to be paid for the holding of the trial before the Superior Court, the Court makes the following calculation based on the draft invoice dated January 14, 2021: Fees $22,400.00 - Two days of preparation ($4,800.00) + Vacation at the Court for closing $1,050.00 arguments + Disbursements $1,243.32 + Travel expenses $90.83 + Travel time to the courthouse $200.00 ____________ Subtotal $20,184.15 -
Amount held in trust ($3,186.78) ____________ TOTAL $16,997.37 [29]
Article 99 of the Code of Professional Conduct of Lawyers [8] provides as follows: 99. A lawyer must, before agreeing with the client to provide professional services, ensure that the client has all useful information regarding his financial terms and obtain his consent thereto, except if he has reason to believe that the client is already informed thereof. During the course of the mandate, the lawyer must keep the client informed of circumstances that could entail significant changes to the anticipated cost of his professional services. [30] Based on the evidence presented, it appears that Mr.
F... has been informed that the Superior Court is extending the trial to January 28, 2021 in order to hear closing arguments. He must therefore assume all related costs. [31] Finally, the Court takes into account the amount of $3,186.78 held in trust by Arruda Teixeira Inc. as an advance already paid by Mr. F.... FOR THESE REASONS, THE COURT: GRANTS partially Armenia Teixeira and Arruda Teixeira Inc.’s originating application; CONDEMNS M... F... to pay Armenia Teixeira and Arruda Teixeira Inc. $16,997.37, with interest at 12% per annum from March 2, 2021; THE WHOLE , with legal costs.
