Mélanie Camiré, Clerk at the hearing JUDGMENT [ 1 ] The Applicants seek leave to appeal from a judgment [1] of the Superior Court, District of Montreal (the honourable Dominique Poulin), rendered on July 10, 2023, authorizing the Respondent to institute a class action against the Applicants for alleged violations of s. 45 of the Competition Act [2] , ss. 216 , 218 , 219 and 272 of the Consumer Protection Act [3] , and arts. 6, 7 and 1457 of the Civil Code of Quebec . [ 2 ] The context can be summarized as follows.
Starting in 2003, the Applicants allowed certain approved third party vendors (Third Party Vendors) to sell their products on the Applicants’ website. The Applicants feature one or more offers for a product in the “Buy Box” on the product detail page, and additional offers are available elsewhere on the page. The Respondent emphasize the importance of the Buy Box – he alleges that 80% of sales on the Applicants’ website are made through the Buy Box.
The Applicants state that the offers featured in the Buy Box are those that they believe are the most attractive offers for customers, based on price, availability, service and delivery.
However, between 2003 and 2015 (for DVDs and music) or 2017 (for books and videos), the Buy Box included only products sold by the Applicants and excluded all offers from Third Party Vendors. [ 3 ] The Respondent alleged several causes of action in first instance: 1) The exclusion of Third Party Vendors from the Buy Box for those products during those periods was the result of agreements between the Applicants and the Third Party Vendors which were illegal under s. 45 of the Competition Act and gave rise to a civil remedy; 2) In failing to disclose to customers that a lower priced offer from a Third Party Vendor would not appear in the Buy Box for those products during those periods, the Applicants made false or misleading representations to consumers, contrary to the Consumer Protection Act ; 3) The Applicants breached their Civil Code obligation of good faith and their duty not to cause injury to another; and 4) The Applicants were unjustly enriched as a result of charging higher prices. [ 4 ] The judge in first instance authorized the class action with respect to the causes of action under the Competition Act , the Consumer Protection Act and arts. 6, 7 and 1457 of the Civil Code , but not the cause of action in unjust enrichment. [ 5 ] The Applicants seek leave to appeal under art. 578 of the Code of Civil Procedure.
The test for granting leave is strict: [5] Il convient de rappeler que l’octroi de la permission d’appeler d’un jugement autorisant l’exercice d’une action collective est tributaire d’un test « exigeant », tel qu’énoncé dans l’arrêt Centrale des syndicats du Québec c. Allen .
L’appel est réservé à des cas « somme toute exceptionnels » et requiert la démonstration que « le jugement [paraît] comporter à sa face même une erreur déterminante concernant l’interprétation des conditions d’exercice de l’action collective ou l’appréciation des faits relatifs à ces conditions, ou encore, lorsqu’il s’agira d’un cas flagrant d’incompétence de la Cour supérieure ». [6] Ce fardeau « très lourd » s’inscrit dans un contexte où le rôle du tribunal à l’étape de l’autorisation se limite à un exercice de filtrage dont le but, défini par la Cour suprême dans l’arrêt Infineon Technologies AG c.
Option consommateurs , est de : « s’assurer que des parties ne soient pas inutilement assujetties à des litiges dans lesquels elles doivent se défendre contre des demandes insoutenables. La Cour d’appel a décrit l’exigence relative au seuil comme suit : « le fardeau en est un de démonstration et non de preuve » ou, en anglais, [traduction] « the burden is one of demonstration and not of proof ». [ 6 ] The Applicants do not meet that standard. [ 7 ] They do not allege that the judge made any error in her description of the conditions for authorizing a class action. Nor do they allege that she made any error in her
summary of the relevant facts. The Applicants allege essentially that the judge should not have authorized the class action because the Respondent failed to produce any evidence in support of his legal theories. [ 8 ] It is true that most class actions alleging anti-competitive behaviour are founded on investigations or prosecutions by the relevant competition authorities in Canada or elsewhere that result in guilty pleas and fines. In those cases, there is ample evidence of the anti-competitive behaviour.
But such an investigation or prosecution is not a pre-condition for the authorization of a class action. [ 9 ] In this case, the Respondent alleges, and it is confirmed by screenshots from the Applicants’ website, that the Applicants excluded all offers from Third Party Vendors from the Buy Box for DVDs and music between 2003 and 2015 and for books and videos between 2003 and 2017. The Respondent alleges that, in the absence of competition for the Buy Box, the Applicants were able to charge higher prices.
From that factual base, the Respondent develops several legal theories. [ 10 ] In response, the Applicants produced the sworn statement of Richard Logan, their General Manager and Category Leader, Media. He confirms the exclusion of Third Party Vendors from the Buy Box for the relevant products during the relevant periods but denies that it was the result of any agreements between the Applicants and the Third Party Vendors.
He alleges that the Applicants decided to keep the Buy Box for themselves because they believed that their offers provided “the best experience for Canadian customers”. [ 11 ] The judge analyzes the legal theory with respect to the Competition Act and the evidence as follows: [47] Bien qu’à première vue il puisse paraître audacieux d’envisager l’application de l’
article 45 à la situation factuelle décrite , il demeure que l’exercice que la défenderesse propose imposerait de « se prononcer sur le bien-fondé en droit des conclusions en regard des faits allégués », faits auxquels la défenderesse ajoute par une déclaration assermentée de M. Logan, dont l’appréciation relève du juge sur le fond du litige.
Or, [t]out examen du fond du litige devrait être laissé à bon droit au juge du procès où la procédure appropriée pourra être suivie pour présenter la preuve et l’apprécier selon la norme de la prépondérance des probabilités . [48] La question de savoir si l’exclusivité de la Boîte d’achat relevait d’une entente avec les tiers vendeurs au sens de la LC est une question mixte de fait et de droit qui relève d’une appréciation sur le fond du litige. Le Tribunal ne peut retenir la version de M.
Logan sur la foi de sa simple déclaration assermentée sur des faits qui touchent au cœur du fondement du recours du demandeur. [49] Il ne peut non plus tenir pour avérer l’affirmation voulant que cette exclusivité ait été décidée dans le but d’assurer une meilleure expérience pour la clientèle. [50] À ce stade, le Tribunal a simplement le rôle de s’assurer que la défenderesse ne sera pas assujettie à défendre une demande insoutenable .
Or, l’argument du demandeur que la défenderesse a conclu des arrangements pour l’attribution d’un territoire pour la fourniture des nouveaux BMVD n’apparaît pas frivole ou dépourvu de la possibilité qu’il ait gain de cause . [Emphasis added and references omitted] [ 12 ] The judge takes a similar approach with respect to the other causes of action. [ 13 ] In my view, the judge properly exercised her role on a motion to authorize a class action.
While she expresses doubts about the ultimate success of the cause of action based on the Competition Act , she limits herself to verifying whether the claim is frivolous and concludes that it is not. She leaves the contested issues to be decided by the judge on the merits.
In the absence of any manifest error, the Court should not intervene: [7] Bien que je convienne que la cause d’action des intimées ne paraît pas des plus solides en l’état actuel du dossier, et bien que je ne doute pas que le CSSS ait des arguments sérieux à faire valoir sur le fond, je suis d’avis qu’il perd de vue que, à l’étape de l’autorisation, « le demandeur n’a qu’à établir une simple “possibilitéˮ d’avoir gain de cause sur le fond, pas même une possibilité “réalisteˮ ou “raisonnableˮ » et que les allégations d’une demande d’autorisation « peuvent être imparfaites » et « n’ont pas à contenir le menu détail de la preuve qu’un demandeur entend présenter au mérite ».
En outre, la décision du juge de refuser de statuer immédiatement sur la question clé de la propriété des fonds amassés lors des activités de financement ne semble pas à sa face même entachée d’une erreur révisable, et c’est d’autant plus vrai que, « [l]orsqu’elle siège en appel d’une décision portant sur une demande sollicitant l’autorisation d’exercer une action collective, la Cour d’appel “ne détient qu’un pouvoir limité d’interventionˮ » et qu’elle doit faire preuve de retenue. [5] [References omitted] [ 14 ] In conclusion, it is worth mentioning that even though the Applicants have not convinced me to grant leave to appeal from the authorization judgment, my conclusion should not prejudice in any way their defence on the merits or their right to seek the dismissal of the class action at a preliminary stage, if such a remedy is appropriate in light of the file as it is then constituted.
