V… INTIMÉE – défenderesse ARRÊT [ 1 ] L’appelant se pourvoit à l’encontre d’un jugement rendu le 18 avril 2019 par la Cour supérieure, district de Montréal, (l’honorable Luc Lefebvre), qui accueille la demande de l’intimée de rejeter une expertise comptable. [ 2 ] Cet appel s’inscrit dans le cadre des procédures de divorce des parties où l’appelant demande la rétractation du jugement de divorce rendu par l’honorable François P. Duprat, en novembre 2018. [ 3 ] L’appelant a mandaté une firme d’experts (« BDO ») afin de critiquer le rapport de l’expert de l’intimée (« MNP ») portant sur la valeur de ses actifs.
Lors du procès, les deux experts, les avocats et les parties ont convenu du « net worth » et du « notional income » de l’appelant. Cette entente intitulée Agreement regarding the Net Worth and Notional Income of Defendant (« l’Entente ») est signée et produite par les parties le 28 mars 2018 durant le procès et est ainsi rédigée : WHEREAS the Applicant mandated the firm MNP to prepare a report on the Fair Market Values of the Interests in private companies held by E. D., as well as his net worth; WHEREAS Mr.
Gerald Blackman of the firm MNP prepared the said report dated December 14, 2017; WHEREAS the Defendant mandated the firm BDO to prepare a Limited Critique Report; WHEREAS Mr. Jean Belanger of the firm BDO prepared the said report dated February 23, 2018; WHEREAS the said reports have been exchanged between the two (2) experts; WHEREAS both reports have been filed into the Court Record; WHEREAS the experts, Mr. Blackman and Mr.
Belanger have met and discussed their respective reports, findings and conclusions; WHEREAS in order to assist the parties and the Court, the experts have reviewed the reports; WHEREAS the experts have, after their meeting and discussions, agreed as follows: 1. The
preamble forms an integral part of the present consent; 2. The net worth of E. D. is situated between two million five hundred thousand dollars and three million dollars; 3. The notional income of E. D. for the years 2015, 2016, 2017 and 2018 will be set between five hundred and fifty thousand dollars and seven hundred and fifty thousand dollars; 4. The experts have also agreed that the value of the D. Family Trust * is situated between three million eight hundred thousand dollars and four million dollars; *known as “Fiducie Famille D.”
5. The Defendant states that there are no financial statements for the D. Family Trust; 6. The D. Family Trust owns the following assets: • [Company A] (100 Class B shares); • [Company B] (1000 Class A shares); • [Company C] (1000 Class A shares); • [Company D] (1000 Class A shares); • [Company E] (1000 Class A shares); • A bank account having a balance of approximately thirty dollars ($30.00); 7. The D. Family Trust does not own any other assets. Moreover, no other family trusts were created since January 2018, by the parties.
The present agreement is signed in Montreal on this 27 th day of March 2018. [ 4 ] Le juge Duprat considère l’Entente comme une admission judiciaire pour les fins de la fixation de la pension alimentaire au bénéfice des enfants et de l’intimée. Se fondant sur celle-ci, il fixe le revenu annuel de l’appelant à 650 000 $ pour les années 2015, 2016, 2017 et 2018. [ 5 ] L’appelant demande la rétractation de ce jugement et le désaveu de son avocat. Il allègue n’avoir pas compris les termes de l’Entente qu’on lui recommandait de signer, non plus que ses conséquences sur le sort du litige.
Il ajoute avoir été mal conseillé par son expert BDO et par son avocat et déduit que celui-ci ne peut avoir saisi ou compris les conséquences de l’Entente bien qu’il ait rédigé celle-ci conjointement avec BDO. [ 6 ] Il produit le rapport d’un nouvel expert (« Grosjean ») pour étayer ses prétentions. Le rapport d’expert Grosjean comprend les conclusions suivantes : 10. CONCLUSION As detailed by the calculations in our attached schedules and subject to the assumptions, restrictions and the scope of work, as set out herein, we conclude that the average notional income of Mr. E.
D. for the years 2015, 2016, 2017 and 2018 is approximately $190,000. Based on our analysis, PSBB is of the opinion that there is a substantial gap between the Defendant’s actual notional income and the notional income established in the Agreement. We are unable to determine the basis that BDO used to recommend the Agreement to the Defendant given the significant gap between BDO’s and the Agreement and its commentary on MNP’S Report. Based on these findings, we believe that MNP and BDO agreed to a notional income that is incorrect.
Based on PSB’s analysis of the facts that have been presented, it was inadvisable for the Defendant to Sign the Agreement. [ 7 ] L’intimée demande alors le rejet du rapport d’expert Grosjean.
Le juge de première instance accueille cette demande pour les motifs suivants : ➢ le législateur a adopté l’article 232 C.p.c. par souci de proportionnalité; ➢ la stabilité des jugements milite en faveur de son rejet; ➢ le jugement de divorce ne comporte pas d’apparence de faiblesse ou d’erreur, compte tenu des constats de la juge Bich lors du rejet de la suspension d’exécution du jugement de divorce; ➢ la nouvelle expertise n’est pas nécessaire pour permettre à l’appelant d’établir qu’il n’a pas saisi la portée de l’Entente considérée comme une admission judiciaire ou que son consentement a été vicié lors de la signature de l’Entente. [ 8 ] En l’espèce, à sa face même, le nouveau rapport d’expert Grosjean porte sur une question similaire à celle traitée dans le rapport d’expert BDO déjà produit par l’appelant, soit la valeur du « notional income » de celui-ci.
À première vue, la règle énoncée au 2 e alinéa de l’article 232 C.p.c. ne semble pas respectée. En effet, cet alinéa prévoit que « les parties ne peuvent se prévaloir de plus d’une expertise par discipline ou matière, à moins que le tribunal ne l’autorise en raison de la complexité de l’affaire ou du développement des connaissances dans la discipline ou la matière concernée ». [ 9 ] L’appelant soutient que malgré les apparences, il ne s’agit pas d’une deuxième expertise dont la production serait interdite par cette disposition.
Il explique que pour obtenir l’annulation de l’Entente, désavouer ses avocats et rétracter le jugement de divorce, il souhaite établir qu’il n’a pas compris les conséquences d’une telle évaluation non plus que la signification de l’expression du « notional income ». Il ajoute que les experts BDO et MNP ne pouvaient déterminer ce « notional income » pour les années 2016, 2017 et 2018 car ils n’avaient pas la documentation nécessaire. Plus précisément, il allègue dans le pourvoi en rétractation de jugement modifié : 21.
THAT the Applicant hereby requests the revocation of the Judgment rendered on November 21 st 2018 and of the “judicial admission” purportedly represented by the “ Agreement-Net Worth and Notional Income ” (Exhibit P-4), the whole for reasons set forth more fully herein;
22. THAT the Applicant respectfully submits that his consent in relation to the “ Agreement-Net Worth and Notional Income ” (Exhibit P-4) was (and remains) vitiated, which renders the said Agreement, and any purported judicial admission contained therein, null and void and of no effect whatsoever; 23.
THAT as is detailed herein the Applicant respectfully submits that at the time of the signature of the “ Agreement-Net Worth and Notional Income ” (Exhibit P-4) on March 27 th , 2018, the Applicant did not understand the content of the Agreement, did not understand the judicial consequences of the Agreement and was furthermore led into error as to inter alia the content and effect of the Agreement by his own attorney and the gross negligence of his expert, Mr. Jean Bélanger [BDO], both of whom exceeded the scope of their respective mandate; 24.
THAT as regards the circumstances surrounding the execution of the “ Agreement-Net Worth and Notional Income ” (Exhibit P-4), the Applicant clearly did not understand what he was signing as the following events occurred; 28.
THAT the Applicant’s failure to understand the “ Agreement-Net Worth and Notional Income ” (Exhibit P-4) is clearly demonstrated inter alia by the fact that on June 11 th 2018; the Applicant’s attorney filed with his Written Pleadings a Statement of Income and Expenditures and Balance Sheet (From III) on behalf of the Applicant dated and signed by the Applicant, wherein, for the fiscal year 2017, the Applicant declares total income in the amount of $43 746.00 and a net worth in the amount of $606,850.00; 31.
THAT it is clear and unequivocal that the Applicant would not have signed the Form III on June 11 th , 2018, subsequent to the Hearing on the Merits had he understood the meaning, significance and implication of the content of the “ Agreement-Net Worth and Notional Income ” (Exhibit P-4); 39.
THAT the representations and actions of the Applicant’s attorney during the Hearing on the Merits and subsequent thereto confirm that the Applicant did not understand and could not have understood the Form III that Applicant signed on March 27, 2018, as well as the Form III that Applicant signed on June 11 th , 2018 inclusive of the fact that Applicant was clearly led into error as Applicant clearly did not comprehend the content and the significance of the “ Agreement-Net Worth and Notional income ” (Exhibit P-4); 40. THAT subsequent to the Judgment of November 21, 2018 (Exhibit P-1), the Applicant mandated Mr.
Patrick Grosjean inter alia to provide his expert opinion as to whether the experts involved in the matrimonial litigation (i.e.
MNP and BDO) had in their possession sufficient financial information and disclosure so as to opine as to the Applicant’s Net Worth and Notional Income for the fiscal years 2016, 2017 and 2018, and in fact, given that the experts were not in possession of the required financial information for each of said fiscal years, it is clear and evident that the experts could not opine as to Applicant’s Net Worth and Notional Income during said fiscal years and accordingly, exceeded the scope of their respective mandates, and thereby caused serious prejudice to the Applicant; 47 THAT the expert report prepared by Mr.
Patrick Grosjean (Exhibit P-5) constitutes new evidence and confirms that Mr. Bélanger’s gross negligence caused a grave prejudice to the Applicant; 48. THAT the expert report prepared by Mr. Patrick Grosjean (Exhibit P-5) clearly establishes the error of facts which led the Applicant to sign the ‘ ’Agreement-Net Worth and Notional Income ’’ (Exhibit P-4) and to make the admission(
s) purportedly appearing therein; 49. THAT the expert report prepared by Mr. Patrick Grosjean (Exhibit P-5) is exceptionally important in order to aid this Honorable Court to determine whether or not Applicant’s consent to sign the ‘ ’Agreement-Net Worth and Notional Income ’’ (Exhibit P-4) was vitiated on March 27 th , 2018; [Soulignements retirés] [ 10 ] Or, le nouvel expert Grosjean conclut à un « notional income » différent de celui de l’Entente et différent de celui établi par les experts qui l’ont négocié, dont le « notional income » établi dans le rapport BDO déjà produit par l’appelant.
Il se révèle toutefois inutile pour établir comment, dans quelles circonstances et sur la base de quels documents l’Entente a été conclue et surtout la compréhension qu’en avait l’appelant quant à ses effets. [ 11 ] C’est à bon droit que le juge de première instance constate que cette nouvelle expertise ne servira pas à établir l’incompréhension de l’appelant de l’importance et des conséquences du « notional income » convenu dans l’Entente.
Cette preuve pourra être administrée par les témoins présents lors de la signature et de la confection de l’Entente, alors que le nouvel expert Grosjean n’était pas présent et n’y a pas participé. Le rapport de ce dernier est une troisième opinion d’expert sur le « notional income » de l’appelant. [ 12 ] Tenant compte de la règle énoncée au 2 e alinéa de l’article 232 C.p.c. , l’appelant ne nous convainc pas qu’il y a lieu pour la Cour d’intervenir afin de modifier la conclusion du juge de première instance rejetant le rapport Grosjean.
POUR CES MOTIFS, LA COUR : [ 13 ] REJETTE l’appel, sans les frais de justice vu la nature du litige. ROBERT M. MAINVILLE, J.C.A.
