partie demanderesse, Scott Katz, réclame de la
partie défenderesse, David Rak et Fashion Togs Investments Ltd (Togs), 15 000 $ pour services rendus. [ 2 ] Feu Nat Mager, en vertu de son testament (P-1) reçu par Me Sheldon Merling, notaire, le 29 juin 2010 sous le numéro 37,795 de ses minutes, a instruit l’exécuteur testamentaire de respecter les termes suivants : (
H) I hereby direct my Executors and Trustees to respect and perform (or cause to be performed) all agreements and understandings (whether written or oral) between my grandson, Scott Katz, and F.T. Investments Ltd. regarding the payment to my grandson, Scott Katz, of an annual salary for valuable services rendered to the aforesaid corporation in his capacity as an investment advisor. The current agreement and understanding between my grandson, Scott Katz, and F.T.
Investments Ltd provides that my grandson shall be paid an annual sum equal to one percent (1%) of the fair market value of all properties and investments registered in the name of F.T. Investments Ltd. until such time as my Succession has been fully administered and the Spousal Trust established hereunder has been liquidated and wound-up. I leave to the discretion of my Executors and Trustees the method of determining the fair market value of the properties and investments registered in the name of F.T.
Investments Ltd. and the modalities of payment to my grandson, Scott Katz. [ 3 ] Tel qu’il appert de l’état de compte en date du 31 mars 2017, M. Katz soutient que la somme de 15 231,41 $ lui est due, somme qui fut réduite aux fins de prendre avantage de la juridiction de la Cour du Québec, chambre civile, division des petites créances (P-2). [ 4 ] Les services furent rendus pour la période du 1er avril 2016 au 31 mars 2017.
Il s’agit d’une commission de 1 % due au demandeur eu égard à l’administration d’investissements de près de 1 500 000 $ (P-3, en liasse, TD Direct Investing, compte n o 49LL31). [ 5 ] Le 30 septembre 2015, est intervenu un « Receipt, Release, Discharge and Transaction Agreement and Definitive Settlement », soit the « Agreement », entre Stanley D. Mager, Rosanne Katz, Ruth Kreps, Faigie Adelman, de même que M. Aniceto Pedicelli (P-4), où un curateur à la propriété fut nommé, soit M. David Rak, défendeur, selon les termes suivants : 10.
The Curator to the Property shall be David Rak (hereinafter the “ New Curator (to the Property ”); 13. The New Curator to the Property shall act in the highest interests of the well- (being of Ruth, including her patrimony and any recovery there under against third persons under the Civil Code of Quebec , with the exclusion of any members of the Katz and Mager families; 15.
If there is a serious material dispute between the New Curator to the Property and the consultants, the Parties shall submit the dispute to mediation under the sub-section mediation below and failing settlement the Parties irrevocably submit their dispute to binding arbitration as set out herein; 31.
Stanley and Rosanne agree that all recoveries shall be for the patrimony of Ruth, which they agree is in the best financial interest of Ruth and that any such recoveries must be deemed cost effective by the New Curator to the Property; [ 6 ] Une entente est aussi intervenue le ou vers le 31 mars 2014 où il fut reconnu par Mme Rosanne Katz, liquidatrice, de même que Stanley Mager, directeur et liquidateur, à l’effet que le demandeur était dû le montant de 1 % sur les investissements (P-6) : F.T. Investments Ltd.
The "Last Will" of Nat Mager stipulates that a 1% administration fee is due to Scott Katz on an annual basis, calculated on the fair market value (FMV) of all properties and investments registered in the name of F.T. Investments Ltd. The directors of F.T. Investments Ltd. have agreed to the following: - The fee will be calculated annually based on 1% of the month end FMV of the investments detailed on the broker statements during the period of April 1 st to March 31 st . - The fee will be prorated for any periods less than twelve (12) months.
The fee will be paid annually within a 60 day period following the fiscal year end of F.T. Investments Ltd. [Signature] ___________________________ Rosanne Katz director/executor [Signature] ___________________________ Stanley Mager director/executor [ 7 ] Jugement par défaut fut rendu le 21 août 2018 par le greffier spécial, Me William Durand, condamnant solidairement les défenderesses à payer à M. Katz la somme de 15 000 $ avec intérêts et indemnité, de même que les frais de justice. [ 8 ] Un Pourvoi en rétractation en vertu des articles 345 et suivants du Code de procédure civile ( Cpc ) présenté par M.
Stanley Mager et représentant de Togs fut reçu par l’honorable Gilles Lareau, J.C.Q., le 1er octobre 2018. [ 9 ] M. Mager conteste la réclamation soutenant que M. David Rak n’avait pas l’autorité de représenter la succession dans ce présent dossier, que Mme Rosanne Katz étant la mère de la
partie demanderesse, Scott Katz, était en conflit d’intérêts. [ 10 ] Essentiellement, M. Mager soutient que la procédure eu égard à la liquidation de la succession ne fut pas suivie. Par contre, à plusieurs reprises lors de l’audience, celui-ci a reconnu que ladite somme de 15 000 $ était effectivement due à M. Scott Katz pour les services qui furent rendus pour et en faveur de la succession et selon les termes des documents susmentionnés, de même que le testament (P-1). [ 11 ] D’ailleurs, une correspondance fut adressée par M.
David Rak à Mme Rosanne Katz, de même que Scott Katz, confirmant que suite à l’entente intervenue entre les parties, que les sommes étaient effectivement dues (P-5) : From: David Rak […] Date: 2017-11-10 5:05 PM (GMT-05:00) Me Etienne Shareck To: Rosanne Katz […] Cc: eshareck@moghrabi.ca, Scott Katz […] Subject: RE: FOR THE RECORD Hi Rosanne, For the record I agree with you. Here are the facts: 1) Nexia Friedman did the calculation for the fee due to Scott 2) l prepared the check from the Company (Fashion Togs) and yes, Rosanne you signed
3) l sent the check to Stanley and he refused to sign 4) I have offered to substantiate these remarks on Scott's behalf 5) Stanley did verbalize to me (l do not have the tape), that he knows that Scott is owed the money but he is not agreeing to sign the Fashion Togs check as leverage against you (Rosanne) 6) l also believe that if there additional costs tacked on to the fee ( such as interest), that it should be paid by Stanley personally and not the company. It is strictly a case of making things difficult since the funds are due. [ 12 ] Eu égard aux représentations de M.
Stanley Mager en tant que représentant de Togs, le Tribunal accorde le Pourvoi en rétractation en vertu des articles 345 Cpc . CONSIDÉRANT que la
partie demanderesse, Scott Katz, a rencontré son fardeau de preuve en vertu de l’
article 2803 du Code civil du Québec ( CcQ ) : 2803. Celui qui veut faire valoir un droit doit prouver les faits qui soutiennent sa prétention. Celui qui prétend qu’un droit est nul, a été modifié ou est éteint doit prouver les faits sur lesquels sa prétention est fondée. CONSIDÉRANT les ententes intervenues entre les parties et les admissions lors de l’audience à l’effet que la somme de 15 000 $ est effectivement due à la
partie demanderesse étant donné que les services furent dûment rendus par le demandeur, Scott Katz; PAR CES MOTIFS, LE TRIBUNAL : CONDAMNE la
partie défenderesse, solidairement, soit David Rak, en tant qu’exécuteur testamentaire de la succession de feu Nathan Mager, et Fashion Togs Investments Ltd, à payer à la
partie demanderesse, Scott Katz, la somme de 15 000 $, avec intérêts, majorés de l’indemnité additionnelle prévue à l’
