VASSILIOS MANOLAKOS et ANGELA MANOLAKOS , [...], Laval, Québec, [...] défendeurs ______________________________________________________________________ JUGEMENT ______________________________________________________________________ [ 1 ] Par une demande judiciaire signifiée le 3 février 2009, le demandeur réclame 2 140,18 $ pour des honoraires d'avocat. L'audition a lieu le 3 mai 2011.
Les faits [ 2 ] Le 31 octobre 2002, la National Bank of Greece inscrit une hypothèque de 100 000 $ sur le lot 75-1, Paroisse St-Laurent (P- 4) appartenant au défendeur. [ 3 ] Le 5 novembre 2002, le défendeur achète de monsieur Dracopoulos cet immeuble pour 125 000 $ (P-4). [ 4 ] Le 10 août 2006, madame Angela Manolakos, pour le défendeur Manolakos, consulte le demandeur pour non-paiement de loyer (P-1).
Madame Manolakos signe une convention d'honoraires avec le mandat suivant (P-1) : « Letter of demand for the non-payment of rent (July + August + taxes since 2004 portion insurance) proof + handle with drain (?) certificates of grease (illisible) a/c etc. » [ 5 ] Le taux horaire convenu est de 135 $; dépôt 200 $; intérêt conventionnel : 24 % (P-1 et D-1). [ 6 ] Le 23 août 2006, le demandeur envoie au locataire la mise en demeure de payer son loyer (D-1) : « Nous avons été mandaté par notre client, Monsieur Vassilios Manolakos, de vous faire parvenir la présente missive.
Il appert que depuis le début du bail avec votre cliente, plusieurs problèmes se sont développés, entre autres concernant les arrérages et le paiement du loyer. En date d'aujourd'hui, votre cliente est en défaut de paiement au montant de vingt-quatre mille sept cent soixante- seize dollars et cinquante-trois cents (24 776,53 $), représentant deux (2) mois impayés et des arrérages de taxes et d'assurance (voir pièces ci-jointes). De plus, votre cliente a causé beaucoup de dommages à l'immeuble de notre client en bouchant les drains.
Plusieurs problèmes ont été occasionnés par la non-collaboration de votre cliente et par sa négligence. Les drains ont été bloqués par de la graisse dompée dans ces conduits. Étant donné les circonstances, une preuve d'assurance de votre cliente est essentielle afin de régler lesdits dossiers d'assurances. Nous désirons donc obtenir le montant demandé dans les dix (10) jours de la réception de la présente.
La preuve d'assurance et le paiement payable à l'ordre de Gagnon & Associés In Trust, à défaut de s'y conformer dans le délai imparti, nous avons le mandat d'entreprendre sans plus tarder une procédure de résiliation et d'éviction des lieux en Cour du Québec et ce, sans autre avis ni délai. » [ 7 ] Le 25 août 2006, le demandeur envoie au défendeur son compte au montant de 555,23 $ (P-2a) :

We have tried very hard though and if you believe that it is the best strategy under the circumstances, please go ahead. The owing amount is as following : Previous amount $24,776,53 17 month rent x 2,500 = 42,500 Insurance 2007 2,000 Taxes 2007 5,900 Total 50,400 • Grand total $75,176.53 • Plus applicable taxes • Plus legal fees (it is written in the lease) • Damages of vandalism estimation will follow! » [ 9 ] Le 18 septembre 2009, le demandeur intente l'action contre le locataire du défendeur et réclame 27 652,10 $ (P-5a) : « (…) 1.
Les parties sont liées par un bail commercial concernant un local sis au 6114, boulevard Gouin Ouest à Montréal, […] valide jusqu'au 31 décembre 2007, le tout tel qu'il appert du bail dénoncé au soutien de la présente sous la cote P-1 ; 2. La
partie défenderesse est en retard de plus de trente (30) jours dans le paiement régulier de son loyer et doit à la
partie demanderesse la somme de huit mile six cent vingt-six dollars et quatre-vingt-quinze cents (8 626,95 $) représentant trois (3) mois de loyers; 3. La défenderesse doit également la somme de dix-neuf mille vingt-cinq dollars et vingt et un cent (19 025,21 $), ladite somme représentant des arrérages de taxes et d'assurances, le tout tel qu'il appert d'un état de compte dénoncé au soutien de la présente sous la cote P-2 ; 4. Le ou vers le 23 août 2006, la
partie défenderesse a été dûment mise en demeure de se conformer à ses obligations et payer les sommes dues, tel qu'il appert de la mise en demeure dénoncée au soutien de la présente sous la cote P-3 et dont la défenderesse est sommée de produire l'original, faute de quoi preuve secondaire en sera faite; 5. À ce jour, la
partie défenderesse refuse et/ou néglige de payer les sommes dues; 6. La
partie demanderesse subit un grave préjudice de la présente situation, notamment de nombreux troubles et inconvénients, tel qu'il sera plus amplement démontré lors de l'audience; (…) » [ 10 ] Par la même occasion, le demandeur fait, pour le défendeur, une saisie avant jugement en se basant notamment sur les allégations suivantes de monsieur Manolakos (P-5b) :
« (…) 2. Je poursuis la
partie défenderesse en l'instance afin d'obtenir le recouvrement du solde des loyers, taxes et assurances en vertu du bail conclu avec la
partie défenderesse; 3. En effet, la
partie […] défenderesse refuse et/ou néglige d'exécuter ses obligations découlant dudit bail; 4. Je crains que, sans une saisie avant jugement, le recouvrement de ma créance ne soit mis en péril et que tout recours ne devienne totalement illusoire, pour les motifs ci-après exposés; 5. J'ai connaissance personnelle que la
partie défenderesse a déménagé la totalité des meubles et/ou équipement se trouvant au siège de la
partie défenderesse et servant à l'exploitation de son commerce; 6. J'ai connaissance personnelle que la
partie défenderesse exerce maintenant son commerce au 5745, boulevard Gouin Ouest à Montréal, […]; 7. J'ai connaissance personnelle que la
partie défenderesse a mis en vente une grande partie, sinon la totalité, de ses biens meubles et/ou équipement par la voie des journaux; 8. À ce jour, la
partie défenderesse doit à la
partie demanderesse la somme de vingt-sept mille six cent cinquante-deux dollars et dix cents (27 652,10 $), tel que détaillé dans l'état de compte ci-joint; 9. La
partie défenderesse est propriétaire des biens meubles décrits ci-joint, liste non exhaustive; 10. Vu ce qui précède, je suis fondé de craindre que le recouvrement de ma créance contre la défenderesse soit mis en péril. (…) » [ 11 ] Le 27 septembre 2006, madame Manolakos fait ses commentaires concernant cette saisie (D-3) : « This is to acknowledge receipt of the list of seizure at Nikos Deli Pizza at 5745 Gouin.
However, although the list is in French and only handwritten – more difficult I noticed that: • no refrigerators or freezers are or enough on the list , which are one of the essential equipment for this kind of business. • The list seems to be of on one floor. What about the basement? Where is the stock, dishwashers etc.? Please take into consideration that he has been advertising the sale of equip. on the Greek newspaper for 4 weeks on the road.

In another words the bailiff would come back with: a. The cheques b. Worst scenario the seized equipment and instead I have received a piece of payer "the seized list" and the timetable of event. As you might have guessed this is unacceptable for us. It has to be another way. A good plan since the "boat was missed" at the seizure. Therefore a serious consideration has to be done and inform us with details of what is coming. We repeat we need our money which is much more than your assistant insisted of asking (whole lease and damages).
Also all legal fees are to be paid by him . (illisible) we can not afford to pay any legal fees for sure. Our financial losses are unbearable! » [ 14 ] Le 15 novembre 2006, le demandeur envoie aux défendeurs une lettre leur rappelant le compte d'honoraires du 12 octobre 2006 (P-3a). [ 15 ] Le 12 décembre 2006, le demandeur fait un nouveau rappel (P-3b). [ 16 ] Le 12 janvier 2007, le demandeur envoie son compte pour le travail exécuté du 6 octobre 2006 au 7 janvier 2007 (P-2c) : SERVICE AND FEES 23-10-06 Drafting of an agreement as to the conduct of the proceeding and a letter to Me Melvin S.

[ 19 ] Le 30 mars, la défenderesse envoie au demandeur la lettre suivante (D-5) : « It is with a lot of disappointment that I send this notice to your attention for what is happening is just very unjust.
First of all as you know the language should be in English … Second as I explained on my letter dated Nov 20 and further at the "meeting" you asked at your office on Nov. 30, 06 – you billed me for that without my knowledge – we had hesitate a lot about the outcome of the seizure proceeding of Nikos Deli. Finally, you convinced us that it was the right thing to do under the circumstances. You had your assistance(
s) do the preparation and we had asked to act with a plan in order to get results and settlement OUT OF COURT etc. Instead of that Bingo. Nothing just papers. In order not to create more problems, I accepted to work only with you to find a solution that was our resume at the "meeting" Nov. 30, 06. Because of the Bailiff and your assistant missed the boat, you would find a way to settle the case with his lawyer you personally out of court.
Our demand should be all the remaining fees which comes to : Previous account 24,776.53 17 month rent 17x 2500 = 42,500 Insurance 2007 2,000 Taxes 2007 5,900 Vandalism 75,000 Total 125,400 125,400 Legal fees, etc. ? Instead of some result or news about the development, now this route of (illisible) in French. What is this? P.S. The insurance problem is still unsettled.
The damage is over 400,000 or so … no wonder they changed 4 x adjustors and pushed to close file … You see, it is the same insurance for both. » [ 20 ] Le 15 mai 2007, le demandeur explique sa position et demande aux défendeurs de décider ce qu'ils veulent faire (D-6) : « We would like to answer your letter received on April 2 nd , 2007. On the 10th of August 2006, you gave us a mandate to try to recover the rent owed by your commercial tenant located at 6114-6118, Gouin in Montreal.
According to the law, we had to introduce a motion of non-payment of rent and damages at the Court of Quebec to proceed with the seizure. Unfortunately, the impact on the other party was not the one we were looking for. So we had to continue with the legal procedures. We met with you on November 30th, going to read their plea and cross demand, given to you on that same day.
On the other hand, we had to verify the possibility of suing Nick Xiarchos personally. If we want to amend the procedure and sue Mr. Xiarchos, it will cost more money and it is not guaranteed. Up to this day, you still owe our office the amount of two thousand one hundred twenty-five dollars and the fifty cents (2 125,50 $) (enclosed copy). Also, we are still wanting for your comments regarding the plea and cross demand.
We believe that you need to make a decision very soon either: - We continue the procedure, amend them and also respond to their plea and cross demand; - We try to settle out of Court the demand considering the amount involved; - Or you remove our mandate to continue in this file. Awaiting for your response, (…) » [ 21 ] Le 15 juin 2007, madame Manolakos dit : « take care of the matter for best outcome » (D-7) : « Unfortunately nothing has been settled with insurance yet. The damage is huge. Unless we see who is going to pay, we cannot (illisible) against Nikos Deli.
Unfortunately because of the careless (illisible) in the case, we have to wait … The lost amount is huge… What they say in their defense is no sense for which I have no time or energy to waist as huge priorities with insurance take all our strength. For sure, we did not need this outstanding case and would not have this kind of extra stress if your office had done the job according to our wishes. Therefore, do what you have to as if it was for your own instead of us. In another words the best. As explained may times before, he caused all huge damages by lying and covering the truth.
He has been so greedy that although we give him the business, it was not enough. He wanted to grab the building also with (illisible) plots. Please take care of the matter for best outcome . » [ 22 ] Le 7 août 2007, le demandeur envoie un nouveau compte de 250,69 $ qui avec les comptes antérieurs forment un total de 2 376,19 $ (P-2d) : SERVICE AND FEES 12-02-07 Drafting of a declaration, inscription and inventaire 135.00 60m. 12-02-07 Phone conversation with Me Melvin S.

Total to pay 2,376.19$ [ 23 ] Le 15 novembre 2007, le demandeur envoie aux défendeurs un état de compte totalisant 2 622,70 $ (P-3e) : 12-10-06 Facture 13820 1 213,50 11-12-06 Intérêts 23,95 12-01-07 Facture 14379 718,18 20-03-07 Intérêts 97,55 14-05-07 Intérêts 72,33 07-08-07 Facture 15572 250,69 05-11-07 Intérêts 246,31 _______ 2 622,70 [ 24 ] Le 15 septembre 2008, madame Manolakos déclare qu'elle ne paiera rien (D-8): « Not only we do not own you any money, but – as you are very well aware your office acted against our will and instructions with all the consequences.
If you decide to go to court, we will vigorously contest. » [ 25 ] Le 10 novembre 2008, le demandeur envoie aux défendeurs leur état de compte au montant de 2 140,18 $ (P-3f). [ 26 ] Le 13 novembre 2008, 9123-8881 Québec inc., locataire de Manolakis, demande une suspension de l'audition dans le dossier 500-22-126914-061 (D-9) : « 1. In the present case, Plaintiff, the Landlord has instituted proceedings against Defendant, the tenant, for arrears and rent and taxes; 2. By way of Cross-Demand, Defendant has claimed damages resulting from water infiltration from the roof and blocked pipes; 3.
In a separate Motion to introduce Proceedings bearing record number 500-17-045751-081, Plaintiff is claiming damages from Defendant its insurer resulting from the same incidents, a copy of the said Motion is annexed hereto as Annex "A"; 4. Both cases have the same juridical bases and raise the same questions of law and fact; 5. The trial in the present case has been fixed for January 8th and 9th, 2009; 6. Plaintiff requests that the hearing of the present case be suspended until the judgment in the case before the Superior Court has become definitive; 7.
Suspension of the case will not result in any serious prejudice to Defendant; WHEREFORE PLAINTIFF PRAYS THAT: The hearing of the present case be suspended until the judgment in case number S.C.M. 500-17-045751-081 has become definitive; » [ 27 ] Le 26 janvier 2009, le demandeur envoie de nouveau son état de compte (P-2f). [ 28 ] Le 3 février 2009, le demandeur intente son action réclamant 2 140,18 $. [ 29 ] Le défendeur conteste cette action disant : « I do not know the Plaintiff – I never signed anything.
As it is clearly seen in P-1, it is not my name written, neither my signature. » [ 30 ] La défenderesse conteste la réclamation aux motifs suivants : « (…) 1. I first met Me J. Gagnon, totally bilingual, at her office at 750 Marcel Laurin Blvd., at the beginning of August 2006. The reason was a trouble causing the Restaurant tenant in our building. Among all his other defaults, we were informed that he had been thrown out by his insurer. Therefore, a lawyer's letter had to be sent immediately. We agreed with Me J. Gagnon for her fees of $135 hourly.
Also we informed her we were leaving for a few days for a family vacation. See Ex. P1 2. Upon our return 2 weeks later, on August 21, 2006 with shock we found out that: a. The tenant was removing all restaurant equipment; b. The letter had not been sent yet. Me J. Gagnon insisted on sending the letter then. See Ex. D1 3. The place was left in a totally vandalised and dangerous condition. We informed Me Gagnon. At once she advised us to take him to court. We refused for the following reasons: a. We had to take care of all emergencies, restauration etc. b. There had been going on an insurance case not settled yet.
c. We had 3 years to decide. 4. At this time, we heard about a procedure called "Seizure before judgement". Totally inexperienced we were trying to comprehend whether it would be worth the effort, money, etc. at this so critical timing. The conclusion was that it was a fast way for settlement out of court, which had 2 avenues. a. Whether they would pay or b. The bailiff would remove equipment (worst scenario). Under this understanding and convinced by Me J. Gagnon, I convinced the owner of the building Mr. Vas. Manolakos to sign for the seizure. See Ex D2 5.
After that, communication become very difficult with Me Gagnon who to my demands she finally called to assure me that her assistant lawyer was very capable of handling the case. I tried to coordinate with her assistant the best way possible. I gave her all additional info and asked her too to have a meeting for a plan with all of us including the bailiff for the seizure. She agreed. While I was waiting for the meeting, I found out that the Seizure had been done by a bailiff speaking only French dealing with Anglophone speaking clients …… No previous plan, nothing. The result?
A big FIASCO, No cheques, no equipment, just a piece of paper with some of the taken equipment and a hope that he would sell them afterwards. No other information ….. See Ex D3 Now, they were avoiding us …. 6. In October 06, Me J. Gagnon herself called to convince me she had to go to court. I jumped. That was out of the question as explained to her our opinion of court cases dragging energy etc. from the very beginning. With diplomacy, she let me believe it was one more step before the end result.
Later to my astonishment I received the Timetable of events which the lawyers had signed without neither my understanding nor my permission as seen in Ex D4 7. Now, they changed the assistant lawyer with another one. We asked them to stop the case since it did not seem to us useful clear out with insurance settlement. No. They pushed. They kept calling to pressure us about the continuation of this case. They used all tricks of the trade to scare us. Attached are Ex D5, D6, D7, D8 illuminating more the case created against our will. 8. We paid them $1,055,23. We believe that these fees are not well earned. »
Analyse et motifs [ 31 ] Concernant la fixation et le paiement des honoraires, le Code de déontologie des avocats (R.Q. c. B-1, r.1) prévoit notamment ce qui suit : 3.08.01 . L'avocat doit demander et accepter des honoraires justes et raisonnables. 3.08.02 . Les honoraires sont justes et raisonnables s'ils sont justifiés par les circonstances et proportionnés aux services professionnels rendus. L'avocat doit notamment tenir compte des facteurs suivants pour la fixation de ses honoraires:
a) l'expérience;
b) le temps consacré à l'affaire;
c) la difficulté du problème soumis;
d) l'importance de l'affaire;
e) la responsabilité assumée;
f) la prestation de services professionnels inhabituels ou exigeant une compétence ou une célérité exceptionnelle;
g) le résultat obtenu;
h) les honoraires judiciaires et extrajudiciaires prévus aux tarifs. 3.08.03 . L'avocat doit éviter toutes les méthodes et attitudes susceptibles de donner à sa profession un caractère de lucre et de commercialité. 3.08.04 . L'avocat doit avant de convenir avec le client de fournir des services professionnels, s'assurer que ce dernier a toute l'information utile sur la nature de ces services ainsi que sur les modalités financières de leur prestation et obtenir son accord à ce sujet, sauf s'il peut raisonnablement présumer que ce client en est déjà informé. 3.08.05 .
L'avocat doit fournir au client toutes les explications nécessaires à la compréhension de la facture ou du relevé d'honoraires et des modalités de paiement, sauf si une entente écrite a été conclue avec le client pour recevoir une rémunération forfaitaire ou s'il peut raisonnablement présumer que le client en est déjà informé. [ 32 ] Notons d'abord, que le défendeur perd beaucoup de crédibilité lorsqu'il écrit : « I do not know the Plaintiff ».
Le Tribunal ne croit pas le défendeur qui est bien au courant de ce litige, puisque le 18 septembre 2006, le défendeur a signé l'affidavit pour demander une saisie avant jugement et où il déclare solennellement qu'il est la
partie demanderesse, qu'il poursuit 9123-8881 Québec inc. afin d'obtenir le recouvrement du solde des loyers, taxes et assurances en vertu d'un bail commercial et que cette compagnie lui doit 27 652 $ etc.
[ 33 ] Il déclare qu'il n'a pas signé la convention d'honoraires (P-1). Cela est exact, mais il est au courant que sa femme Angela agissait pour lui. À vouloir nier des évidences, une
partie nuit beaucoup à sa crédibilité. [ 34 ] La défenderesse, elle prétend ne pas avoir autorisé les actes professionnels posés par le demandeur. Cette prétention est peu crédible : le 15 mai 2007, le demandeur a mis les choses claires : « - We continue the procedure, amend and also respond to their plea and cross-demand. - We try to settle out of court the demand, considering the amount involve; - You remove our mandate to continue in this file. » [ 35 ] Que répond la défenderesse?
Elle écrit « Please take care of the matter for the best outcome » (D-7). [ 36 ] La demanderesse a envoyé périodiquement ses comptes d'honoraires, de telle sorte que les défendeurs ne peuvent se plaindre d'être pris par surprise; ils ont eu plusieurs occasions de mettre fin au mandat; ils ne l'ont pas fait. Ils doivent donc assumer leur responsabilité. [ 37 ] La demanderesse a fourni des états de comptes détaillés indiquant le temps consacré à chaque acte professionnel. Le taux horaire n'est pas contesté par les défendeurs.
La preuve établit que la demanderesse a rendu des services professionnels dans le cadre de son mandat. Cette action est bien fondée en fait et en droit. PAR CES MOTIFS, LE TRIBUNAL : [ 38 ] CONDAMNE solidairement les défendeurs à payer à la demanderesse 2 140,18 $ avec l'intérêt au taux conventionnel de 24 % l'an, à compter de la date d'assignation le 3 février 2009 plus les frais judiciaires de 131 $ . __________________________________ RAOUL P.
