Clerk BY THE COURT JUDGMENT [ 1 ] The Appellant first challenges the validity of the contract of sale entered into on its behalf by saying that its mandatary exceeded
the terms of its mandate. [ 2 ] This first contention is groundless. It is to be noted that Appellant at no time sought conclusions against its mandatary, which was simply impleaded as a mise-en-cause. The trial judge deals with this issue at par. 84, stating that « la preuve a clairement démontré que Lafar n’a jamais outrepassé son mandat » and adding that « même si Asher Walmand ne s’est pas toujours montré très crédible, le tribunal confirme que le témoignage de celui-ci a révélé qu’il était parfaitement au courant de tous les tenants et aboutissants des relations contractuelles qu’il avait avec Lafar et Athena ». [ 3 ] In addition,
article 2163 C.C.Q . stipulates that: A person who has allowed it to be believed that a person was his mandatary is liable, as if he were his mandatary, to the third person who has contracted in good faith with the latter unless, in circumstances in which the error was foreseeable, he has taken appropriate measures to prevent it. [ 4 ] Secondly, Appellant contends that the contract of sale is one of services. This contention is equally without merits on the face of the contract and of the invoices.
Appellant’s arguments in respect of this submission re-invent the relationship between the parties to an extent that veers on fiction. [ 5 ] Thirdly, Appellant says that Respondent should have mitigated its damages. The trial judge pointed out that the contract of sale contains a mitigation provision and the amount claimed was in conformity with that provision. He further noted that the Appellant presented no proof other than the testimony of its president.
He found that nothing in Respondent’s evidence allowed him to question the losses of Athena at $234,000, adding, at par. 82, that “Asher Walmand s’est contenté de répéter que Victoria ne s’était jamais formellement engagée à consommer un minimum de 50 GJ par jour”, which contradicts the contract of sale as well as all invoices sent to Appellant. [ 6 ] Fourthly, this appeal raises issues of fact alone.
It is axiomatic to say that findings of fact and of credibility are not to be interfered with unless a manifest and dominant error is demonstrated in appeal. [ 7 ] The trial judge expressly pronounced on the credibility of Lafar’s representative (Mr. Laforest) and of Victoria’s representative, its president (Mr. Waldman). He preferred the testimony of Mr. Laforest, as paragraphs 84 et seq. of the judgment show: [84] Or, la preuve a clairement démontré que Lafar n'a jamais outrepassé son mandat.
Marcel Laforest, président fondateur de Lafar a témoigné pour expliquer les discussions qu'il avait eues à l'époque avec Asher Waldman de Victoria. Le tribunal souligne au passage qu'il n'a aucune raison de douter du témoignage de Marcel Laforest qui s'est avéré très crédible. C'est un homme d'affaires averti de 73 ans qui a travaillé pour Gaz Métro pendant 31 ans avant de fonder Lafar. Il précise qu'il négociait avec un homme d'affaires lui-même averti.
Même si Asher Walmand ne s'est pas toujours montré très crédible, le tribunal confirme que le témoignage de celui-ci a révélé qu'il était parfaitement au courant de tous les tenants et aboutissants des relations contractuelles qu'il avait avec Lafar et Athena. […] [86] Le contrat P-4 que Marcel Laforest a signé à
titre de mandataire de Victoria était en tous points conforme aux instructions d'Asher Walmand. Marcel Laforest de même que les autres témoins ont confirmé qu'il aurait été impossible de conclure une entente selon laquelle le client pouvait la résilier à tout moment. La consommation constante de gaz naturel pour une période donnée est inhérente à l'obtention de la vente à prix fixe. [87] Il était impossible pour Lafar de négocier un contrat avec Athena selon lequel Victoria ne pourrait jamais engager sa responsabilité.
Marcel Laforest a clairement indiqué au procès qu'aucun vendeur de gaz naturel n’aurait accepté de conclure un contrat à prix fixe selon lequel le client ne serait tenu de payer que ce qu'il consomme et de surcroît, aurait pu résilier ce contrat en tout temps. [ 8 ] Indeed, Mr. Laforest testified that Mr. Waldman – a civil engineer – was a sophisticated businessman well aware of the gas commodity market. His testimony clearly rebutted Mr. Waldman’s contention that Victoria mandated Lafar to contract for actual consumption rather than a fixed quantity. [ 9 ] We are of the unanimous view that this appeal must fail.
