Defendant/Cross-Plaintiff ______________________________________________________________________ JUDGMENT ______________________________________________________________________ [ 1 ] This is an action on account for services rendered. [ 2 ] Plaintiff is a transportation broker. [ 3 ] Defendant is a carrier, a transportation broker and, formerly, one of plaintiff’s clients. [ 4 ] Plaintiff is suing defendant for the services described in invoices, exhibit P-3 en liasse , and statement of account, exhibit P-4. [ 5 ] Defendant refuses to pay said invoices, alleging the following: « DEMANDE RECONVENTIONNELLE MODIFIÉE SE PORTANT DEMANDERESSE RECONVENTIONNELLE, LA DÉFENDERESSE EXPOSE CE QUI SUIT : 1.

La Défenderesse/Demanderesse reconventionnelle Transline Forwarding inc. (« Courtage ») une personne morale légalement constituée œuvrant dans le domaine du transport de marchandises et du courtage de transport, tel qu’il appert d’un extrait du Registraire des entreprises du Québec, pièce P-2; 3. La Demanderesse/Défenderesse reconventionnelle Traffic Tech inc. (ci-après « Traffic ») est une personne morale légalement
constituée, œuvrant dans le domaine du service au commerce transitaire et dans l’entreposage, tel qu’il appert d’un extrait du registre des entreprises du Québec, pièce P-1 ; 4. Plus particulièrement, Traffic agit comme courtier de contrats de transport de marchandises; 5. Transline Express inc. (« Express ») est une personne morale légalement constituée, œuvrant dans le domaine du tranpsort de marchandises, tel qu’il appert d’un extrait du Registraire des entreprises du Québec, dont copie est dénoncée au soutien de la présente comme pièce D-1 ; 6.
Vers 2013, Courtage a été constituée afin de séparer les services de courtage de transport et de transport qu’Express assumait auparavant, suivant des demandes de son assureur; 7. Traffic a par ailleurs été informé de cette séparation, tel qu’il appert de la lettre du 24 janvier 2013, pièce D-2 ; 8. Il a été convenu verbalement entre Courtage, Express et Traffic que la facturation des services émanerait de Courtage; 9.
Par ailleurs, Traffic a acquitté de manière constante les factures de Courtage en émettant des chèques directement à Express, tel qu’il appert de divers factures et bordereaux de chèques, en liasse, pièce D-3; 10. Les numéros de factures payées par Traffic à Express correspondent aux numéros de facture figurant sur les factures émises par Courtage, confirmant que Traffic était d’accord avec cette manière de procéder; Services impayés 11.
Entre les ou vers les 16 décembre 2016 et 20 mars 2017, Express a rendu des services de transport de marchandises pour Traffic, tel qu’il appert des états de compte de Courtage, dont copies sont dénoncées en liasse au soutien de la présente, pièce D-4 ; 11.1 Traffic a rendu des services dont la valeur est de CAD 35 875,00 $ et USD 3 400,00 $ (CAD 4497,78 $ selon P-6), tel qu’il appert de D-4; 12.
En date de la présente, Traffic est endettée envers la Défenderesse/Demanderesse reconventionnelle pour un montant de 40 372,78 $ . somme qu’elle refuse et/ou néglige de payer à la Défenderesse/Demanderesse reconventionnelle, tel qu’il appert d’une mise en demeure datée du 7 avril 2017 ainsi que de sa preuve de signification, dont copies sont dénoncées en liasse au soutien de la présente, pièce D-5; POUR CES MOTIFS, PLAISE AU TRIBUNAL : [1] ACCUEILLIR la présente Demande reconventionnelle; [2] REJETER la demande introductive d’instance; [3] CONDAMNER la Demanderesse/Défenderesse reconventionnelle à payer à la Défenderesse/Demanderesse reconventionnelle une somme de QUARANTE MILLE TROIS CENT SOIXANTE-DOUZE DOLLARS ET SIXANTE-DIX-HUIT CENNES (40 372,78 $1 . avec intérêts au taux légal ainsi que l’indemnité additionnelle prévue à l’
article 1619 du Code civil du Québec depuis la date de signification de la mise en demeure, soit le 7 avril 2017; [4] LE TOUT avec les frais de justice. » (sic) (amended defence and cross-application dated June 18, 2018) [ 6 ] In the amended case protocol of May 16, 2018, the issues in dispute are described as follows: ʺ 8. Issues in dispute: For the Plaintiff: Defendant/Cross-Plaintiff has not paid outstanding invoices for services rendered, and this intentionally and in bad faith.
For the Defendant: Defendant is exercising its own right of set-off against unpaid services by the Plaintiff and will have its own counterclaim. ʺ [ 7 ] At trial, defendant made the following admission, inter alia : « ADMISSIONS 1. Les montants contenus à D-4 et P-4 sont liquides et exigible. Les services constatés à ces documents ont été rendus conformément aux instructions; […] »
(sic) (written admissions, page 2) [ 8 ] The question, therefore, is whether or not defendant is justified in refusing to pay the above invoices. [ 11 ] Defendant’s cross-application is based on 2 statements, filed as exhibit D-4, issued in plaintiff’s name, dated June 17, 2019, and March 22, 2017, in the respective amounts of $3,400.00 USD and $35,875.00. [ 14 ] A large part of the trial revolved around a claim between Sobeys Inc. and plaintiff, for a shipment of strawberries, in March, 2017, which shipment Sobeys Inc. refused (debit memo, exhibit P-17). [ 15 ] However, it was 3424120 Canada Inc., operating under the firm and style name of Transline Express (ʺExpressʺ) whose services were retained, by plaintiff, to move the load (REQ, exhibit D-1; Carrier/Supplier Confirmation, exhibit P-12; testimony of Jean Lauture, Greg Smith, Krista Crevier-Bowen and Roger Claude Lepage) and not defendant; and the Court deems this question to be incidental to the matter at hand. [ 16 ] Based on a letter which it sent to its clients, on January 24, 2013, defendant is basically asking the Court to ignore its corporate identity.
Said letter reads as follows: « À : Tous nos clients Sujet : Transline Express & Transline Forwarding, Date :24/01/2013
De :Benoit Chevalier Bonjour! Je vous écris pour deux raison importante. La première est pour vous remercier de votre clientèle au prêt de notre compagnie qui à été fonder en 1997. Je vous remercie de votre loyal support en utilisant Transline Express pour vos besoins en transport. Chez Transline Express nous croyons, que chaque client à droit d'avoir des camions propres et récents. Notre personnel et conducteur des plus compétents sont heureux de vous servir et le font avec fierté. Je suis heureux de vous annoncé que Transline Forwarding vient de voir le jour pour comblé les besoins du marché.
Transline Forwarding se fera plus présent sur le marché dans un avenir futur. Transline Forwarding qui est avec les mêmes employés, la même fierté et la même stratégie. Nous espérons d’expendre pour mieux vous servir. Pour vous donné un meilleur service et pour un meilleur service, Transline Forwarding sera la nouvelle compagnie qui vous factura. Encore une fois je vous remercie. Benoit Chevalier Président & CEO » (sic) (exhibit D-2) [ 17 ] However, the evidence clearly demonstrates that :
a) the brokerage services outlined in exhibits P-3 and P-4 were rendered by plaintiff for defendant, not Express ( inter alia , testimony of Jean Lauture and admission of Benoit Chevalier – transcript of pre-trial examination of July 4, 2018, page 24, lines 5 to 8); and
b) as admitted by defendant in paragraph 11 of its cross-application, it was Express who rendered the services referred to in statements of account D-4, not defendant. [ 18 ] Under the circumstances, there is no reason to apply sections 1672 and 1673 of the Civil Code of Québec and effect compensation: ʺ 1672. Where two persons are reciprocally debtor and creditor of each other, the debts for which they are liable are extinguished by compensation, up to the amount of the lesser debt. Compensation may not be claimed from the State, but the State may claim it. 1673.
Compensation is effected by operation of law upon the coexistence of debts that are certain, liquid and exigible and both of whose subject is a sum of money or a certain quantity of fungible property identical in kind.
A party may apply for judicial liquidation of a debt in order to set it up for compensation. ʺ [ 19 ] The parties are not reciprocally debtor and creditor of each other. [ 20 ] Defendant is indebted to plaintiff for the amount claimed; but plaintiff does not owe defendant monies for services rendered by another company, namely Express ; and defendant cannot invoke legal arguments pertaining to issues and litigation which belong to a third party, namely Express . [ 21 ] How defendant chooses to conduct its business and manage its billing practices, belongs strictly to defendant; but, vis-à-vis third parties, the distinct legal personality of the contracting parties must be respected. [ 22 ] Both defendant and Express are legal persons endowed with juridical personalities of their own (s. 298 C.C.Q .); and defendant’s principals cannot employ the companies’ names, billing practices and contractual obligations, indiscriminately, to suit defendant’s own purposes. [ 23 ] As for plaintiff’s claim for punitive damages, it is denied, as it is unsubstantiated.
WHEREFORE THE COURT HEREBY: GRANTS plaintiff's originating application; CONDEMNS Transline Forwarding Inc. to pay Traffic Tech Inc. the sum of $45,525.25, plus interest at the legal annual rate of 5% and the additional indemnity provided for in
section 1619 of the Civil Code of Québec , from August 15, 2017; DISMISSES defendant’s cross-application; THE WHOLE , with legal costs.
