MOHAMAD HASSAN KASSAB Défendeur _____________________________________________________________________ JUGEMENT [1] _____________________________________________________________________ [ 1 ] Lucie Ricard réclame à Mohamad Hassan Kassab 10 658,18 $ à
titre de rétribution de courtière immobilière. [ 2 ] Mme Ricard allègue et plaide que M. Kassab contrevient au contrat de courtage exclusif intervenu avec l’agence immobilière RE/MAX Alliance inc. ( RE/MAX ) dont elle est cessionnaire des droits en vertu d’une « Convention de cession à
titre gratuit » (P-6). Plus spécifiquement, elle lui reproche d’avoir accepté sans son intermédiaire une promesse d’achat visant à vendre l’immeuble pendant la durée du contrat de courtage. [ 3 ] À sa contestation, M. Kassab allègue qu’il n’a jamais enfreint le contrat de courtage intervenu avec RE/MAX, notamment parce que la promesse d’achat prévoit qu’elle ne produit aucun effet avant le 2 mars 2018 alors que le contrat expire le 1 er mars 2018. QUESTIONS EN LITIGE [4]
a) M. Kassab contrevient-il au contrat de courtage exclusif intervenu avec RE/MAX en devenant
partie à une entente visant la vente de son immeuble pendant la durée du contrat?
b) Le fait que la promesse d’achat intervenue pendant la durée du contrat de courtage et sans l’intermédiaire de Mme Ricard prévoit qu’elle est sans effet jusqu’au 2 mars 2018 constitue-t-il une fin de non-recevoir à la réclamation? CONTEXTE [5] Jusqu’au 28 mars 2019, Mme Ricard était titulaire d’un permis de courtière immobilière, et ce, depuis plus de 30 ans. [6] Le 29 mai 2017, Mme Ricard, agissant pour RE/MAX, signe un premier contrat de courtage exclusif avec M. Kassab afin de vendre son unité de copropriété divise située à Montréal qui expire le 30 novembre 2017. [7] À cette dernière date, M.
Kassab signe un nouveau contrat de courtage exclusif et irrévocable avec RE/MAX, représentée par Mme Ricard, qui expire le 1 er mars 2018. [8] Le 14 février 2018, sans l’intervention de Mme Ricard et hors de sa connaissance, M. Kassab reçoit une promesse d’achat de M. Josselin Da Costa acceptée le même jour et prévoyant notamment la clause suivante : Both the buyer and the seller understand and agree that this offer is considered void and ineffective until 2 nd -March-2018.

[9] Cette promesse d’achat est conditionnelle à l’obtention d’un prêt hypothécaire qui mène à la signature d’un acte d’hypothèque immobilière le 28 février 2018 devant Me Benoit Leblanc, notaire, entre la Banque Nationale du Canada et Josselin Da Costa. [10] Le 5 mars 2018 intervient devant le notaire Leblanc un acte de vente par lequel M. Kassab vend à M.
Da Costa l’immeuble faisant l’objet du contrat de courtage qui contient, entre autres, la clause suivante intitulée « Déclaration relative à l’avant-contrat » : Cette vente est faite en exécution de l’avant-contrat en date du quatorze février deux mille dix-huit (2018) accepté par le vendeur le quatorze février deux mille dix-huit (2018). Sauf incompatibilité, les parties confirment les ententes qui y sont contenues mais non
reproduites aux présentes. [11] Le 1 er août 2018, M. Kassab reçoit la lettre suivante de la dirigeante de RE/MAX, Mme Norma Gagné : Vous avez le 14 février 2018 acceptée privément une proposition de vente de votre propriété et ce, pendant que vous étiez en contrat de courtage avec RE/MAX ALLIANCE représenté par Mme Lucie Ricard, contrat qui se terminait le 1 er Mars 2018, vous avez signé l’acte de vente chez le notaire le 5 Mars 2018 dont copie jointe aux présentes.
Je vous fais donc parvenir la facture pour les frais de courtage qui nous sont dus. [reproduction intégrale] [12] La facture en cause porte la date du 30 mars 2018 au montant de 10 658,18 $. [13] Le 7 août 2018, M. Kassab écrit à Mme Gagné et à Mme Ricard un courriel afin de s’expliquer, qui contient notamment le paragraphe suivant : It is very important to assert to you that me and Joss were and are still understanding and agreement that there was no deal to sell the condo before the end of my contract with you.
Our agreement was that any sale will only happen “after” my contract with you come to an end with no potential buyers from your side. This is what we wrote and signed together on 14/2 (that in case if my contract with you ends with no potential buyers then I accept to sell him my condo after the end of my contract with you). This is the deal that we had. So no sale of my condo happened to my boyfriend before the contract with you has ended. We both understand that. [14] À ce courriel, M. Kassab ajoute que Mme Ricard continue à faire visiter son unité jusqu’au 1 er mars 2018. [15] Au procès, M.
Kassab témoigne que lors d’une rencontre tenue le 15 février 2018, Mme Ricard le sollicite afin de signer un troisième contrat de courtage puisque le dernier expire le 1 er mars 2018. Il refuse et lui explique ses intentions quant à la vente à M. Da Costa. Mme Ricard aurait exprimé sa compréhension face à cette situation et M. Kassab lui réitère sa volonté de respecter les termes du contrat jusqu’au 1 er mars 2018. [16] Mme Ricard nie vigoureusement avoir participé à une telle rencontre au cours de laquelle elle aurait été informée des intentions de M. Kassab quant à la vente de son unité.
Au contraire, elle établit que si tel avait été le cas, elle aurait clairement renseigné M. Kassab sur ses obligations découlant du contrat de courtage exclusif et irrévocable le liant à RE/MAX. [17] M. Kassab ajoute qu’après la réception de la facture de RE/MAX le 1 er août 2018 et l’envoi de son courriel du 7 août 2018, il communique avec Mme Norma Gagné, dirigeante de l’agence, qui l’informe qu’elle n’a pas l’intention d’entreprendre des procédures en réclamation de la rétribution . [18] Le 14 novembre 2018, Mme Ricard mandate ses avocats afin de transmettre à M.
Kassab une lettre (P-7) lui réclamant la rétribution de 10 658,18 $. [19] Le 8 avril 2019, RE/MAX cède à Mme Ricard « tout droit qu’elle a ou qu’elle pourrait avoir à la transaction immobilière sur l’immeuble sis au […], dont notamment, tout droit de quelque nature que ce soit émanant du contrat de courtage exclusif BCD80014 », tel qu’il appert de la convention de cession à
titre gratuit P-6. [20] Le 7 mai 2019, Mme Ricard initie les procédures en la présente instance. [21] Le 27 mai 2021 intervient devant Me Benoit Leblanc, notaire, un acte correctif à l’acte de vente entre M. Kassab et M. Da Costa qui modifie la clause « Déclaration relative à l’avant-contrat » afin qu’elle se lise ainsi : Cette vente est faite en exécution de l’avant-contrat accepté par le vendeur en date du deux mars deux mille dix-huit (2018-03-02). Sauf incompatibilité, les parties confirment les ententes qui y sont contenues mais non reproduites aux présentes. ANALYSE [22] M. Kassab ne remet pas en cause la convention de cession à
titre gratuit par laquelle Mme Ricard devient cessionnaire des droits de RE/MAX eu égard à la réclamation de la rétribution découlant du contrat de courtage. [23] Au soutien de sa réclamation, Mme Ricard invoque les clauses suivantes du contrat de courtage exclusif : 7.1 Le VENDEUR versera à l'AGENCE ou au COURTIER, dans les cas prévus en 1, 2, 3 et 4 de la présente clause, une rétribution de: Quatre point cinq pour cent (4.5 %) du prix fixé pour la vente ou du prix indiqué en 4.1, dans le cas prévu en 4 ou advenant toute opération sur le capital-actions du VENDEUR; 1. sauf dans le cas où aucun acte de vente ne se signe par la faute de l'acheteur, si une entente visant à vendre l'IMMEUBLE est acceptée pendant la durée du présent contrat, que ce soit par ou sans l'intermédiaire de l'AGENCE ou du COURTIER et que toutes les conditions de celle-ci ont été remplies, sauf la signature de l'acte de vente, ou; […] 8.4 Le VENDEUR s'engage, pendant la durée de ce contrat, à ne pas, directement ou indirectement:
1. offrir l'IMMEUBLE en vente par lui-même ou par l'intermédiaire d'une autre personne que l'AGENCE ou le COURTIER; 2. devenir
partie à une entente visant la vente, l'échange ou la location de l'IMMEUBLE sans l'intermédiaire de l'AGENCE ou du COURTIER. [24] Puisque la promesse d’achat entre M. Kassab et M. Da Costa est présentée et acceptée le 14 février 2018, Mme Ricard soutient qu’il y a contravention aux clauses précitées du contrat de courtage qui expire le 1 er mars 2018. [25] Mme Ricard ajoute que l’acte d’hypothèque immobilière entre la Banque Nationale du Canada et M. Da Costa intervient le 28 février 2018, ce qui confirme que la transaction entre MM.
Kassab et Da Costa était bel et bien finale. [26] Par ailleurs, Mme Ricard avance que l’acte correctif du 27 mai 2021 intervenu devant Me Benoit Leblanc, notaire, entre MM. Kassab et Da Costa doit être écarté puisque la promesse d’achat est présentée et acceptée le 14 février 2018, alors que le contrat de courtage expire le 1 er mars 2018. [27] Après analyse, le Tribunal conclut que la demande de Mme Ricard est mal fondée, pour les motifs suivants. [28] Le Tribunal ne peut mettre de côté la réalité contractuelle découlant de la promesse d’achat intervenue entre M. Kassab et M.
Da Costa qui contient une clause qui la considère « void and ineffective » jusqu’au 2 mars 2018, faisant en sorte qu’elle ne puisse être acceptée avant cette dernière date. [29] Aussi, en droit, il est impossible de mettre de côté l’acte correctif notarié du 27 mai 2021 qui constitue un acte authentique en vertu des articles 2813 et 2814 du Code civil du Québec ( C.c.Q. ). À l’égard des actes authentiques, il y a lieu de se référer aux articles 2818 et 2821 C.c.Q. : 2818 .
Les énonciations, dans l’acte authentique, des faits que l’officier public avait mission de constater ou d’inscrire, font preuve à l’égard de tous. 2821. L’inscription de faux n’est nécessaire que pour contredire les énonciations dans l’acte authentique des faits que l’officier public avait mission de constater. Elle n’est pas requise pour contester la qualité de l’officier public et des témoins ou la signature de l’officier public. [30] La preuve démontre qu’aucune inscription de faux n’est initiée par qui que ce soit pour contredire les énonciations de cet acte authentique. [31] Au surplus, le témoignage de M.
Kassab convainc le Tribunal qu’il ne veut jamais contrevenir au contrat de courtage en cause. Au contraire, il est bien conscient de son caractère exclusif et irrévocable jusqu’au 1 er mars 2018. La clause précitée de la promesse d’achat de M. Da Costa fait état de cette compréhension et de la volonté des parties de respecter le caractère exclusif du contrat de courtage. À preuve, Mme Ricard avait même prévu visiter l’unité de M. Kassab le 1 er mars 2018. [32] Finalement, le Tribunal ajoute que l’acte correctif du 27 mai 2021 intervenu devant Me Benoit Leblanc, notaire, confirme l’intention de M. Kassab et de M.
Da Costa de respecter le contrat de courtage puisqu’il corrige l’acte de vente initial en tenant compte des termes de la promesse d’achat qui prévoient spécifiquement que ses effets juridiques sont suspendus jusqu’au 2 mars 2018, et ce, en dépit de l’acte d’hypothèque immobilière du 28 février 2018 publié le 2 mars 2018, après l’expiration du contrat de courtage en cause. Cet acte d’hypothèque devient donc opposable aux tiers à compter de cette dernière date. [33] En conséquence, le Tribunal rejette la demande de Lucie Ricard, mais exerçant sa discrétion judiciaire, n’impose aucuns frais.
POUR CES MOTIFS, LE TRIBUNAL : REJETTE la demande de Lucie Ricard contre Mohamad Hassan Kassab, chaque
partie payant ses frais. __________________________________ Henri Richard, J.C.Q. Date d’audience : 13 septembre 2022 _____________________________________________________________________ JUDGMENT _____________________________________________________________________ [1] Lucie Ricard claims $10,658.18 from Mohamad Hassan Kassab as a real estate broker's commission. [2] Ms. Ricard alleges and pleads that Mr. Kassab is in violation of the exclusive brokerage contract entered into with the real estate
agency RE/MAX Alliance Inc. ( RE/MAX ) of which she is the assignee of the rights by virtue of a " Convention de cession à
titre gratuit " (P-6). More specifically, she reproaches him of having accepted, without her intermediary, a promise to purchase to sell the immovable during the term of the brokerage contract. [3] In his contestation, Mr. Kassab alleges that he was never in violation of the brokerage contract with RE/MAX, particularly because the promise to purchase that was entered into provides that it is not effective until March 2, 2018, whereas the contract expires on March 1, 2018. ISSUES [4]
a) Is Mr. Kassab in breach of the exclusive brokerage contract with RE/MAX by becoming party to an agreement for the sale of his immovable during the term of the contract?
b) Does the fact that the promise to purchase made during the term of the brokerage contract and without the intermediary of Ms. Ricard provide that it is without effect until March 2, 2018, entail the dismissal of the claim? CONTEXT [5] Until March 28, 2019, Ms. Ricard was licensed as a real estate broker for over 30 years. [6] On May 29, 2017, Ms. Ricard, acting on behalf of RE/MAX, signs a first exclusive brokerage contract with Mr. Kassab to sell his condominium unit located in Montreal which expires on November 30, 2017. [7] On this last date, Mr.
Kassab signs a new exclusive and irrevocable brokerage contract with RE/MAX, represented by Ms. Ricard, which expires on March 1, 2018. [8] On February 14, 2018, without the intervention of Ms. Ricard and without her knowledge, Mr. Kassab receives a promise to purchase from Mr. Josselin Da Costa accepted on the same day and providing, among other things, the following clause: Both the buyer and the seller understand and agree that this offer is considered void and ineffective until 2 nd -March-2018.
Both the buyer and the seller understand and agree that the offer won’t be acceptable until 2 nd -March-2018. [9] This promise to purchase is conditional upon obtaining a mortgage loan which leads to the signing of a deed of hypothec on February 28, 2018 before Me Benoit Leblanc, notary, between the National Bank of Canada and Josselin Da Costa. [10] On March 5, 2018, a deed of sale is executed before notary Leblanc in which Mr. Kassab sells to Mr.
Da Costa the immovable identified in the brokerage contract, which contains, among other things, the following clause entitled " Déclaration relative à l’avant- contrat ”: Cette vente est faite en exécution de l’avant-contrat en date du quatorze février deux mille dix-huit (2018) accepté par le vendeur le quatorze février deux mille dix-huit (2018). Sauf incompatibilité, les parties confirment les ententes qui y sont contenues mais non reproduites aux présentes, [11] On August 1, 2018, Mr.
Kassab receives the following letter from RE/MAX executive officer Norma Gagné: Vous avez le 14 février 2018, acceptée privément une proposition de vente de votre propriété et ce, pendant que vous étiez en contrat de courtage avec RE/MAX ALLIANCE représenté par Mme Lucie Ricard, contrat qui se terminait le 1 er Mars 2018, vous avez signé l’acte de vente chez le notaire le 5 Mars 2018 dont copie jointe aux présentes.
Je vous fais donc parvenir la facture pour les frais de courtage qui nous sont dus. [as is reproduction] [12] The invoice in question is dated March 30, 2018 in the amount of $10,658.18. [13] On August 7, 2018, Mr. Kassab writes an email to Ms. Gagné and Ms. Ricard to explain himself, which includes the following paragraph: It is very important to assert to you that me and Joss were and are still understanding and agreement that there was no deal to sell the condo before the end of my contract with you.
Our agreement was that any sale will only happen “after” my contract with you come to an end with no potential buyers from your side. This is what we wrote and signed together on 14/2 (that in case if my contract with you ends with no potential buyers then I accept to sell him my condo after the end of my contract with you). This is the deal that we had. So no sale of my condo happened to my boyfriend before the contract with you has ended. We both understand that. [14] In this email, Mr. Kassab adds that Ms. Ricard continues to show his unit until March 1, 2018. [15] At trial, Mr.
Kassab testifies that during a meeting held on February 15, 2018, Ms. Ricard asks him to sign a third brokerage contract, since the last one expires on March 1, 2018. He refuses and explains to her his intentions regarding the sale to Mr. Da Costa. Ms. Ricard expresses her understanding of this situation and Mr. Kassab reiterates his willingness to respect the terms of the contract until March 1, 2018. [16] Ms. Ricard vigorously denies having participated in any such meeting at which she would have been informed of Mr. Kassab's
intentions with regard to the sale of his immovable. On the contrary, she establishes that if she had, she would have clearly informed Mr. Kassab of his obligations under the exclusive and irrevocable brokerage contract between him and RE/MAX. [17] Mr. Kassab adds that after receiving the invoice from RE/MAX on August 1, 2018, and sending his email of August 7, 2018, he contacted Ms. Norma Gagné, the executive officer of the agency, who informes him that she does not intend to undertake any proceedings to claim the commission. [18] On November 14, 2018, Ms.
Ricard instructs her lawyers to send a demand letter (P-7) to Mr. Kassab requesting payment of the commission of $10,658.18. [19] On April 8, 2019, RE/MAX assigns to Ms. Ricard " tout droit qu’elle a ou qu’elle pourrait avoir à la transaction immobilière sur l’immeuble sis au […], dont notamment, tout droit de quelque nature que ce soit émanant du contrat de courtage exclusif BCD80014 ”, as appears from the Convention de cession à
titre gratuit P-6. [20] On May 7, 2019, Ms. Ricard initiates proceedings in the present case. [21] On May 27, 2021, a deed of correction to the deed of sale between Mr. Kassab and Mr. Da Costa intervenes before Me Benoit Leblanc, notary, which amends the " Déclaration relative à l’avant-contrat " clause to read as follows: Cette vente est faite en exécution de l’avant-contrat accepté par le vendeur en date du deux mars deux mille dix-huit (2018-03-02). Sauf incompatibilité, les parties confirment les ententes qui y sont contenues mais non reproduites aux présentes. ANALYSIS [22] Mr.
Kassab does not challenge the assignment of claims by which Ms. Ricard becomes the assignee of RE/MAX's rights with respect to the commission under the brokerage contract at issue. [23] In support of her claim, Ms.
Ricard invokes the following clauses of the exclusive brokerage contract: 7.1 The SELLER shall pay to the AGENCY or the BROKER, in the cases provided in 1, 2, 3 and 4 of this section, remuneration of: Four point Five percent (4.5%) of the sale price or of the price stipulated in 4.1, in the case provided in 4 or for any transaction involving the SELLER'S share capital; 1. except if no deed of sale is signed through the buyer's fault, where an agreement concerning the sale of the IMMOVABLE is accepted during the term of this contract, whether through the AGENCY or BROKER or not, and all conditions thereof are fulfilled, except the signing of the deed of sale; or […] 8.4 During the term of this contract, the SELLER undertakes not to, directly or indirectly: 1. offer the IMMOVABLE for sale on his own or through a person other than the AGENCY or BROKER; 2. become party to an agreement for the sale, exchange or lease of the IMMOVABLE other than through the AGENCY or the BROKER. [24] Since the promise to purchase between Mr.
Kassab and Mr. Da Costa is presented and accepted on February 14, 2018, Ms. Ricard argues that there is a breach of the above-mentioned clauses of the brokerage contract which expires on March 1, 2018. [25] Ms. Ricard adds that the deed of hypothec between the National Bank of Canada and Mr. Da Costa is dated February 28, 2018, which confirms that the transaction between Mr. Kassab and Mr. Da Costa was indeed final. [26] Furthermore, Ms. Ricard argues that the corrective deed of May 27, 2021, entered into before Me Benoit Leblanc, notary, between Mr. Kassab and Mr.
Da Costa must be set aside since the promise to purchase is presented and accepted on February 14, 2018, while the brokerage contract expires on March 1, 2018. [27] After analysis, the Court concludes that Ms. Ricard's claim is ill-founded, for the following reasons. [28] The Court cannot ignore the contractual reality that the promise to purchase between Mr. Kassab and Mr.
Da Costa contains a clause that deems it "void and ineffective" until March 2, 2018, so that it cannot be accepted before that date. [29] Also, as a matter of law, it is impossible to set aside the notarized corrective deed of May 27, 2021, which constitutes an authentic act under articles 2813 and 2814 of the Civil Code of Québec ( C.C.Q. ). With regards to authentic acts, it is necessary to refer to articles 2818 and 2821 C.C.Q.: 2818. The recital, in an authentic act, of the facts which the public officer had the task of observing or recording makes proof against all persons. 2821.
Improbation is necessary only to contradict the recital in an authentic act of the facts which the public officer had the task of observing. Improbation is not required to contest the quality of the public officer or witnesses or the signature of the public officer.
[30] The evidence shows that no improbation is initiated by anyone to contradict the recital in this authentic act. [31] Moreover, Mr. Kassab's testimony convinces the Court that he never intends to violate the brokerage contract at issue. On the contrary, he is well aware of its exclusive and irrevocable nature until March 1, 2018. The aforementioned clause in Mr. Da Costa's promise to purchase reflects this understanding and the parties' desire to respect the exclusive nature of the brokerage contract. As evidence of this, Ms. Ricard was even scheduled to visit Mr.
Kassab's unit on March 1, 2018. [32] Finally, the Court adds that the corrective deed of May 27, 2021, executed before notary Benoit Leblanc, confirms the intention of Mr. Kassab and Mr. Da Costa to respect the brokerage contract, since it corrects the initial deed of sale by taking into account the terms of the promise to purchase, which specifically provide that its legal effects are suspended until March 2, 2018, and this, despite the deed of hypothec of February 28, 2018, published on March 2, 2018, after the expiry of the brokerage contract at issue.
This deed of hypothec therefore can be set up against third persons as of the latter date. [33] Accordingly, the Court dismisses Lucie Ricard's claim, but in the exercise of its judicial discretion, imposes no costs. FOR THESE REASONS, THE COURT : DISMISSES Lucie Ricard’s claim against Mohamad Hassan Kassab, each party paying its own costs. Date of hearing : September 13, 2022
