INTIMÉ – démandeur ARRÊT [ 1 ] Les appelantes se pourvoient contre un jugement rendu le 6 décembre 2017 par la Cour du Québec, district de Montréal (l’honorable Gilles Lareau), lequel les condamne solidairement à payer à l’intimé 66 489,57 $ avec intérêts [1] . [ 2 ] Le juge détermine que, par l’effet d’une novation par substitution de débiteur, les appelantes sont parties au bail commercial conclu avec le premier locataire. Le jugement les condamne à payer le loyer à l’intimé jusqu’au terme du bail, nonobstant leur abandon du local.
Les appelantes prétendent que le juge a erré en concluant à la novation et elles demandent à la Cour d’accueillir l’appel et de rejeter la demande de l’intimé. *** [ 3 ] Le contexte est simple et pour l’essentiel non contesté. [ 4 ] Depuis juin 2014, l’intimé est propriétaire d’un immeuble sis au 7107, Route Transcanadienne. En 2007, son prédécesseur conclut un bail avec un franchisé de la bannière UPS Store .
Le bail est d’une durée de cinq ans avec la possibilité de cinq renouvellements. [ 5 ] L’appelante MBEC, qui est la franchiseuse de la bannière UPS Store pour le Canada, intervient au bail pour signer la clause de novation jointe au bail :
Schedule "B" Lease agreement Novation clause The following shall form part of the Lease: (
a) Notwithstanding anything to the contrary contained in this Lease, it is agreed that if the Franchise Agreement dated the __ day of august, 2007, between the Tenant carrying on business as THE UPS STORE© (the “UPS Centre") and MBEC Communications Inc ("MBE Canada") expires or is terminated for any reason whatsoever, the Tenant's rights hereunder shall, at the option of MBE Canada or Mail Boxes Etc., Inc. ("MBE US"), be transferred and assigned to either MBE Canada or MBE US as directed by MBE Canada.
Said option may be exercised by MBE Canada, giving the Landlord notice in writing acknowledging its intention to transfer the lease of the Premises to MBE Canada or MBE US , as the case may be, within thirty (30) days following the expiry or termination of the said Franchise Agreement, such notice to specify, among other things, the date of such expiry or termination. The Tenant acknowledges and agrees that the Landlord may rely upon such notice and shall not be required to enquire into the due execution thereof or the accuracy of the statements set forth therein.
It Is further agreed that such notice shall, without further act or formality, operate as an effective assignment of the Tenant's rights hereunder to UBE Canada or UBE US, as the case may be, and the assumption by MBE Canada or MBE US, as the case may be, of the covenants herein required to be observed or performed by the Tenant. MBE Canada (or If applicable, MBE US) shall thereafter have the right to assign or sublet the Premises to such person as it may designate without any fee or
modification and without necessity of obtaining any consent thereto (Including MBE US), provided that In such event MBE Canada shall remain able, as primary obligor, for the due performance of all obligations of the Tenant contained In this Lease, from the date of such notice . Notwithstanding the foregoing, MBE Canada or MBE US, as the case may be, shall, forthwith upon the exercise of such option, execute such documents evidencing its agreement to thereafter keep and perform or cause to be kept and performed all of the obligations of the Tenant arising under this Lease from and after the time of the exercise of such option; (
b) The Tenant agrees that the Landlord may upon the written request of MBE Canada disclose to MBE Canada and/or MBE US all reports, information or other data in the Landlord's possession in respect of sales made in, upon or from the Premises hereby demised. (
c) The Landlord shall give written notice to MBE Canada and MBE US (concurrently with the giving of such notice to the Tenant) of any default by the; Tenant under this Lease, and MBE Canada shall have, after the expiry of the period during which the Tenant may cure such default, an additional fifteen (15) days to cure, at its sole option, any such default, provided that if such default arises by reason of the bankruptcy or insolvency of the Tenant or the appointment of a receiver over the Tenant's assets or part thereof, MBE Canada or MBE US shall have the right to assume this Lease upon payment of any arrears of rental to such date and have full access to the mall boxes upon the premises.
In the event of any such assumption, the Tenant shall cease to have any further rights hereunder; (
d) The Landlord acknowledges that the said Franchise Agreement contains a right on the part of MBE Canada and MBE US, in the event of the expiry or termination of the said Franchise Agreement for any reason whatsoever, to enter the Premises hereby demised and to operate the Franchise for the account of the Tenant for a period as set forth In the said Franchise Agreement . The Landlord further acknowledges that such entry by MBE Canada and MBE US shall not constitute an assignment of this Lease nor a subletting of the Premises hereby demised ; (
e) MBE Canada may assign its rights hereunder to MBE US without any fee or modification hereof and MBE US may further sublease the occupancy contract without Landlord's consent; provided for clarification, that the exercise of any rights of MBE Canada and MBE US to enter the Premises to operate the Centre for the account of the Franchisee shall not constitute and assignment of such occupancy contract or a subletting of the Premises. (
f) The Tenant and the Landlord agree that the Premises hereby demised shall be used only for the operation of a TUPSS Centre and for no other purpose; (
g) The Landlord and the Tenant agree that the Tenant may not sublease or assign the Tenant's interest under the Lease without the prior written approval of MBE Canada, such approval not to be unreasonably withheld; (
h) The Landlord and the Tenant agree that MBE Canada and MBE US shall have the right to enter the Premises hereby demised to protect the UPS Store © trade-marks or the UPS Store franchise system, to cure any event of default under this Lease or the Tenant's franchise agreement with MBE Canada and to make any modifications necessary to cause such Premises to conform with the standards and specifications required by MBE Canada; and (
i) The Landlord acknowledges that MBE Canada is executing this Lease solely for the purpose of acknowledging the provisions contained in the foregoing Clauses (
a) to (
h) and agrees that such execution by MBE Canada shall in no way be construed so as to obligate MBE Canada for the performance of any of the terms, conditions, obligations and covenants contained herein except as specifically set forth in Sub-section 3(a) 4. Unless herein otherwise provided, each of the terms used herein shall have the same meaning as is given thereto in the Franchise Agreement. 5.
This Addendum shall be considered an integral part of the Franchise Agreement between the parties hereto and shall be binding upon MBE Canada, Franchisee, the Principals and their respective heirs, executors, administrators, successors and assigns. [Soulignements ajoutés] [ 6 ] En septembre 2008, le locataire cède son bail à un nouveau franchisé. Le premier addendum au bail constate cette cession. [ 7 ] En 2013, le deuxième locataire abandonne le local.
Selon David Druker, le président de MBEC, celle-ci propose au locateur que sa filiale, l’appelante 9160-0072 Québec inc., occupe le local sur une base mensuelle en attendant de trouver un nouveau franchisé. [ 8 ] Après un certain temps, Druker présente un nouveau franchisé au locateur. Ce troisième locataire signe le 12 mai 2014 le deuxième addendum au bail et reprend alors l’exploitation de la boutique UPS store . [ 9 ] À aucun moment MBEC ne fait parvenir d’avis pour se prévaloir de la clause de novation. [ 10 ] En septembre 2014, le troisième locataire abandonne le local.
Encore une fois, les appelantes prennent en charge le local pendant que Druker essaie de trouver un nouveau franchisé pour l’occuper. À partir de novembre 2014, le loyer est payé par des chèques émis par 9160. Un certificat d’usage attestant de l’occupation du local par 9160 est produit le 12 décembre 2014. [ 11 ] Alors que le paiement du loyer est en défaut, le 15 juin 2015, l’intimé met en demeure le troisième locataire de payer les loyers. Le 29 juin 2015, c’est MBEC qu’elle met en demeure de payer les loyers.
La mise en demeure contient l’allégation suivante : En date du 1er septembre 2014, votre franchise faisait défaut de respecter son bail et en vertu de l'annexe B de celui-ci, vous avez opéré novation, pris possession dudit local et occupiez alors celui-ci. [ 12 ] MBEC ne répond pas à cette lettre, mais 9160 recommence à payer les loyers. [ 13 ] En octobre 2015, l’intimé accorde une réduction de 500 $ par mois pour une période de six mois, pour laisser à Druker le temps
de trouver un franchisé. [ 14 ] Le 21 janvier 2016, 9160 abandonne le local. Le lendemain, elle paie le loyer jusqu’au dernier jour d’occupation. [ 15 ] L’intimé présente une demande introductive d’instance à la Cour du Québec demandant le paiement du loyer jusqu’à la fin du bail. [ 16 ] Le juge conclut que MBEC a exercé le droit de novation prévu au paragraphe (
b) de la clause de novation. En conséquence, il condamne solidairement les appelantes à payer 66 489,57 $ pour les arrérages de loyers impayés et les loyers restant jusqu’au terme du bail. *** [ 17 ] La seule question en litige en appel est de savoir si le juge a erré en concluant que MBEC a exercé son droit de novation prévu au paragraphe (
b) de la clause de novation. [ 18 ] Le juge conclut à l’exercice du droit de novation prévu au paragraphe (
b) de la clause de novation malgré l’absence de l’avis écrit prévu à ce paragraphe [2] , parce que, selon lui, la novation est la seule explication juridique à l’intervention de MBEC au bail et à l’occupation du local par 9160 [3] .
Il étaye cette conclusion en se rapportant à la conduite des appelantes : 9160 assume les loyers depuis le départ du troisième locataire; après que l’intimé eut mis en demeure MBEC, les paiements ont repris; Druker a négocié une réduction de loyer [4] et un certificat d’occupation du local a été produit pour 9160 [5] . [ 19 ] Avec égards, cette analyse est erronée. [ 20 ] D’abord, il faut donner à l’avis écrit toute son importance. La réalité commerciale est que la novation est très onéreuse pour MBEC et que celle-ci n’exercera son droit de nover que si la novation est nécessaire pour garder le contrôle du local.
La clause de novation prévoit à son paragraphe (
d) que MBEC a la possibilité d’occuper le local en vertu du contrat de franchise sans novation. Un avis formel est requis en cas de novation pour rendre non équivoque l’exercice par MBEC de son droit contractuel de nover. Il faut donc se garder de conclure à l’exercice de ce droit en l’absence de l’avis formel prévu à la clause de novation. [ 21 ] De plus, le paragraphe (
b) de la clause de novation n’est pas la seule explication juridique à l’intervention de MBEC au bail et à l’occupation du local par 9160. Druker témoigne qu’il s’est entendu avec l’intimé pour que 9160 occupe le local sur une base mensuelle en attendant de trouver un nouveau franchisé, tout comme en 2013-2014 après le départ du deuxième locataire. Ce témoignage n’est pas contredit. [ 22 ] Toutefois, le juge écarte le témoignage de Druker. Il s’en explique ainsi : La seule preuve selon laquelle 9160 aurait assumé le loyer sur une base transitoire ne tient qu’au seul témoignage de M.
David Druker, lequel n’est corroboré par aucune preuve documentaire. [6] [ 23 ] Le témoignage de Druker est recevable en droit pour établir la conclusion d’une entente verbale dans le cadre d’activités commerciales ( art. 2862 C.c.Q. ). Il est susceptible de faire preuve en soi et aucune corroboration ni aucune preuve documentaire ne sont requises pour l’étayer. En exigeant des appelantes une preuve documentaire, le juge leur impose un fardeau de preuve indu et écarte leur défense en se fondant sur une prémisse erronée.
Il s’agit d’une erreur de droit. [ 24 ] Une telle entente verbale peut fonder juridiquement l’occupation du local. De même, elle peut expliquer la conduite des appelantes retenue par le juge, dont le paiement du loyer pendant l’occupation du local, la négociation d’une diminution dans le loyer et le certificat d’occupation. Elle est, de plus, cohérente avec le comportement des parties en 2013-2014 alors qu’un scénario similaire s’est déroulé à la suite du départ du deuxième locataire et que personne n’a suggéré qu’il y avait alors eu novation. [ 25 ] Bref, la conclusion du juge voulant que le paragraphe (
b) soit la seule explication juridique à l’intervention de MBEC au bail est erronée et découle de son erreur sur la portée en droit du témoignage de Druker. [ 26 ] L’
article 1661 C.c.Q. prend toute son importance dans ce contexte : 1661. La novation ne se présume pas; l’intention de l’opérer doit être évidente. [ 27 ] Dans les circonstances du présent dossier, le juge ne pouvait conclure que l’intention de nover était évidente. POUR CES MOTIFS, LA COUR : [ 28 ] ACCUEILLE l’appel; [ 29 ] INFIRME le jugement rendu le 6 décembre 2017 par la Cour du Québec, district de Montréal; [ 30 ] REJETTE l’action de l’intimé avec les frais de justice en première instance et en appel.
