TECK RESOURCES LIMITED Défenderesse ______________________________________________________________________ JUGEMENT ______________________________________________________________________ [ 1 ] Le demandeur, Henry Altschuler (« Altschuler »), poursuit la défenderesse, Teck Resources Limited (« Teck Resources »), pour une somme de 12 833,49 $, valeur de 151 actions que celui-ci détient de Teck Resources. [ 2 ] Vers l'année 1965, un certificat de 50 actions de Cominco Ltd. fut acheté et enregistré au nom de Altschuler. [ 3 ] Cent actions additionnelles plus une furent émises en 1984, pour un total de 151 actions. [ 4 ] Altschuler soutient qu'il n'a eu aucun contact auprès de Cominco Ltd. au sujet de la transformation de ses 151 actions. [ 5 ] Ayant transféré ses actions à RBC Investment situé à Montréal, c'est seulement alors qu'il aurait été informé qu'elles avaient été transformées en actions de la défenderesse, soit Teck Resources. [ 6 ] En considération, Altschuler soutient qu'il aurait du avoir reçu 180 actions de Teck Resources. [ 7 ] Le 15 octobre 2010, Altschuler envoie une mise en demeure à Teck Resources requérant paiement d'une somme de 8 280 $ (pièce P-1) : « Please be advised that I have in my possession 100 Shares of Cominco Ltd. and I am sending you a copy of the Share Certificate.
When I tried to convert these Shares, I was informed that I would have received $600.00 plus 180 Shares of Teck Resources Limited Sub Voting CL B, being an amount of approximately $8 280.00 Unfortunately, I have been informed that there was a sunset clause and that my Shares of Cominco are now worthless. This action that unilateral and denies me my rightful compensation and usurps my property, is illegal.
It amounts to unjustified enrichment, and unless I receive the $600.00 plus the 180 Shares of Teck Resources Limited as specified above or an amount of $8,880.00, I intend to file a suit in the Quebec Courts. » [ 8 ] Une réponse fut adressée le 18 octobre 2010 par Teck Resources, par la plume de Karen L. Dunfee (pièce P-2) : « Thank you for your letter of October 15, 2010. I enclose a copy of the Plan of Arrangement that effected the merger of Teck Corporation and Cominco Ltd. in July 2001.
The Plan of Arrangement was attached to the information circular mailed to all shareholders of Cominco Ltd. page 37 of the Plan of Arrangement contained the following provision: "Pursuant to the terms of the Arrangement, any certificates formerly representing Cominco Common Shares that are not properly deposited with the Depository together with a duly completed and executed Letter of Transmittal and any other documents the Depository reasonably requires, on or before the sixth anniversary of the Effective Date, shall cease to represent a right or claim of any kind or nature and the right of the holder of such Cominco Common Shares to receive Teck Subordinate Voting Shares or any cash consideration shall be deemed to be surrendered for no consideration to Tech, together with all dividends of distributions thereon held for such holder." (emphasis added)
The Effective Date of the merger was July 20, 2001 and the sixth anniversary of that date was July 20, 2007. The Plan of Arrangement was, as required, approved by at least 2/3rds of the votes cast by holders of Cominco shares and a majority of the votes cast by holders of those shares other than Teck and certain persons related to Teck. The Arrangement also received all applicable regulatory approvals, including the approval of the Supreme Court of British Columbia, which among other things ruled on the fairness of the arrangement to Cominco shareholders.
Over the course of the last several years, although there is no regulatory requirement to do so, Teck Resources Limited has made a number of attemps to contact holders of Cominco Common Shares to remind them of this provision and stress the importance of tendering the certificates for exchange. In total, seven separate letters were sent to Unexchanged Holders of Cominco Ltd.
Common Shares over the period of July 2005 through January 2007. » [ 9 ] Madame Dunfee ajoute de plus que durant les dernières années, nonobstant le fait qu'aucune réglementation ne requérait d'agir de la sorte, celle-ci a fait de nombreuses tentatives pour contacter les détenteurs d'actions de Cominco aux fins de les informer de l'importance de tendre leurs certificats pour un échange. « In total, seven separate letters were sent to Unexchanged Holders of Cominco Ltd.
Common Shares over the period of July 2005 through January 2007. » [ 10 ] Elle conclut qu'il n'y a aucune base légale pour tout échange, remboursement ou paiement que ce soit en faveur de Altschuler. [ 11 ] Altschuler a donc entrepris une action alléguant que la défenderesse s'est illégalement appropriée de ses biens et refusant de le rembourser.
Il rajoute de plus que la défenderesse s'est enrichie à ses dépens sans aucune justification valable et que l'enrichissement subsiste toujours. [ 12 ] En défense, Teck Resources allègue que Altschuler a toujours résidé à la même adresse, soit 1321 Redpath Crescent à Westmount. Logiquement, toutes les missives et avis adressés sans exception à sa résidence l'informant de l'importance de remettre son certificat d'actions furent donc reçus par lui.
Altschuler par simple négligence ou inconscience aurait simplement décidé de ne pas y répondre. [ 13 ] Soulignons que le 19 juillet 2001, jugement fut rendu par la Cour Suprême de la Colombie-Britannique (pièce D-3) approuvant l'arrangement requis par Cominco Ltd. et Teck Resrouces en vertu de la
Loi canadienne sur les société par actions [1] : « Between Cominco Ltd. and Teck Corporation, Petitioners and The Director under the

This 19th day of July 2001 (signed) Authorized Signing Officer » [ 14 ] Ce jugement par la Cour Suprême de la Colombie-Britannique fut précédé le 7 juin 2001, par une ordonnance intérimaire précisant les obligations d'avis et de signification quant audit plan d'arrangement, les provisions et les conditions étant décrites comme suit : « 5. (…) Such mailing shall constitute good, sufficient and timely service of the notice by Cominco of the Meeting and the hearing in respect of the Petition; 6.
The accidental omission to give notice of the Meeting or the non-receipt of such notice by any one or more of the Cominco Shareholders, the Cominco Optionholders, the directors and auditors of Cominco and the Director under the CBCA shall not invalidate any resolution passed or proceeding taken at the Meeting; (…) 14.
The mailing of the Notice of Petition in accordance with the provisions of this order shall constitute good, sufficient and timely service in respect of the Petition and the affidavits in support upon all persons who are entitled to receive notice pursuant to the order, and no other form of service need be made and no other material need be served on such persons (…); » (pièce D-2) [ 15 ] Le jugement de la Cour Suprême de la Colombie-Britannique confirmait ainsi la validité du « Plan of Arrangement under
Section 119 of the
Canada Business Corporations Act » (pièce D-1). [ 16 ] On retrouve audit Plan d'arrangement (pièce D-1) les conditions eu égard aux certificats non réclamés : « 3.5 Unclaimed Certificates. Notwithstanding any of the other provisions hereof, any certificate which immediately prior to the Effective Time represented outstanding common shares of Cominco (other than common shares of Cominco beneficially owned, directly or indirectly, by Teck) that has not been surrendered with all other documents and instruments required by
Article III on or prior to the sixth anniversary of the Effective Date, shall cease to represent a claim or interest of any kind or nature against Cominco or Teck and the right of such holder to receive cash and Class B Subordinate Voting shares of Teck, shall be deemed to have been surrendered to Teck together with all entitlements to dividends, distributions and any interest thereon held for such former holder, for no consideration. » [ 17 ] Il y avait donc une période additionnelle de six ans accordée pour qu'un détenteur réclame paiement auprès de Teck Resources. [ 18 ] Il faut noter que la fille même de Altschuler, qui détenait aussi des investissements auprès de Teck Resources et résidant à la même adresse que son père, a reçu les mêmes documents que le demandeur.
Il fut démontré lors de l'audience qu'elle aurait participé dans le « Asset Reunification Program » (pièce D-9), contrairement au demandeur. [ 19 ] Quant à l'argument de Altschuler fondé sur l'enrichissement sans cause, c'est l'
article 1493 du Code civil du Québec qui s'applique ici. « 1493. Celui qui s'enrichit aux dépens d'autrui doit, jusqu'à concurrence de son enrichissement, indemniser ce dernier de son appauvrissement corrélatif s'il n'existe aucune justification à l'enrichissement ou à l'appauvrissement. (soulignement du Tribunal) [ 20 ] Nonobstant le mécanisme précisé du plan d'arrangement (pièce D-1), la secrétaire corporative Karen L. Dunfee a mis sur pied deux programmes précis pour tenter de contacter les actionnaires durant cette période de grâces de six ans.
À plusieurs reprises, des lettres furent adressées à la résidence de Altschuler, celui-ci fut aussi contacté par le biais de un ou deux appels téléphoniques, soit le 8 août 2005 à 11 heures 14 (pièce D-9, courriel du 26 mai 2011 de Matthew Barratt à Karen Dunfee). [ 21 ] Le Tribunal ne peut que conclure à de la négligence de la part du demandeur, faisant échec à la présente poursuite. CONSIDÉRANT la preuve testimoniale et documentaire; CONSIDÉRANT que le demandeur n'a pas démontré le bien fondé de la requête introductive d'instance.
PAR CES MOTIFS LE TRIBUNAL : REJETTE l'action du demandeur Henry Altschuler. Avec dépens. __________________________________ L'Honorable Brigitte Gouin, J.C.Q.
