Defendant ______________________________________________________________________ JUDGMENT ______________________________________________________________________ [ 1 ] BFI Canada Inc. (“ BFI ”) is claiming 3 434,58 $ from 6124208 Canada Inc. (“Canada Inc.”), representing the amount of damages owed for early termination of a Service agreement (P-1) whereby BFI agreed to furnish the solid and recyclable waste collection and disposal services to Canada Inc., for the period of February 26, 2008 until February 25, 2013. [ 2 ] Canada Inc. does not contest the amount, but the entitlement of BFI to claim it arguing that it had a valid cause to resiliate the contract on October 22, 2010.
QUESTION IN LITIGATION Was defendant entitled to terminate the service agreement (P-1) on October 22, 2010? THE RELEVANT FACTS [ 3 ] Canada Inc. operates a fruit and vegetables store on Saint-Vital Street, in Montreal, since 2003. [ 4 ] On February 26, 2008, Canada Inc. signed the Service agreement (P-1) whereby BFI agreed to hand pick the garbage once a week. [ 5 ] On February 11, 2010, the City of Montréal warned Canada Inc. that it was contravening the Règlement sur les services de collecte [1] (D-3). [ 6 ] On March 15, 2010, the City of Montréal issued a $264 fine to Canada Inc.
The City’s inspector noted (D-3): Le lundi 15 mars 2010 vers 9 h 00 au 10800, boul. Saint-Vital, j’ai constaté la présence d’une grande quantité de boîtes de carton contre le mur est du commerce, ce qui représente de la malpropreté et un danger d’incendie (nuisance). […] [ 7 ] On October 18, 2010, BFI did not come to pick up the recycling material as they should have.
The situation prevailed until the next day [2] , when Canada Inc., upset with BFI’s failure to show up, called Service Sanitaire Claude inc., who took care of the situation. [ 8 ] On October 22, 2010, Canada Inc. sent to BFI a letter (D-4) cancelling the Service agreement (P-1), effective as of October 22, 2010, which stated : […] The contract states that the garbage will be picked properly on a specific day and time. Several times it was not done. For the past three weeks, your service was very inappropriate.
The garbage was not picked up last Monday and I had to make an arrangement to dispose of the garbage myself which cost me money. When the garbage was not picked up, we had to bring it back inside and take it out again when you were ready to do the service. Sometimes we had to move the garbage on the side of the building. Also, the men who come to do the service leave trails of the garbage around the street. Our neighbors are very annoyed by the mess left on the streets every time the garbage is picked up. […]
[ 9 ] On November 3, 2010, a BFI’s representative visited Canada Inc. to revise the overall conditions of the Service agreement (P- 1) and to offer solutions, including one involving the use of a container. [ 10 ] On December 1, 2010, Canada Inc. decided to sign a Garbage pick-up and transportation agreement with Service Sanitaire Claude Inc. (D-5).
ANALYSIS [ 11 ] The Service agreement (P-1), which is a contract of service [3] , contains the following relevant clauses: SERVICES RENDUS: BFI Canada Inc. (« BFI ») consent à fournir des services de cueillette et d’élimination de déchets solides et de matières recyclables ainsi que l’équipement décrit ci-haut (les « services ») et le client consent à faire les paiements tels que prévus aux présentes et de se conformer aux modalités et conditions du présent contrat.
Le client reconnaît, que durant le présent contrat, BFI aura l’exclusivité afin d’effectuer la cueillette, l’élimination des déchets et la cueillette de toutes les matières recyclables générés par le Client. Le Client accorde également à BFI le mandat exclusif afin d’agir à
titre de consultant pour tous ses besoins en gestion de matières résiduelles.
DURÉE : Le présent contrat est en vigueur à compter de la date mentionnée aux présentes pour une durée de cinq (5) ans à compter de la date où le service a commencé (la « durée ») et se renouvellera pour des périodes successives de cinq (5) ans, sans autre intervention des parties, mais peut être terminé à la fin de toute période de cinq (5) ans, par le client sur avis écrit recommandé adressé à BFI à l’adresse de BFI pour le service mentionné ou par BFI sur avis recommandé adressé au client à l’adresse du client pour le service mentionné, et ce, au plus tôt cent quatre-vingts (180) jour ou au plus tard soixante (60) jours avant l’échéance.
Le Client et BFI reconnaissent qu’à tout moment pendant la durée du présent contrat, ils peuvent en renégocier les conditions, même si le but de la renégociation concerne la prolongation dudit contrat. Nonobstant toute disposition législative pertinente, soit l’
article 2125 du Code civil du Québec , le Client renonce expressément et irrévocablement à résilier d’une façon unilatérale le présent contrat et ce, avant son échéance, sauf en cas de défaut de BFI, à défaut il consent et s’engage à verser à BFI les indemnités prévues aux présentes. DROIT DE PREMIER REFUS : BFI bénéficiera d’un droit de préférence pour l’emplacement visé par le présent contrat. Ce droit de préférence s’appliquera à une seule occasion. Le client s’engage à transmettre à BFI, dès réception, le taux et les conditions proposées par un compétiteur de bonne foi.
BFI bénéficiera d’un délai de quinze (15) jours suivant la réception afin d’indiquer au Client si elle accepte d’égaler le prix et les conditions. Dans un tel cas, le contrat sera prolongé selon lesdites conditions, sauf pour le terme qui devra être au minimum trente-six (36) mois.
À défaut par le Client de respecter le droit de préférence, l’avis de non renouvellement sera réputé non existant et le contrat sera prolongé pour une période de soixante (60) mois selon de dernier taux en vigueur. [ … ] MODIFICATIONS : Le genre, la taille et la quantité d’équipement, la fréquence du service et les tarifs correspondants, peuvent être modifiés avec l’accord écrit de BFI, par les pratiques et actions courantes des parties, sans affecter la validité du présent contrat.
Le présent contrat demeurera en vigueur pour la durée déterminée aux présentes et s’appliquera aux changements d’adresse de service du client dans le secteur où BFI fournit des services de cueillette. […] (Exact transcription) [ 12 ] Canada Inc. failed to establish a strong and significant contractual default on the part of BFI that could justify the termination of the Service agreement (P-1) [4] . [ 13 ] The Service agreement (P-1) does not stipulate a specific time at which the garbage will be picked up, but Canada Inc.’s representative testified that it was to be between 7:00 am and 11:00 am.
The Court notes that Canada Inc. was fined on March 15, 2010, for a situation that was noticed by the inspector at 9:00 am, which is within that time bracket. The Service agreement (P-1) provides for a hand pick-up service and. Defendant’s representative explained that his landlord did not allow him to use a container.
BFI cannot be blamed for the messy look created by boxes of garbage on the sidewalk. [ 14 ] Furthermore, Canada Inc. decided to cancel the contract without sending a demand letter [5] allowing BFI sufficient time to adjust and correct what Canada Inc. considered to be a breach by BFI of its contractual obligations [6] . [ 15 ] The Court concludes that, confronted with the necessity to adapt and modifiy its way of dealing with its garbage, Canada Inc. chose to go with a competitor of BFI. By doing so, Canada Inc. triggered its contractual obligation to pay the liquidated damages.
FOR THESE REASONS, THE COURT: [ 16 ] CONDEMNS 612408 Canada Inc. to pay BFI Canada Inc. the sum of $3,434.58, together with interest at the legal rate and the additional indemnity provided by
section 1619 C.C.Q ., calculated from April 28, 2011; [ 17 ] CONDEMNS 612408 Canada Inc. to pay BFI Canada Inc. the judicial fees of $135 plus the cost of serving of the action, namely $52.81.
